[3.RightsandObligationsoftheAgent]

(1)TheAgentshall,withintheTerritory,promoteandsellthePrincipal'sProductsandServicesinaccordancewiththeprovisionsofthisAgreement.

(2)TheAgentshalluseitsbesteffortstopromoteandsellthePrincipal'sProductsandServices,andensurethequalityofthesalesactivities.

(3)TheAgentshall,withintheTerritory,performallnecessarymarketing,advertising,andsalesactivitiestopromotethesaleofthePrincipal'sProductsandServices.

(4)TheAgentshallnotengageinanyactivitiesthatmaydamagethereputationofthePrincipaloritsProductsandServices.

[4.RightsandObligationsofthePrincipal]

(1)ThePrincipalshallprovidetheAgentwiththenecessarymarketingmaterials,productinformation,andsalessupportwithintheTerritory.

(2)ThePrincipalshallensurethequalityandsafetyoftheProductsandServicesprovidedtotheAgent.

(3)ThePrincipalshallpaytheAgentthecommissionorremunerationasagreeduponinthisAgreement.

[5.CompensationandPayment]

(1)ThecompensationandpaymenttermsfortheAgent'spromotionandsalesactivitiesshallbeagreeduponintheattachmentofthisAgreement.

(2)ThePrincipalshallpaytheAgentthecommissionorremunerationwithin[PaymentPeriod]aftertheAgentcompletesthesalesactivities.

[6.Confidentiality]

ThePartiesagreetokeepthecontentsofthisAgreementandallrelatedinformationconfidential,andshallnotdiscloseoruseanyconfidentialinformationforanypurposesotherthanthoseagreeduponinthisAgreement.

[7.TerminationandForceMajeure]

(1)ThisAgreementmaybeterminatedbyeitherPartyupon[TerminationNoticePeriod]priorwrittennoticetotheotherParty.

(2)Intheeventofforcemajeure,thePartiesmay,aftermutualconsultation,suspendorterminatetheperformanceofthisAgreement,andshallnotbeliableforanylossordamageincurredduetoforcemajeure.

[8.GoverningLawandDisputeResolution]

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[ApplicableLaw].

(2)ThePrincipalshallensurethequalityandsafetyoftheProductsandServicesprovidedtotheAgent.

(3)ThePrincipalshallpaytheAgentthecommissionorremunerationasagreeduponinthisAgreement.

(4)ThePrincipalshallhavetherighttoterminatethisAgreementupon[TerminationNoticePeriod]priorwrittennoticetotheAgentandtheThirdPartyiftheAgentfailstomeettheperformancerequirementsorviolatesanytermsofthisAgreement.

[4.RightsandObligationsoftheAgent]

(1)TheAgentshall,withintheTerritory,promoteandsellthePrincipal'sProductsandServicesinaccordancewiththeprovisionsofthisAgreement.

(2)TheAgentshalluseitsbesteffortstopromoteandsellthePrincipal'sProductsandServices,andensurethequalityofthesalesactivities.

(3)TheAgentshallnotengageinanyactivitiesthatmaydamagethereputationofthePrincipaloritsProductsandServices.

(4)TheAgentshallcomplywithanymarketingguidelinesorstrategiesprovidedbythePrincipal.

[5.RightsandObligationsoftheThirdParty]

(1)TheThirdPartyshallprovidetheServicesasdescribedintheattachedservicesdescription.

(2)TheThirdPartyshallensurethequalityandtimelinessoftheServicesprovided.

(3)TheThirdPartyshallnotusethePrincipal'sortheAgent'sconfidentialinformationforanypurposesotherthanthoseagreeduponinthisAgreement.

(4)TheThirdPartyshallnotengageinanyactivitiesthatmaydamagethereputationofthePrincipaloritsProductsandServices.

[6.CompensationandPayment]

(1)ThecompensationandpaymenttermsfortheAgent'sandtheThirdParty'sservicesshallbeagreeduponintheattachmentofthisAgreement.

(2)ThePrincipalshallpaytheAgentandtheThirdPartytheagreedcompensationwithin[PaymentPeriod]afterthecompletionoftheservices.

[8.GoverningLawandDisputeResolution]

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[ApplicableLaw].

(3)TheAgentshallhavetherighttorequestadditionalresourcesorsupportfromthePrincipalifdeemednecessarytomeetthemarketingobjectives.

(2)TheThirdPartyshallhavetherighttoreceiveapredeterminedfeeforitsservices,asagreeduponinthisAgreement.

(3)TheThirdPartyshallhavetherighttorequestadditionalcompensationifthePrincipal'srequirementsorchangesinthedistributionplanresultinincreasedcosts.

(4)TheThirdPartyshallhavetherighttoterminatethisAgreementupon[TerminationNoticePeriod]priorwrittennoticetothePrincipalandtheAgentifthePrincipalfailstomeetitspaymentobligations.

[6.CompensationandPayment]

(2)ThecompensationfortheThirdParty'sservicesshallbeapredeterminedfee,subjecttoadjustmentbasedonthetermsofthisAgreement.

(3)ThePrincipalshallmakepaymentstotheAgentandtheThirdPartywithin[PaymentPeriod]afterthecompletionoftheservices.
