8.ForceMajeure
NeitherpartyshallbeliableforanyfailureordelayintheperformanceofitsobligationsunderthisContractduetoanycausebeyonditsreasonablecontrol,includingbutnotlimitedtowar,flood,fire,earthquake,strike,oranyothereventbeyondthecontroloftheparties.
9.GoverningLawandDisputeResolution
ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[countryorstate].AnydisputesarisingoutoforinconnectionwiththisContractshallbesettledthroughamicablenegotiation.Ifthenegotiationfails,thedisputeshallbesubmittedtothe[nameofcourtorarbitrationinstitution]forarbitration.

11.GoverningLawandDisputeResolution
