五、服務(wù)內(nèi)容1.市場(chǎng)調(diào)研與分析受托人應(yīng)針對(duì)委托人的產(chǎn)品或服務(wù),在國際市場(chǎng)范圍內(nèi)進(jìn)行深入的市場(chǎng)調(diào)研,分析目標(biāo)市場(chǎng)的需求、競(jìng)爭態(tài)勢(shì)、價(jià)格水平等信息,并定期向委托人提交詳細(xì)的市場(chǎng)調(diào)研報(bào)告。2.客戶開發(fā)與拓展-受托人利用自身資源和渠道,積極尋找、接觸潛在客戶,向其推廣委托人的產(chǎn)品或服務(wù),建立業(yè)務(wù)聯(lián)系。-通過參加國際展會(huì)、商務(wù)洽談、網(wǎng)絡(luò)營銷等方式,拓展新的客戶群體,提高委托人產(chǎn)品或服務(wù)在國際市場(chǎng)的知名度和影響力。3.商務(wù)談判與合同促成-在與潛在客戶進(jìn)行商務(wù)談判過程中,受托人應(yīng)代表委托人參與談判,維護(hù)委托人的利益,爭取最有利的交易條件。-協(xié)助委托人起草、審核、簽訂外貿(mào)合同,確保合同條款符合委托人的利益和要求,同時(shí)保證合同的合法性和有效性。4.訂單跟進(jìn)與協(xié)調(diào)-負(fù)責(zé)跟進(jìn)外貿(mào)訂單的執(zhí)行情況,協(xié)調(diào)委托人內(nèi)部各部門之間以及與供應(yīng)商、物流商等外部合作伙伴之間的溝通與協(xié)作,確保訂單按時(shí)、按質(zhì)、按量完成。-及時(shí)向委托人反饋訂單執(zhí)行過程中的問題和風(fēng)險(xiǎn),并協(xié)助委托人采取有效的解決措施,保障交易的順利進(jìn)行。

六、傭金條款1.傭金比例-對(duì)于受托人成功促成的每一筆外貿(mào)業(yè)務(wù)訂單,委托人同意按照訂單金額的[X]%向受托人支付傭金。-傭金計(jì)算以委托人實(shí)際收到的貨款金額為準(zhǔn),不包括任何可能產(chǎn)生的運(yùn)費(fèi)、保險(xiǎn)費(fèi)、關(guān)稅及其他雜費(fèi)。2.傭金支付方式-在委托人收到每筆訂單的全部貨款后的[X]個(gè)工作日內(nèi),委托人應(yīng)將相應(yīng)的傭金支付至受托人指定的銀行賬戶。-支付傭金時(shí),委托人應(yīng)向受托人提供正式的付款憑證,并注明傭金所對(duì)應(yīng)的訂單編號(hào)及支付金額。3.傭金支付條件-受托人促成的訂單須滿足以下條件,委托人方可支付傭金:-訂單所涉及的產(chǎn)品或服務(wù)已按照合同約定交付給客戶,且客戶已驗(yàn)收合格。-委托人已收到客戶支付的全部貨款,不存在任何未結(jié)清的款項(xiàng)或糾紛。-受托人已按照本合同約定履行了全部服務(wù)義務(wù),不存在任何違約行為。

七、雙方權(quán)利與義務(wù)委托人權(quán)利與義務(wù)1.權(quán)利-有權(quán)要求受托人按照本合同約定提供服務(wù),并對(duì)服務(wù)質(zhì)量進(jìn)行監(jiān)督和檢查。-在受托人未按照本合同約定履行義務(wù)時(shí),有權(quán)拒絕支付傭金或要求受托人承擔(dān)違約責(zé)任。-有權(quán)了解受托人在服務(wù)過程中的工作進(jìn)展情況,并獲取相關(guān)的業(yè)務(wù)信息和資料。2.義務(wù)-向受托人提供真實(shí)、準(zhǔn)確、完整的產(chǎn)品或服務(wù)信息以及相關(guān)業(yè)務(wù)資料,協(xié)助受托人開展工作。-按照本合同約定及時(shí)、足額地向受托人支付傭金。-積極配合受托人與客戶進(jìn)行商務(wù)談判、合同簽訂及訂單執(zhí)行等工作,提供必要的支持和協(xié)助。-對(duì)于受托人在服務(wù)過程中提出的合理建議和意見,應(yīng)認(rèn)真考慮并給予回應(yīng)。

受托人權(quán)利與義務(wù)1.權(quán)利-有權(quán)按照本合同約定獲得傭金報(bào)酬。-在履行服務(wù)過程中,有權(quán)要求委托人提供必要的協(xié)助和支持,包括但不限于提供產(chǎn)品資料、安排商務(wù)洽談等。-有權(quán)根據(jù)市場(chǎng)情況和業(yè)務(wù)需要,自主開展客戶開發(fā)、商務(wù)談判等工作,但應(yīng)遵循本合同約定及委托人的合理指示。2.義務(wù)-遵守國家法律法規(guī)及相關(guān)政策規(guī)定,誠信、勤勉地履行本合同約定的服務(wù)義務(wù)。-保守委托人的商業(yè)秘密和業(yè)務(wù)信息,不得向任何第三方泄露或用于本合同約定以外的其他目的。-定期向委托人匯報(bào)工作進(jìn)展情況,及時(shí)反饋業(yè)務(wù)信息和問題,接受委托人的監(jiān)督和檢查。-在服務(wù)過程中,如因自身原因給委托人造成損失的,應(yīng)承擔(dān)相應(yīng)的賠償責(zé)任。

八、保密條款1.雙方應(yīng)對(duì)在本合同履行過程中知悉的對(duì)方商業(yè)秘密、技術(shù)秘密、客戶信息等予以保密。未經(jīng)對(duì)方書面同意,任何一方不得向任何第三方披露或使用該等保密信息。2.本條款的保密期限為本合同生效之日起[X]年。

九、違約責(zé)任1.若委托人未按照本合同約定按時(shí)、足額支付傭金,每逾期一日,應(yīng)按照未支付金額的[X]%向受托人支付違約金。逾期超過[X]日的,受托人有權(quán)解除本合同,并要求委托人支付已完成服務(wù)對(duì)應(yīng)的全部傭金及違約金。2.若受托人未按照本合同約定履行服務(wù)義務(wù),導(dǎo)致委托人遭受損失的,受托人應(yīng)承擔(dān)相應(yīng)的賠償責(zé)任。賠償范圍包括但不限于直接經(jīng)濟(jì)損失、預(yù)期利益損失等。3.任何一方違反本合同的保密條款,應(yīng)向?qū)Ψ街Ц哆`約金[X]元,并賠償對(duì)方因此遭受的全部損失。如違約行為給對(duì)方造成重大損失的,違約方還應(yīng)承擔(dān)相應(yīng)的法律責(zé)任。

十、合同變更與解除1.本合同的任何變更或補(bǔ)充需經(jīng)雙方書面協(xié)商一致,并簽訂書面協(xié)議。變更或補(bǔ)充協(xié)議作為本合同的組成部分,與本合同具有同等法律效力。2.在履行本合同過程中,若一方提出解除合同,需提前[X]日書面通知對(duì)方,并經(jīng)對(duì)方書面同意。因解除合同給對(duì)方造成損失的,提出解除合同方應(yīng)承擔(dān)相應(yīng)的賠償責(zé)任。3.若出現(xiàn)下列情形之一,一方有權(quán)解除本合同:-因不可抗力或其他不可預(yù)見、不可避免的原因,導(dǎo)致本合同無法繼續(xù)履行的。-另一方嚴(yán)重違反本合同約定,經(jīng)書面通知后在合理期限內(nèi)仍未改正的。

十一、爭議解決1.本合同的簽訂、履行、解釋及爭議解決均適用[適用法律]。2.雙方在履行本合同過程中如發(fā)生爭議,應(yīng)首先通過友好協(xié)商解決;協(xié)商不成的,任何一方均有權(quán)向有管轄權(quán)的人民法院提起訴訟。

IV.WhereasClauses1.ThePrincipalisengagedinforeigntradebusinessinthe[specificbusinessarea],possessingsaleschannelsandcustomerresourcesforrelevantproductsorservices.2.TheAgenthasprofessionalcapabilitiesinmarketpromotion,salesexpansion,andcustomerserviceinthe[relevantfield],andiswillingtoprovideservicesrelatedtothePrincipal'sforeigntradebusiness.3.Throughfriendlynegotiation,thetwopartieshavereachedthefollowingagreement.ThePrincipalagreestopaymissionstotheAgentinaccordancewiththetermsofthiscontract,andtheAgentagreestoprovideservicestothePrincipalinaccordancewiththetermsofthiscontract.

V.ServiceContent1.MarketResearchandAnalysisTheAgentshallconductin-depthmarketresearchonthePrincipal'sproductsorserviceswithintheinternationalmarketscope,analyzeinformationsuchasmarketdemand,petitionsituation,andpricelevelsinthetargetmarket,andsubmitdetailedmarketresearchreportstothePrincipalonaregularbasis.2.CustomerDevelopmentandExpansion-TheAgentshallutilizeitsownresourcesandchannelstoactivelysearchforandcontactpotentialcustomers,promotethePrincipal'sproductsorservicestothem,andestablishbusinessconnections.-Throughparticipatingininternationalexhibitions,businessnegotiations,onlinemarketing,etc.,expandnewcustomergroupsandenhancethepopularityandinfluenceofthePrincipal'sproductsorservicesintheinternationalmarket.3.BusinessNegotiationandContractFacilitation-Duringthebusinessnegotiationprocesswithpotentialcustomers,theAgentshallrepresentthePrincipaltoparticipateinthenegotiation,safeguardthePrincipal'sinterests,andstriveforthemostfavorabletransactionconditions.-AssistthePrincipalindrafting,reviewing,andsigningforeigntradecontractstoensurethatthecontracttermsmeetthePrincipal'sinterestsandrequirements,andatthesametimeensurethelegalityandeffectivenessofthecontract.4.OrderFollow-upandCoordination-Beresponsibleforfollowinguptheexecutionofforeigntradeorders,coordinatingthemunicationandcooperationbetweenvariousdepartmentswithinthePrincipalandexternalpartnerssuchassuppliersandlogisticsproviders,andensuringthattheordersarepletedontime,inquality,andinquantity.-PromptlyfeedbackproblemsandrisksduringtheorderexecutionprocesstothePrincipalandassistthePrincipalintakingeffectivesolutionstoensurethesmoothprogressofthetransaction.

VI.CommissionClauses1.CommissionRate-ForeachforeigntradebusinessordersuccessfullyfacilitatedbytheAgent,thePrincipalagreestopaytheAgentamissionattherateof[X]%oftheorderamount.-ThemissioncalculationisbasedontheactualamountofpaymentreceivedbythePrincipal,excludinganypossiblefreight,insurance,customsduties,andothermiscellaneousfees.2.CommissionPaymentMethod-Within[X]workingdaysafterthePrincipalreceivesthefullpaymentforeachorder,thePrincipalshallpaythecorrespondingmissiontothebankaccountdesignatedbytheAgent.-Whenpayingthemission,thePrincipalshallprovidetheAgentwithaformalpaymentvoucher,indicatingtheordernumberandpaymentamountcorrespondingtothemission.3.CommissionPaymentConditions-TheordersfacilitatedbytheAgentmustmeetthefollowingconditionsforthePrincipaltopaythemission:-Theproductsorservicesinvolvedintheorderhavebeendeliveredtothecustomerinaccordancewiththecontractagreementandthecustomerhasacceptedthemasqualified.-ThePrincipalhasreceivedallpaymentsfromthecustomerandtherearenooutstandingpaymentsordisputes.-TheAgenthasfulfilledallserviceobligationsinaccordancewiththetermsofthiscontractandtherearenoanybreachofcontractbehaviors.

VII.RightsandObligationsofBothPartiesRightsandObligationsofthePrincipal1.Rights-HavetherighttorequiretheAgenttoprovideservicesinaccordancewiththetermsofthiscontractandsuperviseandinspecttheservicequality.-HavetherighttorefusetopaythemissionorrequiretheAgenttobeartheliabilityforbreachofcontractwhentheAgentfailstofulfillitsobligationsinaccordancewiththetermsofthiscontract.-HavetherighttounderstandtheprogressoftheAgent'sworkduringtheserviceprocessandobtainrelevantbusinessinformationandmaterials.2.Obligations-ProvidetheAgentwithtrue,accurate,andpleteproductorserviceinformationandrelevantbusinessmaterials,andassisttheAgentincarryingoutitswork.-PaythemissiontotheAgentinatimelyandfullamountinaccordancewiththetermsofthiscontract.-ActivelycooperatewiththeAgentinbusinessnegotiation,contractsigning,andorderexecution,andprovidenecessarysupportandassistance.-SeriouslyconsiderandrespondtothereasonablesuggestionsandopinionsputforwardbytheAgentduringtheserviceprocess.

RightsandObligationsoftheAgent1.Rights-Havetherighttoreceivemissionremunerationinaccordancewiththetermsofthiscontract.-HavetherighttorequirethePrincipaltoprovidenecessaryassistanceandsupportduringtheperformanceoftheservice,includingbutnotlimitedtoprovidingproductmaterials,arrangingbusinessnegotiations,etc.-Havetherighttoindependentlycarryoutcustomerdevelopment,businessnegotiation,etc.accordingtothemarketsituationandbusinessneeds,butshallfollowthetermsofthiscontractandthereasonableinstructionsofthePrincipal.2.Obligations-Complywithnationallaws,regulations,andrelevantpolicies,andperformtheserviceobligationsagreedinthiscontractingoodfaithanddiligently.-KeepthePrincipal'sbusinesssecretsandbusinessinformationconfidential,andshallnotdiscloseorusethemforanyotherpurposesotherthanthoseagreedinthiscontracttoanythirdparty.-ReporttheworkprogresstothePrincipalonaregularbasis,promptlyfeedbackbusinessinformationandproblems,andacceptthesupervisionandinspectionofthePrincipal.-IflossesarecausedtothePrincipalduetoitsownreasonsduringtheserviceprocess,itshallbearthecorrespondingliabilityforpensation.

VIII.ConfidentialityClause1.Bothpartiesshallkeepconfidentialthebusinesssecrets,technicalsecrets,customerinformation,etc.oftheotherpartyknownduringtheperformanceofthiscontract.Withoutthepriorwrittenconsentoftheotherparty,neitherpartyshalldiscloseorusesuchconfidentialinformationtoanythirdparty.2.Theconfidentialityperiodofthisclauseis[X]yearsfromtheeffectivedateofthiscontract.

IX.LiabilityforBreachofContract1.IfthePrincipalfailstopaythemissionontimeandinfullinaccordancewiththetermsofthiscontract,itshallpayaliquidateddamagesof[X]%oftheunpaidamountforeachoverdueday.Iftheoverdueperiodexceeds[X]days,theAgenthastherighttoterminatethiscontractandrequirethePrincipaltopayallmissionscorrespondingtothepletedservicesandliquidateddamages.2.IftheAgentfailstoperformtheserviceobligationsinaccordancewiththetermsofthiscontractandcauseslossestothePrincipal,theAgentshallbearthecorrespondingliabilityforpensation.Thescopeofpensationincludesbutnotlimitedtodirecteconomiclossesandexpectedprofitlosses.3.Ifeitherpartyviolatestheconfidentialityclauseofthiscontract,itshallpayaliquidateddamagesof[X]yuantotheotherpartyandpensateforalllossessufferedbytheotherparty.Ifthebreachofcontractbehaviorcausesheavylossestotheotherparty,thebreachingpartyshallalsobearthecorrespondinglegalliability.

X.ContractModificationandTermination1.Anymodificationorsupplementtothiscontractrequiresthewrittenagreementofbothpartiesthroughfriendlynegotiationandshallbesignedinwriting.Themodificationorsupplementagreementshallbeanintegralpartofthiscontractandhavethesamelegaleffectasthiscontract.2.Duringtheperformanceofthiscontract,ifeitherpartyproposestoterminatethecontract,itshallnotifytheotherpartyinwriting[X]daysinadvanceandobtainthewrittenconsentoftheotherparty.Thepartyproposingtoterminatethecontractshallbearthecorrespondingliabilityforpensationforthelossescausedtotheotherpartyduetotheterminationofthecontract.3.Ifanyofthefollowingcircumstancesoccurs,eitherpartyhasth
