國(guó)際貿(mào)易銷(xiāo)售合同英文版SalesContract?ThisSalesContract(the"Contract")ismadeandenteredintoasof[date]byandbetween:-Seller:[Seller'spanyname],a[country]pany,withitsprincipalplaceofbusinessat[address](hereinafterreferredtoas"Seller"),and-Buyer:[Buyer'spanyname],a[country]pany,withitsprincipalplaceofbusinessat[address](hereinafterreferredtoas"Buyer").##2.CommodityandQuantity2.1CommoditySellershallsellandBuyershallbuy[descriptionofthemodity,includingbrand,model,specifications,etc.].2.2QuantityThequantityofthemoditytobesoldandpurchasedunderthisContractis[quantity].Sellershalldeliverthegoodsinaccordancewiththequantityspecifiedherein,subjecttotheprovisionsofArticle7regardingquantitytolerance.##3.Price3.1UnitPriceTheunitpriceofthemodityis[unitpriceamount][currency].3.2TotalPriceThetotalpriceforthegoodsshallbe[totalpriceamount][currency](the"TotalPrice"),whichiscalculatedbasedontheunitpriceandthequantityspecifiedinArticle2.3.3PriceAdjustmentThepriceagreeduponinthisContractisfixedandshallnotbeadjusted,exceptasotherwiseprovidedinthisContractorasrequiredbylaw.##4.Delivery4.1DeliveryTimeSellershalldeliverthegoodstotheagreeddeliveryplacewithin[deliveryperiod]daysafterthedateofthisContract,unlessotherwiseextendedinwritingbyBuyer.4.2DeliveryPlaceThegoodsshallbedeliveredto[deliveryaddress].4.3DeliveryTermsThedeliveryofthegoodsshallbemadeunder[Incotermsrules,e.g.,FOB,CIF,etc.].Sellershallberesponsibleforarrangingtransportation,loading,insurance(ifapplicableundertheIncoterms),andallothercostsandrisksassociatedwiththedeliveryofthegoodsuntilthegoodsaredeliveredtotheagreeddeliveryplaceinaccordancewiththeIncoterms.##5.Payment5.1PaymentTermsBuyershallpaytheTotalPricetoSellerinaccordancewiththefollowingpaymentterms:-[Paymentmethod,e.g.,bytelegraphictransferwithin[numberofdays]daysafterreceiptoftheshippingdocuments]5.2PaymentCurrencyThepaymentshallbemadein[currency].5.3LatePaymentIfBuyerfailstomakethepaymentwithintheagreedpaymentperiod,BuyershallpaySelleralatepaymentfeeof[latepaymentfeepercentage]perannumontheoutstandingamountfromtheduedateuntilthedateofactualpayment.##6.Packaging6.1PackagingRequirementsSellershallpackagethegoodsinaccordancewithinternationalstandardsandgoodmercialpracticetoensurethatthegoodsareprotectedduringtransportationandstorage.Thepackagingshallbemarkedwiththefollowinginformation:-Commodityname,quantity,andspecifications-Shippingmarks-Warningsigns(ifany)6.2ResponsibilityforPackagingSellershallberesponsibleforanydamageorlosscausedbyimproperpackaging.Incaseofanydamageorlossduetoimproperpackaging,Sellershallbearthecostofre-packagingorpensatingBuyerfortheloss.##7.QuantityandQuality7.1QuantityThequantityofthegoodsdeliveredbySellershallbewithinthetolerancerangeof[quantitytolerancepercentage]ofthequantityspecifiedinthisContract.Ifthequantitydeliveredislessthantheminimumquantityspecifiedherein,BuyerhastherighttorejectthegoodsorrequireSellertodelivertheshort-deliveredquantitywithinareasonabletime.Ifthequantitydeliveredexceedsthemaximumquantityspecifiedherein,Buyermayaccepttheexcessquantityatthecontractunitpriceorrejecttheexcessquantity.7.2QualityThegoodsshallconformtothequalitystandardsagreeduponbetweentheparties,whichare[descriptionofqualitystandards,e.g.,internationalqualitystandard[standardnumber],orspecificproductqualityrequirements].SellershallprovideBuyerwithaqualityinspectioncertificateissuedbyaqualifiedinspectioninstitutionatthetimeofdelivery.##8.InspectionandClaims8.1InspectionatDestinationBuyershallhavetherighttoinspectthegoodswithin[numberofdays]daysafterthearrivalofthegoodsatthedeliveryplace.IfBuyerdiscoversanyqualityorquantitydiscrepanciesduringtheinspection,BuyershallnotifySellerinwritingwithin[numberofdays]daysafterthediscovery.8.2ClaimsProcedureIfBuyerhasaclaim,BuyershallprovideSellerwithdetailedclaimdocuments,includinginspectionreports,invoices,andshippingdocuments.Sellershall,within[numberofdays]daysafterreceivingtheclaimnotice,replytoBuyerandagreeonasolution,whichmayincludereplacementofthegoods,reductionoftheprice,orpensationforlosses.##9.IntellectualPropertyRights9.1OwnershipofIntellectualPropertySellerwarrantsthatthegoodssoldunderthisContractdonotinfringeanythird-partyintellectualpropertyrights.SellershallindemnifyandholdBuyerharmlessfromanylosses,damages,liabilities,andexpensesarisingoutofanyclaimofintellectualpropertyinfringementrelatedtothegoods.9.2UseofIntellectualPropertyBuyershallhavetherighttousethegoodspurchasedunderthisContractinaccordancewiththeintendedpurpose,withoutviolatinganyintellectualpropertyrightsofthirdparties.##10.ForceMajeure10.1Definition"ForceMajeure"shallmeananyeventthatisbeyondthecontrolofaparty,isunforeseeable,andisunavoidable,suchaswar,naturaldisasters,governmentactions,strikes,lockouts,oranyothersimilarevents.10.2EffectontheContractIfeitherpartyispreventedfromperformingitsobligationsunderthisContractduetoForceMajeure,thepartyaffectedbyForceMajeureshallnotifytheotherpartyinwritingwithin[numberofdays]daysaftertheoccurrenceoftheForceMajeureevent.TheperformanceoftheContractshallbesuspendedduringtheperiodofForceMajeure,andthetimeforperformanceshallbeextendedbytheperiodoftheForceMajeureevent.##11.Termination11.1TerminationbyAgreementThisContractmaybeterminatedbywrittenagreementbetweenthepartiesatanytime.11.2TerminationforBreachIfeitherpartymateriallybreachesthisContract,thenon-breachingpartyshallhavetherighttoterminatethisContractbygivingwrittennoticetothebreachingparty.Incaseofterminationduetobreach,thebreachingpartyshallbeliabletothenon-breachingpartyfordamages.11.3ConsequencesofTerminationUponterminationofthisContract,thepartiesshallsettletheirrespectiveobligationsandrightsinaccordancewiththelaw.Anyoutstandingpaymentsshallbemadeimmediately,andanygoodsalreadydeliveredshallbedealtwithinaccordancewiththeagreementbetweenthepartiesorthelaw.##12.GoverningLawandJurisdiction12.1GoverningLawThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[country].12.2JurisdictionAnydisputesarisingoutoforinconnectionwiththisContractshallbesubjecttotheexclusivejurisdictionofthecourtsof[jurisdiction].##13.EntireAgreementThisContractconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreementsandunderstandings,oralorwritten,relatingtothesame.AnymodificationsorsupplementstothisContractshallbeinwritingandsignedbybothparties.##14.Notices14.1NoticeAddressesAllnotices,requests,demands,andothermunicationsunderthisContractshallbeinwritingandshallbedeliveredtothefollowingaddresses:-ForSeller:[Seller'snoticeaddress]-ForBuyer:[Buyer'snoticeaddress]14.2MethodofDeliveryNoticesmaybedeliveredbyhand,byregisteredmail,bycourierservice,orbyfacsimile.Thedateofreceiptofanoticeshallbedeemedtobethedateofdeliveryifdeliveredbyhand;thedateofreceiptshownontheregisteredmailreceiptifdeliveredbyregisteredmail;thedateofdeliveryshownonthecourierservicereceiptifdeliveredbycourierservice;andthedateofsuccessfultransmissionshownonthefacsimileconfirmationifdeliveredbyfacsimile.##15.AmendmentsandSuppl
