5.2TheAgentshallindemnifyandholdharmlessthePrincipalagainstanyandallclaims,actions,demands,liabilities,losses,costs,andexpensesarisingoutoforinconnectionwiththeAgent'sfailuretocomplywiththeprovisionsofthisAgreement.

6.GoverningLawandJurisdiction

6.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofthe_______.
