2025采購,合同,出口合同中英文ContractforthePurchaseofGoods(ExportContract)(2025)ContractNumber:DateofSigning:PlaceofSigning:PartiestotheContract:ThisContractismadeandenteredintoonthisdayof,2025,byandbetween:Supplier(hereinafterreferredtoas"theSeller")Name:Address:ContactPerson:Telephone:Fax:Email:Buyer(hereinafterreferredtoas"theBuyer")Name:Address:ContactPerson:Telephone:Fax:Email:Recitals:WHEREAStheSellerisalawfulmanufacturer/supplierofthegoodsdescribedbelow;ANDWHEREAStheBuyerdesirestopurchasesuchgoodsfromtheSeller.NOW,THEREFORE,theSellerandtheBuyeragreeasfollows:1.PROCUREMENTOFGOODS1.1TheSelleragreestosellandsupply,andtheBuyeragreestopurchase,thefollowinggoods(hereinafterreferredtoas"theGoods")inaccordancewiththespecifications,quantities,andothertermsandconditionssetforthinthisContract.DescriptionofGoodsItemNo.:ProductName:Specification:Quantity:UnitPrice:TotalPrice:2.AMOUNTOFGOODSANDPRICES2.1ThetotalquantityoftheGoodstobesuppliedunderthisContractis(inwords).2.2ThepriceperunitoftheGoodsis(inwords:),makingthetotalamountofthisContract(inwords:).2.3ThepriceincludesallcostsassociatedwiththesupplyoftheGoods,includingbutnotlimitedto,manufacturing,transportation,insurance,andallapplicabletaxes,unlessotherwisespecified.3.PAYMENTTERMS3.1TheBuyershallmakepaymentinaccordancewiththefollowingterms:a.Adepositof%ofthetotalamount(￥)shallbepaidwithindaysafterthesigningofthisContract.b.Theremainingbalanceshallbepaiddaysbeforetheshipmentdate.3.2Paymentshallbemadeintheformof(e.g.,banktransfer,letterofcredit,etc.)throughthebanksspecifiedbelow:Seller'sBankDetails:BankName:AccountNumber:SWIFTCode:Buyer'sBankDetails:BankName:AccountNumber:SWIFTCode:3.3AnydelayinpaymentbytheBuyershallincurapenaltyof%permonthontheoutstandingamount.4.DELIVERYTIMEANDPLACE4.1TheSellershalldelivertheGoodstothespecifieddestinationwithindaysafterthereceiptofthefullpayment.4.2TheGoodsshallbedeliveredtotheportof(portname)forexport.4.3TheSellershallnotifytheBuyerinwritingatleastdayspriortotheshipmentdate,providingdetailedshipmentinformation,includingthenameofthecarrier,theexpecteddateofarrival,andthetrackingnumber.5.PACKAGING5.1TheGoodsshallbeproperlypackedtoensuretheyaresafeduringtransportationandstorage.Thepackagingmustcomplywithinternationalstandardsandbesuitableforlong-distancetransport.5.2IftheBuyerhasspecificpackagingrequirements,suchrequirementsshallbeclearlystatedinwritingandacknowledgedbytheSellerbeforeproduction.6.INSURANCE6.1TheSellershallarrangeforinsurancecoveragefortheGoodsduringtransit.Theinsuranceshallcoverallrisksandshallbefor110%oftheinvoicevalue.6.2TheSellershallprovidetheBuyerwithacopyoftheinsurancepolicyuponrequest.7.QUALITYASSURANCE7.1TheSellerguaranteesthattheGoodssuppliedunderthisContractareofgoodquality,freefromdefects,andconformtothedescriptionsandspecificationsprovidedinthisContract.7.2TheSellershallproviderelevantqualitycertificates,testreports,andothernecessarydocumentstotheBuyeruponrequest.8.inspectionandclaims8.1TheBuyerhastherighttoinspecttheGoodsuponreceipt.Ifanydefectsordiscrepanciesarefound,theBuyershallnotifytheSellerinwritingwithindaysofreceipt.8.2TheSellershallbearallcostsassociatedwiththerepairorreplacementofdefectiveGoods.9.FORCEMAJEURE9.1NeithertheSellernortheBuyershallbeheldliableforanyfailureordelayinperformingtheirobligationsunderthisContractifsuchfailureordelayisduetoeventsbeyondtheirreasonablecontrol,includingbutnotlimitedtonaturaldisasters,war,strikes,orgovernmentactions.9.2Theaffectedpartyshallimmediatelynotifytheotherpartyinwritingoftheoccurrenceofaforcemajeureeventandprovideevidencethereof.9.3Theobligationsoftheaffectedpartyshallbesuspendedduringthedurationoftheforcemajeureevent.Iftheeventcontinuesformorethandays,thepartiesshallnegotiateingoodfaithtoeithermodifytheContractorterminateit.10.DEFAULTANDREMEDIES10.1Intheeventofadefaultbyeitherparty,thenon-defaultingpartyshallhavetherighttoseekdamagesorotherremediesasprovidedbylaw.10.2IftheSellerfailstodelivertheGoodsontime,theBuyermayclaimapenaltyof%ofthetotalamountperdayofdelay.10.3IftheBuyerfailstomakepaymentontime,theSellermaysuspendfurtherdeliveriesorterminatethisContract.11.DISPUTERESOLUTION11.1AnydisputesarisingoutoforrelatingtothisContractshallbesettledthroughfriendly協(xié)商betweentheparties.11.2Ifthedisputescannotberesolvedthrough協(xié)商,eitherpartymaysubmitthedisputetothecourtsofforarbitration.11.3ThearbitrationshallbeconductedinaccordancewiththerulesoftheArbitrationCommission.Thearbitrationawardshallbefinalandbindingonbothparties.12.AMENDMENTANDSUPPLEMENT12.1AnyamendmentorsupplementationtothisContractshallbemadeinwritingandshallonlybeeffectiveafterbeing
