I.LeaseDetails

A.PremisesDescription

Theleasedpropertyislocatedat[addressoftheleasedpremises],withatotalfloorareaof[x]squaremeters.Thespecificlayoutincludes[descriptionofrooms,floors,etc.].Theleasedpremisesareusedfor[intendeduse,e.g.,office,residential].

B.LeaseTerm

Theoriginalleaseagreementwasexecutedon[startdateoftheoriginallease]andwasscheduledtoexpireon[enddateoftheoriginallease].

II.AgreementonLeaseTermination

A.TerminationDate

Bothpartiesherebyagreethattheleaseagreementshallterminateasof[terminationdate].

B.VacatingthePremises

Lesseeshallvacatetheleasedpremisesonorbeforetheterminationdate.Lesseeshallensurethatthepremisesareleftinacleanandundamagedcondition,excludingnormalwearandtear.AllpersonalbelongingsandequipmentbelongingtoLesseeshallberemovedfromthepremisesbytheterminationdate.

III.RightsandObligationsoftheParties

A.Lessor'sRightsandObligations

1.Rights

Lessorhastherighttotakepossessionoftheleasedpremisesupontheexpirationoftheleasetermorinaccordancewiththetermsofthisterminationagreement.

LessorreservestherighttoinspectthepremisesafterLesseevacatestodetermineifitmeetstheconditionrequirementsasspecifiedinthisagreement.

2.Obligations

LessorshallrefundtoLesseeanyprepaidrent,securitydeposit,andotherdepositsinaccordancewiththelawandthetermsoftheoriginalleaseagreement,lessanyamountsowedbyLesseeforrent,damages,orothercharges.

LessorshallprovideLesseewithanynecessarycooperationordocumentationrequiredforLesseetopletethecancellationprocedureswithrelevantgovernmentdepartmentsorthirdpartyserviceproviders,ifapplicable.

B.Lessee'sRightsandObligations

1.Rights

Lesseehastherighttoreceivearefundoftheprepaidrent,securitydeposit,andotherdepositsinaccordancewiththetermsofthisagreement.

LesseemayrequestLessortoprovideawrittenconfirmationoftheleaseterminationforitsownrecordsandforanynecessarybusinessorlegalpurposes.

2.Obligations

Lesseeshallpayalloutstandingrent,utilities,andotherchargesrelatedtotheleasedpremisesuptotheterminationdate.Thisincludesbutisnotlimitedtorentfortheperiodfrom[lastpaidrentdate]to[terminationdate],electricity,water,gas,andanyotherservicefees.

Lesseeshallremoveallimprovements,alterations,oradditionsmadetothepremisesduringtheleaseterm,unlessotherwiseagreeduponbyLessor.IfLesseefailstoremovesuchitems,LessorhastherighttodosoatLessee'sexpense.

Lesseeshallreturnallkeys,accesscards,andotheritemsrelatedtotheleasedpremisestoLessorupontermination.

IV.PaymentandSettlement

A.RentSettlement

LesseeshallsubmitadetailedrentsettlementstatementtoLessorwithin[x]daysaftertheexecutionofthisterminationagreement.Thestatementshallclearlyshowthecalculationofrentfortheperiodfrom[lastpaidrentdate]to[terminationdate],includinganyadjustmentsordeductions.

UponverificationbyLessor,iftherearenodisputes,LessorshallrefundtoLesseetheprepaidrentfortheunexpiredleaseperiodwithin[x]workingdays.

B.SecurityDeposit

Lessorshallinspecttheleasedpremiseswithin[x]daysafterLesseevacates.Ifthepremisesareintheconditionrequiredbythisagreement,LessorshallrefundthefullsecuritydeposittoLesseewithin[x]workingdays.Iftherearedamagesoroutstandingcharges,LessorshalldeductthecorrespondingamountsfromthesecuritydepositandnotifyLesseeinwritingofthedeductionsandtheremainingbalance(ifany).

V.LiabilityforDamages

A.GeneralProvision

Eachpartyshallbeliableforitsownactsoromissionsthatcausedamagetotheotherpartyortheleasedpremises.

B.Lessee'sLiability

Lesseeshallberesponsibleforanydamagecausedtotheleasedpremisesduringtheleaseterm,includingbutnotlimitedtodamagetothestructure,fixtures,fittings,andequipment.LesseeshallrepairorpensateLessorforsuchdamagesatLessor'soption.

Ifthedamageiscausedbyimproperuse,negligence,orwillfulactofLessee,LessorhastherighttoclaimpensationfromLesseeforthefullcostofrepairorreplacement,aswellasanylossofuseorieresultingfromthedamage.

C.Lessor'sLiability

Lessorshallberesponsibleforanydamagecausedtotheleasedpremisesduetoitsownnegligenceorfailuretoperformitsmaintenanceandrepairobligationsasrequiredbylawortheoriginalleaseagreement.

VI.Confidentiality

A.ConfidentialInformationDefined

Bothpartiesacknowledgethatduringthecourseoftheleaserelationship,theymayhaveaccesstocertainconfidentialinformationoftheotherparty,includingbutnotlimitedtobusinesssecrets,customerlists,financialinformation,andleaserelateddata.

B.ObligationofConfidentiality

Eachpartyshallkeepconfidentialallconfidentialinformationobtainedfromtheotherpartyandshallnotdisclose,use,orpermittheuseofsuchconfidentialinformationforanypurposeotherthantheperformanceofthisleaseagreementandanyrelatedtransactions.

C.Exceptions

Thisconfidentialityobligationshallnotapplytoinformationthat:

1.Isorbespubliclyavailablethroughnofaultofthereceivingparty;

2.Isrequiredtobedisclosedbylaworbyacourtorder;

3.Isdisclosedtoathirdpartyserviceproviderwhoisboundbyaconfidentialityagreementwiththedisclosingpartyandwhoneedstoknowsuchinformationforthepurposeofprovidingservicesrelatedtothisleaseagreement.

VII.GoverningLawandJurisdiction

A.GoverningLaw

Thisleasecontractterminationagreementshallbegovernedbyandconstruedinaccordancewiththelawsof[nameofthejurisdiction].

B.Jurisdiction

Anydisputesarisingoutoforinconnectionwiththisagreementshallbesubjecttotheexclusivejurisdictionofthecourtsin[nameofthejurisdiction].

VIII.EntireAgreement

ThisLeaseContractTerminationAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreementsandunderstandings,oralorwritten,relatingtothesame.

Ix.AmendmentsandWaivers

Noamendment,modification,orwaiverofanyprovisionofthisagreementshallbeeffectiveunlessinwritingandsignedbybothparties.

x.Severability

Ifanyprovisionofthisagreementisheldtobeinvalid,illegal,orunenforceable,thevalidity,legality,andenforceabilityoftheremainingprovisionsshallinnowayinanywaybeaffectedorimpaired.

xI.Notices

Allnotices,requests,demands,andothermunicationsrequiredorpermittedtobegivenunderthisagreementshallbeinwritingandshall
