sivepropertyoftheEmployer.9.2UseofIntellectualPropertyTheEmployeegrantstheEmployeraperpetual,worldwide,royaltyfree,andnonexclusivelicensetouse,reproduce,modify,distribute,andpubliclydisplayanyintellectualpropertycreatedtheEmployeeinthecourseofemployment.9.3InventionandDisclosureTheEmployeeagreestodisclosetotheEmployeranyinventionsmadeduringthecourseofemploymentandtoassignallrights,,andinterestinsuchinventionstotheEmployer.10.EmployeeRecordsandPrivacy10.1MaintenanceofEmployeeRecordsTheEmployershallmaintaintheEmployee'spersonnelrecordsandkeepthemconfidentialinaccordancewithapplicablelawsandregulations.10.2AccesstoEmployeeRecordsTheEmployeeshallhavetherighttoinspectandcopytheirpersonnelrecordsuponreasonablenoticeandduringnormalworkinghours.10.3PrivacyandConfidentialityTheEmployeragreestoprotecttheEmployee'spersonalinformationandtonotdisclosesuchinformationtoanyunauthorizedthirdpartywithouttheEmployee'sconsent.11.DisputeResolution11.1GoverningLawThisAgreementshallbegovernedandconstruedinaccordancewiththelawsof[Jurisdiction].11.2ArbitrationAnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedarbitrationinaccordancewiththerulesof[ArbitrationInstitution].11.3Litigation12.MiscellaneousProvisions12.1EntireAgreementThisAgreementconstitutestheentireagreementbetweenthePartiesandsupersedesallprioragreements,understandings,orrepresentations,whetherwrittenororal.12.2ModificationsAnymodificationoramendmenttothisAgreementshallbebindingonlyifitisinwritingandsignedbothParties.12.3WaiverThefailureofeitherPartytoenforceanyprovisionofthisAgreementshallnotbedeemedawaiverofsuchprovision.12.4HeadingsTheheadingsinthisAgreementareforconvenienceonlyandshallnotaffecttheinterpretationofanyofitsprovisions.13.Signatures13.1Parties'SignaturesThisAgreementshallbeexecutedbothPartiesonthedatefirstabovewritten,andthesignaturesofthePartiesbelowshallbedeemedtheiracceptanceofthetermsandconditionssetforthherein.13.2WitnessSignaturesThisAgreementshallbewitnessed[NumberofWitnesses],whoshallsignbelowtoconfirmtheirpresenceattheexecutionofthisAgreement.14.AttachmentsThefollowingdocumentsareattachedtoandformanintegralpartofthisAgreement:[ListofAttachments]第二部分：第三方介入后的修正1.ThirdPartyInvolvement1.1DefinitionofThirdPartyForthepurposeofthisAgreement,a"ThirdParty"referstoanyentity,individual,ororganizationthatisnotaPartytothisAgreementbutisinvolvedintheperformanceoftheAgreement,suchasconsultants,contractors,suppliers,orintermediaries.1.2TypesofThirdPartyInvolvementTheEmployermayinvolveThirdPartiesinthefollowingcapacities:ToprovideservicesorperformworkonbehalfoftheEmployer.ToassisttheEmployeeinfulfillingtheirjobresponsibilities.TofacilitatethetransactionofbusinessbetweentheEmployerandtheEmployee.2.AdditionalTermsandConditionsforThirdPartyInvolvement2.1ApprovalofThirdPartiesBeforeengagingaThirdParty,theEmployershallobtaintheEmployee'sconsent,unlesstheconsentisdeemedimpliedthenatureoftheworktobeperformed.2.2ThirdPartyContractsTheEmployershallenterintoseparateagreementswithThirdParties,whichshallincludeprovisionsthatprotecttheinterestsoftheEmployerandtheEmployee.2.3IndemnificationThirdPartiesTheEmployershallrequireeachThirdPartytoindemnifytheEmployerandtheEmployeeagainstanyclaims,liabilities,ordamagesarisingoutoftheThirdParty'sperformanceundertheAgreement.3.RightsandResponsibilitiesofThirdParties3.1RightsThirdPartiesshallhavetherighttoreceivepaymentforservicesrenderedinaccordancewiththeircontracts.ThirdPartiesshallhavetherighttoaccessinformationnecessarytoperformtheirdutiesasagreeduponintheircontracts.3.2ResponsibilitiesThirdPartiesshallperformtheirdutieswithduediligenceandinaccordancewiththetermsoftheircontracts.ThirdPartiesshallmaintainconfidentialityofanyinformationobtainedinthecourseoftheirwork.4.LimitationofLiabilityofThirdParties4.1GeneralLimitationTheliabilityofaThirdPartyunderthisAgreementshallbelimitedtotheextentoftheirobligationsassetforthintheircontractswiththeEmployer.4.2IndemnificationLimitationTheindemnificationobligationsofaThirdPartyunderthisAgreementshallbelimitedtotheactualdamagesincurredtheEmployerandtheEmployee,andshallnotincludeanyindirect,special,orconsequentialdamages.4.3InsuranceTheEmployershallrequireeachThirdPartytomaintainappropriateinsurancecoveragetoprotectagainstliabilityarisingoutoftheirperformanceundertheAgreement.5.DivisionofResponsibilitiesBetweenThirdPartiesandPartiestotheAgreement5.1Employer'sResponsibilitiesTheEmployershalloverseetheperformanceofThirdPartiesandensurethattheirworkmeetstherequirementsofthisAgreement.5.2Employee'sResponsibilitiesTheEmployeeshallcooperatewithThirdPartiesandprovideanynecessaryassistancetoensurethesmoothexecutionoftheirduties.5.3ThirdParty'sResponsibilitiesThirdPartiesshallperformtheirworkinaccordancewiththetermsoftheircontractsandtherequirementsofthisAgreement.6.ThirdPartyInvolvementinDisputeResolution6.1DisputeResolutionMechanismIfadisputearisesbetweenaThirdPartyandeithertheEmployerortheEmployee,thedisputeshallberesolvedinaccordancewiththedisputeresolutionprovisionsoftheThirdParty' eEmployershallnotbeliableforanyactoromissionofaThirdPartyunlesssuchactoromissionisattributabletotheEmployer'sbreachofitsobligationsunderthisagreement.17.2InsuranceandIndemnificationTheEmployerandtheEmployeeshallensurethatanyThirdPartyhasappropriateinsurancecoveragetoprotectagainstliabilityarisingfromitsperformanceofservicesunderthisagreement.TheEmployerandtheEmployeeshallindemnifyeachotheragainstanyclaimsordamagesarisingfromtheactsoromissionsofaThirdParty,totheextentnotcoveredinsurance.18.ThirdPartyAgreement18.1SeparateAgreementTheEmployerandtheEmployeemayenterintoaseparateagreementwithaThirdPartyfortheprovisionofspecificservices.SuchagreementshallbeindependentofthisagreementandshallnotaffecttheobligationsoftheEmployerandtheEmployeeunderthisagreement.18.2IntegrationwithMainAgreementAnyseparateagreementwithaThirdPartyshallbedeemedtobeincorporatedintothisagreementtotheextentthatitdoesnotconflictwiththetermsofthisagreement.19.TerminationofThirdPartyInvolvement19.1Employ
