sivepropertyoftheEmployer.9.2UseofIntellectualPropertyTheEmployeegrantstheEmployeraperpetual,worldwide,royaltyfree,andnonexclusivelicensetouse,reproduce,modify,distribute,andpubliclydisplayanyintellectualpropertycreatedtheEmployeeinthecourseofemployment.9.3InventionandDisclosureTheEmployeeagreestodisclosetotheEmployeranyinventionsmadeduringthecourseofemploymentandtoassignallrights,,andinterestinsuchinventionstotheEmployer.10.EmployeeRecordsandPrivacy10.1MaintenanceofEmployeeRecordsTheEmployershallmaintaintheEmployee'spersonnelrecordsandkeepthemconfidentialinaccordancewithapplicablelawsandregulations.10.2AccesstoEmployeeRecordsTheEmployeeshallhavetherighttoinspectandcopytheirpersonnelrecordsuponreasonablenoticeandduringnormalworkinghours.10.3PrivacyandConfidentialityTheEmployeragreestoprotecttheEmployee'spersonalinformationandtonotdisclosesuchinformationtoanyunauthorizedthirdpartywithouttheEmployee'sconsent.11.DisputeResolution11.1GoverningLawThisAgreementshallbegovernedandconstruedinaccordancewiththelawsof[Jurisdiction].11.2ArbitrationAnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedarbitrationinaccordancewiththerulesof[ArbitrationInstitution].11.3Litigation12.MiscellaneousProvisions12.1EntireAgreementThisAgreementconstitutestheentireagreementbetweenthePartiesandsupersedesallprioragreements,understandings,orrepresentations,whetherwrittenororal.12.2ModificationsAnymodificationoramendmenttothisAgreementshallbebindingonlyifitisinwritingandsignedbothParties.12.3WaiverThefailureofeitherPartytoenforceanyprovisionofthisAgreementshallnotbedeemedawaiverofsuchprovision.12.4HeadingsTheheadingsinthisAgreementareforconvenienceonlyandshallnotaffecttheinterpretationofanyofitsprovisions.13.Signatures13.1Parties'SignaturesThisAgreementshallbeexecutedbothPartiesonthedatefirstabovewritten,andthesignaturesofthePartiesbelowshallbedeemedtheiracceptanceofthetermsandconditionssetforthherein.13.2WitnessSignaturesThisAgreementshallbewitnessed[NumberofWitnesses],whoshallsignbelowtoconfirmtheirpresenceattheexecutionofthisAgreement.14.AttachmentsThefollowingdocumentsareattachedtoandformanintegralpartofthisAgreement:[ListofAttachments]第二部分:第三方介入后的修正1.ThirdPartyInvolvement1.1DefinitionofThirdPartyForthepurposeofthisAgreement,a"ThirdParty"referstoanyentity,individual,ororganizationthatisnotaPartytothisAgreementbutisinvolvedintheperformanceoftheAgreement,suchasconsultants,contractors,suppliers,orintermediaries.1.2TypesofThirdPartyInvolvementTheEmployermayinvolveThirdPartiesinthefollowingcapacities:ToprovideservicesorperformworkonbehalfoftheEmployer.ToassisttheEmployeeinfulfillingtheirjobresponsibilities.TofacilitatethetransactionofbusinessbetweentheEmployerandtheEmployee.2.AdditionalTermsandConditionsforThirdPartyInvolvement2.1ApprovalofThirdPartiesBeforeengagingaThirdParty,theEmployershallobtaintheEmployee'sconsent,unlesstheconsentisdeemedimpliedthenatureoftheworktobeperformed.2.2ThirdPartyContractsTheEmployershallenterintoseparateagreementswithThirdParties,whichshallincludeprovisionsthatprotecttheinterestsoftheEmployerandtheEmployee.2.3IndemnificationThirdPartiesTheEmployershallrequireeachThirdPartytoindemnifytheEmployerandtheEmployeeagainstanyclaims,liabilities,ordamagesarisingoutoftheThirdParty'sperformanceundertheAgreement.3.RightsandResponsibilitiesofThirdParties3.1RightsThirdPartiesshallhavetherighttoreceivepaymentforservicesrenderedinaccordancewiththeircontracts.ThirdPartiesshallhavetherighttoaccessinformationnecessarytoperformtheirdutiesasagreeduponintheircontracts.3.2ResponsibilitiesThirdPartiesshallperformtheirdutieswithduediligenceandinaccordancewiththetermsoftheircontracts.ThirdPartiesshallmaintainconfidentialityofanyinformationobtainedinthecourseoftheirwork.4.LimitationofLiabilityofThirdParties4.1GeneralLimitationTheliabilityofaThirdPartyunderthisAgreementshallbelimitedtotheextentoftheirobligationsassetforthintheircontractswiththeEmployer.4.2IndemnificationLimitationTheindemnificationobligationsofaThirdPartyunderthisAgreementshallbelimitedtotheactualdamagesincurredtheEmployerandtheEmployee,andshallnotincludeanyindirect,special,orconsequentialdamages.4.3InsuranceTheEmployershallrequireeachThirdPartytomaintainappropriateinsurancecoveragetoprotectagainstliabilityarisingoutoftheirperformanceundertheAgreement.5.DivisionofResponsibilitiesBetweenThirdPartiesandPartiestotheAgreement5.1Employer'sResponsibilitiesTheEmployershalloverseetheperformanceofThirdPartiesandensurethattheirworkmeetstherequirementsofthisAgreement.5.2Employee'sResponsibilitiesTheEmployeeshallcooperatewithThirdPartiesandprovideanynecessaryassistancetoensurethesmoothexecutionoftheirduties.5.3ThirdParty'sResponsibilitiesThirdPartiesshallperformtheirworkinaccordancewiththetermsoftheircontractsandtherequirementsofthisAgreement.6.ThirdPartyInvolvementinDisputeResolution6.1DisputeResolutionMechanismIfadisputearisesbetweenaThirdPartyandeithertheEmployerortheEmployee,thedisputeshallberesolvedinaccordancewiththedisputeresolutionprovisionsoftheThirdParty' r40inaworkweek.4.3WorkDaysandHours5.CompensationandBenefits5.1SalaryTheemployee'ssalarywillbe$30,000peryear,paidin12equalmonthlyinstallments.5.2PaymentFrequencySalarywillbepaidonthelastworkingdayofeachmonth.5.3Bonuses5.4BenefitsTheemployeewillbeendtothefollowingbenefits:HealthinsuranceLifeinsurancePaidtimeoff(PTO)includingvacation,sickleave,andpersonaldays6.PerformanceEvaluation6.1EvaluationCriteriaTheemployee'sperformancewillbeevaluatedbasedonthejobdutiesandresponsibilitiesoutlinedinthisagreement.6.2EvaluationProcessPerformanceevaluationswillbeconductedannually,withthefirstevaluationtakingplacewithinthefirstsixmonthsofemployment.6.3PerformanceImprovementPlanIntheeventofunsatisfactoryperformance,theemployerwillprovidetheemployeewithawrittenperformanceimprovementplanoutliningthenecessarystepstoimproveperformance.7.HealthandSafety7.1Employer'sResponsibilityTheemployershallprovideasafeworkingenvironmentfortheemployeeinaccordancewithallapplicablelawsandregulations.7.2Employee'sResponsibility7.3SafetyTrainingandEquipmentTheemployershallprovidetheemployeewithappropriatesafetytrainingandequipmentnecessarytoperformthejobsafely.8.ConfidentialityandNonCompeteClause8.1ConfidentialInformationTheemployeeagreestokeepconfidentialallconfidentialinformationoftheemployer,includingbutnotlimitedtotradesecrets,customerlists,businessstrategies,andfinancialdata.8.2NonCompeteAgreement8.3ExclusionsfromNonCompete9.TerminationofEmployment9.1NoticePeriodTheemployeemustprovidetheemployerwithawrittennoticeofterminationatleast30dayspriortothedesiredlastworkingday.9.2TerminationforCauseTheemployermayterminatetheemploymentimmediatelyforcause,includingbutnotlimitedto:MisconductBreachofconfidentiality9.3TerminationwithoutCauseTheemployermayterminatetheemploymentwithoutcause,subjecttoprovidingtheemployeewithatleast30days'noticeorpayinlieuofnotice.9.4SeverancePayIntheeventofterminationwithoutcause,theemployeewillbeendtoreceiveseverancepayequivalenttoonemonth'ssalaryforeachyearofservice,uptoamaximumofsixmonths'salary.10.GoverningLawandDisputeResolution10.1GoverningLawThisagreementshallbegovernedandconstruedinaccordancewiththelawsoftheCountry.10.2DisputeResolutionMechanismAnydisputesarisingoutoforinconnectionwiththisagreementshallberesolvedthroughmediation,failingwhichtheyshallbesubmittedtoarbitrationinaccordancewiththerulesoftheArbitrationInstituteoftheCountry.11.ChangestotheAgreement11.1ModificationProcessAnymodificationtothisagreementmustbeinwritingandsignedbothparties.11.2ApprovalofModificationsAllmodificationstothisagreementmustbeapprovedtheemployer'sHRdepartmentandtheemployee.12.EntireAgreement12.1AgreementasEntireThisagreementconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,understandings,orrepresentations,whetherwrittenororal.12.2PreviousAgreementsRepealedAllpreviousagreements,understandings,orrepresentationsbetweentheparties,whetherwrittenororal,arehererepealed.13.Signatures13.1Employer'sSignature[Employer'sSignature]Date:______________________13.2Employee'sSignature[Employee'sSignature]Date:______________________14.Attachments14.1Appendices14.2SupportingDocumentsAnysupportingdocumentsreferencedinthisagreementshallbedeemedpartofthisagreement.第二部分:第三方介入后的修正15.ThirdPartyInvolvement15.1DefinitionofThirdPartyForthepurposeofthisagreement,a"ThirdParty"shallrefertoanyindividual,entity,ororganizationotherthantheEmployerandtheEmployee,whichisengagedinprovidingservices,consulting,oractingasanintermediaryinrelationtotheperformanceofthisagreement.15.2TypesofThirdPartyInvolvementTheEmployermayinvolveThirdPartiesforvariouspurposes,includingbutnotlimitedto:RecruitmentandplacementservicesProfessionalconsultingTraininganddevelopmentLegalandfinancialadvisoryTechnicalandmaintenanceservices15.3SelectionofThirdPartyTheEmployershallselectaThirdPartythatisqualified,experienced,andreputable.TheEmployershallensurethattheThirdPartyiscapableofperformingitsobligationsunderthisagreement.15.4NotificationofThirdPartyInvolvementTheEmployershallnotifytheEmployeeinwritingofanyThirdPartyinvolvementthatisdirectlyrelatedtotheEmployee'spositionortheperformanceoftheagreement.ThenotificationshallincludethenatureoftheservicestobeprovidedtheThirdParty.16.AdditionalTermsandConditionsforThirdPartyInvolvement16.1AdditionalTermsforEmployerTheEmployeragreestoensurethatanyThirdPartyisboundthetermsofthisagreementtotheextentnecessarytoprotecttheinterestsoftheEmployee.TheEmployershallberesponsiblefortheactsandomissionsoftheThirdPartyintheperformanceofitsobligationsunderthisagreement.16.2AdditionalTermsforEmployeeTheEmployeeacknowledgesthattheinvolvementofaThirdPartydoesnotaltertheEmployee'sobligationsunderthisagreement.TheEmployeeagreestocooperatewiththeThirdPartytotheextentnecessaryfortheperformanceoftheagreement.17.ThirdPartyResponsibilityLimitation17.1LimitationofLiabilityTheliabilityofaThirdPartyforanyactoromissioninconnectionwiththeperformanceofthisagreementshallbelimitedtothescopeofitsservicesasdefinedintheagreementbetweentheEmployerandtheThirdParty.TheEmployershallnotbeliableforanyactoromissionofaThirdPartyunlesssuchactoromissionisattributabletotheEmployer'sbreachofitsobligationsunderthisagreement.17.2InsuranceandIndemnificationTheEmployerandtheEmployeeshallensurethatanyThirdPartyhasappropriateinsurancecoveragetoprotectagainstliabilityarisingfromitsperformanceofservicesunderthisagreement.TheEmployerandtheEmployeeshallindemnifyeachotheragainstanyclaimsordamagesarisingfromtheactsoromissionsofaThirdParty,totheextentnotcoveredinsurance.18.ThirdPartyAgreement18.1SeparateAgreementTheEmployerandtheEmployeemayenterintoaseparateagreementwithaThirdPartyfortheprovisionofspecificservices.SuchagreementshallbeindependentofthisagreementandshallnotaffecttheobligationsoftheEmployerandtheEmployeeunderthisagreement.18.2IntegrationwithMainAgreementAnyseparateagreementwithaThirdPartyshallbedeemedtobeincorporatedintothisagreementtotheextentthatitdoesnotconflictwiththetermsofthisagreement.19.TerminationofThirdPartyInvolvement19.1Employ
