購(gòu)銷合同補(bǔ)充協(xié)議英文版?ThisSupplementaryAgreementtothePurchaseandSaleContract(hereinafterreferredtoasthe"Agreement")ismadeandenteredintoasof[date]byandbetweenthefollowingparties:PartyA:Name:[CompanyNameofPartyA]RegisteredAddress:[RegisteredAddressofPartyA]LegalRepresentative:[NameofLegalRepresentativeofPartyA]ContactInformation:[ContactDetailsofPartyA]PartyB:Name:[CompanyNameofPartyB]RegisteredAddress:[RegisteredAddressofPartyB]LegalRepresentative:[NameofLegalRepresentativeofPartyB]ContactInformation:[ContactDetailsofPartyB]I.SubjectMatterorServiceDescriptionA.Goods1.DescriptionofGoodsThegoodssubjecttothisAgreementshallbe[detaileddescriptionofthegoods,includingbutnotlimitedtoproductname,model,specifications,quantity,qualitystandards,etc.].Forexample,ifthegoodsareelectronicponents,itshallspecifythebrand,type,pincount,voltagetolerance,andotherrelevanttechnicalparametersoftheponents.2.PackagingRequirementsThegoodsshallbepackagedinamannerthatensurestheirsafetransportationandprotectionduringtransit.Thepackagingmaterialsandmethodsshallplywiththerelevantnationalstandardsandindustrypractices.PartyAshallberesponsibleforproperlypackagingthegoodsinaccordancewiththeagreeduponpackagingrequirements.Incaseofanydamagetothegoodscausedbyimproperpackaging,PartyAshallbearthecorrespondingliability.B.Services1.ScopeofServicesPartyBshallprovide[descriptionoftheservices,suchasconsultingservices,installationservices,maintenanceservices,etc.].Ifitisconsultingservices,itshalldetailthespecificconsultingareas,theexpecteddeliverables,andthefrequencyofmunication.Forinstallationservices,itshallincludethelocationofinstallation,thetechnicalrequirementsforinstallation,andthetimelimitforpletion.2.ServiceStandardsPartyBshallperformtheservicesinaccordancewiththehighestindustrystandardsandprofessionalethics.TheservicequalityshallmeetorexceedtheexpectationsofPartyA.PartyBshallberesponsibleforensuringthattheservicesareprovidedinatimely,efficient,andsatisfactorymanner.AnydeficienciesornonpliancewiththeservicestandardsshallbecorrectedbyPartyBatitsownexpensewithintheshortestpossibletime.II.RightsandObligationsofthePartiesA.RightsofPartyA1.InspectionRightPartyAhastherighttoinspectthegoodsorservicesprovidedbyPartyBupondeliveryorduringtheperformanceoftheservices.PartyAmayinspectthequantity,quality,specifications,andotheraspectsofthegoodsorservicestoensurethattheyconformtotherequirementsofthisAgreement.Ifanynonconformitiesarefound,PartyAhastherighttorequestPartyBtomakecorrectionsorreplacementsinatimelymanner.2.RighttoRequireCompliancePartyAhastherighttorequirePartyBtostrictlyplywiththetermsandconditionsofthisAgreement.PartyAmaymonitorPartyB'sperformanceanddemandthatPartyBfulfillitsobligationsinaccordancewiththeagreedupontimelimits,qualitystandards,andotherrequirements.IfPartyBfailstoply,PartyAhastherighttotakecorrespondingmeasuresasprovidedinthisAgreement,includingbutnotlimitedtoclaimingdamagesandterminatingtheAgreement.B.RightsofPartyB1.PaymentRightPartyBhastherighttoreceivepaymentfromPartyAinaccordancewiththepaymenttermsagreeduponinthisAgreement.PartyBshallbeentitledtorequestPartyAtomakepaymentwithinthespecifiedtimelimit.IfPartyAfailstomakepaymentontime,PartyBhastherighttoclaiminterestandotherlossesinaccordancewiththelaw.2.RighttoDefendAgainstUnreasonableDemandsPartyBhastherighttodefendagainstanyunreasonabledemandsmadebyPartyA.IfPartyA'srequestsareinconsistentwiththeprovisionsofthisAgreementorviolatethelaw,PartyBmayrefusetoplyandshallhavetherighttoseeklegalremediestoprotectitslegitimaterightsandinterests.C.ObligationsofPartyA1.PaymentObligationPartyAshallpaythepurchasepriceorservicefeestoPartyBinaccordancewiththepaymenttermsspecifiedinthisAgreement.PartyAshallmakethepaymentinfullandontime.Incaseofanydelayinpayment,PartyAshallbearthecorrespondingliability,includingbutnotlimitedtopayingoverdueinterestandpensatingPartyBforanylossescausedthereby.2.CooperationObligationPartyAshallcooperatewithPartyBtofacilitatetheperformanceofthisAgreement.PartyAshallprovidePartyBwiththenecessaryinformation,documents,andassistanceinatimelymanner.Forexample,ifPartyBneedsPartyA'sapprovalorsignatureforcertainmattersrelatedtothegoodsorservices,PartyAshallrespondpromptlytoavoiddelayingtheprogressoftheAgreement.D.ObligationsofPartyB1.DeliveryandPerformanceObligationPartyBshalldeliverthegoodstotheagreedupondeliverylocationwithinthespecifiedtimelimitandinaccordancewiththeagreeduponqualitystandards.Inthecaseofservices,PartyBshallperformtheserviceswithduediligenceandprofessionalism,ensuringthattheservicesarepletedtothesatisfactionofPartyA.PartyBshallberesponsibleforanylossesordamagescausedbyitsfailuretodeliverthegoodsorperformtheservicesasagreed.2.WarrantyObligationPartyBshallprovidewarrantiesforthegoodsorservicesprovided.Thewarrantiesshallcoverdefectsinmaterialsandworkmanshipforacertainperiodoftimeafterdeliveryorpletionoftheservices.Duringthewarrantyperiod,PartyBshallberesponsibleforrepairing,replacing,orpensatingforanydefectivegoodsorservicesfreeofcharge.PartyBshallalsoberesponsibleforprovidingaftersalestechnicalsupportandassistanceasrequiredbyPartyA.III.BreachandLiabilityA.BreachbyPartyA1.ConsequencesofBreachIfPartyAfailstopaythepurchasepriceorservicefeesontime,PartyAshallpayoverdueinterestattherateof[x]%perannumontheoverdueamount.Inaddition,PartyAshallpensatePartyBforanylossescausedbythedelayinpayment,includingbutnotlimitedtodirectlosses,indirectlosses,andadditionalcostsincurredbyPartyBduetothedelay.IfPartyAunilaterallyterminatesthisAgreementwithoutjustifiablereasons,PartyAshallpayPartyBliquidateddamagesequivalentto[x]%ofthetotalcontractamount.PartyAshallalsoberesponsibleforpensatingPartyBforalllossessufferedasaresultoftheprematureterminationoftheAgreement,includingbutnotlimitedtoproductionstoppages,inventorylosses,andlostprofits.2.RemediesforPartyBIncaseofPartyA'sbreach,PartyBhastherighttotakethefollowingremedies:DemandthatPartyAmaketheoverduepaymentimmediatelyandpaytheoverdueinterest;TerminatethisAgreementinaccordancewiththelawandclaimliquidateddamagesandpensationforlosses;Seeklegalremediesthroughlitigationorarbitrationtoprotectitslegitimaterightsandinterests.B.BreachbyPartyB1.ConsequencesofBreachIfPartyBfailstodeliverthegoodsorperformtheserviceswithinthespecifiedtimelimit,PartyBshallpayliquidateddamagesequivalentto[x]%ofthetotalcontractamountforeachdayofdelay.Inaddition,PartyBshallberesponsibleforpensatingPartyAforalllossescausedbythedelay,includingbutnotlimitedtoproductionstoppages,inventoryshortages,andlostprofits.IfthegoodsorservicesprovidedbyPartyBdonotmeetthequalitystandardsagreeduponinthisAgreement,PartyBshallberesponsibleforreplacingthedefectivegoodsorreperformingtheservicesfreeofchargewithintheshortestpossibletime.Ifthenonconformitycannotbecured,PartyBshallrefundthecorrespondingpartofthepurchasepriceorservicefeestoPartyAandpensatePartyAforalllossessufferedasaresult.2.RemediesforPartyAIncaseofPartyB'sbreach,PartyAhastherighttotakethefollowingremedies:RequirePartyBtodeliverthegoodsorperformtheserviceswithinthespecifiedtimelimitandpayliquidateddamagesforthedelay;RefusetoacceptthenonconforminggoodsorservicesanddemandthatPartyBreplaceorreperformthem;TerminatethisAgreementinaccordancewiththelawandclaimliquidateddamagesandpensationforlosses;Seeklegalremediesthroughlitigationorarbitrationtoprotectitslegitimaterightsandinterests.IV.DisputeResolutionA.NegotiationIncaseofanydisputesarisingoutoforinconnectionwiththisAgreement,thepartiesshallfirstattempttoresolvethedisputesthroughfriendlynegotiation.Thepartiesshallappointrepresentativestoholddiscussionsandseekamutuallyacceptablesolutionwithin[x]daysaftertheoccurrenceofthedispute.B.ArbitrationIfthepartiesfailtoresolvethedisputesthroughnegotiationwithinthespecifiedtimelimit,eitherpartymaysubmitthedisputesto[nameofthearbitrationinstitution]forarbitrationinaccordancewithitsarbitrationrules.Thearbitrationawardshallbefinalandbindingonbothparties.C.LitigationInadditiontoarbitration,eitherpartyalsohastherighttofilealawsuitinthepetentpeople'scourtinaccordancewiththelawifitbelievesthatarbitrationisnotsuitableorifthearbitrationawardisnotenforceable.V.MiscellaneousProvisionsA.EntireAgreementThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreementsandunderstandings,oralorwritten,relatingtothesame.B.AmendmentsandSupplementsNoamendment,supplement,ormodificationtothisAgreementshallbeeffectiveunlessitismadeinwritingandsignedbybothparties.C.SeverabilityIfanyprovisionofthisAgreementisheldtobeinvalid,illegal,orunenforceable,thevalidity,legality,andenforceabilityoftheremainingprovisionsshallinnow
