保密協(xié)議英文(2025版)ThisConfidentialityAgreement("Agreement")isenteredintoasof___________(Date),andbetweenthefollowingparties:PartyA:[FullLegalNameofPartyA][Address][City,State,ZipCode][Country]PartyB:[FullLegalNameofPartyB][Address][City,State,ZipCode][Country]RECITALS:WHEREAS,PartyAandPartyB(collectively,the"Parties")haveenteredintoabusinessrelationshipand,inconnectiontherewith,maysharecertainconfidentialinformation("ConfidentialInformation");WHEREAS,thePartiesdesiretoestablishtermsandconditionsfortheprotectionoftheConfidentialInformation;NOW,THEREFORE,inconsiderationofthemutualcovenantsandpromisescontainedherein,thePartiesagreeasfollows:1.DEFINITIONSForpurposesofthisAgreement,thefollowingtermsshallhavethemeaningssetforthbelow:(b)"ReceivingParty"meansthePartyreceivingConfidentialInformationfromtheDisclosingParty.(c)"DisclosingParty"meansthePartydisclosingConfidentialInformationtotheReceivingParty.2.OBLIGATIONS(a)TheReceivingPartyshallholdtheConfidentialInformationinstrictconfidenceandshallnotusetheConfidentialInformationforanypurposeotherthantheperformanceofitsobligationsunderthisAgreement.(b)TheReceivingPartyshallonlydisclosetheConfidentialInformationtoitsemployees,agents,consultants,orotherrepresentatives("Representatives")whohaveaneedtoknowsuchinformationforthepurposesofthisAgreementandwhoareboundconfidentialityobligationsatleastasrestrictiveasthosecontainedherein.(d)TheReceivingPartyshallnotreproduce,modify,ordistributetheConfidentialInformationinanymannerwithoutthepriorwrittenconsentoftheDisclosingParty.3.EXCLUSIONSTheobligationsofconfidentialityunderthisAgreementshallnotapplytoinformationwhich:(a)waspubliclyknownandmadegenerallyavailableinthepublicdomainpriortothetimeofdisclosuretheDisclosingParty;(c)isalreadyinthepossessionoftheReceivingPartyatthetimeofdisclosure;(d)isindependentlydevelopedtheReceivingPartywithoutuseoforreferencetotheDisclosingParty'sConfidentialInformation;(e)isobtainedtheReceivingPartyfromathirdpartywithoutabreachofsuchthirdparty'sobligationsofconfidentiality;or(f)isrequiredtobedisclosedlaw,regulation,orcourtorder,providedthattheReceivingPartygivestheDisclosingPartypromptwrittennoticeofsuchrequirementandassistance,attheDisclosingParty'srequestandexpense,inseekinganappropriateprotectiveorder.4.DURATIONTheobligationsofconfidentialityunderthisAgreementshallremainineffectforaperiodof___________(NumberofYears)followingtheterminationorexpirationofthisAgreement.5.RETURNOFCONFIDENTIALINFORMATIONUpontheterminationorexpirationofthisAgreement,orupontheDisclosingParty'swrittenrequest,theReceivingPartyshallpromptlyreturnallcopiesoftheConfidentialInformationtotheDisclosingPartyorcertify,ifrequested,thedestructionofthesame.6.TERMINATIONThisAgreementmaybeterminatedeitherPartyuponwrittennoticetotheotherPartyiftheotherPartybreachesanymaterialtermorconditionofthisAgreementandfailstocuresuchbreachwithinthirty(30)daysafterreceiptofwrittennoticethereof.7.GENERALPROVISIONS(a)ThisAgreementconstitutestheentireagreementbetweenthePartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,negotiations,understandings,anddiscussions,whetherwrittenororal,oftheParties.(b)ThisAgreementmaybeamendedonlyawrittenagreementexecutedbothParties.(c)IfanyprovisionofthisAgreementisheldtobeinvalidorunenforceableforanyreason,theremainingprovisionsshallcontinuetobevalidandenforceable.(d)ThisAgreementshallbegovernedandconstruedinaccordancewiththelawsofthe___________(Jurisdiction).(e)AnydisputearisingoutoforinconnectionwiththisAgreementshallberesolvedthroughbindingarbitrationinaccordancewiththerulesofthe___________(ArbitrationAssociation).(f)ThisAgreementmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.INWITNESSWHEREOF,thePartieshaveexecutedthisConfidentialityAgreementasofthedatefirstabovewritten._________________________[SignatureofPartyARepresentative]_________________________[PrintedNameofPartyARepresentative]_________________________[TitleofPartyARepresentative]_________________________[DateofExecu
