ThisAssignmentAgreement(the"Agreement")ismadeandenteredintoasof[date]byandbetween[assignorname],a[assignorentitytype]organizedandexistingunderthelawsof[assignorjurisdiction](the"Assignor"),and[assigneename],a[assigneeentitytype]organizedandexistingunderthelawsof[assigneejurisdiction](the"Assignee").

WHEREAS,theAssignordesirestoassigncertainrightsandinterests(the"SubjectMatter")totheAssignee;and

WHEREAS,theAssigneedesirestoacceptsuchassignment.

NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,andforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhichareherebyacknowledged,thepartiesheretoagreeasfollows:

1.Assignment

TheAssignorherebyassigns,transfers,andconveystotheAssigneeallofitsright,title,andinterestinandtotheSubjectMatter,freeandclearofallliens,encumbrances,andotherrestrictions.

2.RepresentationsandWarranties

TheAssignorrepresentsandwarrantstotheAssigneethat:

(a)TheAssignorhasthelegalrightandauthoritytoassigntheSubjectMatter;

(b)TheSubjectMatterisfreefromanyliens,encumbrances,orotherrestrictions;

(c)TothebestoftheAssignor'sknowledge,therearenoactions,suits,orproceedingspendingorthreatenedagainsttheSubjectMatter.

TheAssigneerepresentsandwarrantstotheAssignorthat:

(a)TheAssigneehasthelegalrightandauthoritytoaccepttheassignmentoftheSubjectMatter;

(b)TheAssigneewillpayallamountsdueinconnectionwiththeassignmentasprovidedherein.

3.Consideration

InconsiderationfortheassignmentoftheSubjectMatter,theAssigneeshallpaytotheAssignorthesumof[amount](the"Consideration")intheformof[paymentmethod]within[numberofdays]daysaftertheexecutionofthisAgreement.

4.FurtherAssurances

EachpartyshallexecuteanddeliversuchfurtherinstrumentsanddocumentsandtakesuchotheractionsasmaybereasonablyrequestedbytheotherpartytoeffectuatetheassignmentoftheSubjectMatter.

5.GoverningLaw

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[governingjurisdiction].

6.EntireAgreement

ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreementsandunderstandings,oralorwritten,relatingtothesame.

INWITNESSWHEREOF,thepartieshaveexecutedthisAssignmentAgreementasofthedatefirstabovewritten.
