公司股票期權(quán)激勵(lì)方案英文版EffectiveDate:[InsertDate]1.DefinitionsForthepurposesofthisPlan,thefollowingtermsshallhavethemeaningssetforthbelow:IncentiveRecipients:EmployeeswhomeetthecriteriasetforthinthisPlanandareapprovedtoparticipateinthePlan.GrantDate:ThedateonwhichtheBoardofDirectorsapprovesthegrantofStockOptionstoanIncentiveRecipient.2.PurposeThepurposeofthisPlanisto:DrivePerformance:Motivateemployeestofocusonlong-termvaluecreation(e.g.,revenuegrowth,technologicalinnovation)ratherthanshort-termgains.3.ScopeofApplication3.1EligibleEmployeesMaintainaminimumannualperformanceratingof“Good”(B級(jí))intheprioryear.3.2ExclusionsThefollowingemployeesareineligibletoparticipate:Probationary,part-time,ortemporarystaff;4.DeterminationofIncentiveRecipients4.1SelectionCriteriaPerformance:Consistentachievementofindividualandteamtargets(e.g.,“Excellent”(A級(jí))performersmayreceivea20%upliftingrantquantity).4.2SelectionProcess4.BoardApproval:ThefinallistofIncentiveRecipientsisapprovedbytheBoardofDirectors.5.GrantofStockOptions5.1GrantQuantityPositionLevelGrantRange(Shares)SeniorManagement3,000–5,000MiddleManagement1,000–3,000CoreEmployees500–1,0005.2GrantPrice5.3GrantTimingStockOptionsaregrantedannually(typicallyinthefourthquarter).TheGrantDateisthedateonwhichtheBoardapprovesthegrant.5.4GrantNotificationNumberofStockOptionsgranted;ExercisePrice;VestingPeriodandschedule;ExercisePeriod;TermsandconditionsofthePlan.TheRecipientmustsignandreturntheNoticewithin30daystoconfirmacceptance.6.VestingandExerciseConditions6.1VestingConditionsStockOptionsvestonlyifbothofthefollowingconditionsaremet:6.2ExercisePeriod6.3ExerciseProcess1.Application:TheRecipientsubmitsawrittenExerciseApplicationtoHR,specifyingthenumberofoptionstoexercise.3.Payment:TheRecipientpaystheExercisePriceinfullwithin10businessdaysofapproval(paymentmethods:cash,banktransfer,orpayrolldeduction).6.4ExerciseRestrictionsLock-UpPeriod:Exercisedsharesaresubjecttoa6-monthlock-upfromthedateofexercise,duringwhichtheRecipientmaynotsellortransfertheshares.7.AdministrationFormulatingandrevisingthePlan;ApprovingIncentiveRecipients,grantquantities,andExercisePrices;ReviewingandapprovingExerciseApplications;AdjustingthePlanforcorporateevents(e.g.,mergers,stocksplits);InterpretingthePlanandresolvingdisputes.7.2Record-KeepingStockOptiongrants,vesting,andexercises;Performancetargetsandachievement;Paymentsandtaxwithholdings.7.3Third-PartyAdministrationStockregistrationandtransfer;Exerciseprocessing;Taxwithholdingandreporting;8.AdjustmentsandTermination8.1AdjustmentstoStockOptionsStockSplit/Dividend:Stocksplitsorbonusissuesthataffectshareprice(e.g.,reducingtheExercisePriceproportionally).8.2TerminationofEmploymentThetreatmentofStockOptionsuponterminationdependsonthereasonfordeparture:TerminationReasonUnvestedOptionsVestedOptions**VoluntaryResignation**ForfeitedExercisablewithin1monthofdeparture**Involuntary(ForCause)**ForfeitedForfeitedimmediately**Involuntary(WithoutCause)**Pro-ratavesting(basedonservice)Exercisablewithin3monthsofdeparture**Retirement**FullyvestedExercisableuntilexpiration**Death/Disability**FullyvestedHeirsmayexercisewithin6months8.3TerminationofthePlanTheBoardmayterminatethePlanatanytime,subjecttoshareholderapproval.Ifterminated:Unvestedoptionsareforfeited;Vestedoptionsmaybeexercisedwithin6monthsoftermination.9.LegalProvisions9.1ApplicableLawThisPlanisgovernedbythelawsofthePeople’sRepublicofChina,including:SecuritiesLawofthePRC;9.2TaxObligations9.3DisputeResolutionDisputesarisingfromthisPlanshallberesolvedthrough:10.Miscellaneous10.1AmendmentandInterpretationAmendment:TheBoardmayamendthePlan(e.g.,adjustgrantranges,performancetargets)subjecttoshareholderapproval.10.2EffectivePeriodThisPlaniseffectivefor5yearsfromthedateofshareholderapproval.TheBoardmayextendtheperioduponshareholderapp
