Hereinafter,PartyAandPartyBshallbecollectivelyreferredtoasthe"Parties"andindividuallyasa"Party".

RECITALS

PartyAisengagedinthebusinessof[describePartyA'sbusinessrelatedtotextilefabric,e.g.,clothingmanufacturing],andPartyBisaprofessionalmanufacturerandsupplieroftextilefabrics.PartyAdesirestopurchasetextilefabricsfromPartyB,andPartyBagreestosupplythetextilefabricstoPartyAinaccordancewiththetermsandconditionsofthisContract.

SCOPEOFSUPPLY

1.DescriptionofTextileFabrics

PartyBshallsupplyPartyAwiththefollowingtextilefabrics(the"Goods"):

FabricType1:[Detaileddescriptionoffabrictype1,includingfibercontent(e.g.,100%cotton,50%polyester50%cotton),weave(e.g.,plainweave,twillweave),color(e.g.,navyblue),width(e.g.,150cm),andanyotherrelevantcharacteristics].

FabricType2:[Samedetaileddescriptionasaboveforfabrictype2].

[Iftherearemorefabrictypes,listthemaccordingly].

2.Quantity

Thequantityofeachtypeoffabrictobesuppliedisasfollows:

FabricType1:[X]meters/kilograms/rolls(specifytheappropriateunit).

FabricType2:[Y]meters/kilograms/rolls.

[Listquantitiesforotherfabrictypes].

PartyAmay,within[X]daysbeforethescheduleddeliverydate,adjustthequantityoftheGoodsbyupto[X]%(the"QuantityAdjustmentLimit").PartyBshalluseitsbesteffortstoaccommodatesuchquantityadjustments.

PRICEANDPAYMENT

1.Price

Thepriceforeachtypeoffabricisasfollows:

FabricType1:[Priceperunit(e.g.,permeter,perkilogram)]in[currency].

FabricType2:[Priceperunit]in[currency].

[Listpricesforotherfabrictypes].

ThetotalpriceforalltheGoodsshallbe[Totalamount]in[currency],whichiscalculatedbasedonthequantityandunitpriceofeachtypeoffabric.

2.PaymentTerms

PartyAshallmakethefollowingpaymentstoPartyB:

Deposit:PartyAshallpayadepositof[X]%ofthetotalprice,i.e.,[Depositamount]in[currency],within[X]daysafterthesigningofthisContract.

ProgressPayment(ifapplicable):IftheproductionoftheGoodsrequiresmultiplestages,PartyAshallpay[X]%ofthetotalprice,i.e.,[Progresspaymentamount]in[currency],uponthecompletionofacertainproductionstageasagreedbytheParties.

FinalPayment:PartyAshallpaytheremainingbalanceof[Remainingamount]in[currency]within[X]daysafterthereceiptandacceptanceoftheGoods.

PartyAshallmakeallpaymentsby[Paymentmethod,e.g.,banktransfer,letterofcredit].PartyBshallprovidePartyAwithvalidinvoicesforeachpayment.

DELIVERY

1.DeliveryDate

PartyBshalldelivertheGoodstoPartyAonorbefore[Deliverydate].IfPartyBanticipatesanydelayindelivery,itshallnotifyPartyAinwritingatleast[X]daysinadvance,statingtheexpecteddelayperiodandthereasonsforthedelay.

2.DeliveryPlace

Thedeliveryplaceshallbe[Addressofdeliveryplace].PartyBshallberesponsibleforalltransportationcostsandrisksuntiltheGoodsaredeliveredtothedeliveryplaceandacceptedbyPartyA.

3.DeliveryDocuments

PartyBshallprovidePartyAwiththefollowingdeliverydocumentsalongwiththeGoods:

Adetailedpackinglistindicatingthetype,quantity,andweightofeachpackageoftheGoods.

Acertificateofqualityissuedbyarecognizedthirdpartytestingagency(ifrequiredbyPartyA).

AnyotherdocumentsrequiredbyPartyAorrelevantlawsandregulations.

INSPECTIONANDACCEPTANCE

1.InspectionRight

PartyAhastherighttoinspecttheGoodsuponreceipt.PartyAshallconductapreliminaryinspectionoftheGoodswithin[X]daysafterthedelivery.IfPartyAfindsanynonconformityoftheGoodswiththerequirementsofthisContractduringthepreliminaryinspection,itshallnotifyPartyBinwritingwithin[X]daysafterthepreliminaryinspection,specifyingthedetailsofthenonconformity.

2.ReinspectionandFinalAcceptance

IfPartyBdisputesPartyA'sclaimofnonconformity,thePartiesmayjointlyselectathirdpartytestingagencyforreinspection.Theresultsofthereinspectionshallbeconclusive.IfthereinspectionconfirmsthenonconformityoftheGoods,PartyBshallberesponsiblefortakingcorrectiveactions,suchasreplacement,repair,orrefund,atitsownexpense.

PartyAshallissueawrittenacceptancecertificatefortheGoodswithin[X]daysafterthereinspection(ifany)ortheexpirationofthepreliminaryinspectionperiodifnononconformityisfound.

WARRANTIES

1.PartyB'sWarranties

PartyBwarrantsthattheGoods:

Areofgoodqualityandfreefromanydefectsinmaterialandworkmanship.

Complywithallapplicablelaws,regulations,andindustrystandards.

ConformtothespecificationsanddescriptionssetforthinthisContract.

PartyBshallbeliableforanylosses,damages,orexpensesincurredbyPartyAduetothebreachoftheabovewarranties.

2.DurationofWarranty

PartyB'swarrantyfortheGoodsshallbevalidfor[Warrantyperiod,e.g.,12months]fromthedateofacceptancebyPartyA.

RIGHTSANDOBLIGATIONSOFTHEPARTIES

1.PartyA'sRightsandObligations

Rights

ToreceivetheGoodsinaccordancewiththespecifications,quantity,andqualityrequirementsofthisContract.

ToinspecttheGoodsandclaimcompensationforanynonconformity.

Obligations

TomakepaymentstoPartyBinaccordancewiththepaymenttermsofthisContract.

ToprovidePartyBwithanynecessaryinformationorassistancerequiredfortheproductionanddeliveryoftheGoods.

2.PartyB'sRightsandObligations

Rights

ToreceivepaymentsfromPartyAinaccordancewiththepaymenttermsofthisContract.

TorequestPartyAtoprovidenecessaryinformationorassistancefortheproductionanddeliveryoftheGoods.

Obligations

ToproduceanddelivertheGoodsinaccordancewiththespecifications,quantity,andqualityrequirementsofthisContract.

ToprovidePartyAwiththenecessarydeliverydocumentsandaftersalesservice.

CONFIDENTIALITY

1.ConfidentialInformation

EachPartyacknowledgesthatduringtheperformanceofthisContract,itmayobtainconfidentialinformationfromtheotherParty,includingbutnotlimitedtobusinesssecrets,technicalinformation,customerlists,andproductionprocesses.

2.ObligationofConfidentiality

EachPartyshallkeeptheotherParty'sconfidentialinformationstrictlyconfidentialandshallnotdiscloseittoanythirdpartywithoutthepriorwrittenconsentoftheotherParty,exceptasrequiredbylaw.

3.Exceptions

Theobligationofconfidentialityshallnotapplytoinformationthat:

Isalreadyinthepublicdomainatthetimeofdisclosure.

IsindependentlydevelopedbythereceivingPartywithoutusingtheotherParty'sconfidentialinformation.

Isrequiredtobedisclosedbylaworacourtorder,providedthatthePartyrequiredtodiscloseshallnotifytheotherPartyinadvanceandtakeallreasonablemeasurestolimitthescopeofdisclosure.

LIABILITYFORBREACHOFCONTRACT

1.PartyA'sBreach

IfPartyAfailstomakepaymentsinaccordancewiththepaymenttermsofthisContract,PartyAshallpayPartyBalatepaymentpenaltyof[X]%oftheoverdueamountforeachdayofdelay.Ifthedelayexceeds[X]days,PartyBhastherighttoterminatethisContractandclaimcompensationforalllossessuffered,includingbutnotlimitedtothecostofproduction,storage,andtransportationoftheGoods.

2.PartyB'sBreach

IfPartyBfailstodelivertheGoodsontime,PartyBshallpayPartyAapenaltyof[X]%ofthetotalpriceoftheundeliveredGoodsforeachdayofdelay.Ifthedelayexceeds[X]days,PartyAhastherighttoterminatethisContractandclaimcompensationforalllossessuffered,includingbutnotlimitedtothelossofbusinessopportunitiescausedbythenondeliveryoftheGoods.

IftheGoodsdonotconformtotherequirementsofthisContract,PartyBshallberesponsiblefortakingcorrectiveactionsatitsownexpense.IfPartyBfailstotakeeffectivecorrectiveactionswithin[X]daysafterreceivingPartyA'snoticeofnonconformity,PartyAhastherighttorejecttheGoods,terminatethisContract,andclaimcompensationforalllossessuffered.

FORCEMAJEURE

1.DefinitionofForceMajeure

ForcemajeuremeansanyeventthatisbeyondthecontrolofthePartiesandcannotbereasonablyanticipatedoravoided,includingbutnotlimitedtonaturaldisasters(suchasearthquakes,floods,andtyphoons),wars,riots,strikes,andgovernmentregulations.

2.EffectofForceMajeure

IfeitherPartyisunabletoperformitsobligationsunderthisContractduetoforcemajeure,itshallnotifytheotherPartyinwritingwithin[X]daysaftertheoccurrenceoftheforcemajeureevent,statingthenatureandexpecteddurationoftheevent.ThePartyaffectedbyforcemajeureshalluseallreasonableeffortstominimizetheimpactoftheeventontheperformanceofthisContract.

Duringtheperiodofforcemajeure,theperformanceoftheaffectedParty'sobligationsunderthisContractshallbesuspended,andneitherPartyshallbeliableforanydelayornonperformancecausedbyforcemajeure.Aftertheterminationoftheforcemajeureevent,theaffectedPartyshallresumetheperformanceofitsobligationsassoonaspossible.

DISPUTERESOLUTION

1.Negotiation

IncaseofanydisputearisingoutoforinconnectionwiththisContract,thePartiesshallfirstattempttoresolvethedisputethroughfriendlynegotiation.

2.Arbitration/Litigation

Ifthenegotiationfailstoresolvethedisputewithin[X]days,thePartiesagreetoresolvethedisputethrough[Arbitration/Litigation].
