2025年外貿(mào)出口合同樣本英文EXPORTSALESCONTRACTDate:ThisContractismadeandenteredintoonthisdayof,2025,byandbetween:SELLER:CompanyName:Address:City:,State:,ZIP:Email:Phone:BUYER:CompanyName:Address:City:,State:,ZIP:Email:Phone:WITNESSETH:1.LEGALVALIDITYANDSCOPEThisContract("Agreement"or"Contract")isenteredintoforthepurposeofthesaleandexportofgoodsfromtheSellertotheBuyer.ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof(the"ApplicableLaw").Thepartiesagreetobeboundbythetermsandconditionssetforthherein.2.GOODSDESCRIPTION2.1TheSelleragreestosellandtheBuyeragreestopurchasethefollowinggoods:ProductName:ProductModel:Quantity:Specifications:2.2ThegoodsdescribedinthisContractarehereinafterreferredtoasthe"Goods."3.PRICEANDPAYMENT3.1ThetotalpricefortheGoodsis(the"TotalPrice")in(the"Currency"),basedontheexchangerateofonthedateofthisContract.3.2PaymentshallbemadebytheBuyerasfollows:a.%oftheTotalPriceasadownpaymentwithindaysfromthedateofthisContract.b.Theremaining%oftheTotalPriceshallbepaiduponcompletionoftheshipmentandpriortotheGoodsbeingloadedontothevessel.3.3TheBuyershallpaytheamountsdueunderthisContractby(the"PaymentMethod"),withallbankchargesandfeesincurredinconnectionwithsuchpaymentstobebornebytheBuyer.4.DELIVERYANDTRANSPORTATION4.1TheGoodsshallbedeliveredbytheSelleratitsplaceofbusiness(the"DeliveryLocation")onorbefore(the"DeliveryDate").4.2TheGoodsshallbeshippedfrom(the"PlaceofShipment")to(the"DestinationPort")via(the"Carrier").4.3TheriskoflossordamagetotheGoodsshallpasstotheBuyerupontheGoodscrossingtheship'srailatthePortofLoading.4.4TheSellershallprovidetheBuyerwithallnecessaryshippingdocuments,includingbutnotlimitedtotheBillofLading,CommercialInvoice,PackingList,andCertificateofOrigin,withindaysaftertheGoodshavebeenshipped.5.QUALITYANDWARRANTY5.1TheGoodsshallconformtothespecificationsandqualitystandardsagreeduponbybothparties.5.2TheSellerwarrantsthattheGoodsarefreefromdefectsinmaterialandworkmanshipundernormaluseandconditionsforaperiodofmonthsfromthedateofdelivery(the"WarrantyPeriod").5.3DuringtheWarrantyPeriod,iftheGoodsarefoundtobedefective,theSellershall,atitssolediscretion,eitherrepair,replaceorissueacreditforthedefectiveGoodsatnoadditionalcosttotheBuyer.6.INTELLECTUALPROPERTY6.1Allintellectualpropertyrights,includingbutnotlimitedtotrademarks,patents,copyrights,anddesigns,relatedtotheGoodsshallremainthepropertyoftheSeller.6.2TheBuyershallnotuse,copy,ordistributeanyintellectualpropertyoftheSellerwithoutwrittenconsent.7.INDEMNIFICATION7.1TheBuyeragreestoindemnifyandholdharmlesstheSeller,itsaffiliates,directors,officers,employees,andagentsfromanyclaims,damages,losses,orexpenses,includingbutnotlimitedtolegalfees,arisingoutoforinconnectionwiththeBuyer'sbreachofthisContractorthemisuseoftheGoods.8.FORCEMAJEURE8.1NeitherpartyshallbeliableforanyfailureordelayinperformingitsobligationsunderthisContractifsuchfailureordelayisduetocircumstancesbeyonditsreasonablecontrol,includingbutnotlimitedtonaturaldisasters,war,governmentactions,orlabordisputes(the"ForceMajeureEvent").8.2UpontheoccurrenceofaForceMajeureEvent,theaffectedpartyshallpromptlynotifytheotherpartyinwritingandmakereasonableeffortstomitigatetheimpactoftheevent.9.DEFAULTANDREMEDIES9.1IftheBuyerfailstopaytheagreedpriceorfailstoperformanyotherobligationunderthisContract,theSellermay,atitssolediscretion,takeanyofthefollowingactions:a.SuspendorterminatethesupplyoftheGoods.b.Claimdamagesforanylossessuffered.c.Exerciseanyotherrightsorremediesavailableatlaworinequity.10.DISPUTERESOLUTION10.1AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedthroughfriendly協(xié)商bytheparties.Ifsuch協(xié)商fails,thedisputesshallbesubmittedtotheArbitrationAssociationforarbitrationinaccordancewithitsrules.11.MISCELLANEOUS11.1ThisContractconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereof.AnypreviousagreementsorunderstandingsaresupersededandreplacedbythisContract.11.2AnyamendmentsormodificationstothisContractmustbemadeinwritingandsignedbybothparties.11.3ThisContractshallbedeemedtohavebeenmadeinthelanguageofthepartieshereto,andanytranslationthereofshallnotbebindingforanypurpose.11.4IfanyprovisionofthisContractisfoundtobeinvalidorunenforceable,theremainingprovisionsshallremaininfullforceandeffect.11.5ThisContractshallbebindinguponandinuretothebenefitofthepartiesher
