Levitonand_______Confidential-PAGE2-PURCHASINGAGREEMENT采購(gòu)協(xié)議ThisPurchasingAgreement(“Agreement”)ismadeasofthe_______dayof______(“EffectiveDate”)byandbetween[LevitonElectronic(Dongguan)Co.,Ltd],acorporationorganizedunderthelawsofthePeople’sRepublicofChina,havinganaddressat_______(“Leviton”)and_______,acorporationorganizedunderthelawsof________,havinganaddressat___________(“Supplier”).(Eachas“Party”andcollectivelyas“Parties”).本采購(gòu)協(xié)議（“本協(xié)議”）于2010年___月___日（“生效日”）由_______電子（東莞）有限公司，一家根據(jù)中華人民共和國(guó)法律成立的公司，住所為_(kāi)______（“”），與_______，一家根據(jù)_______法律成立的公司，住所為_(kāi)______（“供應(yīng)商”）簽訂。（每一方單獨(dú)稱為“一方”，合稱為“雙方”）WHEREAS,LevitonandSuppliercontemplateacustomer/supplierrelationshipinvolvingthesupplyofmaterialbySuppliertoLeviton,thePartiesagreeasfollows:鑒于，和供應(yīng)商意圖建立起由供應(yīng)商向_______提供物料的客戶/供應(yīng)商的關(guān)系，雙方同意如下：ProductsPurchasing產(chǎn)品采購(gòu)LevitonwillpurchasefromSupplierandSupplieragreestoselltoLevitontheproductsdescribedinScheduleA(“Products”)tomanufactureandsellfinishedLevitonproduct("FinishedProducts")intheMarket(asdefinedbelow).ThePartiesmayfromtimetotimeamendorsupplementthelistofProductsinawriting(s)executedbythemwhich,aftersuchexecution,shallbedeemedincorporatedintosuchScheduleA._______將向供應(yīng)商采購(gòu)，且供應(yīng)商同意向_______銷售附錄A所述產(chǎn)品（“產(chǎn)品”），以在市場(chǎng)（定義如下）制造和銷售_______的成品（“成品”）。雙方可隨時(shí)以書(shū)面方式修改或補(bǔ)充產(chǎn)品清單，經(jīng)簽署的該等修改或補(bǔ)充應(yīng)視為附錄A的一部分。AlltheProductsshallbemanufacturedbySupplier.SuppliershallnothavesuchProductsmanufacturedorprocessedbyathirdpartywithoutawrittenapprovalbyLeviton’sgeneralmanagerorotherpersonauthorizedbyLeviton.所有產(chǎn)品均應(yīng)由供應(yīng)商制造。非經(jīng)_______總經(jīng)理或_______授權(quán)的其他人書(shū)面同意，供應(yīng)商不得將該等產(chǎn)品交由第三方制造或加工。ForpurposesofthisAgreement,theterm"Market"shallmeanonaworldwidebasis.為本協(xié)議之目的，“市場(chǎng)”指全球范圍。Suppliershallsecureandmaintainatalltimesanyandallapprovals,licenses,registrations,orauthorizationsofanygovernmentalentityorotheragencyasmaybenecessaryinordertoselltheProductstoLevitonunderthisAgreement.為根據(jù)本協(xié)議向_______銷售產(chǎn)品，供應(yīng)商應(yīng)獲得并維持所有必需的任何政府部門(mén)或其他機(jī)構(gòu)的批準(zhǔn)、許可、注冊(cè)或授權(quán)。TermandTermination期限和終止ThisAgreementshallcommenceasoftheEffectiveDateandcontinueforaperiodof____yearsthereafter(the“InitialPeriod”),andshallbeautomaticallyrenewedforsuccessiveperiodsofoneyeareachthereafter(collectivelythe“Term”)unless,eitherpartynotifiestheotherinwritingnotlessthanninety(90)daysbeforetheexpirationoftheTermthatitelectstoterminatethisAgreement.本協(xié)議自生效日起生效，并于生效日起____內(nèi)持續(xù)有效（“初始期限”），初始期限屆滿后應(yīng)當(dāng)自動(dòng)續(xù)展一年（合稱“期限”），除非任一方于期限屆滿前不少于九十（90）日以書(shū)面形式通知另一方其決定終止本協(xié)議。Notwithstandingtheforegoing,eitherPartymayterminatethisAgreementatanytimepriortotheexpirationoftheTermuponwrittennoticetotheotherintheevent:在發(fā)生下述情形時(shí)，盡管有前述規(guī)定，任何一方仍可于期限屆滿前隨時(shí)以書(shū)面形式通知對(duì)方終止本協(xié)議：suchotherPartyengagesinamaterialbreachofthisAgreement;另一方對(duì)嚴(yán)重違反本協(xié)議；suchotherPartyfilesforbankruptcy,isadjudicatedbankrupt,filesapetitionunderinsolvencylaws,beginsliquidationproceedings,orissubjecttoanassignmentforthebenefitofcreditors.另一方申請(qǐng)破產(chǎn)，判決破產(chǎn)，根據(jù)破產(chǎn)法提交提交申請(qǐng)書(shū)，開(kāi)始清算程序，或者為債權(quán)人利益而被轉(zhuǎn)讓。OrdersandStocking訂單和庫(kù)存LevitonshallissuepurchaseorderfortheProductsatleast____daysbeforetherequireddeliverydate.AllpurchaseordersfromLevitonshallbecomelegallybindingeitherifexpresslyacknowledgedbyfaxoremailbySupplierorifLevitondoesnotreceiveawrittenobjectiontheretowithinfive(5)daysofSupplier’sreceiptofsuchorder(s)._______應(yīng)當(dāng)于其要求的交貨日期前至少____日提供產(chǎn)品的訂單。如果供應(yīng)商以傳真或郵件形式明確表示確認(rèn)，或者_(dá)______在供應(yīng)商收到該等訂單后五（5）日內(nèi)未收到書(shū)面拒絕，_______的所有采購(gòu)訂單即具有法律約束力。DuringtheTermofthisAgreement,Levitonmay，butnotobligedto,provideSupplierwitha____monthnon-bindingrollingforecastsby____dayofeachmonth.Levitonshallhavenoliabilityforcompliancewithorchangestosuchforecasts.在本協(xié)議期限內(nèi)，_______可以（但無(wú)義務(wù)）于每月____日前向供應(yīng)商提供一份____個(gè)月的無(wú)約束力的滾動(dòng)預(yù)測(cè)。但_______對(duì)于未按照該等預(yù)測(cè)執(zhí)行或變更該等預(yù)測(cè)不承擔(dān)責(zé)任。SuppliershallmaintainasufficientinventoryofrawmaterialsoftheProductstomeettheforecastsmentionedintheaboveArticle3.2.供應(yīng)商應(yīng)維持充足的產(chǎn)品原料庫(kù)存，以滿足上述第3.2條所述之購(gòu)買(mǎi)預(yù)測(cè)。Pricingandpayment價(jià)格和支付TheinitialpricesfortheProductsshallbeassetforthonScheduleA.SuchpricesmaynotbeincreasedbySupplierforaperiodofone(1)yearfromtheEffectiveDate.Thereafter,SuppliermayonlyincreasethepricesofProductsbynotifyingLevitoninwritingnotlessthanninety(90)dayspriortothedatethatanysuchproposedpriceincreaseshallgointoeffect(the90thdayaftersuchnoticeshallbeknownasthe“PriceIncreaseDate”).產(chǎn)品的初始價(jià)格見(jiàn)本協(xié)議附件A。自生效日起一（1）年內(nèi)，供應(yīng)商不得提高該等價(jià)格。此后，供應(yīng)商僅能夠在擬定的漲價(jià)生效日至少90日前給予_______書(shū)面通知，方可提高產(chǎn)品價(jià)格。SupplierwarrantsthatthepricesandtermsofsaleforProductspurchasedbyLeviton(includingthosepricesinitiallyspecifiedinScheduleAheretoandanypriceincreases)shallnotbelessfavorablethanthepricesandsuchtermsforcomparablequantitiesofProductssoldorotherwisedistributedbySuppliertootherpurchasersofProducts.供應(yīng)商保證，給予_______的產(chǎn)品價(jià)格和銷售條件（包括本協(xié)議附件A所規(guī)定的初始價(jià)格及其后的漲價(jià)），不低于供應(yīng)商向其他購(gòu)買(mǎi)方銷售或以其他方式分銷同等數(shù)量產(chǎn)品的價(jià)格和銷售條件。Levitonshall,uponreceiptofanofficialVATinvoice,makepaymenttoSupplier.AllpaymentsshallbepaidonthedateorduringthetermotherwiseagreedbytheParties.AllinvoicesshallshowLeviton’sordernumberandsuchotherreasonabledetailconcerningtheProducts.ThepaymentsshallbemadebywiretransferordraftoranyotherwayasagreedbytheParties._______應(yīng)在收到正式的增值稅發(fā)票后，向供應(yīng)商付款。所有貨款應(yīng)雙方另行約定的日期或期限內(nèi)支付。發(fā)票應(yīng)注明_______的訂單號(hào)及有關(guān)產(chǎn)品的其他合理細(xì)節(jié)。貨款應(yīng)以電匯、匯票或雙方約定的其他方式支付。PaymentduemaybewithheldordeductedbyLevitononaccountofnon-conformingProductsnotreplacedoranyindemnificationbySupplierunderthisAgreement.對(duì)未更換不合格產(chǎn)品或供應(yīng)商在本協(xié)議項(xiàng)下的任何賠償款項(xiàng)，_______可自應(yīng)付款中扣留或扣減。PaymentshallnotconstituteLeviton’sapprovalofProductsandshallnotrelieveSupplierofitsobligationsunderthisAgreement,includingwithoutlimitation,Supplier’swarrantyorindemnityobligationsprovidedhereunder.對(duì)貨款的支付不構(gòu)成_______對(duì)產(chǎn)品的認(rèn)可，不免除供應(yīng)商在本協(xié)議項(xiàng)下的義務(wù)，包括但不限于，本協(xié)議所規(guī)定的供應(yīng)商的保證義務(wù)及賠償義務(wù)。Delivery交付Delivery交付SuppliershallberesponsibleforarrangingandpayingforthetransportationofProductstothesitedesignatedinthepurchaseorder(“DesignatedSite”)atthedateprovidedinthepurchaseorder(“DeliveryDate”).供應(yīng)商應(yīng)按照采購(gòu)訂單規(guī)定的日期（“交付日”），將產(chǎn)品運(yùn)送至采購(gòu)訂單所規(guī)定的地點(diǎn)（“指定地點(diǎn)”），并承擔(dān)運(yùn)費(fèi)。EachdeliveryofProductsbySuppliershallbeaccompaniedbyapackinglistdescribingtheProductsshipped,aCertificateofConformancedocumentingcompliancewithrelevantqualitystandards,atestreportandothermaterialswithrespecttotheProductsasagreedbyParties.ThecontentandformoftheaforementionedtestreportshallbedeterminedjointlybyParties,whichshallincludewithoutlimitation,thebasicinformationofProducts,relevantspecifications,testrecord.供應(yīng)商交付的每批產(chǎn)品應(yīng)隨附列明了所運(yùn)送產(chǎn)品的裝箱清單、證明產(chǎn)品符合相關(guān)質(zhì)量標(biāo)準(zhǔn)的合格證、檢測(cè)報(bào)告及雙方約定的關(guān)于產(chǎn)品的其他材料。SuppliershallbesubjecttotheindemnificationunderArticle12.1foritsdeliverydelay.如交付延誤，供應(yīng)商應(yīng)按第12.1條承擔(dān)賠償責(zé)任。SuppliershallpackagetheProductsinstrictcompliancewithallapplicablenational,localstandardsorindustrystandards(whicheverishigher).Thepackageshallbesuitableforlongdistancetransportationandwellprotectedagainstmoisture,shock,rustandroughhanding,andclearlymarkedinChinese,includingwithoutlimitation,Leviton’sorderreference,specificationsandtypesofProducts.供應(yīng)商應(yīng)嚴(yán)格按照適用的國(guó)家、地方標(biāo)準(zhǔn)或行業(yè)標(biāo)準(zhǔn)(以高者為準(zhǔn))對(duì)產(chǎn)品進(jìn)行包裝。包裝應(yīng)適于長(zhǎng)途運(yùn)輸，并可防潮、防震、防塵等，能夠抵抗粗暴裝卸，并應(yīng)以中文清楚標(biāo)明_______的訂單號(hào)、產(chǎn)品規(guī)格和類型等信息。TransferofTitleandRisk所有權(quán)和風(fēng)險(xiǎn)的轉(zhuǎn)移6.1TitletoandriskoflossoftheProductsshallbetransferredtoLevitonuponthecompletionoftheopen-boxinspectionattheDeliverySiteinaccordancewithArticle8.1.產(chǎn)品的所有權(quán)和損失風(fēng)險(xiǎn)在按照第8.1條于交付地點(diǎn)完成開(kāi)箱檢查后轉(zhuǎn)移至_______。Quality質(zhì)量AftertheEffectiveDate,SuppliershallsubmitthesamplesofProducts,aswellasSampleSubmissionForm,FARTestReportandotherdocumentsexplainingspecificationandtechnicalrequirementsandcertificatesorreportsregardingthesafetyofProducts(suchastheCertificatesofUL,CSA,CCC,CEandFCC)toLevitonasthetimescheduleagreedbyParties.生效日后，供應(yīng)商應(yīng)當(dāng)根據(jù)雙方同意的時(shí)間表向_______提供產(chǎn)品樣品，同時(shí)還應(yīng)當(dāng)提供“樣品提交單”、“FAR測(cè)試報(bào)告”及說(shuō)明規(guī)格、技術(shù)要求的其他文件，以及關(guān)于產(chǎn)品安全的認(rèn)證證書(shū)和報(bào)告（如，UL、CSA、CCC、CE和FCC認(rèn)證）。ProductsshallattainrelevantnationalandindustrystandardsandmeetthespecificationsandtechnicalrequirementsspecifiedintheSampleSubmissionForm,FARTestReportandotherdocumentswhichareapprovedbyLevitonorotherwiseconfirmedbyParties(whichshallbetheappendixtothisAgreement).產(chǎn)品應(yīng)當(dāng)符合有關(guān)國(guó)家標(biāo)準(zhǔn)和行業(yè)標(biāo)準(zhǔn)，并且符合“樣品提交單”、“FAR測(cè)試報(bào)告”及_______同意的或經(jīng)雙方確認(rèn)的其他文件中規(guī)定的規(guī)格和技術(shù)要求（該等文件應(yīng)為本協(xié)議附件）。ThequalityofProductsshallachievethefollowinggoals:產(chǎn)品的質(zhì)量應(yīng)當(dāng)達(dá)到如下要求：ItemGoalNotePassrateofProducts（%）98%Passrate（%）＝(batchesofqualifiedProductspermonth/totalbatchesofProducts)×100％Abnormalprocessforeachbatch（batch）0Theabnormalprocessforeachbatchreferstotheunqualifiedrateexceedsonepercent(1%)(including)uponthesamereason(thesamenegativephenomenaofthesameProduct).Thereshouldbenoqualityproblemsinanyprocess.項(xiàng)目目標(biāo)值備注產(chǎn)品批次合格率（%）98%合格率（%）＝(每月產(chǎn)品合格批數(shù)/產(chǎn)品總批次)×100％制程批次質(zhì)量異常（批次）0制程批次質(zhì)量異常指：相同故障原因(指同一產(chǎn)品的同一不良現(xiàn)象)的不良率超過(guò)1%（含1%）以上。不能有制程批次質(zhì)量異常。SuppliershallperiodicallysubmitreportsregardingthepassrateofProductsandabnormalprocessforeachbatchtoLeviton.SuppliershalldevelopandcarryoutimprovementplansunderthesupervisionofLeviton.IftheProductsfailtoattainthequalityrequirement,Levitonshallhavetherighttostoppurchasingoradjustthepurchaseamount.供應(yīng)商應(yīng)當(dāng)定期向_______提交關(guān)于產(chǎn)品合格率和批次制程異常的報(bào)告。供應(yīng)商應(yīng)當(dāng)在_______的監(jiān)督下制訂并執(zhí)行改善計(jì)劃。如果產(chǎn)品未能滿足質(zhì)量要求，_______有權(quán)停止采購(gòu)或調(diào)整采購(gòu)數(shù)量。InadditiontoanyotherrightsLevitonmayhaveunderthisAgreementoratlaw,LevitonmayrejectalloranyportionofProductsandnotifySupplierofLeviton’selectiontoeither(i)cancelanyportionofProducts;(2)requireSuppliertoreplacethenon-conformingProducts,inwhichcase,Suppliershallatitssolecost,getbacktherejectedProductsanddeliverthereplacementinthesiteandtimeotherwisedesignatedbyLeviton.除本協(xié)議或法律中規(guī)定的其他權(quán)利外，_______可以拒收所有或任何部分的產(chǎn)品并且通知供應(yīng)商_______選擇（i）取消任何部分的產(chǎn)品；（ii）要求供應(yīng)商替換不合格產(chǎn)品，在此種情形下，供應(yīng)商應(yīng)當(dāng)取回被拒收的產(chǎn)品并且在_______另行指定的地點(diǎn)和時(shí)間交付替換的產(chǎn)品，費(fèi)用由供應(yīng)商承擔(dān)。Suppliershall,atitssolecostandexpense,establishqualitycontrolsystemstoassurequantityandqualitycomplianceofProducts.UponLeviton’srequest,Suppliershallfurnishdocumentsevidencingitsqualitycontrolability.供應(yīng)商應(yīng)當(dāng)建立質(zhì)量控制體系以確保產(chǎn)品數(shù)量及產(chǎn)品質(zhì)量的符合性，所有花費(fèi)和費(fèi)用由供應(yīng)商自行承擔(dān)。供應(yīng)商應(yīng)當(dāng)根據(jù)_______的要求，提供能夠證明其產(chǎn)品質(zhì)量控制能力的文件。IncaseanymaterialchangesinSupplier’sproduction,SuppliershallgiveLevitona15dayspriornoticeinwritingandobtainleviton’sapproval.Thenoticeshallincludetheintendedchangesandthereasonsforsuchchange,theeffecttothequalityandproductionofProducts,etc.ItshallbedeemedamaterialchangeofSupplier’sproduction,should如供應(yīng)商在生產(chǎn)中發(fā)生任何重大變更，供應(yīng)商應(yīng)當(dāng)提前十五（15）日書(shū)面通知_______并獲得_______的同意。該等通知應(yīng)當(dāng)包含意圖作出的變更以及該等變更的原因、對(duì)產(chǎn)品質(zhì)量及生產(chǎn)的影響等內(nèi)容。下述情形應(yīng)當(dāng)視為供應(yīng)商的生產(chǎn)發(fā)生了重大性變更：anyqualitycontrolsystembeterminatedorchanged,任何質(zhì)量控制體系被終止或變更，anyapplicableindustrystandardsornationalstandardsbechanged,適用的行業(yè)標(biāo)準(zhǔn)或國(guó)家標(biāo)準(zhǔn)變更，siteofproductionbechanged,生產(chǎn)地點(diǎn)變更，anyprocessormanufacturetechnologybechanged,加工或制造技術(shù)變更，anythingelsethePartiesagreedwithrespecttotheproductionofProductsbechanged.雙方約定的其他有關(guān)產(chǎn)品生產(chǎn)的事項(xiàng)變更。SuppliershallnotifyLevitoninwritingofitsceasingproductionpriortwomonths.SuppliershallpayforalllossesofLeviton’sceasingproducton,productiondeclineorotherlossesbecauseofsuchceasingproductionofSupplierwithoutsuchnotice.如供應(yīng)商停產(chǎn)，應(yīng)當(dāng)提前兩個(gè)月書(shū)面通知_______。否則，供應(yīng)商應(yīng)當(dāng)承擔(dān)由于該等停產(chǎn)導(dǎo)致的_______停產(chǎn)、減產(chǎn)或其他損失。Ifthereisqualityproblemduringmanufactureorafter-saleoftheFinishedProductsbecauseoftheSupplier’sProducts,SuppliershallappointtechnicalengineerstohandleitimmediatelyonitsownexpensesuponLeviton’srequest.Normalproblemsshallbesettledinone(1)day,andspecial/seriousproblemsshellbesettledinthree(3)daysandthetermcanbeprolongedpursuanttothecomplicationoftheproblemsupontheapprovalofLevitonbutnotexceedingfive(5)days.如果由于供應(yīng)商的產(chǎn)品導(dǎo)致在成品的制造或售后過(guò)程中出現(xiàn)質(zhì)量問(wèn)題，經(jīng)_______要求，供應(yīng)商應(yīng)當(dāng)立即指定技術(shù)工程師解決該等問(wèn)題，費(fèi)用由供應(yīng)商負(fù)責(zé)。一般性問(wèn)題應(yīng)當(dāng)在一（1）日內(nèi)解決，特殊/嚴(yán)重問(wèn)題應(yīng)當(dāng)在三（3）日內(nèi)解決，但根據(jù)問(wèn)題的復(fù)雜程度，該等期限可以經(jīng)_______同意而予以延長(zhǎng)，但不能超過(guò)五（5）日。InspectionandAcceptance驗(yàn)收Levitonhastherighttoconducttheopen-boxinspectionbyitsownattheDesignatedSiteandSuppliershallaccepttheinspectionresult.IncasethereisshortageornonconformityofProducts,SuppliershallmakeuptheshortageorreplacethenonconformityProductsonitsownexpenseimmediatelyuponLeviton’snotice.ShouldthemakeupProductsorreplacedProductsnotbedeliveredtotheDeliverySitewithin____daysafterSupplier’sreceiptofLeviton’snotice,itshallbedeemedasadeliverydelay._______有權(quán)在指定地點(diǎn)自行進(jìn)行開(kāi)箱檢查，供應(yīng)商應(yīng)接受檢查結(jié)果。如有產(chǎn)品短缺或不合格，供應(yīng)商應(yīng)在收到_______的通知后，立即補(bǔ)齊短缺、更換不合格產(chǎn)品，費(fèi)用自擔(dān)。如供應(yīng)商在收到_______的通知后_____天內(nèi)，未能將補(bǔ)齊產(chǎn)品或更換產(chǎn)品交付至交付地點(diǎn)，則視為交付遲延。LevitonmayinspectProductsfornon-conformanceofthespecificationandtechnicalrequirementspursuanttothestandardsandspecificationprovidedinArticle7.1._______按第7.1條規(guī)定的標(biāo)準(zhǔn)和規(guī)格對(duì)于產(chǎn)品是否符合規(guī)格和技術(shù)要求進(jìn)行檢查。DuringtheTermofthisAgreement,Levitonwillhavetheright(butnottheobligation),atitsexpense,duringthenormalbusinesshoursofSupplieranduponreasonablenotice,toinspectthefacilitiesofSuppliertoinspectandtesttheProducts.Suppliershallprovidealltools,facilitiesandassistancenecessaryforsuchpurposesatnoadditionalcosttoLeviton.IfinthesoleandreasonablediscretionofLeviton,theProductsaredeemednon-conformingduringanysuchinspection,testingoraudit,Levitonshallhavetherighttorequestanyreasonablecorrectiveactions,andSuppliershallpromptlyimplementanysuchcorrectiveactions.本協(xié)議期限內(nèi)，_______有權(quán)利（但無(wú)義務(wù)）經(jīng)合理地通知供應(yīng)商，自擔(dān)費(fèi)用，在供應(yīng)商的正常營(yíng)業(yè)時(shí)間檢查供應(yīng)商的設(shè)施，以便對(duì)產(chǎn)品進(jìn)行檢查和檢測(cè)。供應(yīng)商應(yīng)為此免費(fèi)向_______提供所有必要的工具、設(shè)施和協(xié)助。如在該等檢查、檢測(cè)或?qū)徲?jì)中，依_______單方合理判決，認(rèn)為產(chǎn)品不合格，_______有權(quán)要求供應(yīng)商采取合理改正措施，供應(yīng)商應(yīng)立即實(shí)施該等改正措施。Anyinspection,testingandacceptanceshallinnowayreleaseSupplierfromwarrantiestothequalityofProducts.任何檢查、檢測(cè)和接受均不解除供應(yīng)商對(duì)產(chǎn)品質(zhì)量的保證。ChangesandUpgradesofProducts產(chǎn)品的改變和升級(jí)SuppliershallfurnishtoLevitonwrittennoticeofanyanticipatedchangesandupgradesoftheProductsanditscomponent,providerelatedtechnologymaterial,certificatematerial,testingandacceptancereportandconfirmationofSupplier’scompliancewiththeRestrictiononHazardousSubstances(RoHS)provisionsrespectingallsuchchangesandupgrades.Suchnoticeshallincludeatleastasfollow:供應(yīng)商擬對(duì)產(chǎn)品及其組件進(jìn)行改變或升級(jí)時(shí)，應(yīng)以書(shū)面方式通知_______，提供相關(guān)的技術(shù)資料、資質(zhì)材料、驗(yàn)收?qǐng)?bào)告和供應(yīng)商的所有該等改變和升級(jí)均符合《關(guān)于限制在電子電器設(shè)備中使用某些有害成分的指令》(RoHS)規(guī)定的確認(rèn)書(shū)。該書(shū)面通知應(yīng)至少包括如下項(xiàng)目：whatchange/updateismadeonwhich(orwhatkindof)structure,component,orelectriccircuit，theircontractsuppliers.任何結(jié)構(gòu)、組件或電路中進(jìn)行了任何改變/升級(jí)及其供應(yīng)商。reasonsforchange/update.改變/升級(jí)的原因。resultofchange/update,whetherornotachievethepurposeofchange/update,whetherornotwithasideeffect,andmaterialsoftestingandcertificate.改變/升級(jí)的結(jié)果，是否達(dá)到改變/升級(jí)的目的，是否有副作用，以及有關(guān)檢測(cè)和資質(zhì)的資料。SuppliershallprovideoriginalProductsuntiltheproposedchange/updateProductshavebeenapprovedinwritingbyLeviton.SuchapprovalshallbemadebyLevitonafterconfirmingSupplier’sFARreportandsamples.在_______書(shū)面批準(zhǔn)擬進(jìn)行的產(chǎn)品改變/升級(jí)前，供應(yīng)商應(yīng)仍提供原產(chǎn)品。_______應(yīng)在確認(rèn)供應(yīng)商的FAR報(bào)告及樣品后批準(zhǔn)產(chǎn)品的改變/升級(jí)。Warranty保證SupplierherebywarrantstoLevitonthatforaperiodofoneyearfromtheDelivery

Date,eachofProductssuppliedtoLevitonwillbemerchantableandfitforthepurposeintendedandfreefromdefectsinmaterialandworkmanshipundernormaluse.Supplier’sobligationunderthiswarrantyislimitedtoeitherrepairingorreplacingatSupplier’sexpenseanyProductwithinsuchwarrantyperiod,plusreimbursingLevitonforallcostsoftransportationandhandling.供應(yīng)商特此向_______保證，自產(chǎn)品交付日起一年內(nèi)，每件向_______供應(yīng)的產(chǎn)品均具有適銷性并適于產(chǎn)品的特定目的，且在正常使用的條件下，在材料和工藝方面不存在缺陷。供應(yīng)商在本條保證項(xiàng)下的義務(wù)，限于在保證期內(nèi)，由供應(yīng)商承擔(dān)費(fèi)用，修理或更換產(chǎn)品，并補(bǔ)償_______所支出的全部運(yùn)輸及處理費(fèi)用。Notwithstandingtheabovelimitation,If,becauseofgovernmentalorcustomercomplaintsorlegalaction,anyoftheFinishedProductsarerecalledorotherwisedisposedofpursuanttoLeviton’sdiscretionasaresultofSupplier’sfailuretoperformitsobligationsunderthisAgreement,SupplierwillreimburseLevitonforreasonableexpensespaidorincurredbyLevitonarisingfromsuchrecallordisposition.盡管有上述限制性規(guī)定，如因政府或客戶的主張、投訴或法律行為，任何成品被召回或被另行處理，而按照_______的判斷其歸因于供應(yīng)商未能履行其在本協(xié)議項(xiàng)下的義務(wù)，供應(yīng)商應(yīng)賠償_______因該等召回或處理而支付或產(chǎn)生的合理費(fèi)用。IntellectualProperty知識(shí)產(chǎn)權(quán)SupplierlegallyhasintellectualpropertyrighttoProducts.ProductssuppliedtoLevitonshouldnotinfringeanyintellectualpropertyofathirdparty,includingwithoutlimitation,anypatent,trademarkorcopyright.LevitoncoulduseProductsworldwidefreefromanyinfringementtoathirdparty’sintellectualproperty.SuppliershallproviderelevantdocumentsprovingitslegalintellectualpropertyrighttoProductsuponLeviton’srequest.供應(yīng)商對(duì)產(chǎn)品擁有合法的知識(shí)產(chǎn)權(quán)。向_______供應(yīng)的產(chǎn)品不得侵犯第三方的知識(shí)產(chǎn)權(quán)，包括但不限于專利、商標(biāo)或版權(quán)。_______可在全球使用產(chǎn)品而不對(duì)第三方的知識(shí)產(chǎn)權(quán)構(gòu)成侵權(quán)。供應(yīng)商應(yīng)根據(jù)_______的要求提供相關(guān)的文件以證明其對(duì)產(chǎn)品擁有合法的知識(shí)產(chǎn)權(quán)權(quán)利。Incaseofanyclaimofinfringementofathirdparty’sintellectualproperty,Suppliershall,uponLeviton’srequestandauthorization,participatesuchsuit,arbitration,orreconciliationonitsowncostprovidedthatLevitonprovidesSupplierwithrelevantinformationandassistant.SuppliershallindemnifyLevitoninaccordancewithArticle12.3.如有任何第三方主張其知識(shí)產(chǎn)權(quán)被侵犯，供應(yīng)商應(yīng)根據(jù)_______的要求和授權(quán)，自擔(dān)費(fèi)用參加該等訴訟、仲裁或和解，_______應(yīng)向供應(yīng)商提供相關(guān)信息和協(xié)助。供應(yīng)商應(yīng)按照第12.3條向_______進(jìn)行賠償。SupplierisnotallowedtouselabelsorpackageswithtrademarksortradenameofLevitonforProductswhicharenotorderedbyLeviton,otherwise,itshallbedeemedasbreachofthisAgreementandsubjecttoindemnificationunderArticle12.4.UponexpiryorterminationofthisAgreement,labelsandpackageswiththetrademarks,tradenamesandlogoofLevitonshallbetransferredtoLeviton,ordestroyedbySupplierunderthesupervisionofLeviton,andshallnolongerbeusedbySupplier.供應(yīng)商不得將_______的商標(biāo)或商號(hào)用于非_______訂購(gòu)的產(chǎn)品的標(biāo)簽或包裝上。否則，將被視為違約，并應(yīng)按第12.4條進(jìn)行賠償。本協(xié)議期滿或終止時(shí)，帶有_______商標(biāo)、商號(hào)及標(biāo)志的標(biāo)簽及包裝應(yīng)轉(zhuǎn)交_______，或在_______的監(jiān)督下予以銷毀，供應(yīng)商不得再行使用。Indemnity賠償Incaseofdeliverydelay,LevitonshallnotifybyemailtoSupplierofsuchdelay,andSuppliershallpayLevitonthreethousandths(0.3%)ofthetotalpriceofthedelayedProductsforeachdelayedday.Ifsuchdelayexceedfifteen（15）day,LevitonshallhavetherighttocanceltherelevantorderorterminatethisAgreement.在遲延交付時(shí)，_______應(yīng)通過(guò)電子郵件通知供應(yīng)商該等遲延，供應(yīng)商應(yīng)就每個(gè)遲延日向_______支付被遲延交付的產(chǎn)品的總價(jià)格的千分之三(0.3%)的違約金。如遲延超過(guò)十五（15）天，_______有權(quán)取消相關(guān)訂單或終止本協(xié)議。Incaseofnon-conformancesProducts,besidestherightofLevitonunderArticle7.4,SuppliershallberesponsibleforallthefeesandlossessufferedbyLevitonarisingoutofreworking,repairing,ceasingproductionandsoonbecauseofsuchnon-conformances.如遇不合格產(chǎn)品，_______除享有第7.4條所規(guī)定的權(quán)利外，_______因產(chǎn)品不合格而重新生產(chǎn)、修理、停產(chǎn)等而產(chǎn)生的所有費(fèi)用和損失，由供應(yīng)商承擔(dān)。IncaseofProducts’infringementtoathirdparty’sintellectualproperty,inadditiontotheotherrightofLevitonunderthisAgreementandlaw,LevitonmayrequireSupplierforRMBtenthousands(100,000)YuanasliquidateddamagestoLeviton.Iftheamountisinsufficienttocoverallloses(includingwithoutlimitation,attorney’sfees,litigationcosts,notaryfees,travelfees,andcompensationtobepaidtothethirdparty)ofLeviton,theactuallosesshallbepaid.如產(chǎn)品對(duì)第三方知識(shí)產(chǎn)權(quán)構(gòu)成侵權(quán)，_______除依本協(xié)議或法律所享有的權(quán)利外，還可要求供應(yīng)商向_______支付人民幣十萬(wàn)（100,000）元作為違約金。如該數(shù)額不足以彌補(bǔ)_______的全部損失（包括但不限于律師費(fèi)、訴訟費(fèi)用、公證費(fèi)、差旅費(fèi)、向第三方支付的賠償金），供應(yīng)商應(yīng)按賠償_______的實(shí)際損失。IncaseofSupplier’sbreachofArticle11.3,SuppliershallpayRMB____yuanforeachtime.供應(yīng)商違反第11.3條時(shí)，每次違反，供應(yīng)商應(yīng)向_______支付人民幣_(tái)____元違約金。IncaseeitherPartyotherwisebreachesthisAgreementanddoesnotrectifywithin____daysafterreceivingnoticefromtheotherParty,thenon-breachingPartyisentitledtorequirethebreachingpartyforlosssufferedbythenon-breachingPartytherefore.任何一方在其他方面違反本協(xié)議且未在收到另一方的通知后_____日內(nèi)改正，守約方有權(quán)要求違約方賠償守約方因此而受到的損失。Insurance保險(xiǎn)TheProductsshallbecoveredbyproductliabilityinsuranceobtainedbyandatthesoleexpenseofSupplierforLeviton'sbenefit,whichinsuranceshallcontaintheterms,provisions,conditionsandotherinformationsetforthinScheduleBannexedheretoandwhichshallbemaintainedineffectthroughouttheTermandforaperiodofthree(3)yearsthereafter.供應(yīng)商應(yīng)以_______為受益人，自行承擔(dān)全部費(fèi)用為產(chǎn)品購(gòu)買(mǎi)產(chǎn)品責(zé)任保險(xiǎn)。保險(xiǎn)應(yīng)包括附件B所列條款、規(guī)定、條件和其他信息，保險(xiǎn)應(yīng)在整個(gè)期限及期限后三年持續(xù)有效。Confidentiality保密ItisanticipatedbythePartiesthatConfidentialInformation(definedasbelow)willbedisclosedbetweenthempursuanttotheactivitiescontemplatedinthisAgreement.ThePartiesshalluseeffortstoclearlypresentormarkconfidentialinformationwhichisdisclosedtotheotherPartyas“proprietary”,“confidential”orthelike,andinthecaseoforally-providedinformationorinformationotherwisemadeavailable,shallbeconfirmedasconfidentialinnatureonlyifitbeclearlymarkedasconfidentialduringsuchdisclosure.SuchinformationmarkedorpresentedconfidentialshalldeliveredtotheotherPartywithinthirty(30)daysaftersuchdisclosure.Ifthisagreementhasnotbecomeeffectivethen,suchinformationshallbedeliveredtotheotherPartywithinthirty(30)daysaftertheEffectiveDateofthisagreement.ForpurposeofthisAgreement,the“ConfidentialInformation”referstocommercial,technicalorstrategicinformationandotherinformationregardingtheProductsorcomponentsoftheProductsinanymanner,whateverinoral,written,graphicorelectronicform.雙方均認(rèn)識(shí)到，按照本協(xié)議開(kāi)展活動(dòng)時(shí)會(huì)向另一方披露保密信息（定義如下）。雙方應(yīng)盡力在提供與另一方的保密信息上表明或標(biāo)注“專有”、“保密”或類似字樣。對(duì)于以口頭或其他方式提供的信息，如果在進(jìn)行該等披露時(shí)被明確標(biāo)注保密時(shí)，應(yīng)當(dāng)視為其具有保密性質(zhì)。該等標(biāo)注或表明保密的信息應(yīng)在進(jìn)行該等披露后三十（30）日內(nèi)交付另一方。如果屆時(shí)本協(xié)議仍未生效，該等信息應(yīng)當(dāng)在本協(xié)議生效日后三十（30）日內(nèi)交付另一方。為本協(xié)議之目的，“保密信息”指關(guān)于產(chǎn)品或產(chǎn)品零部件的商業(yè)、技術(shù)、戰(zhàn)略及其他信息，無(wú)論其為口頭、書(shū)面、圖像或電子形式。ThePartiesacknowledgethattheConfidentialInformationfurnishedbyoneParty(hereinafterthe“DisclosingParty”)totheotherParty(hereinafterthe“ReceivingParty”)pursuanttothisAgreement,isandshallcontinuetobetheexclusivepropertyoftheDisclosingParty.TheReceivingPartymayonlymakeuseofConfidentialInformationoftheDisclosingPartyasispermittedbythetermsofthisAgreement.Thisobligationsurvivesforaperiodofthree(3)yearsaftertheterminationofthisAgreement.雙方承認(rèn)，由一方（以下稱“披露方”）根據(jù)本協(xié)議向另一方（以下稱“接受方”）提供的保密信息是且一直是披露方的專有財(cái)產(chǎn)。接受方僅可以根據(jù)本協(xié)議條款使用保密信息。該等義務(wù)在本協(xié)議終止后三（3）年內(nèi)仍然有效。TheReceivingPartyshallholdallConfidentialInformationoftheDisclosingPartyatleasttothesameextenttheReceivingPartyholdsitsownproprietaryinformationofasimilarnatureinconfidence,andshallnotdisclose,toanyperson(except,onaneedtoknowbasis,tosuchofitsownemployees,employeesofAffiliatestouseconfidentialinformation)anyConfidentialInformation,excepttotheextenttheConfidentialInformation:接受方應(yīng)至少以接受方對(duì)其自身所擁有的具有同等保密性質(zhì)的專有信息的同等保護(hù)程度，對(duì)所收到的披露方的所有保密信息保守秘密，并且不得向任何人（除了基于需要向其自已的雇員、關(guān)聯(lián)方的雇員披露以便使用）披露任何保密信息，除非保密信息：ismadepubliclyavailablebytheDisclosingPartyorlawfullybyanon-partytothisAgreement;已由披露方公開(kāi)，或由本協(xié)議雙方以外其他方合法公開(kāi)；islawfullyobtainedbytheReceivingPartyfromanysourceotherthantheDisclosingParty;已由接受方自披露方以外的其他渠道合法取得；isdocumentedasalreadyinthepossessionof,orpreviouslyknownto,theReceivingPartywithoutanyobligationtokeepitconfidential;有文件證明其已為接受方在無(wú)保密義務(wù)的情況下所占有或知曉；isreleasedbytheDisclosingPartyfromtherestrictionsofthisAgreementbywrittennoticetotheReceivingParty;由披露方書(shū)面通知接受方可不受本協(xié)議的限制而披露；isindependentlydevelopedbytheReceivingPartyasevidencedbyitsrecords;有記錄可證明其為接受方獨(dú)立開(kāi)發(fā)；isdisclosedbyanorderofacourt,othergovernmentaldepartment,orbylaws,regulationsandotherprovisions,butonlytotheextentandforthepurposeofsuchorderandonlyiftheReceivingParty,totheextentable,firstnotifiestheDisclosingPartyoftheorderandpermitstheDisclosingPartytoseekanappropriateprotectiveorder.根據(jù)法院、其他政府機(jī)構(gòu)的指令，或者根據(jù)法律、法規(guī)或其他規(guī)定進(jìn)行披露，但僅應(yīng)限于該等指示所要求的范圍及目的，且接受方應(yīng)盡其所能，首先向披露方通知該等指令，并允許披露方尋求適當(dāng)?shù)谋Ｗo(hù)令。[14.1Thetermsandconditionsofthenon-disclosureagreementbetweenthePartiesdated____________shallgoverntheexchangeofproprietaryinformation,ifany,underthisagreementandareincorporatedhereinbyreferenceasiffullysetforth.][雙方于_____日簽訂的保密協(xié)議的保密條款和條件適用于本協(xié)議項(xiàng)下專有信息的交換（如有），并全部作為本協(xié)議的一部分。][如雙方另行簽訂保密協(xié)議，可選擇該條規(guī)定，而刪除前述保密條款]ForceMajeure不可抗力15.1“ForceMajeure”meansandincludedamageordelaycausedbyactsorregulationsordecreesofanyGovernment(defactoordejure),naturalphenomena,suchasearthquakesandfloods,fires,riots,wars,shipwrecks,freightembargoes,war,war-likecondition,terroristattackanywhereintheworld,riots,strikesandorothercauses,whethersimilarordissimilartothoseenumeratedabove,unforeseeableandbeyondthereasonablecontrolofthePartiesandwhichpreventthetotalorpartialcarryingoutofanyobligationunderthisAgreement.“不可抗力”是指不可預(yù)見(jiàn)并且超出雙方合理控制，阻礙本協(xié)議項(xiàng)下義務(wù)全部或部分履行的事件，包括由任何政府（事實(shí)上或法律上的）的行為、法規(guī)或法令導(dǎo)致的損害或遲延，自然現(xiàn)象，如地震、洪水、火災(zāi)、暴動(dòng)、戰(zhàn)爭(zhēng)、海難、貨運(yùn)禁運(yùn)、戰(zhàn)爭(zhēng)、類似戰(zhàn)爭(zhēng)的情形、世界上任何地方發(fā)生的恐怖襲擊、暴動(dòng)、罷工，或者其他事件（無(wú)論與上述所列事項(xiàng)相同或不同）。15.2IntheeventthataPartyispreventedfromperformingallorpartofitsobligationshereunderduetoForceMajeurewithoutitsfaultornegligence,suchPartyshallgivewrittennoticethereoftotheotherPartywithinone(1)businessdayofthereasons.ThePartiesshallingoodfaithseektoagreeuponrelatedmatters.Anditshallnotbedeemedabreachofthisagreement.如一方非因自身過(guò)錯(cuò)或過(guò)失而是因?yàn)椴豢煽沽Χ荒苈男衅湓诒緟f(xié)議項(xiàng)下的所有或部分義務(wù)，其應(yīng)當(dāng)在一（1）個(gè)工作日內(nèi)書(shū)面通知另一方該等原因。雙方應(yīng)當(dāng)本著善意原因就相關(guān)事宜達(dá)成一致。其不應(yīng)當(dāng)視為違反本協(xié)議。EnvironmentalRequirement環(huán)境要求ProductsprovidedbySuppliershallbeincompliancewiththeapplicablelaws,provisionsandstandardsrespectingthehazardousandnoxioussubstances.Suchrelatedhazardousandnoxioussubstancesincludes,lead,mercury,cadmium,hexavalentchromium,polybromobiphenyl(PBB),Polybromobiphenylether(PBDE)andothersubstancesprovidedinrelatedprovisions.供應(yīng)商向_______提供的產(chǎn)品應(yīng)當(dāng)符合適用的關(guān)于有毒有害物質(zhì)的法律、法規(guī)和標(biāo)準(zhǔn)。該等有毒有害物質(zhì)包括：鉛、汞、鎘、六價(jià)鉻、聚合溴化聯(lián)苯（PBB）、聚合溴化聯(lián)苯乙醚（PBDE）及有關(guān)規(guī)定中所規(guī)定的其他有毒有害物質(zhì)。Miscellaneous其他事項(xiàng)UponLeviton’srequest,SuppliershallassistLevitontopreparethesample,materialandreportforULcertificate.根據(jù)_______的要求，供應(yīng)商應(yīng)當(dāng)協(xié)助_______準(zhǔn)備UL認(rèn)證所需樣品、材料及報(bào)告。ThisAgreementshallbegovernedbythelawsofPeople’sRepublicofChina,exclusiveofconflictoflawsprinciples.IntheeventofanydisputearisingoutoforrelatingtothisAgreement,eitherPartymayappealtothePeople’sCourtwithjurisdictioninLeviton’slocationforlawsuit.本協(xié)議適用中華人民共和國(guó)法律，但不適用其沖突法原則。對(duì)于因本協(xié)議產(chǎn)生或與本協(xié)議相關(guān)的任何爭(zhēng)議，任一方均可向_______
