Hereinafter,theClientandthePhotographershallbecollectivelyreferredtoasthe"Parties".

1.ScopeofServices

ThePhotographeragreestoprovidecommercialphotographyservices(the"Services")totheClientinaccordancewiththespecificationsandrequirementsprovidedbytheClient.ThedetailsoftheServicesareasfollows:

TypeofPhotography:[Specifythetype,suchasproductphotography,eventphotography,portraitphotography,etc.]

Location:[Specifytheshootinglocation(s)]

DateandTime:Thephotographyshalltakeplaceon[Date]from[Starttime]to[Endtime].

NumberofShots:ThePhotographershalltakeaminimumof[Number]highqualityshotsduringthephotographysession.

EditingandRetouching:ThePhotographershallperformbasiceditingandretouchingontheselectedimages,includingbutnotlimitedtocolorcorrection,contrastadjustment,andblemishremoval.

2.Deliverables

DigitalFiles:ThePhotographershalldeliverthefinalediteddigitalimagestotheClientin[Fileformat]within[Numberofdays]daysafterthecompletionofthephotographysession.Thedigitalfilesshallbedeliveredvia[Deliverymethod,e.g.,onlinefilesharingplatform,USBdrive].

PrintedCopies(ifapplicable):IftheClientrequestsprintedcopiesoftheimages,thePhotographershallprovide[Number]highqualityprintedcopiesin[Size]formatwithin[Numberofdays]daysafterreceivingtheClient'srequestandthenecessarypaymentforprinting.

3.Payment

TotalFee:TheClientshallpaythePhotographeratotalfeeof[Amountinfiguresandwords]fortheServices.

PaymentSchedule:

Anonrefundabledepositof[Depositamount]shallbepaidbytheClienttothePhotographerwithin[Numberofdays]daysafterthesigningofthisContract.

Theremainingbalanceof[Balanceamount]shallbepaidbytheClienttothePhotographerwithin[Numberofdays]daysaftertheClient'sreceiptandapprovalofthefinaldeliverables.

PaymentMethod:TheClientshallmakethepaymentsby[Paymentmethod,e.g.,banktransfer,creditcard].

4.RightsandObligationsoftheParties

4.1Client'sRightsandObligations

Rights:

TheClienthastherighttoreviewandapprovethefinalimagesbeforethePhotographerdeliversthem.

TheClienthastherighttousethefinalimagesforthepurposeof[Specifythepurpose,e.g.,advertising,promotion,internaluse]inaccordancewiththetermsofthisContract.

Obligations:

TheClientshallprovidethePhotographerwithclearanddetailedspecificationsandrequirementsfortheServicesinatimelymanner.

TheClientshallcooperatewiththePhotographerduringthephotographysession,includingprovidingaccesstotheshootinglocation,models(ifapplicable),andanynecessarypropsorequipment.

TheClientshallpaythePhotographerthefeesinaccordancewiththepaymentschedulesetforthinthisContract.

4.2Photographer'sRightsandObligations

Rights:

ThePhotographerretainsthecopyrightofalltheimagestakenduringthephotographysession.However,thePhotographergrantstheClientanonexclusive,nontransferablelicensetousethefinalimagesforthepurposespecifiedinthisContract.

ThePhotographerhastherighttousethefinalimagesforportfolioandpromotionalpurposes,providedthatthePhotographerdoesnotusetheimagesinawaythatmaydamagetheClient'sreputation.

Obligations:

ThePhotographershallperformtheServicesinaprofessionalandtimelymanner,usingreasonableskillandcare.

ThePhotographershallcomplywithallapplicablelaws,regulations,andindustrystandardsintheperformanceoftheServices.

ThePhotographershallkeeptheClientinformedoftheprogressoftheServicesandanyissuesordelaysthatmayarise.

5.Confidentiality

EachPartyshallkeepconfidentialallconfidentialinformationoftheotherPartyobtainedduringtheperformanceofthisContract.Confidentialinformationincludesbutisnotlimitedtobusinesssecrets,customerinformation,andanyotherinformationmarkedasconfidential.TheconfidentialityobligationshallsurvivetheterminationofthisContractforaperiodof[Numberofyears].

6.Indemnification

Client'sIndemnification:TheClientshallindemnifyandholdthePhotographerharmlessfromandagainstanyandallclaims,losses,damages,liabilities,andexpenses(includingreasonableattorneys'fees)arisingoutoforinconnectionwiththeClient'suseofthefinalimagesinviolationofthisContractoranyapplicablelaws.

Photographer'sIndemnification:ThePhotographershallindemnifyandholdtheClientharmlessfromandagainstanyandallclaims,losses,damages,liabilities,andexpenses(includingreasonableattorneys'fees)arisingoutoforinconnectionwiththePhotographer'sperformanceoftheServicesinviolationofthisContractoranyapplicablelaws.

7.Termination

ByMutualAgreement:ThisContractmaybeterminatedbymutualwrittenagreementoftheParties.

ByBreach:IfeitherPartymateriallybreachesthisContractandfailstocurethebreachwithin[Numberofdays]daysafterreceivingwrittennoticefromtheotherParty,thenonbreachingPartyhastherighttoterminatethisContractimmediatelyandseekdamagesfromthebreachingParty.

8.DefaultandRemedies

Default:APartyisindefaultifitfailstoperformanyofitsobligationsunderthisContract.

Remedies:Intheeventofadefault,thenondefaultingPartyshallbeentitledtoallremediesavailableatlaworinequity,includingbutnotlimitedtotherighttorecoverdamages,specificperformance,andinjunctiverelief.

9.DisputeResolution

Negotiation:IntheeventofanydisputearisingoutoforinconnectionwiththisContract,thePartiesshallfirstattempttoresolvethedisputethroughfriendlynegotiation.

Arbitration:Ifthenegotiationfails,thedisputeshallbesubmittedtoarbitrationinaccordancewiththerulesof[Arbitrationinstitution].Thearbitrationshallbeconductedin[Arbitrationlocation],andthelanguageofthearbitrationshallbe[Language].Thedecisionofthearbitrator(s)shallbefinalandbindingonbothParties.

10.GoverningLaw

ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].

11.EntireAgreement

ThisContractconstitutestheentireagreementbetweenthePartieswithrespecttothesubjectmatterhereofandsupersedesallpriororalorwrittenagreementsandunderstandingsrelatingtothesame.

12.AmendmentsandWaivers

Noamendment,modification,orwaiverofanyprovisionofthisContractshallbeeffectiveunlessinwritingandsignedbybothParties.

13.Severability

IfanyprovisionofthisContractisheldtobeinvalid
