I.PARTIESTOTHECONTRACT

II.ESTABLISHMENTOFTHEJOINTVENTURECOMPANY

1.Formation

ThePartiesherebyagreetojointlyestablishajointventurecompany(the“JointVentureCompany”)inaccordancewiththelawsof[Jurisdiction].ThenameoftheJointVentureCompanyshallbe[NameoftheJointVentureCompany].

2.LegalStatus

TheJointVentureCompanyshallbealegalpersonunderthelawsof[Jurisdiction]andshallenjoyfulllegalcapacitytoengageinbusinessactivitieswithinthescopeapprovedbytherelevantgovernmentauthorities.

3.PurposeandScopeofBusiness

III.REGISTEREDCAPITALANDINVESTMENT

2.InvestmentContribution

TohaveaccesstothefinancialandbusinessinformationoftheJointVentureCompany.

PartyB

SimilarrightsasPartyA,includingparticipationindecisionmaking,profitsharing,andaccesstoinformation.

2.ObligationsoftheParties

PartyA

Tocontributeitsinvestmentinfullandontimeasagreed.

TokeepconfidentialanytradesecretsandconfidentialinformationoftheJointVentureCompany.

TocomplywiththearticlesofassociationandrelevantregulationsoftheJointVentureCompany.

PartyB

SimilarobligationsasPartyA,includingtimelyinvestmentcontribution,confidentiality,andcompliancewiththecompany'sregulations.

V.MANAGEMENTANDOPERATIONOFTHEJOINTVENTURECOMPANY

1.BoardofDirectors

TheJointVentureCompanyshallestablishaboardofdirectors(the“Board”).TheBoardshallconsistof[Number]directors,with[Number]directorsappointedbyPartyAand[Number]directorsappointedbyPartyB.

ThechairmanoftheBoardshallbeappointedby[Partyname],andthevicechairmanshallbeappointedby[Partyname].

TheBoardshallbethehighestdecisionmakingbodyoftheJointVentureCompany,responsibleforformulatingmajorbusinessstrategies,approvingannualbudgets,andmakingimportantdecisionsregardingthecompany'soperations.

2.ManagementTeam

TheJointVentureCompanyshallhaveamanagementteamledbyageneralmanager.ThegeneralmanagershallberesponsibleforthedailyoperationandmanagementoftheJointVentureCompanyunderthesupervisionoftheBoard.

VI.PROFITDISTRIBUTIONANDLOSSBEARING

1.ProfitDistribution

TheprofitsoftheJointVentureCompanyshallbedistributedamongthePartiesinproportiontotheirrespectiveequityinterestsaftermakingprovisionsforstatutoryreserves,publicwelfarefunds,andrepaymentofdebtsinaccordancewiththerelevantlawsandregulations.

2.LossBearing

IncaseoflossesoftheJointVentureCompany,thePartiesshallbearthelossesinproportiontotheirrespectiveequityinterests.

VII.TRANSFEROFEQUITYINTEREST

1.TransferbyaParty

NoPartyshalltransferallorpartofitsequityinterestintheJointVentureCompanywithoutthepriorwrittenconsentoftheotherParty.Incaseofatransfer,theotherPartyshallhavethepreemptiverighttopurchasethetransferredequityinterestunderthesameconditions.

2.ApprovalRequirements

Anytransferofequityinterestshallbesubjecttotheapprovaloftherelevantgovernmentauthoritiesandshallberegisteredwiththerelevantadministrativedepartmentforindustryandcommerce.

VIII.TERMOFTHEJOINTVENTURE

1.InitialTerm

ThetermoftheJointVentureCompanyshallbe[Number]years,commencingfromthedateofissuanceofthebusinesslicense.

2.Renewal

IfbothPartieswishtorenewthetermoftheJointVentureCompany,theyshalljointlyapplytotherelevantgovernmentauthoritiesforrenewalatleast[Timelimit,e.g.,sixmonths]beforetheexpirationofthecurrentterm.

IX.DEFAULTANDLIABILITY

1.DefaultbyaParty

IfaPartyfailstoperformanyofitsobligationsunderthisContract,includingbutnotlimitedtolateorincompleteinvestmentcontribution,breachofconfidentialityobligations,ornoncompliancewiththecompany'sregulations,itshallbedeemedtobeindefault.

2.LiabilityforDefault

ThedefaultingPartyshallindemnifythenondefaultingPartyforalllossessufferedasaresultofthedefault,includingbutnotlimitedtodirectlosses,indirectlosses,andreasonableattorney'sfees.

Incaseofseriousdefault,thenondefaultingPartyshallhavetherighttoterminatethisContractandrequirethedefaultingPartytowithdrawfromtheJointVentureCompany.

X.DISPUTERESOLUTION

1.Negotiation

IncaseofanydisputearisingoutoforinconnectionwiththisContract,thePartiesshallfirstattempttoresolvethedisputethroughfriendlynegotiation.

2.ArbitrationorLitigation

Ifthenegotiationfails,thePartiesagreetoresolvethedisputethrough[ArbitrationorLitigation].

Arbitration:Ifarbitrationisselected,thearbitrationshallbeconductedinaccordancewiththearbitrationrulesof[Arbitrationinstitution].Theplaceofarbitrationshallbe[Place].ThearbitrationawardshallbefinalandbindingonbothParties.

Litigation:Iflitigationisselected,thecaseshallbeunderthejurisdictionofthe[Courtname]inaccordancewiththerelevantlaws.

XI.GOVERNINGLAW
