ThisAgreement(the"Agreement")ismadeandenteredintoasof[Date],byandbetween[ForwardingAgent'sName],a[ForwardingAgent'sLegalStatus]entitywithitsprincipalplaceofbusinessat[ForwardingAgent'sAddress],("ForwardingAgent"),and[Shipper'sName],a[Shipper'sLegalStatus]entitywithitsprincipalplaceofbusinessat[Shipper'sAddress]("Shipper").

WHEREAS,theShipperdesirestoengagetheForwardingAgenttoactasitsagentforthepurposeofarrangingforthetransportationofgoodsfromthepointoforigintothedestinationasspecifiedbelow,andtheForwardingAgentagreestoperformsuchservicesfortheShipperuponthetermsandconditionssetforthherein.

NOW,THEREFORE,inconsiderationofthemutualcovenantsandpromiseshereincontained,thepartiesheretoagreeasfollows:

1.ScopeofServices

TheForwardingAgentagreestoprovidethefollowingservicestotheShipper:

a.Toarrangeforthetransportationofthegoodsbysea,air,rail,oranyothersuitablemodeoftransportasrequiredbytheShipper.

b.Toprepareandsubmitallnecessarydocumentationforthetransportationofthegoods,includingbutnotlimitedtobillsoflading,airwaybills,andcustomsdeclarations.

c.ToprovideinsurancecoverageforthegoodsasrequestedbytheShipper.

d.Toassistwithcustomsclearanceproceduresatthedestination.

e.Toprovidetrackingandtracingservicesforthegoodsduringtransportation.

2.ResponsibilitiesoftheShipper

TheShipperagreesto:

a.ProvidetheForwardingAgentwithallnecessaryinformationanddocumentationrequiredforthetransportationofthegoods.

b.Payallchargesandfeesincurredinconnectionwiththetransportationandhandlingofthegoods.

c.Ensurethatthegoodsareproperlypackedandlabeledinaccordancewiththeapplicableregulationsandrequirements.

d.ProvidetheForwardingAgentwithanyadditionalinstructionsorrequirementsforthetransportationofthegoods.

3.ResponsibilitiesoftheForwardingAgent

TheForwardingAgentagreesto:

a.Usereasonablecareanddiligenceintheperformanceofitsservices.

b.KeeptheShipperinformedoftheprogressofthegoodsduringtransportation.

c.Ensurethatthegoodsaretransportedinamannerthatcomplieswithallapplicablelawsandregulations.

d.MaintainconfidentialityofallinformationprovidedbytheShipper.

4.Compensation

TheShipperagreestopaytheForwardingAgentthefollowingcompensationforitsservices:

a.Aflatfeeof[Amount]forthearrangementoftransportationandhandlingofthegoods.

b.A[Percentage]%commissiononthetotalvalueofthegoods.

c.Anyadditionalchargesorfeesincurredinconnectionwiththetransportationandhandlingofthegoods.

5.Liability

TheForwardingAgentshallnotbeliableforanyloss,damage,ordelaytothegoodsinexcessoftheamountrecoverableundertheapplicableinsurancepolicy.TheShipperagreestoindemnifytheForwardingAgentagainstanyclaimsorliabilitiesarisingoutoforinconnectionwiththetransportationofthegoods.

6.Confidentiality

ThepartiesagreetokeepconfidentialallinformationdisclosedtothembytheotherpartyinconnectionwiththisAgreement.

7.TermandTermination

ThisAgreementshallremainineffectforaperiodof[Number]monthsfromthedatehereof,unlessterminatedearlierbyeitherpartyupon[Number]days'writtennoticetotheotherparty.

8.GoverningLaw

ThisAgreement(the"Agreement")ismadeandenteredintoasof[Date],byandbetween[ForwardingAgent'sName],a[ForwardingAgent'sLegalStatus]withitsprincipalplaceofbusinessat[ForwardingAgent'sAddress]("ForwardingAgent"),and[Shipper'sName],a[Shipper'sLegalStatus]withitsprincipalplaceofbusinessat[Shipper'sAddress]("Shipper").

WHEREAS,theShipperisengagedintheimport/exportofgoodsandrequirestheservicesofaFreightForwardingAgenttoarrangeforthetransportationofsuchgoodsfromthepointoforigintothefinaldestination;

ANDWHEREAS,theForwardingAgentiswillingtoprovidesuchservicestotheShipper;

NOW,THEREFORE,inconsiderationofthemutualcovenantsandpromiseshereincontained,thepartiesheretoagreeasfollows:

1.ScopeofServices

TheForwardingAgentagreestoprovidethefollowingservicestotheShipper:

a.Toarrangeforthetransportationofthegoodsbysea,air,oranyothersuitablemeansofconveyance;

b.Toprepareandsubmitallnecessaryshippingdocuments,including,butnotlimitedto,billsoflading,airwaybills,andcustomsdeclarations;

c.Toensurecompliancewithallapplicableinternationalandlocalregulationsandstandards;

d.Toarrangeforinsurancecoverageforthegoods,ifrequiredbytheShipper;

e.Toprovidetrackingandtracingservicesforthegoodsduringtransportation;

f.Toassistwithcustomsclearanceproceduresatthedestination;

g.ToprovideanyotherservicesasmaybereasonablyrequiredbytheShipper.

2.ResponsibilitiesoftheShipper

TheShipperagreesto:

a.ProvidetheForwardingAgentwithallnecessaryinformationregardingthegoods,including,butnotlimitedto,descriptions,quantities,anddimensions;

b.Ensurethatallgoodsareproperlypackedandlabeledinaccordancewithinternationalshippingstandards;

c.ProvidetheForwardingAgentwithallrequireddocuments,including,butnotlimitedto,commercialinvoices,packinglists,andshippinginstructions;

d.Payallchargesandfeesincurredinconnectionwiththetransportationandhandlingofthegoods;

e.IndemnifytheForwardingAgentagainstanyloss,damage,orliabilityarisingfromtheShipper'sfailuretocomplywithitsobligationsunderthisAgreement.

3.ResponsibilitiesoftheForwardingAgent

TheForwardingAgentagreesto:

a.UsereasonablecareintheperformanceofitsdutiesunderthisAgreement;

b.KeeptheShipperinformedoftheprogressoftheshipmentandanyissuesthatmayarise;

c.Notbeliableforanyloss,damage,ordelaytothegoodsunlesssuchloss,damage,ordelayisduetotheForwardingAgent'snegligenceorwillfulmisconduct;

d.Notbeliableforanyactsoromissionsofcarriers,freightforwarders,orotherthirdparties;

e.Complywithallapplicablelaws,regulations,andstandards;

f.ProvidetheShipperwithacopyofallshippingdocumentsandinvoicesuponcompletionoftheservices.

4.FeesandPayment

TheShipperagreestopaytheForwardingAgentthefollowingfeesfortheservicesprovided:

a.Abasichandlingfeeof[Amount]pershipment;

b.Anyadditionalchargesincurredinconnectionwiththetransportationandhandlingofthegoods;

c.A[Percentage]%commissiononthetotalvalueofthegoodstransported.

Paymentshallbemadewithin[Number]daysoftheinvoicedate,unlessotherwiseagreeduponbytheparties.

5.Confidentiality

ThepartiesagreetokeepconfidentialallinformationobtainedinconnectionwiththisAgreement,exceptasrequiredbylaworasagreeduponbythepartiesinwriting.

6.TermandTermination

8.EntireAgreement

WHEREAS,theClientdesirestoengagetheForwardingAgenttoprovidefreightforwardingservicesforthetransportationofgoodsfrom[Origin]to[Destination];and

WHEREAS,theForwardingAgentiswillingtoprovidesuchservicesuponthetermsandconditionssetforthherein.

NOW,THEREFORE,inconsiderationofthemutualcovenantsandpromiseshereincontained,thepartiesheretoagreeasfollows:

1.ScopeofServices

TheForwardingAgentagreestoprovidethefollowingservicestotheClient:

a.Toarrangeforthetransportationofgoodsfrom[Origin]to[Destination]bythemostefficientandcost-effectivemeansavailable,includingbutnotlimitedto,ocean,air,andlandtransportation.

b.Toprepareandsubmitallnecessaryshippingdocuments,includingbutnotlimitedto,billsoflading,airwaybills,andcustomsdocuments.

c.Toprovidetrackingandtracingservicesforthegoodsduringtransportation.

d.Toassistwithcustomsclearanceandcompliancewithallapplicablelawsandregulations.

e.Toensurethatthegoodsarehandledwithduecareanddiligencethroughoutthetransportationprocess.

2.FeesandPayment

a.TheForwardingAgentshallchargetheClientafeeforitsservicesasspecifiedintheattachedScheduleofFees.

b.AllfeesshallbepaidbytheClientwithin[Number]daysoftheinvoicedate.Failuretopaywithinthespecifiedperiodmayresultinthesuspensionofservices.

c.TheForwardingAgentreservestherighttoadjustitsfeesintheeventofchangesintransportationcosts,taxes,orotherfactorsbeyonditscontrol.

3.ResponsibilitiesoftheClient

a.TheClientshallprovidetheForwardingAgentwithallnecessaryinformationanddocumentationtofacilitatethetransportationofthegoods.

b.TheClientshallberesponsiblefortheaccuracyandcompletenessofallinformationprovidedtotheForwardingAgent.

c.TheClientshallcomplywithallapplicablelawsandregulationsregardingtheexportation,importation,andtransportationofthegoods.

d.TheClientshallberesponsibleforanyandallduties,taxes,andfeesassociatedwiththetransportationofthegoods.

4.LimitationofLiability

a.TheForwardingAgentshallnotbeliableforanyloss,damage,ordelaytothegoodsresultingfromcausesbeyonditscontrol,includingbutnotlimitedto,actsofGod,war,strikes,labordisputes,civildisturbances,andgovernmentactions.

b.TheForwardingAgent'sliabilityforanyloss,damage,ordelaytothegoodsshallbelimitedtothelesseroftheactualvalueofthegoodsortheamountofinsurancecoverageobtainedbytheClient.

c.TheForwardingAgentshallnotbeliableforanyindirect,special,orconsequentialdamagesarisingoutoforinc
