2025采購(gòu)合同范本英文xxThisContractNo.:datedasof(the"Contract"),isenteredintobyandbetween(the"Buyer")and(the"Seller").1.DefinitionsandInterpretationsForthepurposesofthisContract,thefollowingtermsshallhavethemeaningssetforthbelow:"Goods"shallrefertothetangibleitems,materials,orproductstobesuppliedbytheSellertotheBuyerasdescribedinExhibitAattachedhereto."Services"shallrefertotheconsulting,technical,orotherservicestobeprovidedbytheSellerasdescribedinExhibitBattachedhereto."Deliverables"shallmeantheGoodsand/orServicesagreedtobedeliveredbytheSellerunderthisContract."PurchaseOrder"shallrefertoanywrittenorelectronicnotificationissuedbytheBuyertotheSellerindicatingtheBuyer'sintenttopurchasespecificGoodsand/orServicesunderthisContract."ForceMajeure"shallmeananyeventbeyondthereasonablecontrolofeitherparty,includingbutnotlimitedtonaturaldisasters,actsofwar,governmentalactions,orpandemics,whichpreventsordelaystheperformanceofeitherparty'sobligationsunderthisContract.2.ScopeofSupplyTheSelleragreestosupplytotheBuyertheGoodsand/orServicesasspecifiedinExhibitsAandBattachedhereto.TheBuyeragreestopurchasesuchGoodsand/orServicesfromtheSeller,subjecttothetermsandconditionssetforthinthisContract.3.PricingandPayment3.1Prices:ThepricesfortheGoodsand/orServicesshallbeassetforthinExhibitsAandB,unlessotherwiseagreeduponinwritingbybothparties.TheSelleragreestoprovidetheBuyerwithadetailedinvoiceforeachdeliveryofGoodsand/orServices.3.2PaymentTerms:TheBuyershallpaytheinvoiceswithindaysofreceipt,unlessotherwisespecifiedinwritingbytheSeller.AllpaymentsshallbemadeinandsenttotheaddressspecifiedbytheSeller.3.3LatePaymentCharges:IftheBuyerfailstomakepaymentwithintheagreedperiod,theSellershallbeentitledtochargeinterestontheunpaidamountatarateof%perannum,calculatedfromthedatepaymentwasdueuntilthedateofactualpayment.4.DeliveryandAcceptance4.1Delivery:TheSellershalldelivertheGoodsand/orServicestotheBuyeratthelocationspecifiedinExhibitA,inaccordancewiththeschedulesetforththerein.TheSellershallensurethattheGoodsarepackagedandtransportedinamannersuitablefortheirnatureandforsafedeliverytotheBuyer.4.2ShippingandRisk:TheriskoflossordamagetotheGoodsshallpasstotheBuyerupondeliverytotheagreedlocation.TheSellershallprovidetheBuyerwithadetailedshippingnotice,includingtheexpecteddateofdeliveryandthecarrier'sinformation.4.3Acceptance:TheBuyershallinspecttheGoodsand/orServicesupondeliveryandnotifytheSellerinwritingwithindaysifanydefectsordiscrepanciesarefound.IftheBuyerfailstoprovidesuchwrittennoticewithinthespecifiedperiod,theGoodsand/orServicesshallbedeemedtohavebeenacceptedbytheBuyer.5.QualityandSpecifications5.1QualityStandards:TheGoodsand/orServicessuppliedbytheSellershallconformtothequalitystandardsandspecificationssetforthinExhibitsAandB.TheSellershallensurethattheGoodsarefreefromdefectsinmaterialandworkmanshipforaperiodofmonthsfromthedateofdelivery.5.2CertificationandCompliance:TheSellershallensurethattheGoodsand/orServicescomplywithallapplicablelaws,regulations,andstandardsinthejurisdictionoftheBuyer.TheSellershallprovidetheBuyerwithallnecessarycertificatesanddocumentationtodemonstratecompliance.5.3Warranty:TheSellerwarrantsthattheGoodsand/orServicesshallbefreefromdefectsinmaterialandworkmanshipfortheperiodspecifiedabove.TheSellershall,atitsownexpense,repairorreplaceanydefectiveGoodsand/orServiceswithindaysofreceivingwrittennoticefromtheBuyer.6.IntellectualProperty6.1Ownership:Allintellectualpropertyrights,includingbutnotlimitedtotrademarks,patents,copyrights,anddesigns,relatedtotheGoodsand/orServicesshallremainwiththeSeller,unlessotherwiseagreeduponinwritingbytheparties.6.2Licensing:TheSellershallgranttheBuyeranon-exclusive,royalty-freelicensetouseanyintellectualpropertyoftheSellerinconnectionwiththeGoodsand/orServicesforthetermofthisContract.6.3Confidentiality:Bothpartiesagreetokeepconfidentialallnon-public,proprietaryinformationdisclosedtothembytheotherpartyinconnectionwiththisContract.Neitherpartyshalldisclosesuchinformationtoanythirdpartywithoutthepriorwrittenconsentoftheotherparty.7.Termination7.1TerminationforConvenience:EitherpartymayterminatethisContract,inwholeorinpart,withoutcause,byprovidingdayswrittennoticetotheotherparty.7.2TerminationforCause:EitherpartymayterminatethisContractimmediatelyuponwrittennoticeiftheotherpartybreachesanyofitsmaterialobligationsunderthisContractandfailstocuresuchbreachwithindaysofreceivingwrittennoticethereof.7.3EffectofTermination:Upontermination,theBuyershallpayforallGoodsand/orServicesdelivereduptothedateoftermination,andtheSellershalluseitsbesteffortstominimizeanylossesordamagesresultingfromthetermination.8.LiabilityandIndemnification8.1Liability:Neitherpartyshallbeliabletotheotherforanyindirect,incidental,orconsequentialdamagesarisingoutoforinconnectionwiththisContract.ThetotalaggregateliabilityofeitherpartyshallnotexceedthetotalamountpaidbytheBuyertotheSellerunderthisContract.8.2Indemnification:TheSellershallindemnifyandholdharmlesstheBuyerfromanyclaims,liabilities,damages,orcostsarisingoutofanydefectsintheGo
