一、合同前言（Preamble）合同編號(hào)（ContractNo.）：_________簽訂日期（DateofSigning）：_________（一）委托方（Principal）名稱（Name）：_________________________地址（Address）：_______________________法定代表人（LegalRepresentative）：_______（二）受托方（Contractor）名稱（Name）：_________________________地址（Address）：_______________________法定代表人（LegalRepresentative）：_______（三）鑒于條款（WhereasClauses）1.委托方系一家從事[產(chǎn)品領(lǐng)域]產(chǎn)品研發(fā)、銷售的企業(yè)，擁有相關(guān)品牌、技術(shù)及市場(chǎng)資源；2.受托方系一家具備[產(chǎn)品]生產(chǎn)能力的制造企業(yè)，擁有符合生產(chǎn)要求的設(shè)備、技術(shù)及資質(zhì)；3.雙方經(jīng)友好協(xié)商，擬就委托方委托受托方生產(chǎn)指定產(chǎn)品（以下簡(jiǎn)稱“OEM產(chǎn)品”）事宜達(dá)成合作，依據(jù)《中華人民共和國(guó)民法典》（或雙方約定的法律）及相關(guān)國(guó)際慣例，訂立本合同。（英文翻譯）1.ThePrincipalisanenterpriseengagedinR&Dandsalesof[ProductField]products,owningrelevantbrands,technologiesandmarketresources;2.TheContractorisamanufacturingenterprisewiththeproductioncapacityof[Product],possessingequipment,technologyandqualificationsmeetingproductionrequirements;3.Throughfriendlynegotiation,bothpartiesintendtocooperateonthematterofthePrincipalentrustingtheContractortoproducedesignatedproducts(hereinafterreferredtoas"OEMProducts").ThisContractisconcludedinaccordancewiththeCivilCodeofthePeople'sRepublicofChina(orthelawagreedbybothparties)andrelevantinternationalpractices.二、定義（Definitions）1.OEM產(chǎn)品（OEMProducts）：指受托方根據(jù)委托方提供的技術(shù)資料、質(zhì)量標(biāo)準(zhǔn)及訂單要求，為委托方生產(chǎn)的[具體產(chǎn)品名稱]。2.知識(shí)產(chǎn)權(quán)（IntellectualPropertyRights,IPR）：包括但不限于專利、商標(biāo)、著作權(quán)、商業(yè)秘密、技術(shù)秘密、域名、集成電路布圖設(shè)計(jì)等依法受保護(hù)的智力成果及相關(guān)權(quán)利。3.技術(shù)資料（TechnicalDocumentation）：委托方為生產(chǎn)OEM產(chǎn)品向受托方提供的設(shè)計(jì)圖紙、工藝文件、技術(shù)參數(shù)、檢驗(yàn)標(biāo)準(zhǔn)等文件（含電子文檔）。4.質(zhì)量標(biāo)準(zhǔn)（QualityStandard）：指雙方另行簽署的《產(chǎn)品質(zhì)量規(guī)范》（見(jiàn)附件一）或國(guó)際通用標(biāo)準(zhǔn)（如ISO[標(biāo)準(zhǔn)號(hào)]）。（英文翻譯）1.OEMProducts：Refersto[SpecificProductName]producedbytheContractorforthePrincipalaccordingtothetechnicaldocumentation,qualitystandardsandorderrequirementsprovidedbythePrincipal.2.IntellectualPropertyRights(IPR)：Includingbutnotlimitedtopatents,trademarks,copyrights,tradesecrets,technicalsecrets,domainnames,integratedcircuitlayoutdesignsandotherlegallyprotectedintellectualachievementsandrelatedrights.3.TechnicalDocumentation：Documents(includingelectronicdocuments)suchasdesigndrawings,processdocuments,technicalparameters,inspectionstandards,etc.providedbythePrincipaltotheContractorfortheproductionofOEMProducts.4.QualityStandard：Referstothe"ProductQualitySpecification"(seeAppendix1)signedseparatelybybothpartiesortheinternationallyacceptedstandard(e.g.,ISO[StandardNo.]).三、合作內(nèi)容（ScopeofCooperation）1.委托生產(chǎn)：委托方委托受托方生產(chǎn)OEM產(chǎn)品，受托方同意接受委托，按本合同約定的要求組織生產(chǎn)、包裝、交付產(chǎn)品。2.產(chǎn)品規(guī)格：OEM產(chǎn)品的具體規(guī)格、技術(shù)參數(shù)以《產(chǎn)品規(guī)格書(shū)》（附件二）為準(zhǔn)，受托方應(yīng)嚴(yán)格按照該規(guī)格書(shū)生產(chǎn)。3.生產(chǎn)地點(diǎn)：受托方應(yīng)在其位于[地址]的工廠內(nèi)生產(chǎn)OEM產(chǎn)品，未經(jīng)委托方書(shū)面同意，不得轉(zhuǎn)委托第三方生產(chǎn)。（英文翻譯）1.EntrustedProduction：ThePrincipalentruststheContractortoproduceOEMProducts,andtheContractoragreestoaccepttheentrustmentandorganizeproduction,packaginganddeliveryofproductsinaccordancewiththerequirementsofthisContract.2.ProductSpecifications：ThespecificspecificationsandtechnicalparametersofOEMProductsshallbesubjecttothe"ProductSpecification"(Appendix2).TheContractorshallstrictlyproduceinaccordancewiththisspecification.3.ManufacturingLocation：TheContractorshallproduceOEMProductsinitsfactorylocatedat[Address].WithoutthewrittenconsentofthePrincipal,itshallnotsubcontracttheproductiontoathirdparty.四、訂單與交貨（OrdersandDelivery）1.訂單下達(dá)：委托方應(yīng)通過(guò)書(shū)面形式（包括電子郵件、傳真）向受托方下達(dá)訂單，訂單應(yīng)明確產(chǎn)品型號(hào)、數(shù)量、交貨期、交貨地點(diǎn)等內(nèi)容。受托方應(yīng)在收到訂單后[X]個(gè)工作日內(nèi)以書(shū)面形式確認(rèn)，未確認(rèn)的視為默認(rèn)接受。2.交貨期：受托方應(yīng)在訂單確認(rèn)后的[X]天內(nèi)完成生產(chǎn)并交付產(chǎn)品。如因原材料短缺、設(shè)備故障等非不可抗力原因?qū)е卵舆t，受托方應(yīng)提前[X]天通知委托方，協(xié)商調(diào)整交貨期；如因不可抗力延遲，按本合同“不可抗力”條款處理。3.交貨地點(diǎn)：產(chǎn)品應(yīng)交付至委托方指定的地點(diǎn)（如：[港口名稱]港口倉(cāng)庫(kù)、委托方指定的貨運(yùn)代理倉(cāng)庫(kù)），或雙方另行約定的地點(diǎn)。4.運(yùn)輸與保險(xiǎn)：受托方負(fù)責(zé)將產(chǎn)品運(yùn)輸至交貨地點(diǎn)，運(yùn)輸費(fèi)用由受托方承擔(dān)；受托方應(yīng)為產(chǎn)品購(gòu)買從工廠出庫(kù)至交貨地點(diǎn)的運(yùn)輸保險(xiǎn)，保險(xiǎn)費(fèi)用由受托方承擔(dān)。（英文翻譯）1.OrderPlacement：ThePrincipalshallissueorderstotheContractorinwriting(includingemail,fax),whichshallspecifyproductmodel,quantity,deliveryperiod,deliveryplace,etc.TheContractorshallconfirminwritingwithin[X]workingdaysafterreceivingtheorder.Failuretoconfirmshallbedeemedasdefaultacceptance.3.DeliveryPlace：ProductsshallbedeliveredtotheplacedesignatedbythePrincipal(e.g.,warehouseat[PortName]Port,warehouseoffreightforwarderdesignatedbythePrincipal)ortheplaceotherwiseagreedbybothparties.4.TransportationandInsurance：TheContractorshallberesponsiblefortransportingproductstothedeliveryplace,andthetransportationcostshallbebornebytheContractor;theContractorshallpurchasetransportationinsuranceforproductsfromfactoryoutboundtodeliveryplace,andtheinsurancecostshallbebornebytheContractor.五、價(jià)格與付款（PriceandPayment）1.產(chǎn)品價(jià)格：每件OEM產(chǎn)品的價(jià)格為[金額]（幣種：[如USD/CNY]），該價(jià)格包含生產(chǎn)成本、包裝費(fèi)、受托方所在國(guó)稅費(fèi)、運(yùn)輸費(fèi)（至交貨地點(diǎn)），不含委托方所在國(guó)進(jìn)口關(guān)稅、增值稅及其他稅費(fèi)。2.價(jià)格調(diào)整：如原材料市場(chǎng)價(jià)格波動(dòng)幅度超過(guò)[X]%（以訂單下達(dá)時(shí)的市場(chǎng)價(jià)格為基準(zhǔn)），雙方應(yīng)在收到市場(chǎng)價(jià)格變動(dòng)通知后[X]個(gè)工作日內(nèi)協(xié)商調(diào)整產(chǎn)品價(jià)格，調(diào)整后的價(jià)格自雙方書(shū)面確認(rèn)之日起生效。3.付款方式：委托方采用電匯（T/T）方式付款，具體為：預(yù)付款：訂單確認(rèn)后[X]個(gè)工作日內(nèi)，支付訂單金額的[X]%；余款：受托方交付產(chǎn)品并提供商業(yè)發(fā)票、裝箱單、質(zhì)檢報(bào)告、提單（或交貨確認(rèn)單）后[X]個(gè)工作日內(nèi)，支付訂單金額的[X]%。（或約定信用證付款：委托方應(yīng)在交貨期前[X]天開(kāi)立不可撤銷信用證，信用證有效期至交貨后[X]天。）4.付款貨幣：雙方約定以[幣種]進(jìn)行結(jié)算，如因匯率波動(dòng)導(dǎo)致的損失，由[委托方/受托方/雙方各承擔(dān)50%]承擔(dān)（雙方協(xié)商約定）。（英文翻譯）1.ProductPrice：ThepriceofeachOEMProductis[Amount](Currency:[e.g.,USD/CNY]),whichincludesproductioncost,packagingcost,taxesintheContractor’scountry,transportationcost(todeliveryplace),excludingimportduties,value-addedtaxandothertaxesinthePrincipal’scountry.2.PriceAdjustment：Ifthemarketpriceofrawmaterialsfluctuatesbymorethan[X]%(basedonthemarketpriceatthetimeoforderplacement),bothpartiesshallnegotiatetoadjusttheproductpricewithin[X]workingdaysafterreceivingthenoticeofmarketpricechange.Theadjustedpriceshalltakeeffectfromthedateofwrittenconfirmationbybothparties.3.PaymentTerms：ThePrincipalshallpaybytelegraphictransfer(T/T),specifically:AdvancePayment:Pay[X]%oftheorderamountwithin[X]workingdaysafterorderconfirmation;(OragreeonL/Cpayment:ThePrincipalshallopenanirrevocableletterofcredit[X]daysbeforethedeliveryperiod,andthevalidityperiodoftheletterofcreditshallbe[X]daysafterdelivery.)4.SettlementCurrency：Bothpartiesagreetosettlein[Currency].Incaseoflossescausedbyexchangeratefluctuations,itshallbeborneby[Principal/Contractor/bothparties50%each](agreedbybothpartiesthroughnegotiation).六、知識(shí)產(chǎn)權(quán)與品牌（IntellectualPropertyandBranding）1.委托方知識(shí)產(chǎn)權(quán)：委托方提供的商標(biāo)、專利、技術(shù)資料等知識(shí)產(chǎn)權(quán)歸委托方所有，受托方僅有權(quán)為生產(chǎn)OEM產(chǎn)品之目的使用，不得復(fù)制、向任何第三方披露或用于其他產(chǎn)品的生產(chǎn)。委托方應(yīng)向受托方提供商標(biāo)使用授權(quán)書(shū)（見(jiàn)附件三）。2.受托方知識(shí)產(chǎn)權(quán)：受托方在生產(chǎn)過(guò)程中使用的自有生產(chǎn)技術(shù)、設(shè)備專利等知識(shí)產(chǎn)權(quán)歸受托方所有，委托方未經(jīng)受托方書(shū)面同意，不得將該等知識(shí)產(chǎn)權(quán)用于其他產(chǎn)品的生產(chǎn)或向第三方披露。3.產(chǎn)品標(biāo)識(shí)：OEM產(chǎn)品的商標(biāo)、品牌、包裝設(shè)計(jì)等標(biāo)識(shí)應(yīng)嚴(yán)格按照委托方提供的設(shè)計(jì)方案執(zhí)行，產(chǎn)品及包裝上不得出現(xiàn)受托方的任何商標(biāo)、廠名、標(biāo)識(shí)（除非委托方書(shū)面同意）。（英文翻譯）1.Principal’sIPR：Theintellectualpropertyrightssuchastrademarks,patents,technicaldocumentationprovidedbythePrincipalshallbeownedbythePrincipal.TheContractorshallonlyhavetherighttousethemforthepurposeofproducingOEMProducts,andshallnotcopy,disclosetoanythirdpartyorusethemfortheproductionofotherproducts.ThePrincipalshallprovidetheContractorwithatrademarkuseauthorizationletter(seeAppendix3).2.Contractor’sIPR：TheintellectualpropertyrightssuchastheContractor’sownproductiontechnology,equipmentpatentsusedintheproductionprocessshallbeownedbytheContractor.WithoutthewrittenconsentoftheContractor,thePrincipalshallnotusesuchintellectualpropertyrightsfortheproductionofotherproductsordisclosethemtothirdparties.3.ProductLabeling：Thetrademarks,brands,packagingdesignsandotherlabelsofOEMProductsshallbestrictlyimplementedinaccordancewiththedesignplanprovidedbythePrincipal.Notrademark,factorynameorlabeloftheContractorshallappearontheproductsorpackaging(unlessthePrincipalagreesinwriting).七、質(zhì)量控制（QualityControl）1.質(zhì)量標(biāo)準(zhǔn)：OEM產(chǎn)品的質(zhì)量應(yīng)符合《產(chǎn)品質(zhì)量規(guī)范》（附件一）及雙方確認(rèn)的樣品標(biāo)準(zhǔn)，如涉及出口，還應(yīng)符合進(jìn)口國(guó)的相關(guān)質(zhì)量、安全標(biāo)準(zhǔn)。2.檢驗(yàn)流程：產(chǎn)前檢驗(yàn)：受托方在正式生產(chǎn)前應(yīng)制作樣品，經(jīng)委托方檢驗(yàn)合格并簽署《樣品確認(rèn)書(shū)》后，方可批量生產(chǎn)；過(guò)程檢驗(yàn)：委托方有權(quán)派員到受托方工廠對(duì)生產(chǎn)過(guò)程進(jìn)行檢驗(yàn)，受托方應(yīng)予以配合并提供必要的生產(chǎn)記錄；出廠檢驗(yàn)：受托方在產(chǎn)品出廠前應(yīng)進(jìn)行自檢，出具《出廠質(zhì)檢報(bào)告》，并隨貨提供該報(bào)告；到貨檢驗(yàn)：委托方在交貨地點(diǎn)收到產(chǎn)品后，應(yīng)在[X]個(gè)工作日內(nèi)進(jìn)行檢驗(yàn)，如發(fā)現(xiàn)質(zhì)量問(wèn)題，應(yīng)書(shū)面通知受托方，雙方協(xié)商處理。3.不合格品處理：如檢驗(yàn)發(fā)現(xiàn)產(chǎn)品不符合質(zhì)量標(biāo)準(zhǔn)，受托方應(yīng)在收到通知后[X]天內(nèi)免費(fèi)返工、換貨或退款（按委托方要求），并承擔(dān)由此產(chǎn)生的運(yùn)輸、倉(cāng)儲(chǔ)等費(fèi)用。如因質(zhì)量問(wèn)題導(dǎo)致委托方遭受損失（如客戶索賠、商譽(yù)損失），受托方應(yīng)全額賠償。（英文翻譯）2.InspectionProcedure：Pre-productionInspection:TheContractorshallmakesamplesbeforeformalproduction.MassproductionshallbecarriedoutonlyafterthesamplesareinspectedandqualifiedbythePrincipalandthe"SampleConfirmation"issigned;In-processInspection:ThePrincipalhastherighttosendpersonneltotheContractor’sfactorytoinspecttheproductionprocess.TheContractorshallcooperateandprovidenecessaryproductionrecords;Pre-shipmentInspection:TheContractorshallconductself-inspectionbeforetheproductsleavethefactory,issuea"Pre-shipmentQualityInspectionReport"andprovidethereportwiththegoods;ArrivalInspection:Afterreceivingtheproductsatthedeliveryplace,thePrincipalshal
