2025工程承包英語對話合同簽訂成功CONTRACTFORENGINEERINGCONSTRUCTIONPROJECT2025ThisContractforEngineeringConstructionProject2025（hereinafterreferredtoas"thisContract"）isenteredintoonthisdayof,2025,byandbetween:TheContractor:Name:Address:ContactInformation:以下簡稱"Contractor"。TheClient:Name:Address:ContactInformation:以下簡稱"Client"。RECITALS:A.TheClientintendstocarryouttheEngineeringConstructionProject2025（hereinafterreferredtoas"theProject"）,whichinvolves（describethenatureandscopeoftheProject）.B.TheContractorisqualifiedandcapableofperformingtheProjectinaccordancewiththetermsandconditionssetforthherein.NOW,THEREFORE,inconsiderationofthemutualcovenantsandpromiseshereincontained,thepartiesheretoagreeasfollows:1.DEFINITIONSForthepurposeofthisContract,thefollowingtermsshallhavethemeaningsascribedtothem:1.1"Project"shallmeantheEngineeringConstructionProject2025asdescribedinRecitalsabove.1.2"Contractor"shallmeantheentityidentifiedassuchinthebeginningofthisContract.1.3"Client"shallmeantheentityidentifiedassuchinthebeginningofthisContract.1.4"Works"shallmeanallactivities,tasks,andservicestobeperformedbytheContractorunderthisContract.1.5"CompletionDate"shallmeanthedateonwhichtheProjectiscompletedinaccordancewiththetermsofthisContract.2.SCOPEOFWORK2.1TheContractoragreestocarryouttheWorksinaccordancewiththespecifications,plans,andrequirementsoutlinedintheattachedScheduleA.2.2TheWorksshallinclude,butarenotlimitedto,thefollowing:（e.g.,design,materialsupply,construction,testing,andinspection）。2.3TheContractorshalluseitsbesteffortstoensurethattheWorksarecompletedinatimelymannerandincompliancewithapplicablelaws,regulations,andstandards.3.TIMEOFCOMPLETION3.1TheWorksshallbecompletedbytheContractoronorbeforethedatespecifiedinScheduleA.3.2TheClientagreestoprovidetheContractorwithallnecessaryassistanceandaccesstothesitetoensuretimelycompletionoftheWorks.3.3IftheWorksaredelayedduetotheClient'sfailuretoprovidetimelyassistanceoraccess,theCompletionDateshallbeextendedbyareasonableperiodasdeterminedbymutualagreement.4.PRICEANDPAYMENT4.1ThetotalpricefortheWorksshallbe（currencyandamount）。4.2Thepaymentscheduleshallbeasfollows:（e.g.,30%uponsigning,40%uponintermediatemilestone,30%uponcompletion）。4.3AllinvoicessubmittedbytheContractorshallbesubjecttoClient'sapproval,andpaymentsshallbemadewithin（numberofdays）daysfromthedateofapproval.4.4Latepaymentsshallincuraninterestof（percentage）perannum.5.RIGHTSANDOBLIGATIONSOFTHECLIENT5.1TheClientshall:a)Provideallnecessarypermits,licenses,andapprovalsrequiredfortheexecutionoftheProject.b)EnsureaccesstothesitefortheContractoranditsemployees,contractors,andagents.c)ProvideanyadditionalinformationorassistancereasonablyrequestedbytheContractortocompletetheWorks.5.2TheClientshallhavetherighttoinspecttheWorksatanytimeandtoprovidefeedbackorinstructionstotheContractorconcerningtheWorks.6.RIGHTSANDOBLIGATIONSOFTHECONTRACTOR6.1TheContractorshall:a)CarryouttheWorksinaccordancewiththeagreedspecifications,plans,andtimelines.b)ProvidetheClientwithprogressreportsandupdatesattheintervalsagreeduponinScheduleA.c)Ensurethatallmaterials,equipment,andworkforceusedintheWorksmeettherequiredstandardsofqualityandsafety.6.2TheContractorshallmaintainproperrecordsofallactivitiesperformedunderthisContractandmakethemavailabletotheClientuponrequest.7.INSURANCE7.1TheContractorshallobtainandmaintaininsurancecoverageintheamountof（currencyandamount）for（duration）,covering（typesofcoverage,e.g.,third-partyliability,propertydamage）。7.2TheContractorshallprovidetheClientwithcertificatesofinsuranceandthe副本ofthepoliciesuponrequest.8.QUALITYASSURANCEANDTESTING8.1TheContractorshallensurethatallmaterialsandworkmanshipusedintheProjectmeetthehigheststandardsofquality.8.2TheClientreservestherighttoconducttestsandinspectionsoftheWorksduringandafterthecompletionoftheProject.8.3Ifanydefectsornon-compliancearefound,theContractorshallcorrectthematitsownexpensewithin（numberofdays）daysfromthedateofnotification.9.VARIATIONSANDADJUSTMENTS9.1AnyvariationstotheWorksshallbeagreeduponbybothpartiesinwriting.9.2TheClientmayrequestvariationstotheWorks,providedthatsuchvariationsarereasonableanddonotdelaythecompletionoftheProject.9.3TheContractorshalladjustitsscheduleandresourcesaccordingly,andthepriceshallbeadjustedreasonablytoreflectanyadditionalworkorchangesinthescopeofWorks.10.ACCEPTANCEANDCOMPLETION10.1TheClientshallinspectandacceptthecompletedWorkswithin（numberofdays）daysfromtheCompletionDate.10.2IftheClientfailstoinspectoraccepttheWorkswithintheaforementionedperiod,theWorksshallbedeemedacceptedascompleted.10.3Uponacceptance,theClientshallissueafinalpaymentaspertheagreedpaymentschedule.11.MISCELLANEOUSPROVISIONS11.1EntireAgreement:ThisContractconstitutestheentireagreementbetweenthepartiesandsupersedesallpreviousagreements,representations,orunderstandings,whetherwrittenororal.11.2GoverningLaw:ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof（jurisdiction）。11.3Assignment:NeitherpartyshallassignortransferanyofitsrightsorobligationsunderthisContractwithoutthepriorwrittenconsentoftheotherparty.11.4Notices:Allnotices,requests,demands,orothercommunicationsunderthisContractshallbeinwritinganddeliveredtotheaddressstatedinthebeginningofthisContract.12.DEFAULTANDREMEDIES12.1IfeitherpartyfailstoperformanyofitsobligationsunderthisContract,theotherpartyshallhavetherightto:a)TerminatethisContractimmediatelyuponprovidingwrittennotice.b)Claimdamagesforanylossessufferedasaresultofthe違約.c)Requirethe違約partytoremedythebreachwithinareasonableperiod.12.2Intheeventoftermination,theContractorshallpromptlyremoveallitsmaterials,equipment,andworkforcefromthesiteandreturnthesitetoitsoriginalcondition,ifrequired.13.CONFIDENTIALITY13.1BothpartiesagreetomaintaintheconfidentialityofallinformationexchangedduringtheperformanceofthisContract.13.2Thisobligationshallcontinueforaperiodof（numberofyears）fromthedateofterminationofthisContract.13.3Theobligationsunderthisclauseshallnotapplytoinformationthatispubliclyavailableorrequiredtobedisclosedbylaw.14.FORCEMAJEURE14.1NeitherpartyshallbeliableforanyfailureordelayinperformanceofitsobligationsunderthisContracttotheextentsuchfailureordelayisduetoeventsbeyonditsreasonablecontrol,includingbutnotlimitedtonaturaldisasters,war,暴亂,或政府行為。14.2Ifsuchaneventpreventseitherpartyfromperformingitsobligationsforacontinuousperiodof（numberofdays）,eitherpartymayterminatethisContractbygivingwrittennoticetotheotherparty.15.DISPUTERESOLUTION15.1AnydisputesarisingoutoforinconnectionwiththisContractshallfirstberesolvedthroughfriendly協(xié)商。15.2Ifthedisputesarenotresolvedwithin（numberofdays）fromthedateoftheirarising,eitherpartymayreferthematterto（mediation,arbitration,orlitigation）inaccordancewiththegoverninglaw.16.TERMINATION16.1EitherpartymayterminatethisContractbygivingwrittennoticetotheotherpartyiftheotherpartycommitsamaterialbreachofitsobligationsunderthisContractandfailstoremedysuchbreachwithin（numberofdays）daysofreceivingwrittennotice.16.2Upontermination,allrightsandobligationsofthepartiesunderthisContractshallcease,exceptfortheprovisionsrelatingtoconfidentiality,fo
