MusicCopyrightLicenseAgreement(StandardFormatTemplate)ThisMusicCopyrightLicenseAgreement(the“Agreement”)ismadeandenteredintoasof[EffectiveDate](the“EffectiveDate”)byandbetween:Licensor(CopyrightOwner):Name:[Licensor’sLegalName]Address:[Licensor’sAddress]Contact:[Licensor’sEmail/Phone]Licensee(PermissionRecipient):Name:[Licensee’sLegalName]Address:[Licensee’sAddress]Contact:[Licensee’sEmail/Phone]1.Recitals(Background)B.TheLicenseedesirestoobtainalicensetousetheWork(s)forthepurposesandwithinthescopesetforthherein,andtheLicensoriswillingtograntsuchlicensesubjecttothetermsandconditionsofthisAgreement.2.DefinitionsForthepurposesofthisAgreement,thefollowingtermsshallhavethemeaningssetforthbelow:“Work(s)”:Themusicalwork(s)identifiedinScheduleA,includinganyderivativeworkscreatedbytheLicensor(orwiththeLicensor’spriorwrittenconsent)duringtheTerm.“Territory”:[SpecifyGeographicArea,e.g.,“Global”,“UnitedStatesandCanada”,“EuropeanUnion”].“LicenseGrant”:TherightsgrantedbytheLicensortotheLicenseeassetforthinSection3.3.GrantofLicenseSubjecttothetermsandconditionsofthisAgreement,theLicensorherebygrantstotheLicenseea[Exclusive/Non-Exclusive]licensetoexercisethefollowingcopyright-relatedrightsintheWork(s)withintheTerritoryduringtheTerm:ReproductionRight:TomakecopiesoftheWork(s)inanyformat(includingphysicalmedia,digitaldownloads,andstreamingcaches).DistributionRight:TodistributecopiesoftheWork(s)tothepublicbysale,rental,lease,orothertransferofownership.PublicPerformanceRight:ToperformtheWork(s)publicly,includingliveperformances,broadcasts(radio,television,onlinestreaming),andin-store/venueplay.SynchronizationRight:TosynchronizetheWork(s)withvisualmedia(e.g.,films,televisionshows,advertisements,videogames)(ifapplicable,deleteifnot).AdaptationRight:TocreatederivativeworksbasedontheWork(s)(e.g.,remixes,translationsoflyrics,newarrangements)(subjecttopriorwrittenapprovalfromtheLicensor,unlessotherwiseagreed).TheLicenseeshallnotsublicensetherightsgrantedherein,exceptasexpresslypermittedinawrittenamendmenttothisAgreement.4.TermandTermination4.1Term4.2TerminationforBreachEitherpartymayterminatethisAgreementimmediatelyuponwrittennoticeiftheotherparty:Failstopayanyamountduehereunderwithin[NumberofDays,e.g.,“thirty(30)days”]afterreceiptofawrittendemandforpayment;orMateriallybreachesanyotherprovisionofthisAgreementandfailstocuresuchbreachwithin[NumberofDays,e.g.,“fifteen(15)days”]afterreceiptofwrittennoticespecifyingthebreach.4.3EffectsofTerminationUponterminationofthisAgreement(foranyreason):TheLicenseeshallimmediatelyceasealluseoftheWork(s)anddestroy(orreturntotheLicensor,attheLicensor’soption)allcopiesoftheWork(s)initspossessionorcontrol.TheLicenseeshallpaytotheLicensorallRoyaltiesaccruedbutunpaidasoftheterminationdate.Sections2(Definitions),5(FeesandPayment),6(RightsandObligations),7(BreachandRemedies),8(GoverningLawandDisputeResolution),and9(Miscellaneous)shallsurvivetermination.5.FeesandPayment5.1RoyaltyStructureTheLicenseeshallpaytheLicensoraRoyaltyintheamountof:Option1(FlatFee):Aone-timefeeof[Amount]payablewithin[NumberofDays,e.g.,“fifteen(15)days”]oftheEffectiveDate.Option2(RoyaltyPercentage):[Percentage,e.g.,“15%”]ofthenetrevenuederivedbytheLicenseefromtheexploitationoftheWork(s)(asdefinedinScheduleB,whichsetsforththecalculationmethodologyfor“netrevenue”).5.2PaymentTermsAllpaymentsshallbemadein[Currency,e.g.,“UnitedStatesDollars”]totheLicensor’sdesignatedbankaccount(detailsprovidedinScheduleC)within[NumberofDays,e.g.,“thirty(30)days”]oftheendofeach[ReportingPeriod,e.g.,“calendarquarter”].Alongwitheachpayment,theLicenseeshallsubmitadetailedreport(intheformattachedasScheduleD)settingforththeexploitationoftheWork(s)andthecalculationoftheRoyaltydue.6.RightsandObligations6.1Licensor’sObligationsTheLicensorrepresentsandwarrantsthatithasthefullrightandauthoritytogranttheLicenseGranthereunder,andthattheWork(s)donotinfringeuponanythird-partyintellectualpropertyrights.TheLicensorshallprovidetheLicenseewithallreasonablynecessarymaterials(e.g.,masterrecordings,sheetmusic,metadata)toenabletheLicenseetoexercisethelicensedrights,inatimelymanner.6.2Licensee’sObligationsTheLicenseeshallusetheWork(s)solelyinaccordancewiththeLicenseGrant,theTerritory,andtheTerm,andshallnotexceedthescopeofthelicensedrights.TheLicenseeshallkeepaccuraterecordsofallexploitationoftheWork(s)(includingsales,streams,performances)foraperiodof[NumberofYears,e.g.,“three(3)years”]aftertheTerm,andshallmakesuchrecordsavailableforinspectionbytheLicensor(oritsauthorizedrepresentative)uponreasonablenotice.TheLicenseeshallindemnifyandholdtheLicensorharmlessfromandagainstanyandallclaims,damages,losses,andexpensesarisingoutoforinconnectionwiththeLicensee’sbreachofthisAgreementoritsunauthorizeduseoftheWork(s).7.BreachandRemediesIntheeventofabreachofthisAgreementbytheLicensee,theLicensorshallbeentitledto:RecoverallunpaidRoyalties,plusinterestattherateof[InterestRate,e.g.,“1.5%permonth”]fromtheduedateuntilpaidinfull;Obtaininjunctiverelieftopreventfurtherbreach(withoutpostingabond,tothee
