2025年綠色能源融資合同ThisGreenEnergyFinancingAgreementismadeandenteredintoasof[Date],byandbetween[LenderName],havingitsprincipalplaceofbusinessat[LenderAddress]("Lender"),and[BorrowerName],havingitsprincipalplaceofbusinessat[BorrowerAddress]("Borrower").RECITALSWHEREAS,Lenderdesirestoprovidefinancing(the"Loan")toBorrowerforthepurposeof[brieflydescribethegreenenergyproject,itslocation,type,andcapacity];andWHEREAS,BorrowerdesirestoobtainfinancingfromLenderforthepurposeof[reiteratethepurpose,e.g.,constructing,acquiring,andcommissioningtheProject];andWHEREAS,theLoanissubjecttothetermsandconditionssetforthinthisAgreement(the"Agreement");andWHEREAS,theProjectisintendedtobeagreenenergyprojectandisexpectedtogenerateelectricityfrom[specifythegreenenergysource,e.g.,solar,wind,hydro]andcontributetothereductionofgreenhousegasemissionsandthepromotionofsustainabledevelopment;andWHEREAS,LenderandBorrowerhaveenteredintoaProjectAgreement(the"ProjectAgreement")dated[Date](the"ProjectAgreement"),pursuanttowhichBorroweragreestodevelop,construct,operate,andmaintaintheProject.NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementssetforthherein,thepartiesheretoagreeasfollows:1.LoanAmount1.1.LendershalllendtoBorrower,andBorrowershallborrowfromLender,anamountof[PrincipalAmount][Currency](the"LoanAmount"),representinganamountoutstandingundertheLoanasofthedatehereof.2.Disbursement2.1.DisbursementsundertheLoanshallbemade[e.g.,inoneormoreinstallments]uponthesatisfactionoftheconditionssetforthinSection4.1.2.2.EachdisbursementshallbemadebyLendertoBorroweruponthepresentationof[describetherequireddocumentationforeachdisbursement,e.g.,certifiedinvoices,progressreports]satisfactorytoLender.2.3.BorrowershallusetheLoanAmountsolelyforthepurposessetforthinSection3.1.2.4.Thefirstdisbursementshallbemade[Dateorcondition],andthefinaldisbursementshallbemade[Dateorcondition].3.LoanPurpose3.1.TheLoanAmountshallbeusedbyBorrower,oronbehalfofBorrower,forthepurposeof[詳細(xì)describethespecificusesoftheLoanAmount,e.g.,purchasingsolarpanels,constructingasolarfarm,installingwindturbines,connectingtheProjecttothegrid,obtainingnecessarypermitsandlicensesfortheProject,etc.].3.2.TheLoanAmountshallnotbeusedforanypurposeotherthanthepurposesdescribedinSection3.1,includingbutnotlimitedto,payingfor日常operationalexpensesoftheProject,償還otherexistingdebts,makingequityinvestments,oranyotherpurposenotconsistentwiththedevelopment,construction,andoperationoftheProject.3.3.BorrowershallprovideLenderwithcertification,uponrequest,regardingtheuseoftheLoanAmount.4.Repayment4.1.BorrowershallrepaytheLoanAmount,togetherwithallaccruedandunpaidinterestandfees,onthefollowingschedule:[Detailtherepaymentschedule,includingthedatesandamountsofeachpayment.Forexample:"Thefirstpaymentofprincipalandinterestshallbedueandpayableon[Date],andsubsequentpaymentsshallbedueandpayableonthe[Day]ofeach[Month]thereafteruntiltheLoanisfullyrepaid."]4.2.AllpaymentsunderthisAgreementshallbemadebyBorrowertoLenderat[LenderAddress].4.3.BorrowershallhavetherighttoprepaytheentireoutstandingprincipalbalanceoftheLoanatanytimeupon[e.g.,30days']priorwrittennoticetoLender,withoutpenalty.AnyprepaymentshallbeappliedfirsttoanyaccruedandunpaidfeesandthentotheoutstandingprincipalbalanceoftheLoan.5.Interest5.1.InterestontheoutstandingprincipalbalanceoftheLoanshallbeatarateof[InterestRateBasis,e.g.,LIBORplusaspread,orafixedrate]perannum,calculatedona[e.g.,360-day]basis.5.2.InterestshallbepayableontheoutstandingprincipalbalanceoftheLoan[e.g.,inarrears,semi-annually,quarterly]onthe[Day]ofeach[Month]or[Date].5.3.AllinterestdueunderthisAgreementshallbepaidbyBorrowertoLenderatthetimeandplaceofpaymentofprincipal.6.Fees6.1.BorrowershallpayLenderthefollowingfeeswithrespecttotheLoan:(a)Anupfrontcommitmentfeeof[CommitmentFeePercentage]oftheLoanAmount,payablewithin[Number]daysofthedatehereof.(b)Anarrangementfeeof[ArrangementFeePercentage]oftheLoanAmount,payablewithin[Number]daysofthedatehereof.(c)Anannualaccountmaintenancefeeof[MaintenanceFeeAmountorPercentage],payableonthe[Day]ofeach[Month].6.2.AllfeesdueunderthisAgreementshallbepaidbyBorrowertoLenderatthetimeandplaceofpaymentofprincipal.7.CovenantsandConditions7.1.Borrower'sCovenants:BorroweragreestobeandremaininfullcompliancewithallofthecovenantsandconditionssetforthinthisAgreement.Specifically,Borrowercovenantsandagreesasfollows:(a)FinancialCovenants:BorrowershallmaintainitsfinancialpositionatalevelsatisfactorytoLender,asevidencedby[describethespecificfinancialcovenants,e.g.,maintainingaminimumdebt-to-equityratioofX,aminimuminterestcoverageratioofY,andaminimumtangiblenetworthofZ].(b)Non-FinancialCovenants:Borrowershall,atalltimes,complywithallapplicablelawsandregulationsrelatingtotheProject;maintainallnecessarypermits,licenses,andapprovalsfortheProject;continuetooperatetheProjectinaccordancewiththeProjectAgreement;nottransferanysubstantialinterestintheProjectwithoutLender'spriorwrittenconsent;notacquireanysignificantassetsorenterintoanysignificantcontractswithoutLender'spriorwrittenconsent;notincuranyadditionaldebtorobligationbeyondthosepermittedinthisAgreement;provideLenderwithregularfinancialandoperationalreportsconcerningtheProject;andtakeallreasonablestepstoprotecttheenvironmentandensurethehealthandsafetyofpersonnelattheProjectsite.(c)EnvironmentalCovenants:BorroweragreestocomplywithallapplicableenvironmentallawsandregulationsinconnectionwiththeProject;obtainandmaintainallnecessaryenvironmentalpermitsandlicensesfortheProject;prepareandimplementanenvironmentalmanagementplanfortheProject;monitorandreportonenvironmentalperformance;andnotcauseanyenvironmentalviolationattheProjectsite.(d)UseofLoanFunds:BorrowershallusetheLoanAmountsolelyforthepurposessetforthinSection3.1.(e)ProjectAgreement:BorrowershallperformitsobligationsundertheProjectAgreementinatimelyandeffectivemanner.7.2.ConditionstoLending:Lender'sobligationtomakedisbursementsundertheLoanshallbesubjecttothefollowingconditions:(a)TheexecutionanddeliveryofthisAgreementbyBorrower.(b)Borrower'scompliancewithallofthecovenantsandconditionssetforthinthisAgreement.(c)TheProjectAgreementbeinginfullforceandeffect.(d)[anyotherconditions,e.g.,obtainingcertainkeypermits].8.Security8.1.AssecurityfortherepaymentoftheLoan,BorrowershallgranttoLenderanon-conditional,first-priority,fullyperfectedsecurityinterestin[describethespecificcollateral,e.g.,allequipmentownedbytheProject,allrevenuestreamsfromtheProject,allrealpropertyassociatedwiththeProject].8.2.Thesecurityinterestshallbecreatedbymeansof[e.g.,asecurityagreementandadeedoftrust]executedbyBorroweranddeliveredtoLender.8.3.Borrowershallexecuteanddeliveralldocumentsnecessarytoperfectthesecurityinterest.9.DefaultsandRemedies9.1.DefaultEvents:AneventofdefaultunderthisAgreementshallinclude,butnotbelimitedto,anyofthefollowing:(a)AneventofdefaultundertheProjectAgreement.(b)AneventofdefaultunderanyotherdebtagreementtowhichBorrowerisaparty.(c)Borrower'sfailuretomakeanypaymentofprincipalorinterestdueunderthisAgreementwhendue.(d)Borrower'sfailuretocomplywithanycovenantorconditionofthisAgreement.(e)AnadversechangeinBorrower'sfinancialcondition.(f)TheoccurrenceofanynaturalcatastropheaffectingtheProject.(g)Borrower'sinsolvency,bankruptcy,orliquidation.(h)Lender'sdetermination,initsreasonablejudgment,thatBorrowerisnotperformingitsobligationsunderthisAgreementortheProjectAgreementinamannerconsistentwithLender'sinterests.9.2.CurePeriod:IntheeventofanydefaultunderthisAgreement,Borrowershallhaveacureperiodof[Number]days(the"CurePeriod")tocurethedefault,providedthatBorrowerpaysallamountsdueunderthisAgreementandtakesallnecessaryactionstobringitscompliancewiththisAgreementbackintofullforceandeffect.9.3.RemediesforDefault:IfBorrowerfailstocureadefaultwithintheCurePeriod,Lendershallbeentitledtoexerciseanyorallofthefollowingremedies:(a)RequireBorrowertomakeimmediaterepaymentoftheentireoutstandingprincipalbalanceoftheLoan,togetherwithallaccruedandunpaidinterestandfees.(b)ChargeinterestontheoutstandingprincipalbalanceoftheLoanatarateof[defaultinterestrate]perannum.(c)Exerciseitsrightsunderthesecurityagreement.(d)Takepossessionof,andoperate,theProject.(e)DeclaretheentireoutstandingbalanceoftheLoantobeimmediatelydueandpayable.(f)SueBorrowerforbreachofthisAgreementandseekalldamagesandlossesincurredbyLender.10.Environmental,Social,andGovernance(ESG)Considerations10.1.BorrowerrepresentsandwarrantsthattheProjectwillbedesigned,constructed,operated,andmaintainedincompliancewithallapplicableenvironmentallawsandregulations.10.2.BorroweragreestoimplementandmaintainanenvironmentalmanagementsystemthatalignswithinternationalbestpracticesandpromotesthereductionoftheProject'senvironmentalfootprint.10.3.BorroweragreestodisclosetoLender,uponrequest,anyenvironmentalincidentsornon-complianceissuesrelatedtotheProject.10.4.BorroweragreestocooperatewithLenderandanythird-partyauditorsinevaluatingtheenvironmentalperformanceoftheProject.11.GoverningLawandJurisdiction11.1.ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[GoverningLawJurisdiction].11.2.Anylegalsuit,action,orproceedingarisingoutoforinconnectionwiththisAgreementshallbeinstitutedonlyinthecourtsof[GoverningLawJurisdiction],andBorrowerirrevocablywaivesanyobjectiontotheexerciseofjurisdictionoveritortovenueinsuchcourts.12.Notices12.1.Allnotices,requests,demands,andothercommunicationsrequiredorpermittedunderthisAgreementshallbeinwritingandshallbedeemedtohavebeendulygivenwhendeliveredpersonally,sentbyreputableovernightcourier,orsentbyregisteredorcertifiedmail,postageprepaid,returnreceiptrequested,totheaddressessetforthbelowortosuchotheraddressaseitherpartymaydesignateinwriting.12.2.Ifeitherpartychangesitsaddress,itshallpromptlynotifytheotherpartyinwriting.AddressofLender:[LenderAddress]AddressofBorrower:[BorrowerAddress]13.EntireAgreement13.1.ThisAgreement,includingtheProjectAgreement,constitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten.13.2.AnymodificationoramendmentofthisAgreementmustbeinwritingandsignedbybothparties.14.Severability14.1.IfanyprovisionofthisAgreementisheldtobeinvalid,illegal,orunenforceablebyacourtofcompetentjurisdiction,suchprovisionshallbeseveredfromthisAgreement,andtheremainingprovisionsshallcontinueinfullforceandeffect.15.Waiver15.1.NowaiverbyLenderofanybreachofthisAgreementshallbeconsideredasawaiverofanysubsequentbreach.AnyfailurebyLendertoexerciseanyrightorremedyhereundershallnotconstituteawaiverofsuchrightorremedy.16.Assignment16.1.BorrowermaynotassignortransferitsrightsorobligationsunderthisAgreementwithoutLender'spriorwrittenconsent.LendermayassignitsrightsunderthisAgreementwithoutBorrower'sconsent.17.Confidentiality17.1.EachpartyagreestokeepthetermsandconditionsofthisAgreementandtheProjectAgreementconfidentialandnottodisclosethemtoanythirdpartywithoutthepriorwrittenconsentoftheotherparty,exceptasrequiredby
