船舶配件包裝運(yùn)輸合同英文版范本2025ThisContractismadeandenteredintoon[InsertDate],byandbetween[PartyAName],havingitsprincipalplaceofbusinessat[PartyAAddress]("PartyA"),and[PartyBName],havingitsprincipalplaceofbusinessat[PartyBAddress]("PartyB").1.GoodsandDescriptionPartyAherebyinstructsandPartyBagreestopackageandtransportthefollowingMarineParts("Goods")asspecifiedherein:TheGoodsconsistofvariousmarinecomponentsincluding,butnotlimitedto,enginespareparts(e.g.,filters,pumps,gaskets),deckequipmentaccessories(e.g.,rigginghardware,safetygear),andelectroniccontrolmodules.Thedetaileddescription,quantity,specifications,andmodelnumbersofeachitemareprovidedintheattachedScheduleA,whichformsanintegralpartofthisContract.ThetotalquantityoftheGoodsis[InsertTotalQuantity]pieces.PartyAconfirmsthattheinformationinScheduleAisaccurate.PartyBshallensurethepackagingandtransportationareconductedinaccordancewiththerequirementsspecifiedinthisContract.2.PackagingRequirementsPartyBshallpackagetheGoodswithduecareandusingsuitablematerialstoensuretheprotectionoftheGoodsduringhandlingandtransportation.Thepackagingshallmeetthefollowingspecificationsandrequirements:a.Eachindividualitemshallbepackedin[Specifytype,e.g.,strongcorrugatedcardboardboxes]using[Specifymaterials,e.g.,foampadding,bubblewrap]forinternalprotectionbasedonitsshapeandfragility.b.Theexteriorofeachpackageshallbesturdy,clearlysealed,andcapableofwithstandingnormalhandlingandtransportationconditions.c.EachpackageshallbeclearlyandfirmlymarkedonallsideswiththefollowingmarksandlabelsinEnglish:*Consignee'sNameandAddress:[PartyAName],[PartyAAddress]*Shipper'sNameandAddress:[PartyBName],[PartyBAddress]*Destination:[InsertFinalDestinationAddress]*ReferenceNumber:[InsertContract/OrderNumber]*PartNumbersasperScheduleA*PackageNumber(s)andTotalNumberofPackages(e.g.,PackNo.1of10)*GrossWeight(inkg)andNetWeight(inkg)*Dimensions(LxWxHincm)*HandlingInstructions:e.g.,"THISSIDEUP","Fragile","KeepDry"*AnyothermarksorlabelsrequiredbyIncoterms?rulesorapplicableregulations.d.PartyBshalltakeallnecessarymeasurestopreventrustandcorrosionontheGoodsduringpackaging,suchasusing[Specifymethod,e.g.,desiccantpacks,VCIfilm].e.Thepackagingshallcomplywithallapplicableinternationalandlocalregulationsconcerningpackagingofgoodsfortransport.3.DeliveryandShipmenta.PlaceofDelivery:ThepackagedGoodsshallbedeliveredtoPartyBat[InsertPartyB'sWarehouseAddressorCollectionPoint]("PlaceofDelivery")foronwardtransportationbyPartyB.b.TimeofShipment:PartyBshallarrangefortheshipmentoftheGoodsnolaterthan[InsertDateorDeadline]followingthecompletionofpackagingatthePlaceofDelivery.Theestimatedleadtimefortransportationtothefinaldestinationis[InsertEstimatedTransitTime].c.ModeofShipment:TheGoodsshallbetransportedby[SpecifyMode,e.g.,海運(yùn)FCLtoPortX/海運(yùn)LCLtoPortY/卡車deliverytoPortX/AirFreight].ThespecificIncoterms?termgoverningthedeliverypointandtransferofriskshallbe[SpecifyIncoterms?term,e.g.,FOBShanghaiPort/CIFPortY/DAPPortY].PartyAisresponsibleforarrangingandpayingforthefreightunderthechosenIncoterms?term.PartyBshallnotifyPartyAoftheshipmentdetailsincludingvessel/trucknumber,flightnumber,andestimatedarrivaltimeatdestination.d.ExportCustomsClearance:UnderthechosenIncoterms?term([SpecifyTerm]),Party[SpecifyPartyAorB]isresponsiblefor辦理allexportcustomsformalities,documentation,andpaymentofdutiesandtaxes.4.TransportationandInsurancea.Carrier:PartyBshallarrangetransportationthroughareputablecarrierofitschoiceorasdirectedbyPartyA[SpecifyifPartyAhastherighttoselectthecarrier].PartyBrepresentsandwarrantsthatthecarriershallbereputableandpossessappropriatelicensesandinsurancecoverages.b.Insurance:Party[SpecifyPartyAorB]shallprocureandpayforinsurancecoveragefortheGoodsduringthetransportationperioddefinedbythechosenIncoterms?term.Theinsuranceshallbeforatleast[SpecifyPercentage,e.g.,110%]oftheinvoicevalue(CIFvalueifapplicable).Theinsuranceshallcoveratleast[SpecifyRisk,e.g.,ICCCInstituteCargoClauses(C)]forrisksduringcarriage.PartyB[orPartyA,asspecified]shallprovidePartyA[orPartyB,asspecified]withacopyoftheinsurancepolicyorcertificateuponrequest.PartyBshallexerciseduediligencetoensuregoodsarecoveredundertheinsurancepolicyasrequired.c.Routing:PartyBshallusereasonableeffortstoensuretheGoodsareshippedviathemostsuitableandeconomicalroutetothedestination,unlessotherwisespecificallyinstructedbyPartyAatPartyA'sadditionalcost.5.CostsandPaymentAllcostsassociatedwiththepackagingandtransportationoftheGoods,includingbutnotlimitedtopackagingmaterialsandlabor,domestictransportationtothePlaceofDelivery,freight,insurancepremiums,exportcustomsclearancefees,andduties,shallbebornebyParty[SpecifyPartyAorB,typicallyPartyAifCIF/FOB,orPartyBifDAP/DPU,adjustbasedonIncoterms],unlessotherwiseexplicitlystatedinthisContract.PartyBshallprovidePartyAwithadetailedinvoiceforallchargesincurred.Paymentshallbemadeby[SpecifyMethod,e.g.,T/T]within[SpecifyNumber,e.g.,30]daysafterPartyAreceivestheinvoiceandconfirmstheGoodshavebeenshipped(oraspertermsdefinedbyIncoterms,e.g.,beforeshipmentforFOB).6.RiskTransferTheriskoflossordamagetotheGoodsshallpassfromPartyAtoPartyBon[SpecifyPointofRiskTransferbasedonIncoterms,e.g.,whentheGoodsareplacedatthecarrier'sdisposalatthePlaceofDelivery/whentheGoodsareonboardthevesselattheportofshipment/whentheGoodsaredeliveredatthedestinationport].7.QualityAssuranceandInspectiona.PackagingInspection:PartyAshallhavetherighttoinspecttheGoodsandthepackagingatthePlaceofDeliverypriortofinalacceptancebyPartyB.PartyBshallprovidereasonableaccessforsuchinspection.IfthepackagingdoesnotmeettherequirementsofClause3,PartyAshallhavetherighttorejectthepackagingandrequirePartyBtorectifyitatPartyB'sexpense.b.GoodsInspection:PartyBshallensuretheGoodsarepackagedingoodcondition.PartyAshallhavetherighttoinspecttheGoodsuponarrivalatthefinaldestinationwithin[SpecifyNumber,e.g.,7]days.TheinspectionshallbebasedonthedescriptionsandspecificationsinScheduleAandthepackagingmarks.PartyAshallnotifyPartyBinwritingwithintheinspectionperiodifanydiscrepanciesordamagesarefound,providingdetaileddescriptionsandsupportingevidence.IfnoobjectionisraisedbyPartyAwithintheperiod,theGoodsshallbedeemedtobeinacceptableconditionuponarrival.c.Responsibility:PartyBisresponsibleforanydamagetotheGoodsthatoccursduetoimproperpackagingasperthisContract.PartyAisresponsibleforanydamagetotheGoodsthatoccursaftertheriskhastransferredtoPartyB.8.LiabilityandIndemnitya.PartyB'sLiability:PartyBshallbeliabletoPartyAforanyloss,damage,ordelayinthedeliveryoftheGoodscausedbyPartyB'snegligence,breachofcontract(especiallyregardingpackagingandtransportationstandards),orfailuretoprovideproperinsuranceasstipulated.PartyB'stotalliabilitytoPartyAforanyonepackageofGoodsshallnotexceed[SpecifyAmount,e.g.,USD[Amount]perpackage/theinvoicevalueoftheGoodsinthatpackage,chooseone].Forlossordamageoccurringduringtheperiodcoveredbyinsurance,PartyBshallfirstclaimfromtheinsurancecarrier.PartyBshallindemnifyPartyAagainstanyclaims,losses,orexpensesarisingfromPartyB'sbreachofthisContract.b.PartyA'sLiability:PartyAshallbeliabletoPartyBforanydamage,delay,orexpensescausedbyPartyA'sfailuretoprovideaccurateinformation,specifications,orpayoutstandinginvoices.c.Exclusions:NeitherPartyshallbeliableforlossesordamagesarisingfromthenatureoftheGoods,normalwearandtear,oreventsbeyondtheirreasonablecontrol,includingbutnotlimitedtoforcemajeure.9.ForceMajeurea.NeitherPartyshallbeliableforanyfailureordelayinperformingitsobligationsunderthisContractifsuchfailureordelayiscausedbyForceMajeure.ForceMajeuremeansaneventorseriesofevents,whetherornotwithinthereasonablecontroloftheaffectedParty,including,butnotlimitedto,war,armedconflict,terrorism,civilcommotion,strike,lockout,fire,flood,storm,earthquake,explosion,actsofgovernmentorpublicauthorities,orthefailureofessentialservices.b.TheaffectedPartyshallpromptlynotifytheotherPartyinwritingoftheoccurrenceofForceMajeureandshalltakeallreasonablestepstomitigatetheeffectsthereof.TheaffectedPartyshallprovidetheotherPartywithreasonableevidenceoftheForceMajeureevent.IftheForceMajeurecontinuesforaperiodexceeding[SpecifyNumber,e.g.,30]days,eitherPartymayterminatethisContractwithoutliability,providedpriorwrittennoticeisgiventotheotherParty.10.ConfidentialityBothPartiesagreetokeepconfidentialallinformationdisclosedbytheotherPartytoitinconnectionwiththisContract,includingbutnotlimitedtothetermsofthisContract,theGoodsdescription,andbusinessinformation,exceptasrequiredbylaw,regulation,orcourtorder,orasdisclosedtothirdpartieswiththepriorwrittenconsentofthedisclosingParty.11.GoverningLawandDisputeResolutiona.GoverningLaw:ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsofthePeople'sRepublicofChina.b.DisputeResolution:Anydispute,controversy,orclaimarisingoutoforinconnectionwiththisContract,includinganyquestionregardingitsexistence,validity,ortermination,shallbereferredtoandfinallysettledbyarbitrationadministeredbythe[SpecifyArbitrationInstitution,e.g.,ChinaInternationalEconomicandTradeArbitrationCommission(CIETAC)]inaccordancewiththearbitrationrulesineffectatthetimeofthedispute.Theplaceofarbitrationshallbe[SpecifyCity,e.g.,Shanghai].ThelanguageofarbitrationshallbeEnglish.ThearbitralawardshallbefinalandbindinguponbothParties.12.NoticesAllnotices,requests,demands,andothercommunicationsrequiredorpermittedunderthisContractshallbeinwritingandshallbedeemedtohavebeendulygivenwhendeliveredpersonally,sentbyregisteredpost(airmailorseamail),sentbyrecognizedcourierservice,orsentbyemail(withproofofdelivery)totheaddressspecifiedinthisContractortosuchotheraddressaseitherPartymaydesignateinwriting.13.EntireAgreementThisContract,includingitsScheduleA,constitutestheentireagreementbetweenthePartiesconcerningthesubjectmatterhereofandsupersedes
