保險(xiǎn)代理協(xié)議2025年業(yè)務(wù)監(jiān)督協(xié)議PartiesThisAgreementismadeandenteredintoonthis___dayof______________,2025,byandbetween[PrincipalCompanyName],havingitsprincipalplaceofbusinessat[PrincipalAddress](“Principal”),and[AgentName],anindividualresidingat[AgentAddress]andlicensedinsuranceagent(“Agent”).BackgroundWHEREAS,thePrincipalisengagedinthebusinessofprovidinginsuranceproductsandservices;WHEREAS,theAgentisqualifiedanddesirestoactasaninsuranceagentrepresentingthePrincipalinthedistributionofinsuranceproducts;WHEREAS,thePrincipaldesirestoestablishaframeworkforthesupervisionoftheAgent’sbusinessactivitiesduringtheyear2025toensurecompliancewithapplicablelaws,regulations,andthePrincipal’spolicies;NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementshereincontained,thepartiesheretoagreeasfollows:1.ScopeofSupervision1.1ThePrincipalshallhavetherighttosuperviseandmonitortheAgent’sbusinessactivitiesconductedduringtheyear2025(“SupervisionPeriod”)toensurecompliancewithallapplicablelaws,regulations,andthePrincipal’spoliciesandprocedures.1.2Thescopeofsupervisionshallinclude,butnotbelimitedto,thefollowingaspects:(a)CompliancewiththeInsuranceLawofthePeople’sRepublicofChina,theRegulationsontheAdministrationofInsuranceAgents,theSupervisionMeasuresforInsuranceAgents,andotherrelevantlaws,regulations,andadministrativemeasuresofthecompetentauthorities;(b)AdherencetothePrincipal’ssalesconductnorms,feemanagementregulations,andotherinternalpoliciesandprocedures;(c)Properexecutionofkeybusinessprocesses,includingbutnotlimitedto,prospecting,underwriting,policyissuance,claimshandling,customerservice,informationmanagement,andfeereimbursement;(d)Ensuringtheaccuracy,completeness,andauthenticityofbusinessdata,clientinformation,andperformancereportssubmittedbytheAgent;(e)Compliancewithanti-moneylaundering(AML)andanti-fraudregulationsintheAgent’sbusinessactivities;(f)AnyotherbusinessactivitiesdesignatedbythePrincipalasrequiringsupervision.2.MethodsandProceduresofSupervision2.1ThePrincipalshallconductsupervisionthroughthefollowingmethods:(a)Regularreviewofmonthly/quarterly/yearlybusinessreportssubmittedbytheAgent;(b)Randomspotchecksofbusinessfiles,clientfeedback,andotherrelevantdocuments;(c)On-siteinspectionsoftheAgent’sbusinesspremisesoractivitieswhennecessary;(d)UtilizationofinformationtechnologysystemstomonitorbusinessdatasubmittedbytheAgent;(e)TrainingandassessmentprogramsfortheAgent;(f)AninternalreportingmechanismforreceivingcomplaintsregardingpotentialviolationsbytheAgent;(g)CommunicationmechanismstofacilitatediscussionsbetweenthePrincipalandtheAgentregardingsupervisionmatters.2.2ThePrincipalshallnotifytheAgentinwritingofanyscheduledinspectionsorreviewsandshallprovidetheAgentwithareasonableopportunitytoprepareandpresentrelevantmaterials.2.3TheAgentshallcooperatefullywiththePrincipal’ssupervisionefforts,providingallnecessaryinformationanddocumentspromptlyuponrequest.3.Agent’sRightsandObligations3.1TheAgentshallhavetherighttorequestanexplanationfromthePrincipalregardinganysupervisoryactionsorfindings.3.2TheAgentshallhavetherighttoappealanyadversefindingsordecisionsmadebythePrincipalthroughtheestablishedinternalprocedures.3.3TheAgentshallhavetherighttoexpectthatthePrincipalwillmaintaintheconfidentialityofnon-publicinformationobtainedduringthesupervisionprocess,exceptasrequiredbylaworregulation.3.4TheAgentagreesto:(a)Complywithallapplicablelaws,regulations,andthePrincipal’spoliciesandproceduresintheconductofbusinessactivities;(b)Providetrue,accurate,andcompleteinformationanddocumentstothePrincipaluponrequest;(c)Cooperatefullywithanyinspections,spotchecks,orinvestigationsconductedbythePrincipal;(d)AttendtrainingandassessmentsasrequiredbythePrincipal;(e)Assumefullresponsibilityfortheconductofbusinessactivitiesandtheoutcomesthereof.4.Principal’sRightsandObligations4.1ThePrincipalshallhavetherighttoenforcecompliancewiththisAgreementandapplicablelaws,regulations,andpolicies.4.2ThePrincipalshallhavetherighttoimposeconsequencesontheAgentforanyviolationsofthisAgreementorrelevantregulations,includingbutnotlimitedto,verbalwarnings,writtenwarnings,requiringcorrectiveactions,imposingfines,suspendingbusinesspermissions,terminatingthisAgreement,andreferringthemattertothecompetentauthoritiesorlegalrepresentatives.4.3ThePrincipalagreesto:(a)Conductsupervisioninaccordancewithapplicablelaws,regulations,andthisAgreement;(b)RespectthelegitimaterightsandinterestsoftheAgent;(c)MaintaintheconfidentialityoftheAgent’snon-publicinformation,exceptasrequiredbylaworregulation;(d)ProvidereasonablenoticetotheAgentpriortoanyscheduledinspectionsorreviews.5.HandlingofViolationsandLiability5.1IftheAgentisfoundtohaveviolatedthisAgreement,anyapplicablelaws,regulations,orpolicies,thePrincipalshallhavetherighttotakethefollowingactions:(a)Issueaverbalwarning;(b)Issueawrittenwarning;(c)RequiretheAgenttotakecorrectiveactions;(d)ImposefinesontheAgent;(e)SuspendtheAgent’sbusinesspermissions,eitherpartiallyorwholly;(f)TerminatethisAgreement;(g)Referthemattertothecompetentauthoritiesorlegalrepresentativesforfurtheraction.5.2TheAgentshallbeliableforanylossesincurredbythePrincipalduetotheAgent’sviolations,includingbutnotlimitedto,administrativepenalties,litigationcosts,andcompensationtoclients.6.TermoftheAgreement6.1ThisAgreementshallcommenceon___dayof______________,2025,andshallcontinueforthedurationoftheSupervisionPeriod,endingon___dayof______________,2025.6.2ThisAgreementmaybereneweduponmutualagreementofthepartiesforsubsequentperiods,subjecttothetermsandconditionsagreeduponinwriting.7.Confidentiality7.1Eachpartyagreestokeepconfidentialallnon-publicinformationobtainedfromtheotherpartyduringthetermofthisAgreementandforaperiodoftwo(2)yearsfollowingtheterminationofthisAgreement.7.2Theobligationsofconfidentialityshallnotapplytoinformationthat:(a)isorbecomespubliclyknownwithoutbreachofthisAgreement;(b)isindependentlydevelopedbyapartywithoutaccesstotheotherparty’sinformation;or(c)isobtainedfromathirdpartywithoutabreachofsuchthirdparty’sobligationsofconfidentiality.8.DisputeResolution8.1Anydispute,controversy,orclaimarisingoutoforrelatingtothisAgreement,includingitsbreach,termination,orinvalidity,shallfirstbeattemptedtoberesolvedthroughgoodfaithnegotiationsbetweentheparties.8.2Ifthedisputecannotberesolvedthroughnegotiationwithinthirty(30)daysfromthedateofthelastattemptatnegotiation,thedisputeshallbesubmittedto[仲裁委員會(huì)名稱]forarbitrationinaccordancewiththearbitrationrulesof[仲裁規(guī)則名稱].Theplaceofarbitrationshallbe[仲裁地點(diǎn)],andthelanguageofarbitrationshallbeChinese.9.Amendment,Termination,andCancellation9.1ThisAgreementmayonlybeamendedormodifiedinwritingandsignedbyauthorizedrepresentativesofbothparties.9.2ThisAgreementmaybeterminatedbyeitherpartyuponthirty(30)days’writtennoticetotheotherpartyforanyreason,orearlierifpermittedbylaworregulation.9.3ThePrincipalshallhavetherighttocancelthisAgreementimmediatelyupondiscoveryofanymaterialmisrepresentationorfraudbytheAgent.9.4UponterminationorcancellationofthisAgreement,theAgentshallpromptlyreturnallmaterials,documents,andinformationbelongingtothePrincipal.10.Notice10.1Allnotices,requests,andothercommunicationshereundershallbeinwritingandshallbedeemedtohavebeendulygivenwhendeliveredpersonally,sentbyregisteredmail(returnreceiptrequested),sentbycertifiedmail(returnreceiptrequested),orsentbyemailtotheaddressessetforthbelowortosuchotheraddressaseitherpartymaydesignateinwriting.11.GoverningLawandJurisdiction11.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofthePeople’sRepublicofChina.11.2AnylegalactionorproceedingarisingoutoforrelatingtothisAgreementshallbeinstitutedexclusivelyinthecourtsofthePe
