2026年國際船舶租賃合同ThisInternationalCharterpartydatedasof[InsertDate]ismadebetween[Shipowner'sFullLegalName],of[Shipowner'sRegisteredAddress],beingtheownerofthevesselnamed[VesselName](the"Vessel"),and[Charterer'sFullLegalName],of[Charterer'sRegisteredAddress](the"Charterer").1.ThisCharterpartyshallbegovernedbyandconstruedinaccordancewiththelawsof[GoverningLaw,e.g.,thelawsoftheStateofSingapore],andthedoctrineoffrustrationofpurposeshallnotapplyhereunder.2.TheVesselisofthetype[DescribeVesselType,e.g.,PanamaxBulkCarrier],registeredundertheflagof[FlagState],withIMONumber[IMONumber],Builder[Builder'sName],DateofBuild[BuildDate],GrossTonnage[GrossTonnage],NetTonnage[NetTonnage],DeadweightTonnage[DeadweightTonnage],LengthOverall[LengthOverall],Breadth[Breadth],Depth[Depth],MouldedDepth[MouldedDepth],Engine[DescribeEngine,e.g.,MANB&W7S80ME-C9,44,900kW],ServiceSpeed[ServiceSpeed]knots,andisequippedwith[DescribeKeyEquipment,e.g.,bowthruster,cargohandlinggear].3.TheVesselisinsoundandtightconditionandfullyequippedandfittedforthesafecarriageofgoodsinaccordancewiththerelevantinternationalregulations.TheconditionoftheVesselatthetimeofdeliveryshallbeevidencedbyasurveyreportexecutedby[Surveyor'sName]dated[SurveyDate],whichreportshallbeattachedheretoforreferencebutshallnotbedeemedpartofthisCharterpartyunlesssoagreedinwriting.AllcertificatesrequiredbytheInternationalConventionsapplicabletotheVesselshallbevalidandinforceduringtheCharterparty.4.TheVesselshallbedeliveredtotheChartererat[DeliveryPort],[FlagState],infulloperationalorder,togetherwithacompletesetoftheVessel'sdocumentsincluding,butnotlimitedto,theBuilder'sCertificate,ClassCertificates(validandinforce),InternationalTonnageCertificate,MinimumSafetyEquipmentCertificate,SafetyConstructionCertificate,CargoWorkandMachineryCertificate,PassengerShipCertificate(ifapplicable),ISPP,IOPP,IAPP,validnavigationalandcommunicationequipment,andtheoriginalandtwocopiesoftheP&ASurveyreportdated[SurveyDate].TheCharterershalltakedeliveryoftheVesselonorafter[DeliveryDate]andbefore[DeliveryEndDate],providedtheVesselisreadyandavailableforloadinggoodsatthetimeofdelivery.5.TheCharterershallhiretheVesselforthepurposeofcarrying[DescribeCargo,e.g.,drycargo]from[LoadPort1],[Country],loadingatorabout[LoadingTime],[Date],[QuantityorDescriptionofCargo],to[DischargePort1],[Country],dischargingatorabout[DischargeTime],[Date],[QuantityorDescriptionofCargo],andforthecarriageofanyadditionalsimilarcargofrom[LoadPort2],[Country],loadingatorabout[LoadingTime],[Date],[QuantityorDescriptionofCargo],to[DischargePort2],[Country],dischargingatorabout[DischargeTime],[Date].TheVesselshallbeladenand/orladenandtrimmedaccordingtotheloadinginstructionsgivenbytheChartererinwriting,andtheCharterershallberesponsibleforthestowage,trimming,lashing,securingandcareofthegoodsduringtheCharterparty.TheCharterershallbearallrisksoflossofordamagetothecargofromthetimethegoodsareplacedatthedisposalofthecarrierattheLoadPortuntiltheyareplacedatthedisposaloftheconsigneeattheDischargePort,includingbutnotlimitedtothecostsofstevedoring,trimming,lashing,securing,unsealing,andunstuffing,unlessotherwiseagreedinwriting.TheCharterershallbefullyresponsibleforalldamagesandliabilitieswhatsoeverarisingfromorinconnectionwiththeloading,carriage,discharging,stowage,trimming,lashing,securing,careandhandlingofthecargo,includingdamagestotheVesselorthirdparties.6.TheVesselshallbeequippedwithacompleteandadequatecrewofqualifiedseamenaspertherequirementsoftheMinimumSafetyEquipmentCertificateandtheFlagStateregulations.TheMasterandcrewshallbetheservantsoftheChartererandshallactsolelyattheCharterer'sdirectionforthepurposeoftheCharterparty.TheCharterershallberesponsibleforthehiring,supply,maintenance,care,andpaymentofallwages,allowances,andotheremolumentsoftheMasterandcrew,includingtheirlivingaccommodation,provisions,food,water,clothing,andmedicalcare.TheCharterershallbesolelyresponsibleforanydisputes,claims,actions,losses,damages,liabilities,costs,andexpenseswhatsoever(includingbutnotlimitedtowages,damages,fines,penalties,legalfees,and仲裁費用)arisingfromorinconnectionwiththecrews'employment,discipline,wages,allowances,conditionsofservice,oranyothermatterswhatsoeverconnectedwiththecrews.Theshipownershallberesponsibleforprovidingthevesselwithadequatestores,provisions,andfuelaccordingtothenormalrequirementsofavesselofherclass,andtheCharterershallreimbursetheshipownerforallstores,provisions,andfuelconsumedbythevesselduringtheCharterpartyattheCharterer'sexpense,basedontheshipowner'sinvoicesorothervaliddocuments.TheCharterershallbesolelyresponsibleforallchargesincurredinrelationtothebunkerssuppliedtothevessel.7.ThehireoftheVesselshallcommenceat[CommencementDate]andcontinueforaperiodof[CharterPeriod],oruntilthevesselisreadyandavailableattheLoadPortforloadingthecargostipulatedinClause5forthefirstvoyage,oruntil[TerminationDate],whicheveroccursfirst(the"CharterpartyTerm").8.TheCharterershallpaytotheShipownerahireof[HireRate,e.g.,USDXXperday]foreachcalendardaytheVesselisavailableforloadingorunloadingcargoattheLoadandDischargePorts(excludinglaytime),or[Specifyotherhirecalculation],payablein[Currency]freeofexchange,priortothe[PaymentDeadline]followingtheendofeach[PaymentPeriod,e.g.,month].Thefirsthirepaymentshallbedueon[FirstPaymentDueDate]andshallcovertheperiodfrom[StartofFirstPaymentPeriod]to[EndofFirstPaymentPeriod].AllhiredueunderthisCharterpartyshallbecomeimmediatelydueandpayableupontheterminationoftheCharterparty.Allhirepaymentsshallbemadewithoutdeduction,set-off,orcounterclaimunlessexpresslyauthorizedinwritingbytheShipowner.9.AllportandotherchargesincurredbytheVesselduringtheCharterparty,includingbutnotlimitedtopilotage,tugging,lighters,lighters'hire,customsduties,portdues,wharfage,storage,inventorycharges,and檢疫charges,shallbetheCharterer'sexpense,unlesssuchchargesareshownintheshipowner'sinvoicestobeleviedforthebenefitoftheshipowner.TheCharterershallreimbursetheshipownerforallsuchchargeswithin[Number]daysafterreceiptoftheinvoice.10.TheCharterershallberesponsibleforallwarandStrikesrisks.TheshipownershallmaintainHullandMachineryinsuranceandProtectionandIndemnityinsurancefortheVesselinthenameoftheshipownerandforthebenefitoftheCharterer,withadequatelimitsofindemnity,inaccordancewiththelatestLMAformorsimilarstandardwarandP&Iclauses.TheCharterershallprocureandmaintain,attheCharterer'sexpense,suchadditionalinsuranceasmaybereasonablyrequiredbytheshipowner.TheVesselshallbedeemedtobeaconstructivetotallossifsheislost,damaged,captured,seized,detained,arrested,constrained,ortakenbyseizureofanykindwhatsoever,orifshebecomesatotalconstructiveloss,orifsheissavedafteraperilsofthesea,orifsheisnotreleasedfromsuchcapture,detention,arrest,constraint,orseizure,orsavedfromatotalconstructivelosswithin[Number]daysafternoticeofsuchevent,orifsheisnotdeliveredtotheChartererattheendoftheCharterpartyTerminaccordancewiththetermsofthisCharterparty,andtheCharterershallthereuponbeentitledtoterminatethisCharterpartywithoutfurthernotice.11.Demurrageshallbechargedattherateof[DemurrageRate,e.g.,USDXXperday]fromthetimetheVesselisreadyandavailableforloadingattheLoadPortuntilthecargoisactuallyloaded,andattherateof[DetentionRate,e.g.,USDXXperday]fromthetimethecargoisactuallyloadeduntiltheVesselisreadyandavailablefordeparturefromtheLoadPort,andthereafterattherateof[Demurrage/DetentionRateafterlaycanends,e.g.,USDXXperday]forevery[Number]hoursordaythattheVesselremainsattheLoadorDischargePortaftertheexpirationofthelaycanorthetimeofreadinessforloadingordischarge,asthecasemaybe.Detentionshallnotapplyifthedetentionisduetotheact,neglect,fault,ordefaultoftheshipowner,hisservants,oragents,orduetoanycausebeyondthecontroloftheCharterer.Demurrageanddetentionshallbecalculatedbytheshipowner'sagentat[Port]andchargesshallbesubjecttoverificationandadjustmentbytheCharterer'sagent.TheCharterershallberesponsibleforalldemurrageanddetentioncharges.12.TheCharterershallbedeemedtohaveexercisedallhisrightsandremediesunderthisCharterpartybyreasonofanybreachcommittedbytheshipownerandhisservantsoragents,andshallbefullyandfinallyreleasedfromallliabilitieswhatsoevertotheshipownerforanysuchbreach.TheshipownershallbedeemedtohaveexercisedallhisrightsandremediesunderthisCharterpartybyreasonofanybreachcommittedbytheChartererandhisservantsoragents,andshallbefullyandfinallyreleasedfromallliabilitieswhatsoevertotheChartererforanysuchbreach.13.ThisCharterpartyconstitutestheentireagreementbetweentheshipownerandtheChartererwithrespecttothesubjectmatterhereofandsupersedesallprioragreements,negotiations,andunderstandings,whetherwrittenororal,relatingthereto.Noamendment,modification,oradditiontothisCharterpartyshallbevalidunlessmadeinwritingandsignedbybothpartiesortheirauthorizedrepresentatives.14.IntheeventofanydisputearisingoutoforinconnectionwiththisCharterparty,thepartiesshallfirstattempttoresolvethedisputeamicablythroughnegotiation.Ifthedisputecannotberesolvedthroughnegotiation,itshallbesubmittedtofinalandbindingarbitrationinaccordancewiththeRulesfortheResolutionofMaritimeDisputesofthe[ArbitrationInstitution,e.g.,LondonMaritimeArbitratorsAssociation]asmaybeinforceatthetimeofthesubmission,andtheplaceofarbitrationshallbe[City,Country].TheTribunalshallconsistof[Number]arbitrator(s)appointedinaccordancewiththesaidRules.15.TheVesselshallbedeliveredcleanandingoodcondition,andtheCharterershallreturntheVesseltotheshipowneratthe[ReturnPort],[FlagState],attheendoftheCharterpartyTerminlikecondition,reasonablewearandtearexcepted,togetherwithallcertificatesanddocumentsdeliveredbytheshipownerunderthisCharterparty.IftheVesselisnotreturnedinlikecondition,theCharterershallpaytotheshipownerasumsufficienttocoverthecostofrepairingdamagesandthecostofcleaning,painting,andrepaintingtheVesseltoitsoriginalcondition,asdeterminedbytheshipowner'ssurveyor,andtheCharterershallalsoreimbursetheshipownerforanylossofordamagetotheVesselduringtheCharterparty.16.TheshipownershallhavetherightatanytimeduringtheCharterpartytosurveytheVesselatanyportattheCharterer'sexpensetoascertainhercondition.TheresultsofsuchsurveyshallbedeemedtobeadmissibleasevidenceinanyproceedingsbetweentheshipownerandtheChartererconcerningtheconditionoftheVessel.17.NothinginthisCharterpartyshallbeconstruedasgrantingtotheChartereranyrighttotakeorcausetobetakenanylegalorequitableaction,ortoinstituteorcontinueanylegalorequitableproceeding,againsttheshipownerorhisservantsoragentsinrespectoftheVesseloranycargocarriedbytheVessel,exceptinrespectofactualdamageorlosstothecargoitselfwhichhasarisendirectlyoutofthenegligenceoftheshipownerorhisservantsoragents.18.TheVesselshallbeheldfreefromallencumbrances,liens,orchargeswhatsoever,whetherpresentorfuture,legalorequitable,exceptfortheshipowner'srightsofmortgageorlieninrespectofhiredueunderthisCharterparty.19.TheshipownerwarrantsthattheVesselisnotsubjecttoanylitigation,claim,orproceeding,whetherinstitutedorpending,byanythirdpartywhatsoever.20.ThisCharterpartyshallbebindinguponandinuretothebenefitoftheshipownerandtheChartererandtheirrespectiveheirs,e
