建筑機電安裝fidic合同風險控制ThisContractismadeandenteredintoonthis______dayof______________,20__,byandbetween:[Employer'sName],havingitsplaceofbusinessat[Employer'sAddress],hereinafterreferredtoasthe"Employer";And[Contractor'sName],havingitsplaceofbusinessat[Contractor'sAddress],hereinafterreferredtoasthe"Contractor".RECITALSWHEREAS,theEmployerdesirestoengagetheContractortodesign,procure,construct,test,andcommission[BriefDescriptionoftheProject,e.g.,theBuildingMechanicalandElectricalInstallationWorksfortheABCProject](the"Project")attheEmployer'ssitelocatedat[ProjectAddress];andWHEREAS,theContractoriswillingtoperformthedesign,procurement,construction,testing,andcommissioningoftheProjectinaccordancewiththetermsandconditionssetforthherein;NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementssetforthherein,thepartiesheretoagreeasfollows:ARTICLE1–OBJECTOFTHECONTRACT1.1TheContractorshalldesign,procure,construct,test,andcommissiontheWorksinaccordancewiththeTechnicalSpecifications(BoQ),theDrawings,andtheotherdocumentsformingpartofthisContract(the"ContractDocuments"),usingitsownstaffandmaterialsandcomplyingwiththeRequirements.1.2TheEmployeracceptstheContractor'sbidsubmittedinresponsetotheEmployer'sinvitationtotenderdated______________,20__,whichwasbasedonthedocumentsprovidedbytheEmployer.ARTICLE2–CONTRACTDURATION2.1ThisContractshallcommenceonthedatehereofandshallcontinueuntiltheWorksareAcceptanceCertifiedbytheEmployer,subjecttothetermsandconditionssetforthherein.2.2TheestimatedcompletiondatefortheWorksis______________,20__(the"EstimatedCompletionDate").TheactualcompletiondateshallbedeterminedinaccordancewithClause8.4.ARTICLE3–SCOPEOFWORK3.1TheContractorshallperformthefollowingworkswithrespecttotheProject:(a)Performallthedesign,engineering,anddocumentationnecessaryfortheWorks,includingthepreparationofdetaileddesigns,drawings,calculations,andspecificationsinaccordancewithacceptedengineeringpracticesandtheRequirements;(b)Procure,manufacture,supply,erect,install,test,andcommissionallplant,machinery,equipment,materials,andcomponentsrequiredfortheWorks,includingbutnotlimitedto[ListkeysystemssuchasHVAC,plumbing,electrical,fireprotection,etc.],ensuringtheyconformtotheSpecificationsandarefitfortheirintendedpurpose;(c)Constructallassociatedcivil,structural,andarchitecturalworksnecessaryfortheinstallationandoperationoftheWorks,asmayberequired;(d)PreparetheWorksforandachieveEmployer'sAcceptance;(e)Provideallnecessaryprojectmanagement,supervision,coordination,andqualityassuranceservices;(f)Complywithallapplicablelaws,regulations,andstandards;(g)[Addanyotherspecifictasks,e.g.,providetrainingtoEmployer'spersonnelonoperationandmaintenance].3.2TheContractorshallcoordinatetheWorkswithotherworksonthesite,ensuringcompatibilityandavoidinginterference,inaccordancewithanagreedcoordinationplan.ARTICLE4–QUALITY4.1TheWorksandallmaterials,plant,andequipmentsuppliedbytheContractorshallbeofgoodqualityandshallconformtotheSpecifications,theDrawings,andapplicablelaws,regulations,andstandards.4.2TheContractorshallestablishandmaintainaqualityassurancesystemcompliantwith[Specifystandard,e.g.,ISO9001]toensurethequalityoftheWorksthroughouttheContractperiod.4.3TheContractorshallsubjecttheWorkstotheinspectionsandtestsspecifiedintheContractDocumentsandshallprovidetheEmployerwithaccesstotheWorksforsuchinspectionsandtestsatallstagesoftheContract.ARTICLE5–DRAWINGSANDTECHNICALSPECIFICATIONS5.1TheDrawingsandTechnicalSpecifications(BoQ)constituteanintegralpartofthisContractandformthebasisuponwhichtheContractor'spricehasbeencalculated.5.2TheContractorshalluseitsbesteffortstoensurethattheWorksareconstructedinaccordancewiththeDrawingsandTechnicalSpecifications.TheContractorshallberesponsibleforalldesignworkundertakenbyit.5.3TheEmployershallprovidetheContractorwithaccesstoitsownDrawingsandTechnicalSpecificationsrelatedtotheProjectsiteandotherWorksonsite.ARTICLE6–EMPLOYER'SREPRESENTATIVE6.1TheEmployershalldesignate[NameandTitle]asitsEmployer'sRepresentative(the"Employer'sRepresentative")toactonitsbehalfinconnectionwiththisContract.6.2TheEmployer'sRepresentativeshallhavetheauthorityto[Listspecificauthorities,e.g.,issueinstructions,approvevariations,receiveinspectionreports,certifypayments,issueAcceptanceCertificate].6.3TheContractorshallberesponsibletotheEmployer'sRepresentativefortheperformanceoftheWorks.ARTICLE7–INSTRUCTIONS,VARIATIONS,ANDEXTRAWORK7.1TheEmployer'sRepresentativemay,fromtimetotime,issueInstructionstotheContractorregardingtheWorks.TheContractorshallcarryoutsuchInstructionsatitsowncostunlesstheInstructionsconstituteExtraWorkorVariationinaccordancewiththisArticle.7.2Anyinstructionincreasingthecostof,oraffectingthetimefor,theWorksshallconstituteExtraWorkandshallbesubjecttovariationinaccordancewiththeproceduressetoutinthisArticle.7.3AnyvariationtotheWorksshallbesubjecttothepriorwrittenapprovaloftheEmployer'sRepresentative.TheContractorshallnotcommenceanyworkinvolvingvariationwithoutsuchapproval.7.4ThecostandtimeimpactofanyvariationshallbeassessedbytheContractorandsubmittedtotheEmployer'sRepresentativeforapproval.TheEmployer'sRepresentativeshallissueaVariationCertificatewithin[Number,e.g.,28]daysofreceivingtheContractor'sproposal.IftheEmployer'sRepresentativefailstorespondwithinthisperiod,thevariationshallbedeemedapproved.ARTICLE8–DURATIONOFCONTRACT,TIME,ANDEXTENSIONS8.1TheContractorshalluseitsbesteffortstocompletetheWorksbytheEstimatedCompletionDate.8.2TheContractorshallsubmitadetailedconstructionscheduletotheEmployer'sRepresentativeforapprovalwithin[Number,e.g.,28]daysoftheCommencementDate.8.3TheContractorshallgivetheEmployer'sRepresentativewrittennoticeofanyanticipateddelayincompletion.8.4TheestimatedcompletiondatemaybeextendedbytheEmployer,orbyagreementbetweentheEmployerandContractor,orbyreasonof:(a)ExtraWorkorVariationorderedbytheEmployer;(b)DelayorinterruptionduetoactsoromissionsoftheEmployer;(c)DelayorinterruptionduetoactsofathirdpartynotdirectlyattributabletotheContractor;(d)Delayorinterruptionduetoforcemajeureevents(Clause11);(e)Unforeseensiteconditions(Clause7.1);(f)NecessaryadjustmentstotheWorksresultingfromEmployer'sinstructions;(g)AnyothereventbeyondtheContractor'sreasonablecontrol.8.5AnyextensionoftimeshallbeconfirmedinwritingbytheEmployer'sRepresentative.8.6IftheContractorfailstocompletetheWorksbythedatespecifiedintheadjustedcompletiondate,theContractorshallbeliabletopayliquidateddamagestotheEmployer,subjecttoClause14.2.ARTICLE9–PAYMENT9.1TheEmployershallpaytheContractorfortheWorksinaccordancewiththetermssetforthherein.9.2TheContractorshallsubmitpaymentapplicationstotheEmployer'sRepresentativeatintervalsof[Number,e.g.,28]daysfromtheCommencementDate,togetherwithsupportingdocumentsevidencingthevalueoftheWorkscertifiedbytheContractor'scertifiedquantitiesorinvoices.9.3TheEmployer'sRepresentativeshallreviewthepaymentapplicationsandshallissueapaymentcertificatetotheContractorwithin[Number,e.g.,28]daysofreceipt,specifyingtheamountdue.9.4TheEmployershallpaytheamountcertifiedinthepaymentcertificatewithin[Number,e.g.,28]daysofitsreceiptfromtheContractor.9.5TheEmployershallpaytheContractorinterestatarateof[Specifyrate,e.g.,LIBOR+3%]perannumonanyamountdueunderthisContract,calculateddaily,fromthedateofpaymentdueuntilthedateofactualpayment.9.6TheContractorshallbeentitledtoreceivepaymentsunderthisContractfreefromalltaxes,duties,andchargesimposedbylaw.9.7AllpaymentsmadebytheEmployerunderthisContractshallbesubjecttoaretentionsumasfollows:[Specifypercentage,e.g.,10%]ofthetotalContractPrice,whichshallberetaineduntiltheWorkshavebeenAcceptanceCertified.ThebalanceoftheretentionsumshallbereturnedtotheContractorwithin[Number,e.g.,28]daysoftheAcceptanceCertificatebeingissued.9.8TheContractorshallberesponsibleforallcostsassociatedwiththeprocurement,handling,andinstallationofmaterialsandequipment,andfortheoperationandmaintenanceoftheWorksduringtheContractperiod.ARTICLE10–EMPLOYER'SPAYMENTOFSUBCONTRACTORS10.1IftheContractorintendstoengageSubcontractorsforanypartoftheWorks,theContractorshallsubmitthenamesanddetailsoftheSubcontractorstotheEmployer'sRepresentativeforapprovalbeforeengagement.10.2TheContractorshallbefullyresponsibletotheSubcontractorsforthepaymentofallsumsduetothemundertheSubcontracts.10.3TheEmployershallhavetherighttoexaminetheSubcontractsandtorequiretheContractortoprovidesecurityfortheperformanceoftheSubcontracts.10.4TheEmployershallpaytheSubcontractorsonlyupontheContractor'srequestandpresentationofapprovedinvoices,andshallnotbeliableforanydefaultoftheContractortotheSubcontractors.ARTICLE11–FORCEMAJEURE11.1"ForceMajeure"meansaneventbeyondthereasonablecontroloftheContractor,includingbutnotlimitedtoactsofGod,war,terrorism,riots,civilcommotion,strikes,lockouts,governmentalactions,andnaturaldisasters.11.2IftheContractorispreventedordelayedinperformingitsobligationsunderthisContractbyForceMajeure,theContractorshallimmediatelynotifytheEmployer'sRepresentativeinwriting,providingdetailsoftheeventanditsexpectedduration.11.3TheContractorshalltakeallreasonablemeasurestomitigatetheeffectsofForceMajeure.11.4TheContractorshallnotbeliableforanydelayorfailureinperformancecausedbyForceMajeure,butshallbeentitledtoanextensionoftimeaccordingly.11.5IfForceMajeurecontinuesforaperiodofmorethan[Number,e.g.,84]days,theEmployermayterminatethisContractbygivingtheContractorwrittennoticeofsuchintention.ARTICLE12–INSPECTIONANDTESTING12.1TheContractorshallberesponsibleforconductingallinspectionsandtestsnecessarytoensurethequalityandperformanceoftheWorks.12.2TheContractorshallgivetheEmployer'sRepresentativeatleast[Number,e.g.,7]days'writtennoticeofanyimportantinspectionortestitproposestocarryout.12.3TheContractorshallbearallcostsofitsowninspectionsandtests.12.4TheContractorshallbearallcostsofEmployer'sRepresentative'sandEmployer'sinspectionsandtests,unlesstheresultsindicateadefectintheWorksormaterialssuppliedbytheContractor,inwhichcasetheContractorshallbearsuchcosts.12.5TheContractorshallprovideallnecessaryfacilitiesandpersonnelfortheEmployer'sinspectionsandtests.ARTICLE13–EMPLOYER'SREPRESENTATIVE'SANDEMPLOYER'SAPPROVAL13.1TheEmployer'sRepresentative'sapprovalorrefusalofanymattershallnotrelievetheContractorofitsobligationsunderthisContractunlesssuchapprovalorrefusalisexpresslyincorporatedinthisContract.13.2TheEmployer'sRepresentative'sfailuretoactwithinthetimelimitsspecifiedinthisContract(unlessduetocircumstancesbeyondtheEmployer'sRepresentative'sreasonablecontrol)shallnotpreventtheContractorfromproceedingwiththeWorksortakinganyotheractionasitdeemsnecessary.ARTICLE14–LIABILITIES,DEFECTS,ANDACCEPTANCE14.1TheContractorshallindemnifyandholdharmlesstheEmployeragainstallclaims,losses,damages,andexpensesarisingoutoforinconnectionwiththeContractor'sbreachofanyobligationunderthisContract.14.2TheContractorshallguaranteethatallWorksshallbefreefromdefectsinmaterialsandworkmanshipforaperiodof[Number,e.g.,24]monthsfromthedateofAcceptanceCertification.TheContractorshallrectifyanydefectsdiscoveredduringthisperiodatitsowncost.14.3TheContractorshallberesponsibleforthesafekeepingoftheWorksuntiltheyareAcceptanceCertifiedbytheEmployer.14.4AcceptanceoftheWorksshallbebyissueofanAcceptanceCertificatebytheEmployer'sRepresentativetotheContractor.TheAcceptanceCertificateshallbeissuedwithin[Number,e.g.,28]daysaftertheContractorhasgivennoticethattheWorksarereadyforacceptanceandtheEmployer'sRepresentativehasinspectedthemandissatisfiedthattheyarecompleteandcomplywiththeContract.14.5TheissueoftheAcceptanceCertificateshallconstitutefullandfinalacceptancebytheEmployeroftheWorksandshallentitletheContractortoreceivepaymentforallsumsdueunderthisContract,includingthebalanceoftheretentionsum.ARTICLE15–GOVERNINGLAW15.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsofthe[SpecifyJurisdiction,e.g.,People'sRepublicofChina].ARTICLE16–NOTICES16.1Allnotices,requests,demands,andothercommunicationsrequiredorpermittedunderthisContractshallbeinwritingandshallbedeemedtohavebeendulygiven:(a)Whendeliveredpersonally;(b)Onedayafterdepositwithareputableovernightcourierservice;(c)Threedaysafterdepositwiththepost,registeredorordinarymail,addressedtothepartiesattheaddressessetforthinArticle2;(d)Uponpublicationinanewspaperofgeneralcirculationinthe[SpecifyCity/Jurisdiction]ifgiventothepartyatitsaddress.16.2AnynoticeorcommunicationrequiredorpermittedtobegivenunderthisContractshallbedeemedgivenwhenactuallyreceived.ARTICLE17–LANGUAGE17.1ThelanguageofthisContractis[SpecifyLanguage,e.g.,ChineseandEnglish].ARTICLE18–AMENDMENTS18.1Noamendment,modification,orvariationofthisContractshallbevalidunlessitisinwritingandsignedbyboththeEmployerandtheContractor.ARTICLE19–WAIVER19.1NodelayorfailurebytheEmployerortheEmployer'sRepresentativeinexercisinganyrightorremedyunderthisContractshallbeconstruedasawaiverofsuchrightorremedy.19.2NowaiverbytheEmployerofanybreachofthisContractshallreleasetheContractorfromanyobligationarisingfromsuchbreach.ARTICLE20–INSURANCE20.1TheContractorshall,atitsowncost,procureandmaintainduringtheContractperiodthefollowinginsurancesforthebenefitoftheEmployer:(a)InsurancecoveringallrisksoflossordamagetotheWorks,plant,machinery,equipment,andmaterialsprovidedbytheContractor,withasuminsuredofnotlessthan[SpecifyAmount][SpecifyCurrency];(b)InsurancecoveringtheEmployer'sliabilityfordeath,injurytopersons,ordamagetopropertyforasuminsuredofnotlessthan[SpecifyAmount][SpecifyCurrency];(c)[SpecifyanyotherinsurancerequiredbytheEmployer].20.2TheContractorshallprovidetheEmployerwithcertificatesofinsuranceevidencingthemaintenanceoftheinsurancesrequiredunderthisClause.ARTICLE21–TAXESANDDUTIES21.1TheContractorshallberesponsibleforpayingalltaxes,duties,andchargesleviedbyanygovernmentalauthorityontheContractororitssupplies,materials,plant,machinery,andequipment,unlesssuchtaxes,duties,andchargesareexpresslystatedintheContracttobefortheEmployer'saccount.21.2TheContractorshallbeentitledtoanallowanceforanytaxes,duties,andchargespaidorpayablebytheContractorwhicharefortheEmployer'saccount.ARTICLE22–DISPUTEADJUDICATIONBOARD(DAB)22.1IntheeventofanydisputearisingoutoforinconnectionwiththisContractbetweentheEmployerandtheContractor,thepartiesshallfirstattempttoresolvethedisputeamicablythroughnegotiation.22.2Ifthedisputecannotberesolvedthroughnegotiationwithin[Number,e.g.,28]daysfromthedateofthelastattemptatnegotiation,thepartiesshalleachappointarepresentativetoformaDisputeAdjudicationBoard(DAB).22.3TheDABshallconsistof[Number,e.g.,three]members,oneappointedbytheEmployer,oneappointedbytheContractor,andtheChairmanappointedbymutualagreementor,ifagreementcannotbereached,bythe[Specifymethod,e.g.,PresidentoftheChamberofCommerce].22.4TheDABshallendeavortoreachamutuallyacceptableAdjudicationDecision
