精簡版保密協(xié)議（中英文）協(xié)議編號（AgreementNo.）：________________________甲方（披露方）與乙方（接收方）于____年____月____日在________________，為規(guī)范合作中保密信息的管理，依據(jù)《中華人民共和國民法典》相關(guān)規(guī)定，自愿達成如下協(xié)議，共同信守。PartyA(DisclosingParty)andPartyB(ReceivingParty)voluntarilyenterintothisAgreementon________,20____in________________inaccordancewiththeCivilCodeofthePeople'sRepublicofChinatoregulatethemanagementofconfidentialinformationincooperationandabidebyitjointly.甲方/PartyA名稱（Name）：________________________統(tǒng)一社會信用代碼/注冊號（UnifiedSocialCreditCode/RegistrationNo.）：________________________乙方/PartyB名稱（Name）：________________________統(tǒng)一社會信用代碼/注冊號（UnifiedSocialCreditCode/RegistrationNo.）：________________________一、保密信息范圍/1.ScopeofConfidentialInformation本協(xié)議所稱保密信息，指甲方為推進________________（合作事項），以口頭、書面、電子數(shù)據(jù)等形式向乙方披露的全部未公開信息，涵蓋技術(shù)資料、客戶信息、商業(yè)計劃、財務(wù)數(shù)據(jù)及衍生內(nèi)容。已公開信息、乙方獨立獲取且可證明來源的信息除外。TheconfidentialinformationreferredtointhisAgreementmeansallundisclosedinformationdisclosedbyPartyAtoPartyBinoral,written,electronicdataandotherformsforadvancing________________(CooperationMatters),includingtechnicaldata,customerinformation,businessplans,financialdataandderivativecontents.ExcludingpublicinformationandinformationindependentlyobtainedbyPartyBwithprovablesources.二、保密義務(wù)/2.ConfidentialityObligations1.未經(jīng)甲方書面同意，乙方不得向任何第三方泄露、傳播、復(fù)制保密信息，僅可將其用于本合作事項。1.WithoutPartyA'swrittenconsent,PartyBshallnotdisclose,disseminateorcopytheconfidentialinformationtoanythirdparty,andshallonlyuseitforthiscooperationmatter.2.乙方應(yīng)采取加密存儲、專人保管等合理措施，限制內(nèi)部僅必要人員接觸保密信息，督促其履行保密責任。2.PartyBshalltakereasonablemeasuressuchasencryptedstorageandspecialpersoncustody,restrictinternalaccesstoconfidentialinformationonlytonecessarypersonnel,andurgethemtofulfillconfidentialityresponsibilities.3.因法律強制要求披露的，乙方應(yīng)提前24小時書面通知甲方，并配合甲方采取減損措施。3.Ifdisclosureiscompelledbylaw,PartyBshallnotifyPartyAinwriting24hoursinadvanceandcooperatewithPartyAtotakelossmitigationmeasures.三、保密期限/3.ConfidentialityPeriod乙方保密義務(wù)自接觸保密信息之日起生效，至該信息依法公開止。無論合作終止或本協(xié)議解除，本條款持續(xù)有效。PartyB'sconfidentialityobligationshalltakeeffectfromthedateofcontactingtheconfidentialinformationandterminatewhentheinformationispubliclydisclosedinaccordancewithlaw.ThisclauseremainsvalidregardlessoftheterminationofcooperationorrescissionofthisAgreement.四、信息處置/4.InformationDisposal合作終止后10日內(nèi)，乙方須按甲方要求，返還全部保密信息原件、復(fù)印件及存儲載體，或徹底銷毀，不得留存任何副本、備份及殘留信息。Within10daysaftertheterminationofcooperation,PartyBmustreturnalloriginals,copiesandstoragecarriersoftheconfidentialinformationtoPartyAorcompletelydestroythemasrequired,withoutretaininganycopies,backupsorresidualinformation.五、違約責任/5.LiabilityforBreach乙方違反本協(xié)議約定泄露、濫用保密信息的，應(yīng)向甲方支付違約金人民幣__________元（大寫：________________________），并賠償甲方因此遭受的全部損失（含直接損失、維權(quán)費用等）。IfPartyBdisclosesorabusetheconfidentialinformationinviolationofthisAgreement,itshallpayliquidateddamagesofRMB__________(inwords:________________________)toPartyAandcompensatePartyAforalllossesincurredthereby(includingdirectlosses,legalcosts,etc.).六、爭議解決/6.DisputeResolution因本協(xié)議產(chǎn)生的糾紛，雙方優(yōu)先協(xié)商解決；協(xié)商不成的，提交協(xié)議簽署地有管轄權(quán)的人民法院訴訟解決。DisputesarisingfromthisAgreementshallberesolvedthroughnegotiationfirst;ifnegotiationfails,theyshallbesubmittedtothepeople'scourtwithjurisdictionovertheplaceofsignatureforlitigation.七、其他/7.Others本協(xié)議自雙方簽字蓋章之日起生效，一式兩份，甲乙雙方各執(zhí)一份，具有同等法律效力；中英文版本內(nèi)容一致，若有歧義，以中文版本為準。ThisAgreementshalltakeeffectuponsignatureandsealbybothparties,induplicate,oneforeachparty,withequallegaleffect;theChineseandEnglishversionshavethesamecontent,andincaseofambiguity,theChineseversionshallprevail.（以下無正文）(NoTextBelow)甲方（蓋章）/PartyA(Seal)法定代表人/授權(quán)代表人（簽字）/LegalRepresentative/AuthorizedRepresentative(Signature)：________________________日期/Date：____年_
