員工保密協(xié)議(中英文版)協(xié)議編號(hào)(AgreementNo.):________________________甲方(用人單位):________________________PartyA(Employer):________________________乙方(員工):________________________PartyB(Employee):________________________身份證號(hào)碼(IDCardNo.):________________________鑒于乙方受雇于甲方,在職期間將接觸、知悉甲方的商業(yè)秘密、技術(shù)信息及其他保密信息,該等信息是甲方核心競(jìng)爭(zhēng)力的重要組成部分,對(duì)甲方的經(jīng)營發(fā)展具有重大價(jià)值。為保護(hù)甲方合法權(quán)益,防范信息泄露風(fēng)險(xiǎn),依據(jù)《中華人民共和國民法典》《中華人民共和國勞動(dòng)合同法》《中華人民共和國反不正當(dāng)競(jìng)爭(zhēng)法》及相關(guān)法律法規(guī),甲乙雙方本著平等自愿、誠實(shí)信用、權(quán)責(zé)統(tǒng)一的原則,經(jīng)充分協(xié)商一致,訂立本協(xié)議,以資共同嚴(yán)格恪守。WhereasPartyBisemployedbyPartyA,andwillhaveaccesstoandknowPartyA'stradesecrets,technicalinformationandotherconfidentialinformationduringemployment.SuchinformationisanimportantpartofPartyA'scorecompetitivenessandofgreatvaluetoPartyA'soperationanddevelopment.ToprotectPartyA'slegitimaterightsandinterestsandpreventtheriskofinformationleakage,inaccordancewiththeCivilCodeofthePeople'sRepublicofChina,theLaborContractLawofthePeople'sRepublicofChina,theAnti-UnfairCompetitionLawofthePeople'sRepublicofChinaandotherrelevantlawsandregulations,thetwopartiesenterintothisAgreementthroughfullnegotiationontheprinciplesofequality,voluntariness,goodfaithandunificationofrightsandobligationsforjointandstrictcompliance.第一條雙方基本信息/BasicInformationofBothParties一、甲方/PartyA1.企業(yè)名稱(EnterpriseName):________________________2.統(tǒng)一社會(huì)信用代碼(UnifiedSocialCreditCode):________________________3.注冊(cè)地址/住所地(RegisteredAddress/Domicile):________________________4.法定代表人(LegalRepresentative):________________________5.聯(lián)系電話(ContactPhone):________________________6.電子郵箱(E-mail):________________________二、乙方/PartyB1.姓名(FullName):________________________2.身份證號(hào)碼(IDCardNo.):________________________3.住址(ResidentialAddress):________________________4.聯(lián)系電話(ContactPhone):________________________5.電子郵箱(E-mail):________________________6.所屬部門(Department):________________________7.崗位名稱(Position):________________________第二條保密信息的定義與范圍/DefinitionandScopeofConfidentialInformation2.1本協(xié)議所稱“保密信息”(ConfidentialInformation),指甲方所有或持有的、未公開披露的,且對(duì)甲方具有商業(yè)價(jià)值或保密必要的一切信息,包括但不限于甲方在經(jīng)營管理、技術(shù)研發(fā)、市場(chǎng)運(yùn)營、客戶服務(wù)等過程中形成或獲取的各類信息,以及乙方在職期間基于工作崗位接觸、知悉、制作、整理的與甲方相關(guān)的全部未公開信息。2.1Theterm"ConfidentialInformation"asusedinthisAgreementreferstoallnon-publiclydisclosedinformationownedorheldbyPartyAthathascommercialvalueorconfidentialitynecessityforPartyA,includingbutnotlimitedtovariousinformationformedorobtainedbyPartyAinthecourseofoperationandmanagement,technologicalresearchanddevelopment,marketoperation,customerservice,etc.,aswellasallnon-publicinformationrelatedtoPartyAthatPartyBcontacts,knows,producesandcollatesbasedonthejobpositionduringemployment.2.2保密信息具體包括但不限于以下類別:2.2TheConfidentialInformationspecificallyincludesbutisnotlimitedtothefollowingcategories:(一)經(jīng)營管理類(OperationandManagement):甲方發(fā)展戰(zhàn)略及規(guī)劃、商業(yè)計(jì)劃書、財(cái)務(wù)報(bào)表、成本核算數(shù)據(jù)、盈利預(yù)測(cè)、財(cái)務(wù)預(yù)算、資金流向、稅務(wù)籌劃方案、投融資計(jì)劃、內(nèi)部管理制度、組織架構(gòu)、薪酬福利體系、人力資源規(guī)劃、未公開重大經(jīng)營決策、會(huì)議紀(jì)要、運(yùn)營數(shù)據(jù)統(tǒng)計(jì)報(bào)表等;(I)OperationandManagement:PartyA'sdevelopmentstrategyandplan,businessplan,financialstatements,costaccountingdata,profitforecast,financialbudget,capitalflow,taxplanningplan,investmentandfinancingplan,internalmanagementsystem,organizationalstructure,salaryandwelfaresystem,humanresourceplan,undisclosedmajorbusinessdecisions,meetingminutes,operationaldatastatisticalstatements,etc.;(二)客戶與市場(chǎng)類(CustomerandMarket):客戶名單、客戶檔案(含聯(lián)系方式、交易記錄、信用狀況、合作需求、偏好等)、潛在客戶信息、市場(chǎng)調(diào)研數(shù)據(jù)、市場(chǎng)拓展策略、定價(jià)策略、議價(jià)底線、廣告投放方案、營銷推廣計(jì)劃、品牌運(yùn)營策略等;(II)CustomerandMarket:Customerlists,customerfiles(includingcontactinformation,transactionrecords,creditstatus,cooperationneeds,preferences,etc.),potentialcustomerinformation,marketresearchdata,marketexpansionstrategies,pricingstrategies,bargainingbottomlines,advertisingplans,marketingpromotionplans,brandoperationstrategies,etc.;(三)技術(shù)與知識(shí)產(chǎn)權(quán)類(TechnologyandIntellectualProperty):核心技術(shù)方案、技術(shù)架構(gòu)、源代碼、算法模型、產(chǎn)品設(shè)計(jì)圖紙及參數(shù)、生產(chǎn)工藝流程、技術(shù)配方、實(shí)驗(yàn)數(shù)據(jù)及分析報(bào)告、專利技術(shù)及申請(qǐng)文件、商標(biāo)注冊(cè)資料及使用策略、著作權(quán)相關(guān)資料、商業(yè)軟件及系統(tǒng)操作權(quán)限、技術(shù)研發(fā)進(jìn)度及階段性成果、未公開的技術(shù)改進(jìn)方案等;(III)TechnologyandIntellectualProperty:Coretechnicalsolutions,technicalarchitecture,sourcecodes,algorithmmodels,productdesigndrawingsandparameters,productionprocesses,technicalformulas,experimentaldataandanalysisreports,patentedtechnologiesandapplicationdocuments,trademarkregistrationmaterialsandusestrategies,copyright-relatedmaterials,commercialsoftwareandsystemoperationpermissions,technicalR&Dprogressandphasedachievements,undisclosedtechnicalimprovementplans,etc.;(四)商業(yè)秘密類(TradeSecrets):甲方未公開的合作協(xié)議、合同文本、供應(yīng)商資源及核心合作條款、采購及銷售渠道、核心競(jìng)爭(zhēng)力分析報(bào)告、商業(yè)談判策略、未公開的并購重組相關(guān)資料等;(IV)TradeSecrets:PartyA'sundisclosedcooperationagreements,contracttexts,supplierresourcesandcorecooperationterms,procurementandsaleschannels,corecompetitivenessanalysisreports,businessnegotiationstrategies,undisclosedmerger,acquisitionandrestructuringrelatedmaterials,etc.;(五)其他保密信息(OtherConfidentialInformation):甲方明確告知乙方需保密的其他信息,及乙方基于工作崗位可合理推斷為保密性質(zhì)的未公開信息,包括但不限于甲方員工個(gè)人信息、內(nèi)部培訓(xùn)資料、核心工作話術(shù)等。(V)OtherConfidentialInformation:OtherinformationthatPartyAexplicitlyinformsPartyBtokeepconfidential,andnon-publicinformationthatPartyBcanreasonablyinferasconfidentialbasedonthejobposition,includingbutnotlimitedtopersonalinformationofPartyA'semployees,internaltrainingmaterials,coreworkscripts,etc.2.3下列信息不屬于本協(xié)議項(xiàng)下保密信息,乙方無需承擔(dān)保密義務(wù):2.3ThefollowinginformationisnottheConfidentialInformationunderthisAgreement,andPartyBshallnotbeliableforconfidentiality:(一)在乙方接觸前,已通過公開渠道合法公開且乙方無過錯(cuò)的信息;(I)InformationthathasbeenlegallypublishedthroughpublicchannelsbeforePartyB'scontactandforwhichPartyBhasnofault;(二)乙方在未接觸甲方保密信息的前提下,通過自身獨(dú)立研究、學(xué)習(xí)獲得的信息,且能提供有效證據(jù)證明其合法來源;(II)InformationobtainedbyPartyBthroughindependentresearchandstudywithoutcontactingPartyA'sConfidentialInformation,andeffectiveevidencecanbeprovidedtoproveitslegalsource;(三)乙方從第三方合法、善意獲取的信息,且第三方對(duì)該信息無保密義務(wù),乙方獲取過程無惡意;(III)InformationlegallyandingoodfaithobtainedbyPartyBfromathirdpartywhohasnoconfidentialityobligationfortheinformation,andPartyBhasnobadfaithintheacquisitionprocess;(四)依據(jù)司法機(jī)關(guān)、行政監(jiān)管部門生效文書要求或法律法規(guī)強(qiáng)制性規(guī)定必須披露的信息,乙方應(yīng)提前24小時(shí)書面通知甲方(緊急情況除外),并配合甲方采取減損措施。(IV)Informationthatmustbedisclosedinaccordancewiththerequirementsofeffectivedocumentsofjudicialorgansandadministrativesupervisiondepartmentsormandatoryprovisionsoflawsandregulations.PartyBshallnotifyPartyAinwriting24hoursinadvance(exceptinemergencycases)andcooperatewithPartyAtotakelossmitigationmeasures.第三條乙方的保密義務(wù)/ConfidentialityObligationsofPartyB3.1乙方應(yīng)秉持審慎、誠信原則,對(duì)接觸、知悉的全部保密信息嚴(yán)格履行保密義務(wù),未經(jīng)甲方書面明確同意,不得向任何第三方(包括但不限于乙方親友、非相關(guān)崗位同事、其他單位或個(gè)人)以披露、泄露、傳播、復(fù)制、摘抄、摘錄、出租、出借、贈(zèng)與等任何形式泄露保密信息,亦不得將其用于與甲方工作無關(guān)的任何活動(dòng)。3.1PartyBshall,inaccordancewiththeprinciplesofprudenceandgoodfaith,strictlyperformtheconfidentialityobligationforallConfidentialInformationcontactedandknown.WithouttheexplicitwrittenconsentofPartyA,itshallnotdisclosetheConfidentialInformationtoanythirdparty(includingbutnotlimitedtoPartyB'srelativesandfriends,colleaguesinirrelevantpositions,otherunitsorindividuals)inanyformsuchasdisclosure,leakage,dissemination,copying,extraction,excerpt,leasing,lending,donation,noruseitforanyactivitiesunrelatedtoPartyA'swork.3.2乙方應(yīng)嚴(yán)格按照甲方規(guī)章制度及工作需要使用保密信息,不得擅自擴(kuò)大接觸范圍、超越工作權(quán)限使用保密信息。對(duì)電子保密信息應(yīng)采取加密存儲(chǔ)、安全防護(hù)等措施,不得擅自拷貝、傳輸至非工作設(shè)備;對(duì)紙質(zhì)保密信息應(yīng)妥善保管,存放于甲方指定的保密區(qū)域,使用后及時(shí)歸檔或按規(guī)定銷毀,不得隨意丟棄、遺失。3.2PartyBshallusetheConfidentialInformationstrictlyinaccordancewithPartyA'srulesandregulationsandworkneeds,andshallnotarbitrarilyexpandthescopeofcontactorusetheConfidentialInformationbeyondthejobauthority.ForelectronicConfidentialInformation,measuressuchasencryptedstorageandsecurityprotectionshallbeadopted,anditshallnotbearbitrarilycopiedortransmittedtonon-workequipment;forpaperConfidentialInformation,itshallbeproperlykept,storedintheconfidentialareadesignatedbyPartyA,filedinatimelymannerafteruseordestroyedinaccordancewithregulations,andshallnotbearbitrarilydiscardedorlost.3.3乙方在職期間,應(yīng)積極配合甲方的保密管理工作,接受甲方的保密培訓(xùn)、檢查與監(jiān)督,及時(shí)報(bào)告保密信息泄露風(fēng)險(xiǎn)或疑似泄露情況。不得利用保密信息為自己或第三方謀取不正當(dāng)利益,不得擅自將保密信息攜帶出甲方指定的工作區(qū)域(工作需要并經(jīng)甲方批準(zhǔn)的除外)。3.3Duringemployment,PartyBshallactivelycooperatewithPartyA'sconfidentialitymanagementwork,acceptPartyA'sconfidentialitytraining,inspectionandsupervision,andpromptlyreporttheriskofdisclosureorsuspecteddisclosureofConfidentialInformation.ItshallnotusetheConfidentialInformationtoseekimproperinterestsforitselforathirdparty,andshallnotarbitrarilycarrytheConfidentialInformationoutoftheworkareadesignatedbyPartyA(exceptwhenrequiredforworkandapprovedbyPartyA).3.4乙方離職后,其保密義務(wù)并不因勞動(dòng)關(guān)系終止而免除,仍需對(duì)在職期間接觸、知悉的全部保密信息承擔(dān)本協(xié)議約定的保密責(zé)任,直至該信息成為非保密信息為止。3.4AfterPartyB'sresignation,itsconfidentialityobligationshallnotbeexemptedduetotheterminationofthelaborrelationship,anditshallstillbeliablefortheconfidentialityofallConfidentialInformationcontactedandknownduringemploymentinaccordancewiththisAgreementuntiltheinformationbecomesnon-confidentialinformation.3.5若乙方發(fā)現(xiàn)保密信息存在泄露風(fēng)險(xiǎn)、疑似泄露或已泄露,應(yīng)立即采取有效措施制止泄露行為、控制泄露范圍,同時(shí)在24小時(shí)內(nèi)書面或口頭通知甲方負(fù)責(zé)人,詳細(xì)說明泄露情況、原因及已采取的補(bǔ)救措施,并全力配合甲方開展調(diào)查、追責(zé)及后續(xù)補(bǔ)救工作。3.5IfPartyBfindsthatthereisariskofdisclosure,suspecteddisclosureordisclosureoftheConfidentialInformation,itshallimmediatelytakeeffectivemeasurestostopthedisclosureandcontrolthescopeofdisclosure,andnotifythepersoninchargeofPartyAinwritingororallywithin24hours,detailingthedisclosuresituation,causesandremedialmeasurestaken,andfullycooperatewithPartyAininvestigation,accountabilityandsubsequentremedialwork.第四條保密期限/ConfidentialityPeriod4.1乙方的保密義務(wù)自實(shí)際接觸甲方保密信息之日起生效,直至該保密信息依據(jù)本協(xié)議第二條第三款約定成為非保密信息之日止。4.1PartyB'sconfidentialityobligationshalltakeeffectonthedateofactualcontactwithPartyA'sConfidentialInformationandshallterminatewhentheConfidentialInformationbecomesnon-confidentialinformationinaccordancewithParagraph3ofArticle2ofthisAgreement.4.2無論乙方因何種原因離職(包括但不限于辭職、辭退、勞動(dòng)合同到期終止等),其對(duì)在職期間接觸、知悉的保密信息的保密義務(wù)均持續(xù)有效,保密期限不少于自離職之日起____年;若該保密信息在此期間仍未公開且對(duì)甲方仍具有商業(yè)價(jià)值,保密義務(wù)應(yīng)持續(xù)至該信息成為非保密信息為止。4.2RegardlessofthereasonforPartyB'sresignation(includingbutnotlimitedtoresignation,dismissal,terminationoflaborcontractuponexpiration,etc.),itsconfidentialityobligationfortheConfidentialInformationcontactedandknownduringemploymentshallremainineffectforaperiodofnotlessthan____yearsfromthedateofresignation;iftheConfidentialInformationisstillnotdisclosedandhascommercialvaluetoPartyAduringthisperiod,theconfidentialityobligationshallcontinueuntiltheinformationbecomesnon-confidentialinformation.第五條保密信息的返還與銷毀/ReturnandDestructionofConfidentialInformation5.1乙方離職(包括試用期離職)或甲方提出書面要求后10日內(nèi),應(yīng)將其持有的全部保密信息原件、復(fù)印件、掃描件、電子文檔、衍生成果及所有存儲(chǔ)載體(包括但不限于U盤、硬盤、光盤、移動(dòng)存儲(chǔ)設(shè)備、筆記本、圖紙、文件資料等)一并返還給甲方指定負(fù)責(zé)人,不得留存任何形式的副本、備份、緩存數(shù)據(jù)或殘留數(shù)據(jù)。5.1Within10daysafterPartyB'sresignation(includingresignationduringprobationperiod)orPartyA'swrittenrequest,PartyBshallreturnalloriginals,copies,scannedcopies,electronicdocuments,derivativeachievementsandallstoragecarriers(includingbutnotlimitedtoUdisks,harddisks,CDs,mobilestoragedevices,notebooks,drawings,documents,etc.)oftheConfidentialInformationinitspossessiontothepersoninchargedesignatedbyPartyA,andshallnotretainanycopies,backups,cachedataorresidualdatainanyform.5.2對(duì)無法返還的電子保密信息,乙方應(yīng)在甲方監(jiān)督下予以徹底刪除、銷毀,并出具書面確認(rèn)函,詳細(xì)說明返還/銷毀情況,明確承諾無任何留存,對(duì)確認(rèn)函內(nèi)容的真實(shí)性承擔(dān)全部法律責(zé)任。甲方有權(quán)對(duì)返還或銷毀情況進(jìn)行核查,乙方應(yīng)予以全面配合。5.2ForelectronicConfidentialInformationthatcannotbereturned,PartyBshallcompletelydeleteanddestroyitunderPartyA'ssupervision,andissueawrittenconfirmationletter,detailingthereturn/destructionsituation,explicitlycommittingnoretentioninanyform,andbearingfulllegalliabilityforthetruthfulnessofthecontentoftheconfirmationletter.PartyAhastherighttoverifythereturnordestructionsituation,andPartyBshallfullycooperate.第六條違約責(zé)任/LiabilityforBreachofContract6.1若乙方違反本協(xié)議任何條款,構(gòu)成違約,應(yīng)立即停止違約行為,采取有效措施消除影響、挽回?fù)p失,向甲方出具書面道歉函,并支付違約金人民幣_(tái)_________元(大寫:________________________)。6.1IfPartyBviolatesanyclauseofthisAgreement,itshallconstituteabreachofcontract.Itshallimmediatelyceasethebreach,takeeffectivemeasurestoeliminatetheimpactandrecoverlosses,issueawrittenapologylettertoPartyA,andpayliquidateddamagesofRMB__________(inwords:________________________).6.2若上述違約金不足以彌補(bǔ)甲方全部損失(包括但不限于直接經(jīng)濟(jì)損失、間接經(jīng)濟(jì)損失、商譽(yù)損失、客戶流失損失、為維權(quán)支出的律師費(fèi)、訴訟費(fèi)、保全費(fèi)、公證費(fèi)、差旅費(fèi)、鑒定費(fèi)、調(diào)查取證費(fèi)、商譽(yù)修復(fù)費(fèi)等全部合理費(fèi)用),乙方應(yīng)就不足部分向甲方足額賠償,確保甲方損失得到全面彌補(bǔ)。6.2IftheaboveliquidateddamagesareinsufficienttocoveralllossesofPartyA(includingbutnotlimitedtodirecteconomiclosses,indirecteconomiclosses,goodwilllosses,customerlosslosses,reasonableexpensessuchasattorneyfees,litigationfees,preservationfees,notarizationfees,travelexpenses,appraisalfees,investigationandevidencecollectionfees,goodwillrepairfees,etc.),PartyBshallfullycompensatePartyAfortheshortfalltoensurethatPartyA'slossesarefullycovered.6.3若乙方違約行為情節(jié)嚴(yán)重(包括但不限于故意泄露甲方核心商業(yè)秘密、利用保密信息為第三方謀取利益、導(dǎo)致甲方核心競(jìng)爭(zhēng)力受損或遭受重大經(jīng)濟(jì)損失等),甲方有權(quán)單方解除與乙方的勞動(dòng)合同(無需支付經(jīng)濟(jì)補(bǔ)償金),追究乙方全部賠償責(zé)任,并保留向司法機(jī)關(guān)報(bào)案、追究乙方民事、行政乃至刑事責(zé)任的權(quán)利。6.3IfPartyB'sbreachofcontractisserious(includingbutnotlimitedtointentionallydisclosingPartyA'scoretradesecrets,usingConfidentialInformationtoseekinterestsforathirdparty,causingdamagetoPartyA'scorecompetitivenessorsignificanteconomiclosses,etc.),PartyAhastherighttounilaterallyterminatethelaborcontractwithPartyB(withoutpayingeconomiccompensation),pursuePartyB'sfullcompensationliability,andreservetherighttoreporttojudicialorgansandpursuePartyB'scivil,administrativeandevencriminalliabilities.6.4乙方離職后違反本協(xié)議約定的,甲方除追究其違約責(zé)任外,還有權(quán)要求乙方返還因泄露保密信息獲得的全部非法收益,并禁止乙方在一定期限內(nèi)從事與甲方存在競(jìng)爭(zhēng)關(guān)系的業(yè)務(wù)。6.4IfPartyBviolatestheprovisionsofthisAgreementafterresignation,inadditiontopursuingitsliabilityforbreachofcontract,PartyAhastherighttorequirePartyBtoreturnallillegalgainsobtainedfromdisclosingtheConfidentialInformationandprohibitPartyBfromengaginginbusinesscompetingwithPartyAwithinacertainperiod.第七條爭(zhēng)議解決/DisputeResolution7.1因本協(xié)議的簽訂、履行、解釋、變更、終止及爭(zhēng)議解決等事宜產(chǎn)生的任何糾紛,雙方應(yīng)首先通過友好協(xié)商解決;協(xié)商不成的,任何一方均有權(quán)向甲方所在地有管轄權(quán)的勞動(dòng)爭(zhēng)議仲裁委員會(huì)申請(qǐng)仲裁,對(duì)仲裁裁決不服的,可依法向人民法院提起訴訟。7.1Anydisputearisingfromthesigning,performance,interpretation,modification,terminationanddisputeresolutionofthisAgreementshallfirstberesolvedthroughfriendlynegotiationbetweenthetwoparties;ifnegotiationfails,eitherpartyhastherighttoapplyforarbitrationtothelabordisputearbitrationcommissionwithjurisdictionintheplacewherePartyAislocated,andifdissatisfiedwiththearbitrationaward,mayfilealawsuitwiththepeople'scourtinaccordancewiththelaw.7.2爭(zhēng)議解決期間,除爭(zhēng)議事項(xiàng)外,雙方應(yīng)繼續(xù)履行本協(xié)議其他條款。7.2Duringthedisputeresolutionperiod,bothpartiesshallcontinuetoperformotherclausesofthisAgreementexceptforthedisputedmatters.第八條其他約定/OtherProvisions8.1本協(xié)議自雙方簽字蓋章之日起生效,一式貳份,甲乙雙方各執(zhí)壹份,每份具有同等法律效力,與雙方簽訂的勞動(dòng)合同具有同等約束力。8.1ThisAgreementshalltakeeffectonthedateofsignatureandsealbybothparties,induplicate,withPartyAandPartyBeachholdingonecopy,eachhavingthesamelegaleffectandthesamebindingforceasthelaborcontractsignedbybothparties.8.2本協(xié)議的修改、補(bǔ)充須經(jīng)雙方協(xié)商一致,簽訂書面補(bǔ)充協(xié)議。補(bǔ)充協(xié)議與本協(xié)議具有同等法律效力,內(nèi)容不一致的,以補(bǔ)充協(xié)議為準(zhǔn)。8.2Anymod
