光伏epc合同技術(shù)規(guī)范合同partiesPartyA(Client):[ClientCompanyName],havingitsregisteredaddressat[ClientAddress]PartyB(EPCContractor):[EPCCompanyName],havingitsregisteredaddressat[EPCAddress]Whereas,PartyAdesirestoengagePartyBtoundertaketheEngineering,ProcurementandConstruction(EPC)ofaphotovoltaic(PV)powerstation(hereinafterreferredtoasthe"Project")at[ProjectAddress],andPartyBdesirestoacceptsuchengagement.Now,Therefore,thePartiesagreeasfollows:1.ProjectOverview1.1ThisContract(hereinafterreferredtoasthe"Contract")governstheEPCworksandservicesundertakenbyPartyBfortheconstructionandcommissioningofthePVpowerstation(Project)forPartyA.1.2TheProjectLocationisat[ProjectAddress],[City],[Province/State],[Country].1.3ThetotalinstalledcapacityoftheProjectis[ProjectCapacity]MWdc.1.4TheProjectScopeincludes,butisnotlimitedto,thefollowing:(a)EngineeringServices:DesignofthePVpowerstationsystem,includingsitesurvey,technicaldesign,equipmentselection,preparationofconstructiondrawings,andengineeringcalculations.(b)ProcurementServices:Procurement,delivery,andacceptanceofallnecessaryequipmentandmaterialsfortheProjectasspecifiedinthisContractandtheTechnicalSpecifications,includingPVmodules,inverters,transformers,switchgear,cables,mountingsystems,andotherauxiliaryequipment.(c)ConstructionServices:Executionofallcivilworks,installation,andcommissioningoftheProject.(d)ProjectManagement:OverallmanagementandcoordinationoftheProjecttoensuretimelyandqualitycompletion.(e)TestingandCommissioning:PerformancetestingandcommissioningoftheProjecttoensureitmeetsthespecifiedstandardsandrequirements.(f)ProjectHandover:HandoverofthecompletedProjecttoPartyA.1.5TheProjectshallbeimplementedinaccordancewiththeTechnicalSpecificationsattachedhereto(PartofthisContract)andotherapplicablenationalandinternationalstandardsandregulations.2.TechnicalSpecifications2.1PartyAshallprovidePartyBwiththeTechnicalSpecificationsfortheProjectatthebeginningoftheContractexecution.TheTechnicalSpecificationsshallinclude,butarenotlimitedto:(a)DetailedrequirementsforPVmodules,includingtype,model,efficiency,power,electricalcharacteristics,mechanicalperformance,environmentalrequirements,certifications,andwarrantyterms.(b)Detailedrequirementsforinverters,includingtype,model,ratedinput/outputvoltage/current,efficiency,powerquality,protectionfunctions,communicationinterfaces,remotemanagementcapabilities,certifications,andwarrantyterms.(c)Detailedrequirementsfortransformers,includingtype,model,ratedcapacity,voltageratio,connectiongroup,losses,coolingmethod,protectiondevices,certifications,andenvironmentalrequirements.(d)Detailedrequirementsforswitchgear,includingtype,model,ratedvoltage/current,functions,componentrequirements,communicationfunctions,certifications,andenvironmentalrequirements.(e)Detailedrequirementsforcables,includingtype,model,voltagegrade,corecount,cross-sectionalarea,materialandstructure,installationrequirements,certifications,andenvironmentalrequirements.(f)Detailedrequirementsformountingsystems,includingtype,material,structuraldesign,installationrequirements,anti-corrosionrequirements,groundingrequirements,andcertifications.(g)Designrequirementsforelectricalsystem,includingmaincircuitdiagram,groundingsystemdesign,cableroutingandinstallationmethods,andcompliancewithelectricalsafetystandards.(h)Designrequirementsforstructuralsystem,includingfoundationdesign,structuralcalculations,structuraldrawings,materialrequirements,andcompliancewithstructuraldesignstandards.(i)Requirementsforautomationandmonitoringsystem,includingscope,dataacquisitionandtransmission,softwarefunctions,remoteaccess,etc.(j)Requirementsforinstallationandconstruction,includingcivilworks,equipmentinstallation,cablelaying,wiring,fastening,etc.(k)Requirementsforcommissioningandtesting,includingtestitems,teststandardsandmethods,performancetests,andacceptancetestreports.(l)Requirementsforqualityassuranceandwarrantyperiod,includingwarrantytermsformaterialsandequipment,andwarrantytermsfortheproject,aswellasresponserequirementsduringthewarrantyperiod.(m)Applicablestandardsandregulations,includingnationalstandards(GB),industrystandards(e.g.,HJ,DL/T),internationalstandards(IEC,IEEE),andlocalstandards.2.2PartyBshalldesign,procure,construct,andcommissiontheProjectinaccordancewiththeTechnicalSpecificationsprovidedbyPartyA.2.3PartyAshallreviewandapprovethedesigndrawingsandtechnicaldocumentssubmittedbyPartyB.PartyBshallmakerevisionsbasedonPartyA'sapproval.3.ContractPriceandPayment3.1ThetotalContractPricefortheProjectis[ContractPrice][Currency],payablebyPartyAtoPartyBinaccordancewiththetermsandconditionssetforthinthisContract.3.2Paymentshallbemadeasfollows:(a)PartyAshallpay[Percentage]%oftheContractPricetoPartyBuponsigningofthisContract.(b)PartyAshallpay[Percentage]%oftheContractPricetoPartyBuponcompletionoftheinstallationofthePVmodules.(c)PartyAshallpay[Percentage]%oftheContractPricetoPartyBuponsuccessfulcompletionoftheperformancetestingandcommissioningoftheProject.(d)Theremaining[Percentage]%oftheContractPriceshallbepaidtoPartyBwithin[Number]daysafterPartyAreceivesthefinalinvoicefromPartyBandPartyBprovidestherelevanttaxinvoices.3.3PaymentdelaysbyPartyAshallincurinterestatarateof[InterestRate]%perannumontheoverdueamount.4.ContractDuration4.1TheContractDurationshallcommenceontheEffectiveDateandshallexpireuponthecompletionandhandoveroftheProject,includingthewarrantyperiod.4.2IfanyworkisdelayedduetoreasonsbeyondthereasonablecontrolofPartyB,theContractDurationshallbeextendedaccordingly.5.RightsandResponsibilities5.1PartyA'sRightsandResponsibilities:(a)ProvidePartyBwithnecessarysiteaccessandpermitsfortheProject.(b)ProvidePartyBwiththeTechnicalSpecificationsandotherrelevantinformationinatimelymanner.(c)ReviewandapprovethedesigndrawingsandtechnicaldocumentssubmittedbyPartyB.(d)AcceptandinspectthecompletedProjectandequipment.(e)MakepaymenttoPartyBaccordingtothetermsandconditionsofthisContract.5.2PartyB'sRightsandResponsibilities:(a)PerformtheProjectinaccordancewiththeTechnicalSpecificationsandapplicablestandardsandregulations.(b)ProvidePartyAwithregularprogressreportsandrelevanttechnicaldocuments.(c)Assumeallcostsandrisksassociatedwiththedesign,procurement,construction,andcommissioningoftheProject.(d)EnsurethequalityoftheProjectandequipment.(e)Providetechnicalsupportandmaintenanceservicesduringthewarrantyperiod.(f)Complywithallapplicablelawsandregulations.6.TestingandCommissioning6.1PartyBshallconductperformancetestingandcommissioningoftheProjectafteritscompletion.6.2Thetestingshallinclude,butisnotlimitedto,thefollowing:(a)DCcircuittesting,includingmeasurementofmodulevoltage,current,andpower.(b)ACcircuittesting,includingmeasurementofinverteroutputvoltage,current,power,powerfactor,andtotalharmonicdistortion.(c)Systemperformancetesting,includingmeasurementoftheactualpowergenerationoftheProject.(d)Safetyprotectiontesting,includingtestingofovervoltage,undervoltage,overcurrent,short-circuit,andovertemperatureprotections.6.3PartyAshallinspectandapprovethetestresults.TheProjectshallbeconsideredcompleteduponsuccessfulpassingofalltestsandapprovalbyPartyA.6.4PartyBshallprovidePartyAwiththeAcceptanceTestReportwithin[Number]daysafterthecompletionofthetestingandcommissioning.7.Handover7.1UponcompletionandacceptanceoftheProject,PartyBshallhandoverallcompletedfacilities,equipment,andtechnicaldocumentstoPartyA.7.2PartyBshallprovidePartyAwithahandovercertificateandalistofequipmentandmaterialsinstalledintheProject.8.Warranty8.1PartyBshallprovidethefollowingwarrantiesfortheProject:(a)ThewarrantiesforPVmodules,inverters,transformers,switchgear,cables,andotherequipmentshallcomplywiththerespectivemanufacturer'swarrantiesasspecifiedintheTechnicalSpecifications.(b)TheProjectshallbefreefromdefectsinmaterialsandworkmanshipforaperiodof[WarrantyPeriod]yearsfromthedateofhandover.(c)PartyBshallrectifyanydefectsfoundintheProjectduringthewarrantyperiodatitsownexpense.8.2PartyBshallrespondtoanyreporteddefectswithin[Number]hoursofnotificationandshallrectifythedefectswithin[Number]daysoftheresponse.9.Liability9.1PartyBshallbeliableforanydamagescausedbyitsnegligenceorbreachofthisContract.9.2PartyA'sliabilityshallbelimitedtotheContractPrice.9.3NeitherPartyshallbeliableforanyindirect,incidental,orconsequentialdamages.10.ForceMajeure10.1NeitherPartyshallbeliableforanydelayorfailuretoperformitsobligationsunderthisContractduetoforcemajeureevents,includingbutnotlimitedto,naturaldisasters,war,terrorism,andgovernmentactions.10.2TheaffectedPartyshallnotifytheotherPartyoftheforcemajeureeventwithin[Number]daysandproviderelevantevidence.10.3TheContractshallbesuspendedduringtheforcemajeureevent.Upontheterminationoftheforcemajeureevent,theaffectedPartyshallresumeitsobligationsassoonaspossible.11.DisputeResolution11.1AnydisputearisingoutoforinconnectionwiththisContractshallberesolvedthroughamicablenegotiationbetweentheParties.11.2Ifthedisputecannotberesolvedthroughnegotiation,itshallbesubmittedto[ArbitrationInstitution]forarbitrationi
