3、al right and interests, basing on the equality, voluntary and compensation of equal value, the grantor and the trustee are negotiating friendly on funds trusteeship.第二條托管方享有下列權(quán)利：有權(quán)監(jiān)督托管資金的用途； 可適時(shí)向受托方查詢賬目；有權(quán)追加托管資金，并不受數(shù)額限制；經(jīng)受托方同意，股權(quán)認(rèn)購專項(xiàng)投資資金托管期限為 2 個(gè)月，即受托方在2 個(gè)月內(nèi)，仍然未辦理好英國雅惠生態(tài)農(nóng)業(yè)集團(tuán) PLC （YAHUI AGRICULTURE P

4、LC）的股票在海外的過戶交割手續(xù)，即可要求受托方無條件退回100% 的股權(quán)認(rèn)購?fù)泄軐ｍ?xiàng)資金；有權(quán)向受托方提出意見或建議。Article 2 the grantor is entitled the following rights:To supervise the application of entrusted funds； To reviewthe accounts of the trustee；To add the amount of entrustedfunds and never be limited；Agreed by thetrustee,thedurationfor truste

8、 rights;To receive the entrusted funds from the grantor；To contactUK AXIOM CAPITAL for completion of the share transfer anddelivery ofYAHUI AGRICULTURE PLC.第五條受托方應(yīng)當(dāng)履行下列義務(wù)：:（1）保管好托管人交付的托管資金； （2 ）受托方承接托管資金時(shí)，可編輯修改精品資料應(yīng)當(dāng)積極與英國天富資本對接，并按照要求其完成相應(yīng)的股票認(rèn)購手續(xù)，確保股權(quán)投資者的利益； （3 ）定時(shí)結(jié)算，應(yīng)當(dāng)將托管方的利息收益計(jì)入其原有的托管資金；（4）適時(shí)向托管方通報(bào)

9、托管資金狀況。Article 5 the trustee should perform the following obligationsTo take care of the entrusted funds offered by the grantor；To positively contact with UK AXIOM CAPITAL and completethe corresponding subscription process as required to ensurethe investors equity；To settle at the regular time and t

10、heinterest income of the grantor should be added on the originalentrusted funds；To report the situation of entrusted funds tothe grantor timely.第六條違約責(zé)任如托管方未如期向受托方交付托管資金，則受托方有權(quán)單方終止與該托管方的托管協(xié)議。Article 6 Liability for Breach of ContractIf the grantor fails to deliver the entrusted funds during theagreed

11、 time, the trustee is entitled to terminate the trusteeship contract unilaterally.第七條不可抗力托管方或受托方因不可抗力導(dǎo)致不能履行協(xié)議時(shí)，應(yīng)當(dāng)及時(shí)通知其他各方，并在 15 日內(nèi)提供不可抗力詳情及有關(guān)證明文件?？删庉嬓薷木焚Y料Article 7 ForceMajuroIf the grantor or the trustee can not perform the agreement,each party should inform the other party and offer the detailinf

12、ormationandrelevantdocumentaryevidencewith15days.第八條爭議解決爭議發(fā)生時(shí)，首先應(yīng)當(dāng)友好協(xié)商解決；協(xié)商不成時(shí)，向受托方所在地所在地法院提起訴訟。Article 8Resolution of the DisputeWhen dispute occurs, the friendly negotiation should come first to resolve it; if negotiation fails, an action need to be filedto the court in theGrantorslocation.第九條其他本協(xié)

13、議未盡事宜， 由托管方與受托方另行協(xié)商約定，補(bǔ)充協(xié)議與本協(xié)議具有同等效力。本協(xié)議一式貳份，托管方及受托方各執(zhí)一份，自托管方與受托方簽字或蓋章之日起成立并生效。Article 9 othersMaters not covered in the agreement should be agreed through negotiations by the grantor and trustee. The supplemental agreement has the same legal force of the agreement. The agreement consists of two copies and hold bythegrantorandthetrusteeseparately.
