-31-SupportServicesAgreement支持服務(wù)協(xié)議核心提示：THISAGREEMENTisenteredintoasofthis_________dayof_________,_________(M,Y)byandbetweenAAACORPORATION,locatedat_________(hereinafterreferredtoasCustomer)andBBBCORPORATION,locatedat_________(hereinafterreferredtoasBBB)THISAGREEMENTisenteredintoasofthis_________dayof_________,_________(M,Y)byandbetweenAAACORPORATION,locatedat_________(hereinafterreferredtoasCustomer)andBBBCORPORATION,locatedat_________(hereinafterreferredtoasBBB)andsetsforththetermsandconditionsunderwhichCustomerwillprovideBBBwithcertainEquipmentunderbailmentandBBBwillprovidecertainsupportservicestoCustomeronspecifiedBBBpremises(hereinafterreferredtoastheBBBNetworkLocation(s)).WHEREAS,BBBisdesirousandcapableofprovidingsupportservicesforcertainCustomerProvidedEquipmentwhichinterconnectstoBBBtransmissionservices;andWHEREAS,CustomerdesirestohavetheEquipmentsupportedbyBBBinadesignatedportionofcertainBBBNetworkLocation(s),assetforthinExhibitAofthisagreement(hereinafterreferredtoastheLocationandEquipmentSummary),whichisattachedheretoandmadeaparthereof;andWHEREAS,CustomerandBBB(hereinafterreferredtocumulativelyasthePartiesandsingularlyastheParty)haveagreedonthetermswhichshallgovernthebailmentandsupportoftheEquipmentassetforthinExhibitBofthisagreement(hereinafterreferredtoastheStatementofWork),whichisattachedheretoandmadeaparthereof,andassetforthinExhibitCofthisagreement(hereinafterreferredtoastheNonRecurringandMonthlyRecurringPricingSummary),whichisattachedheretoandmadeaparthereof;NOW,THEREFORE,inconsiderationofthemutualagreementsandpromisescontainedhereinandforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhichisherebyacknowledged,thePartiesagreeasfollows:A.UNDERTAKINGS1.CustomerwillprovidefortheinsidedeliveryoftheEquipmentattheBBBNetworkLocation(s)asspecifiedintheLocationandEquipmentSummarywithproperandtimelynotificationasspecifiedintheStatementofWork.2.CustomerwillinstalltheEquipmentattheBBBNetworkLocation(s)asspecifiedintheLocationandEquipmentSummaryinaccordancewithBBBandIndustrystandardsandpracticesasspecifiedintheStatementofWork.3.BBBwillconnecttheEquipmenttoBBBservicesattheBBBNetworkLocation(s)asspecifiedintheLocationandEquipmentSummaryinaccordancewithBBBstandardsandpracticesasspecifiedintheStatementofWork.4.BBBwillholdtheEquipmentinbailmentforuseonlyattheBBBNetworkLocation(s)asspecifiedintheLocationandEquipmentSummaryandonlyforthepurposescontemplatedherein.5.Duringthetermofthebailment,BBBshallprovidespace,power,testing,environmentandothersupportservicesfortheEquipmentassetforthintheStatementofWorkandBBBshallhavenootherresponsibilityfortheEquipment.6.CustomershallcooperatefullywithBBBintheprovisionofthesesupportservicesandagreestoperformthoseactivitiesidentifiedasCustomerResponsibilitiesintheStatementofWork.B.TERMANDTERMINATION1.TheinitialtermofthisAgreementshallcommenceon_________dayof_________,_________(M,Y),shallcontinueforaperiodoffive(5)years,andthenshallterminateonthe_________dayof_________,_________(M,Y).2.ThisAgreementisbindingwhenexecutedbyCustomerandsubsequentlyacceptedbyBBBandonceacceptedbyBBB,theratesandchargesprovidedinthisAgreementwillbeeffectivefromthefirstdayofthenextbillingcyclefollowingCustomer’ssignaturedate(theEffectiveDate).3.AsoftheEffectiveDate,thatcertainSupportServicesAgreement,betweenBBBandCCCL.L.C.governingthebailmentofequipmentandsupportservicesattheBBBpremiseslocatedat_________,whichwasassignedtoCustomeron_________,_________,_________(M,D,Y),shallbecanceledwithoutCustomerincurringanyliabilitiesotherthanthepaymentofanyamountsdueandowingfromthatcertainSupportServicesAgreementafter_________,_________,_________(M,D,Y).4.EitherPartymayterminatethisAgreementfollowingthegivingofninety(90)calendardayspriorwrittennoticeofterminationtotheotherParty.5.IfCustomerterminatesthisAgreementpriortotheexpirationoftheinitialfive(5)yearterm,CustomerwillpayBBB,inadditiontoallotherchargesdue,[_________]perBBBNetworkLocation,whichamountshallrepresentliquidateddamagesthatCustomeragreesarereasonable.6.CustomershallremoveitsEquipmentfromtheBBBNetworkLocation(s)withinten(10)calendardaysoftheterminationofthisAgreementand,ifCustomerfailstodoso,BBBmayitselfremovetheEquipmentandstorethesameatCustomer’sexpenseandatCustomer’ssolerisk.AnyexpenditurebyBBBfortheremovalandstorageoftheEquipmentshallbearinterestatthelesserofFifteenpercent(15%)perannumorthemaximumratepermittedbylaw.7.TherightsanddutiesinArticleD,WarrantyandLiabilityshallsurvivetheterminationofthisAgreement.C.FINANCIALPROVISIONS1.CustomershallpayBBBanonrecurringfeeforSitePreparation,AdditionalACorDCPowerCircuitsandCircuitInterconnectionateachoftheBBBNetworkLocation(s)assetforthintheNonRecurringandMonthlyRecurringPricingSummary.2.CustomershallpayBBBonamonthlyrecurringbasisforLocationManagementFee(s),anUninterruptablePowerSupply(UPS)for115VACPowerCircuitsandforBBBFirstLevelMaintenanceSupportateachoftheBBBNetworkLocation(s)assetforthintheNonRecurringandMonthlyRecurringPricingSummary.3.CustomershallpayBBBaonetimechargeof[_________]percircuitwhen,attheCustomer’srequest,BBBprovidedcablingisadded,movedorchangedaftertheinitialSitePreparationworklistedintheEquipmentandLocationSummaryiscompletedbyBBB.Thischargeisinadditiontoanyotherchargesspecifiedintheapplicabletarifforcontractfromtheentityfromwhichthefacilityorserviceisobtained.4.ForequipmentmovesmadepursuanttoCustomer’srequest,Customershallpay[_________]foreachunitofEquipmentthisismovedtoadifferentlocationwithinthesameBBBNetworkLocationaftertheinitialSitePreparationworklistedintheEquipmentandLocationSummaryiscompletedbyBBB.5.CustomershallpaydirectlyorreimburseBBB,asapplicable,foralltaxes,duties,andsimilarliabilitieswhichmayresultfromthisAgreement,oranysupportservicesspecifiedhereunder,exclusiveoftaxesbasedonBBB’snetincome.6.AllinvoicesshallbedueandpayableinU.S.dollarswithinthirty(30)calendardaysuponreceiptassetforthintheNonRecurringandMonthlyRecurringPricingSummary.D.WARRANTYANDLIABILITY1.BBBwarrantsthatitsundertakingshereundershallbeperformedinaprofessionalandworkmanlikemannerandthatitwillprovideSupportServicesinaccordancewiththisAgreement.NOOTHERWARRANTIESAREEXPRESSEDORIMPLIED,INCLUDINGBUTNOTLIMITEDTO,ANYWARRANTIESOFMERCHANTABILITYORFITNESSFORAPARTICULARPURPOSE.2.CustomerwarrantsthatithastheunrestrictedrighttoplacetheEquipmentatBBB’sLocation(s)listedintheLocationandEquipmentSummaryforthetermofthisAgreement.3.Exceptasotherwisesetforthherein,neitherPartyshallbedeemednegligent,atfaultorliableinanyrespecttotheotherforanydelay,interruptionorfailureinperformancehereunderresultingfromfire,flood,water,theelements,explosions,actsofGod,war,accidents,labordisputes,strikes,shortagesofequipmentorsuppliers,unavailabilityoftransportationorothercausebeyondthereasonablecontrolofthePartydelayedorpreventedfromperforming.4.ExcepttotheextentthesameiscausedsolelybythegrossnegligenceorwillfulmisconductofBBB,itsauthorizedagentsoremployees,CustomershallindemnifyandholdharmlessBBB,itsagents,contractorsandemployeesfromandagainstanyandallclaims,liability,damage,loss,orexpense(includingattorney’sfees)includinginjuryordeathtopersons,ordamagestoproperty,bothrealandpersonal,whichmayariseoutof:(a)thepresenceofCustomer’sunit(s)ofEquipment,employees,contractorsoragentsonBBB’spremises;(b)theinstallation,operation,maintenanceorremovaloftheCustomer’sunit(s)ofEquipmentfromBBB’spremises;(c)anyinherentdefectsintheCustomer’sunit(s)ofEquipment.5.CustomershallindemnifyandholdharmlessBBB,itsagents,contractorsandemployeesfromandagainstanyandallclaims,liability,damage,loss,orexpense(includingattorney’sfees)includinginjuryordeathtopersons,ordamagestoproperty,bothrealandpersonal,whichmayariseoutofthenegligentorintentionalactsoromissionsofCustomer,itsagents,employeesorcontractors.6.BBBshallnotbeliableforanydamagestotheEquipmentforanyreason,excepttotheextentthesameiscausedsolelybythegrossnegligenceorwillfulmisconductofBBB,itsauthorizedagentsoremployees;provided,however,thatintheeventtheEquipmentwhileinthepossessionandcontrolofBBBiseitherlostorsodamagedastheresultofBBB’sgrossnegligenceorwillfulmisconduct,themaximumliabilityofBBBforsaidEquipmentshallnotexceedthereplacementvalueoftheEquipmentinadismantledstate,ifrepairsareimpracticable,or,intheeventsaidEquipmentisrepairable,thecoststorepairdamagethereto.7.InnoeventshalleitherPartybeliabletotheotherforanyindirect,incidental,specialorconsequentialdamages,includinglossofrevenueandprofits,evenifawareofthepossibilitythereof.8.NotwithstandinganythingtothecontraryinthisAgreement,BBB’sliabilitytoCustomerforanyreasonanduponanycauseofactionorclaimincontractortort,includingwithoutlimitationbreachofthisAgreementoranywarrantyhereunder,regardlessofformofaction,shallnotexceedthelesserofdirectdamagesprovedorOne(1)month’sLocationManagementFee.9.THELIMITATIONSSETFORTHINTHISARTICLEDAPPLYTOALLCAUSESOFACTIONSORCLAIMSINTHEAGGREGATEINCLUDINGWITHOUTLIMITATION,BREACHOFCONTRACT,BREACHOFWARRANTY,NEGLIGENCE,STRICTLIABILITY,MISREPRESENTATIONANDOTHERTORTS.FURTHER,NOCAUSEOFACTIONWHICHACCRUEDMORETHANTWO(2)YEARSPRIORTOTHEFILINGOFASUITALLEGINGSUCHCAUSEOFACTIONMAYBEASSERTEDAGAINSTBBB.CUSTOMERANDBBBEXPRESSLYACKNOWLEDGEANDAGREETHATTHELIMITATIONSANDEXCLUSIONSCONTAINEDHEREINREPRESENTTHEPARTIES’AGREEMENTASTOTHEALLOCATIONOFRISKBETWEENTHEPARTIESINCONNECTIONWITHBBB’SOBLIGATIONSUNDERTHISAGREEMENT.THEPAYMENTSPAYABLETOBBBINCONNECTIONHEREWITHREFLECTTHISALLOCATIONOFRISKANDTHEEXCLUSIONOFCONSEQUENTIALDAMAGESINTHISAGREEMENT.E.ACCESS,TITLEANDINSURANCE1.Customer,itsagents,employeesandcontractorswho,inBBB’sdiscretion,donotposeasecurityrisktoBBBpersonnelorproperty,shallbepermittedaccesstoBBBLocation(s)listedintheLocationandEquipmentSummary,tobeaccompaniedatalltimesbyanBBBescort,duringnormalbusinesshoursforthepurposeofinstalling,operating,maintaining,repairingorremovingtheunit(s)ofEquipment,aftergivingareasonableadvancenoticetoBBB,provided,however,thatCustomeragreestocomplywithBBB’ssecurityregulationsandotherlocalsiteoperatingpoliciesandprocedureswhileontheBBBNetworkLocationfortheseexpresspurposes.Areasonableadvancenoticeasreferencedaboveshallbeprovidedasfollows:(a)aminimumofnolessthanseven(7)calendardaysnoticeforthepurposeofinstalling,preparingorremovingtheEquipment;(b)aminimumoftwentyfour(24)hoursadvancenoticeforroutinepreventivemaintenanceontheEquipment;(c)assoonaspossibleforthereportingofanetworkmalfunctioncausinglossofserviceoradegradedoperatingconditionintheEquipment.2.ThePartiesagreethatCustomerismakingtheEquipmentavailablehereunderasabailmentandthattitletotheEquipmentwillremainwithCustomerorCustomer’slessorandthatBBBshallhavenoright,titleorinteresttherein,exceptasexpresslyprovidedinthisAgreement.BBBwillnotimposeliens,securityinterestsorencumbrancesontheEquipment.3.ThePartiesagreenottomovetheEquipmenttoanyotherlocationpriortotheexpirationofthisAgreementwithouttheotherParty’spriorwrittenconsentnortomakealterationsinoraffixattachmentstotheEquipment,exceptthatCustomermaymakethosealterationsoraffixattachmentstotheEquipmentasnecessaryforCustomer’snetworkingrequirements,providedCustomergivesBBBadvancenoticeofnolessthanseven(7)daysbeforemakingsuchchangestotheEquipment,andthatBBBmayrelocatetheEquipmenttoanotherBBBLocationforitsconvenienceduetoBBB’snetworkingrequirements.4.IntheeventofsuchEquipmentrelocationforBBB’sconvenience,BBBagreestopayallcostsassociatedwiththeremoval,moving,installationanddemarcationofsuchequipment,otherthananydirectorindirectcosts,ofanykindornature,incurredbyCustomerforitsvendorsortechnicians(whetheremployeesorindependentcontractors),includingwithoutlimitation,travelandlodgingexpenses(ifany)andsalaryorotherpaymentsforservicesrendered.CustomerunderstandsthatduringsuchanEquipmentrelocationCustomerwillexperienceacommunicationsserviceoutagewhiletheEquipmentisbeingrelocated.5.ThroughoutthetermofthisAgreement,Customershallobtain,maintainandpayfor:(i)allriskpropertyinsurancecoveringtheEquipment;(ii)comprehensivegeneralliability(includingproductsandcompletedoperationsliabilityandbroadformpropertydamage)insurancecoveringtheEquipmentandthecontractualliabilityofCustomerunderthisAgreementinformandwithinsurersreasonablysatisfactorytoBBBandwithaminimumlimitof_________Dollars($,_________)peroccurrenceforpersonalinjury,bodilyinjuryandpropertydamage;(iii)Worker’sCompensationwithstatutorybenefits;(iv)EmployeesLiabilitywithaminimumlimitof_________Dollars($,_________)peroccurrence;and(v)automobileliabilityinsurancewithaminimumlimitof_________Dollars($,_________)peroccurrenceforbodilyinjuryandpropertydamage.AllinsurancepoliciesrequiredtobemaintainedbyCustomerunderthisAgreementshallbewithinsurancecompanieslicensedtodobusinessinthestateswheretheEquipmentislocated,reasonablysatisfactorytoBBB,andshallnameBBBasanadditionalinsured.Certificatesofsuchinsurance(showingpaymentofcurrentpremiumsthereon)shallbedeliveredtoBBBaminimumoften(10)dayspriortoEquipmentdeliverywithrenewalsthereofdeliveredtoBBBaminimumoften(10)dayspriortotheexpirationofanysuchpolicies.Eachpolicyshallcontainanagreementbytheinsurerthatsuchpolicyshallnotbecanceledwithoutten(10)dayspriornoticetoBBB.Certificatesofinsuranceshouldbemailedto:BBBCorporationAttn:_________Address:_________F.CANCELLATIONFORCAUSE1.Inadditiontoanyotherrightsofterminationspecifiedherein,eitherPartymayterminatethisAgreementuponthree(3)dayspriorwrittennoticetotheotherintheeventof:a.theother’sfailuretopayanyamountsduehereunderandnotdulycontestedingoodfaithwithinten(10)daysafterthereceiptoftheterminatingParty’swrittennoticeofdefaultconcerningthesame;orb.theother’sfailuretocureamaterialbreachwithinthirty(30)daysafterreceiptoftheterminatingParty’swrittennoticeofdefaultconcerningthesame.G.NOTALEASEORLICENSECustomerunderstandsandagreesthatthisAgreementisnotintendedtoandshallnotbedeemedtograntCustomeranypropertyrightsinanyoftheBBBNetworkLocation(s)listedintheLocationandEquipmentSummary.Intheevent,however,thatthisAgreementisconstruedbyanBBBlandlordtobesuchagrantforanyoftheBBBNetworkLocation(s)listedintheLocationandEquipmentSummary,CustomeragreestoeitherenterintoanagreementapprovedbyBBB’slandlord,orimmediatelyremoveitsEquipmentuponrequestofBBB.H.GENERAL1.DuringthetermofthisAgreement,CustomershallemployBBBtransmissionservice(s)exclusivelyinconnectionwithCustomerEquipmentlocatedonBBBpremisesexceptasfollows:(i)localaccesslines;and(ii)interconnectionofCustomerEquipmentlocatedonBBBpremiseswithotherinterexchangecarrierswillbepermittedsolelytoachieveroutediversity,redundancyfordisasterrecovery,ortoaccommodateCustomer’sneedforaparticularservicenotprovidedbyBBB.Routediversitywillbeallowedforamaximumoftwo(2)circuitsperdiverselyroutedcitypair.Customershallhavethreehundredandsixtyfive(365)calendardaystomigrateservicefromotherinterexchangecarrierstoBBBserviceoncecomparableserviceisavailablefromBBB.InallinstanceswhereCustomerbelievesitnecessarytoacquiretransmissionservice(s)fromanothercarrierorcarriersforterminationinCustomer’sEquipmentlocatedonBBBpremises,CustomershalladviseBBBinadvancepriortoimplementingsuchservice(s).NothingcontainedinthisparagraphshallbeinterpretedtopreventBBBfromexercisinganyofitsterminationrightsunderthisAgreement.ItisfurtherunderstoodthatBBBreservestherighttocancelthisAgreementshouldCustomerceasetointerconnecttheEquipmenttoBBBtransmissionservice(s).2.ItisunderstoodthatthisAgreementisnotintendedtocoverthetermsunderwhichBBBprovidesanyofitscommunicationsservicestoCustomer.3.ThisAgreementsetsforththeentireunderstandingbetweenthePartieswithregardtothesubjectmatterhereofandsupersedesanypriordiscussionsorrepresentationsbetweenthemwithrespectthereto.AllamendmentstothisAgreementshallbeinwritingandsignedbybothParties.4.NeitherPartymayusethename,trademark,servicemarkorLogooftheotherPartyinanyadvertising,newsreleasesorinanyothermannerwithoutthewrittenconsentofsuchParty.5.CustomermaynotassignthisAgreementoranyofitsrightshereunderwithoutwrittenconsentbyBBB,whichshallnotbeunreasonablywithheld.6.AllEquipmentprovidedforBBBbyCustomerhereunderforuseinconnectionwithBBB’scommunicationsservicesshallbedeemedtobeCustomerProvidedTerminalEquipmentwithinthemeaningofBBB’sTariff.7.TherelevantrightsandobligationsofthepartiesshallsurvivetheterminationofthisAgreement.8.Allnotices,requests,demandsorcommunicationsrequiredorpermittedhereundershallbeinwriting,deliveredpersonallyorbytelex,telegram,BBBMail,orcertified,registered,orexpressmailattherespectiveaddressessetforthbelow(oratsuchotheraddressesasshallbegiveninwritingbyeitherPartytotheother).Allnotices,requests,demandsorcommunicationsshallbedeemedeffectiveuponpersonaldeliveryoronthecalendardayfollowingthedateofthetelex,telegram,orBBBMail,orwhenreceivedifsentbyregisteredcertifiedorexpressmail.IftoBBB:BBBCorporationAddress:_________FAX:_________Attn:_________Withacopyto:BBBCorporationAddress:_________FAX:_________Attn:_________IftoCustomer:AAACorporationAddress:_________FAX:_________Attn:_________9.ThisAgreementshallbegovernedandinterpretedinaccordancewiththedomesticlawsoftheStateofNewYork.AnydisputearisingoutoforrelatedtothisAgreement,whichcannotberesolvedbynegotiation,shallbesettledbybindingarbitrationinaccordancewiththeJ.A.M.S./ENDISPUTEArbitrationRulesandProcedures(EndisputeRules),asamendedbythisAgreement.Thecostsofarbitration,includingthefeesandexpensesofthearbitrator,shallbesharedequallybythepartiesunlessthearbitrationawardprovidesotherwise.Eachpartyshallbearthecostofpreparingandpresentingitscase.Thepartiesagreethathisprovisionandthearbitrator’sauthoritytograntreliefshallbesubjecttotheUnitedStatesArbitrationAct,9U.S.C.116etseq.(USAA),theprovisionsofthisAgreementandtheABAAAACodeofEthicsforArbitratorsinCommercialDisputes.ThepartiesagreethatthearbitratorshallhavenopowerorauthoritytomakeawardsorissueordersofanykindexceptasexpresslypermittedbythisAgreement,andinnoeventshallthearbitratorhavetheauthoritytomakeanyawardthatprovidesforpunitiveorexemplarydamages.Thearbitrator’sdecisionshallfollowtheplainmeaningoftherelevantdocuments,andshallbefinalandbinding.Theawardmaybeconfirmedandenforcedinanycourtofcompetentjurisdiction.AllpostawardproceedingsshallbegovernedbytheUSAA.ACCEPTEDANDAGREEDTO:AAACORPORATIONBBBCORPORATIONBy:/s/_________By:/s/_________Name:_________Name:_________Title:_________Title:_________Date:_________Date:_________EXHIBITALOCATIONANDEQUIPMENTSUMMARY[_________]EXHIBITBSTATEMENTOFWORKBBBRESPONSIBILITIES:Furnishandinstall,aspartoftheSitePreparation,suchequipmentrack(s),signalcabling,demarcationpanel(s).ACpowerandDCpowerasrequestedbytheCustomertosupporttheinstallationoftheEquipmentattheBBBNetworkLocation(s)specifiedinExhibitA.UponcompletionofSitePreparation,performtestingasBBBdeemsappropriatetoverifyproperoperationofBBBprovidedsignalcabling,associateddemarcationpanel(s)andACpowerandDCpowerattheBBBNetworkLocation(s)specifiedinExhibitA.ProvideacentraltelephonenumberoftheBBBNetworkManagementCenter(MNMC)tobeusedbyCustomertoreportalltroubles,scheduleroutinemaintenancevisits,requestFirstLevelMaintenanceandtorequestBBBtechnicalsupport,shouldtheBBBNetworkLocationbeunmannedattimeofCustomer’srequest.BBBwillperformFirstLevelMaintenanceontheEquipmentonlyatthedirectionofCustomeroritsdesignatedvendorattheBBBNetworkLocation(s)specifiedinExhibitA.BBBperformedFirstLevelMaintenanceontheEquipmentisdefinedasfollows:a.AtthedirectionoftheCustomeroritsdesignatedvendorreportanyvisualoraudioalarmsontheEquipmentattheBBBNetworkLocation(s)specifiedinExhibitA.b.AtthedirectionoftheCustomeroritsdesignatedvendor,rebootingand/orrestartingtheEquipmentattheBBBNetworkLocation(s)specifiedinExhibitAbypressingofreadilyaccessiblebuttonsorswitches.c.AtthedirectionoftheCustomeroritsdesignatedvendor,replaceEquipmentmodulesand/orcardswithonsiteCustomerprovidedsparemodulesand/orcardsattheBBBNetworkLocation(s)specifiedinExhibitA.Order,maintainandprovideroutineandemergencymaintenanceonBBBservicesuptothedesignatedBBBdemarcationpointlocatedintheEquipmentattheBBBNetworkLocation(s)specifiedinExhibitA.EXHIBITBSTATEMENTOFWORKBBBRESPONSIBILITIES:(CONTINUED)ProvidethenecessaryfacilitiestoprovideCustomerwiththepropertransmissionqualityasstatedintheBBBTariffand/orotheragreementsbyandbetweenthePartiesattheBBBNetworkLocation(s)specifiedinExhibitA.CUSTO
