XXX工程合同協(xié)議協(xié)議ContractNo.:合同協(xié)議協(xié)議編號：PartyA:xxxXXXpanyLimited合同協(xié)議協(xié)議甲方公司：xxxXXXXPartyB:xxxXXXpanyLimited合同協(xié)議協(xié)議乙方公司：xxxXXXXThiscontractismadeandenteredintoon(hedayof,2014bythefollowingPartiesin.本合同協(xié)議協(xié)議于2014年月日由以下當事方在簽約。PartyA:xxxXXXpanyLimited,合同協(xié)議協(xié)議甲方公司：xxxXXXX,xxx經(jīng)營的公司，住所地為xxx,(下稱“合同協(xié)議協(xié)議甲方公司”建法定代表人：XXXParlyB:xxxXXXpanyLimited,合同協(xié)議協(xié)議乙方公司：xxxXXXX,一家xxx經(jīng)營的公司，注冊相關地址是：xxx,(下稱“合同協(xié)議協(xié)議乙方公司”)，法定代表人：XXXPartyAandPartyBarecalledbyajointnameofBothPartiesunderthiscontract,eachofwhichiscalledasAParty.合同協(xié)議協(xié)議甲方公司和合同協(xié)議協(xié)議乙方公司在本合同協(xié)議協(xié)議項下統(tǒng)稱為“雙方”，單獨稱為“一方”。WorkContentandRequirements.工作內容、要求InaccordancewiththeitemsstipulatedinthisContract,PartyBshallconducttheprojectaspertheProjectstandardandqualitystandardstipulatedbyMinistryofEngineeringoftheUnionofxx.依據(jù)本合同協(xié)議協(xié)議所限定的條款，合同協(xié)議協(xié)議乙方公司應以xx工程部規(guī)定的建筑標準和質量要求執(zhí)行本工程。ContractPeriod2.合同協(xié)議協(xié)議期限WorkperiodfortheRoadConstructionProject:theworkshallbeXXXplecedwithin2monthuponsigningtheContract.TheconditionofhandoveristhattheProjectInspection&AcceptanceTeamconstitutedbyPartyA,shallissuetheInspection&AcceptanceSheetafteronsiteinspection.本次工程時間周期：合同協(xié)議協(xié)議簽訂后14個工作日內完成，并以合同協(xié)議協(xié)議甲方公司組成的竣工驗收合格小組現(xiàn)場檢驗并出具驗收合格單為竣工交接條件。ThiscontractshallbeimplementedafterthisisdulysignedbythelegalrepresentativesorauthorizedrepresentativesofthePartiesandstampedwith(hesealsoftheParties,andclosedaftertheonsiteacceptanceoftheProjectandContractpayment.本合同協(xié)議協(xié)議自雙方法定代表人或授權代表人簽字或者蓋章簽字或者蓋章蓋章后正式生效，現(xiàn)場驗收合格合格、款項支付完畢后關閉。Health,SafetyandEnvironmentPrinciples(HSE)健康、安全和環(huán)境原則(HSE)ThestafffromPartyBshallfollowthearrangementofLocalgovernmentandPartyA(oritsrepresentatives),andXXXplywith(helawsandregulationsofMyanmaraswellasrulesandregulationsonHealth,SafetyandEnvironment(HSE)ofPartyA.合同協(xié)議協(xié)議乙方公司工作人員必須聽從地方政府、合同協(xié)議協(xié)議甲方公司人員(或代表)的安排，遵守緬甸法律、法規(guī)和合同協(xié)議協(xié)議甲方公司的安全環(huán)境健康規(guī)章制度等。BeforeorduringtheimplementationofthisProject,PartyBshallacknowledge,avoidandpreventthepossibledamageoftheProjecttothesurroundingenvironmentandotheraffiliatedfacilities,andtheresultinglossesshallbebornebyPartyB.在工程實施之前或進行當中，合同協(xié)議協(xié)議乙方公司應識別工程可能對周邊環(huán)境及原有設施造成的危害，應進行規(guī)避和防護，對由此帶來的損失，應由合同協(xié)議協(xié)議乙方公司承擔。DuringtheperformanceofthisContract,PartyBshallbearthepersonalandpropertylossesofPartyBorPartyB'spersonnelinjurybyitselfifthelossesarenotcausedbyPartyA.在合同協(xié)議協(xié)議履行過程中，若發(fā)生非合同協(xié)議協(xié)議甲方公司原因導致的合同協(xié)議協(xié)議乙方公司或合同協(xié)議協(xié)議乙方公司人員人身或財產(chǎn)損失的，由合同協(xié)議協(xié)議乙方公司自行承擔。ContractPrice,PaymentandTaxes4.合同協(xié)議協(xié)議價格、支付事宜及稅費Asperthestipulatedconstructioncontents,bothPartiesagree（hatthisContractisalumpsumcontract.Thecontractpaymentincludesallconstructioncostsandrelatedcostforconstructionpreparationandconstructionimplementation.Pleaserefertothefollowingtabicforthedetails按照本合同協(xié)議協(xié)議所確定的工程內容，合同協(xié)議協(xié)議甲方公司與合同協(xié)議協(xié)議乙方公司確定本次馬德島崗亭工程為費用總包合同協(xié)議協(xié)議，合同協(xié)議協(xié)議費用包含全部工程施工費用及其他與工程準備、工程執(zhí)行相關的費用。詳見下表警務室預算報表（USD）NO.particularQityRate(usd)Amount(usd)123456789101112NO.1234567891()11121314NO.12345Thetotalamount:費用合計：xxx美金TheContractshallbevaluedinUSD,andthepaymentshallbesettledinequivalentvalueofKYAT.TheexchangerateshallbeatthespotexchangeratefromUSDtoKYATonthedayofpaymentbythehandlingbankofParlyA.UnlessotherwisespecifiedbyPartyBandagreedbyPartyA,PartyAshallonlyconductpaymentinaccordancewiththebankaccountofPartyBagreedinthiscontract.PartyBshallberesponsiblefortheauthenticity,safetyandaccuracyofitsdesignatedaccountinformation.IfPartyAfailstopayordelayspaymentduetothecausesofPartyB'saccount,allresponsibilitiesandconsequenceshereofshallbeundertakenbyPartyBitself.TheaccountinformationassignedbyPartyBisasfollows:本合同協(xié)議協(xié)議以美金計價，以美元或等值緬幣結算。匯率為支付對應銀行支付當天美元兌緬幣的即時匯率。除非合同協(xié)議協(xié)議乙方公司有特別說明并經(jīng)合同協(xié)議協(xié)議甲方公司同意，合同協(xié)議協(xié)議甲方公司僅按本合同協(xié)議協(xié)議相關約定的合同協(xié)議協(xié)議乙方公司對應銀行帳號支付，合同協(xié)議協(xié)議乙方公司應對其指定的賬戶信息真實性、安全性、準確性負責任。因合同協(xié)議協(xié)議乙方公司賬戶的原因造成合同協(xié)議協(xié)議甲方公司不能支付或支付遲延的，由此引起的一切責任及后果由合同協(xié)議協(xié)議乙方公司自己承擔。合同協(xié)議協(xié)議乙方公司指定的賬戶信息如下：AccountName:賬戶名：AccountNumber:賬號：Beneficiary'sBank:收款對應銀行：SWIFT/BICCode:對應銀行國際代碼：CorrespondentBank:代理對應銀行：SwiftCodeofCorrespondentBank代理對應銀行國際代碼：Address:相關地址：Tel聯(lián)系電話：BothPartiesshallperformtheirrespectivetaxationobligationsinaccordancewiththetaxlawsandregulationsoftheUnionofMyanmar.TheContractPriceincludeswithholdingtaxandothertaxesofPartyB..本合同協(xié)議協(xié)議簽約雙方應依照緬甸國家的相關稅收法律法規(guī)，履行納稅義務，合同協(xié)議協(xié)議乙方公司在合同協(xié)議協(xié)議總價中包含有預扣所得稅和其他稅費部分。ThepaymentofthisContractshallbeconductedinthreeinstalments:本合同協(xié)議協(xié)議支付一次付清，支付方式方法為電匯：Within10workingdaysaftersigningthisContract,PartyAshallmakethefirstpaymentequalsto30%ofthetotalContractPrice..驗收合格合格后，合同協(xié)議協(xié)議甲方公司向合同協(xié)議協(xié)議乙方公司支付全部合同協(xié)議協(xié)議金額。Alterations變更事宜PartyAshallhavetherighttorequireincreasingtheworkscope(hereinafterreferredtoas“Alterations”)onthebasisofthisContract.合同協(xié)議協(xié)議甲方公司有權在此合同協(xié)議協(xié)議的基礎上，要求增加工作范闈(以下稱之為“變更”)。Alltherequirementsonalterationshallbeinthewrittenform,clearlydefiningnecessaryalterations.PartyBshallsubmitcorrespondingworkplan,workinghoursandcostestimatesaccordingthealterationsproposedbyPartyAwithin3workingdaysfortheapprovalofPartyA.所有的變更要求均應以書面的方式方法，清楚地指明所需的變更內容，合同協(xié)議協(xié)議乙方公司應在三個工作日內對合同協(xié)議協(xié)議甲方公司提出的變更，提交相應的工作計劃、工時和費用估算，供合同協(xié)議協(xié)議甲方公司審批。TerminationofContract合同協(xié)議協(xié)議終止IftheterminationofthisContractiscausedbyPartyA,PartyAshallpayreasonablefeestoPartyBfor(heWork(includingpreparatorywork)XXXpletedbythedateofterminationofthisContract.Otherwise,iftheterminationofthisContractiscausedbythebreachofPartyB,PartyAshallnotpayfortheexpensesgenerated.在因合同協(xié)議協(xié)議甲方公司終止合同協(xié)議協(xié)議的情況下，合同協(xié)議協(xié)議甲方公司應支付合同協(xié)議協(xié)議乙方公司截止合同協(xié)議協(xié)議終止日時已完成的工作（含準備工作）及為此項工作已發(fā)生的合理費用。若因合同協(xié)議協(xié)議乙方公司違約導致合同協(xié)議協(xié)議終止的，合同協(xié)議協(xié)議甲方公司對已經(jīng)發(fā)生的費用不予支付。Responsibilities&Duties7.責任與義務7.1ParlyAandParlyBshallguaranteeeachotherthatoneparlyshallprovidesupporttoandprotecttheotherpartyfromanyloss,claim,orresponsibilitycausedbyorrelatedtothisContractunderthefollowingconditions:7.1合同協(xié)議協(xié)議甲方公司和合同協(xié)議協(xié)議乙方公司均應相互保證，保護和支持對方在發(fā)生以下情況時不受由于本合同協(xié)議協(xié)議或與之相關而產(chǎn)生的任何形式的損失，索賠或責任：Injuriesanddeathsofanyemployee,representativeorsubcontractor'spersonnel;a）任何職員，代表或分包方人員的傷亡，Propertylossofstaff,representativesorsubcontractor^personnel;b）職員，代表或分包方人員的財產(chǎn)損失，Expenses,losses,ordamagesindirectlyordirectlycausedbysignificant,specialoraccidentalevent,nomatterhowitoccursandwhichformittakes;c）由于重大，特殊或意外（直接或間接）造成的費用，損失或損壞，不論其如何發(fā)生的，不論是何種形式。7.2Eachpartyshallberesponsibleforthelossofanythirdpartycausedbyitsownintentionorfaults,andundertakerelatedindemnificationobligations.7.2雙方應對由于各自故意或過失而造成的任何第三方的損失負責任并承擔相關賠償義務。7.3IfeitherpartyofthisContracthasrealizedanypossibleaccidentduringtheperformanceof（heContractthatcannotbeexecutive,theotherpartyshallbenotifiedimmediately.7.3如果合同協(xié)議協(xié)議雙方任意一方在合同協(xié)議協(xié)議履行過程已意識到任何有可能出現(xiàn)意外而導致合同協(xié)議協(xié)議無法執(zhí)行的情況時，應立即通知另一方。7.4PartyBshallprocuretheinsurancesandbearthepremiumsinaccordancewiththeprovisionsrelatingtoinsuranceasspecifiedinthelawsoftheUnionofMyanmar.PartyBshallensurethattheaforesaidinsurancesremaineffectiveduringtheperiodofvalidityofthisContract.AlltheexpensesarisingfromtheaforesaidinsurancesshallbeincludedintheservicefeesunderthisContractandshallbebornebyPartyB.7.4合同協(xié)議協(xié)議乙方公司應根據(jù)緬甸聯(lián)邦的相關保險法規(guī)的規(guī)定辦理各項保險并承擔各項保險費用。合同協(xié)議協(xié)議乙方公司應確保.上述保險在本合同協(xié)議協(xié)議有效期間內持續(xù)有效。辦理上述保險所發(fā)生的所有費用應包含在本合同協(xié)議協(xié)議項下的總費中，由合同協(xié)議協(xié)議乙方公司自行承擔。ForceMaieure8.不可抗力ForceMajcurcreferstotheeventsthatcannotbepredictedbyeitherpartyoftheContractandtheiroccurrenceandconsequencescannotbeavoided,includingbutnotlimitedtowars,unrests,firesandnaturaldisasterssuchaswind,rainandearthquakeetc.不可抗力是指合同協(xié)議協(xié)議的任何一方不能預見，對其發(fā)生和后果不能避免.并無法控制的事件，包括但不限于戰(zhàn)爭、動亂、火災以及風、雨、地震等自然災害。AnypartyshalltimelynotifytheotherpartywhenitisunabletoperforintheContractduetoForceMajeure.Aftergainingthecertificateofrelatedauthority,theperformanceoftheContractcouldbedelayedorsuspendedtemporarily.Eachpartyshallnotify(heotherpartyofactualconditions,andcontinueto1OperformtheContractaftertheendordisappearanceofForceMajeure.BothPartiescanbeexemptedfromsomepartsoralloftheliabilitiesfbrbreachoftheContractaccordingtotheactualconditions.Necessaryremedialmeasuresshallbeadoptedtoreducethelosstotheminimum.任何一方由于不可抗力不能履行合同協(xié)議協(xié)議時，應當及時向對方通報。在取得有關機關證明以后，允許延期履行或者暫時不履行合同協(xié)議協(xié)議。各方應把實際情況通知對方，并在不可抗力停止或消失后繼續(xù)履行合同協(xié)議協(xié)議。雙方根據(jù)情況可部分或者全部免予承擔違約貨任。采取必要的補救措施將損失降到最低程度。ApplicableLaws&DisputeResolution9.適用法律及爭議解決方式方法ThelawsofMyanmarshallapplytothesigning,perfornianceandexplanationofthisContract.本合同協(xié)議協(xié)議的簽訂、履行及解釋均適用緬甸聯(lián)邦法律。AppendixtotheContractandOthers10.合同協(xié)議協(xié)議附件及其他事項.TheappendixtothisContractshallbeanintegralpartof(hisContractandshallhave(hesamelegaleffectastheContract.本合同協(xié)議協(xié)議附件是本合同協(xié)議協(xié)議的有效組成部分，與本合同協(xié)議協(xié)議有同等法律效力。.Inrespectofanymattersunmentionedherein,writtenXXXplcmcntaryagreementshalladditional
