廉潔協(xié)議書（中英文對照）目錄TABLEOFCONTENTS第一條甲、乙雙方的共同責任ArticleICommonResponsibilitiesofPartyAandPartyB第二條甲方的責任：ArticleIIResponsibilitiesofPartyA第三條乙方的責任：ArticleIIIResponsibilitiesofPartyB第四條相關(guān)責任ArticleIVRelatedResponsibilities第五條協(xié)議書生效及法律效力ArticleVEffectandLegalForceoftheAgreement第六條協(xié)議書份數(shù)ArticleVICopiesoftheAgreement為了增強甲乙雙方依法經(jīng)營、廉潔從業(yè)意識，完善自我約束、自我監(jiān)督機制，營造守法誠信、廉潔高效的工作環(huán)境，防止發(fā)生違法違紀行為，保護國家、集體和當事人的合法權(quán)益，根據(jù)國家有關(guān)法律法規(guī)和廉潔自律規(guī)定，特訂立本廉潔協(xié)議書：ForthepurposeofintensifyingtheawarenessofthebothPartiesonlegaloperation,improvingthemechanismofself-restraintandself-supervision,creatingalaw-abidingandhonestaswellashigh-efficiencyworkingenvironment,preventingbehaviorsviolatinglawsandprinciplesfromhappening,andprotectingthelegitimateinterestsofthecountry,collective,andPartiesconcerned,itisherebyconcludedtheAgreementofBusinessEthicsandPrinciples(hereinafterreferredtoasthe?Agreement?)inaccordancetorelevantstatelawsandregulationsaswellasprovisionsonhonestyandself-discipline.第一條甲、乙雙方的共同責任ArticleICommonResponsibilitiesofPartyAandPartyB（一）嚴格遵守國家關(guān)于市場準入、招標投標、工程建設(shè)、物資采購等市場經(jīng)濟活動的法律法規(guī)、政策以及廉潔建設(shè)規(guī)定。(I)Strictlyabidebylaws,regulations,policies,andintegrityconstructionstipulationsonmarketeconomicactivitiessuchasmarketaccess,tenderingandbiding,engineeringconstruction,andsuppliespurchasing;（二）嚴格履行合同約定，自覺承擔合同義務(wù)。(II)StrictlyperformtheContractpromises,andconsciouslyundertaketheContractobligations;（三）業(yè)務(wù)活動必須堅持公平、公正、公開和誠實守信的原則（除法律法規(guī)另有規(guī)定者外），不得為獲取不正當利益，損害國家、集體和對方利益，不違反招標投標、工程建設(shè)管理、物資采購等方面的規(guī)章制度。(III)Thebusinessactivitiesmustadheretotheprincipleoffairness,impartiality,openness,andgoodfaith(exceptthatotherwisestipulatedbylawsandregulations).BothPartiesshallnotdamagetheinterestsofthecountry,collective,andtheotherPartytoobtainillegitimateinterests.BothPartiesshallnotgoagainsttherulesandregulationsonsuchaspectsastenderingandbidding,engineeringconstructionandmanagement,andsuppliespurchasing.（四）建立健全自我制約制度，開展廉潔教育，公布舉報電話，監(jiān)督并認真查處違法違紀行為。(IV)BothPartiesshallestablishasoundsystemforself-restraint,developintegrityeducation,publishinformanthotline,andsuperviseandseriouslyinvestigatethebehaviorsviolatinglawsandregulations.（五）發(fā)現(xiàn)對方在業(yè)務(wù)活動中有違規(guī)、違紀、違法行為的，應(yīng)及時提醒對方，情節(jié)嚴重的，應(yīng)向有關(guān)紀檢監(jiān)察部門舉報。(V)OnePartyshalltimelyremindtheotherPartyifdetectingbehaviorsgoingagainstregulations,rules,andlawsinthebusinessactivities.Incaseofseriousviolation,thebehaviorsshallbereportedtorelevantdisciplineinspectionandsupervisiondepartment.第二條甲方的責任：ArticleIIResponsibilitiesofPartyA甲方相關(guān)工作人員，在業(yè)務(wù)活動的事前、事中、事后，應(yīng)遵守以下規(guī)定：RelevantworkingpersonnelofPartyAshallabidebythefollowingregulationsbefore,during,andafterbusinessactivities.（一）貫徹落實有限責任公司有關(guān)廉政建設(shè)責任制及廉潔從業(yè)的規(guī)定，建立企業(yè)誠信檔案；(I)PartyAshallimplementthestipulationsofCorporationontheaccountabilityfortheconstructionofhonestPartyandgovernmentandcleanpractice,andestablishtheenterprisecreditarchive;（二）按照公平、公正、公開和誠實守信的原則開展各項業(yè)務(wù)活動，為乙方提供公平的競爭環(huán)境與平臺；(II)PartyAshalldevelopvariousbusinessactivitiesaccordingtotheprincipleoffairness,impartiality,openness,andgoodfaith,andprovidePartyBwiththefaircompetitionenvironmentandplatform;（三）不準向乙方泄漏涉及有關(guān)業(yè)務(wù)活動的秘密；(III)PartyAshallnotdisclosePartyBaboutthesecretsinvolvingrelevantbusinessactivities.（四）不準向乙方和相關(guān)單位索要或接受回扣、紅包、禮金、購物卡、有價證券、貴重物品和好處費、感謝費等；(IV)PartyAshallnotclaimoracceptkickback,redpacket,cashgift,shoppingcard,negotiablesecurities,valuables,andfavorfeefromPartyBandrelevantunits;（五）不準在乙方和相關(guān)單位報銷任何應(yīng)由甲方或個人支付的費用；(V)PartyAshallnotapplyforreimbursementfromPartyBandrelevantunitsfortheexpenseswhichshallbepaidbyPartyAorindividuals;（六）不準要求、暗示或接受乙方和相關(guān)單位為個人裝修住房、婚喪嫁娶、配偶子女的工作安排以及境內(nèi)外旅游等提供方便；(VI)PartyAshallnotrequest,suggest,oracceptPartyBandrelevantunitstoprovideconvenienceforindividualhousedecoration,preparationforweddingsandfunerals,employmentarrangementforchildren,andoutboundandinboundtourism;（七）不準向乙方介紹配偶、子女、親屬參與與甲方有關(guān)的經(jīng)濟活動，不得以任何理由向乙方和相關(guān)單位推薦第三方單位；(VII)PartyAshallnotintroducespouse,children,andrelativestoparticipateintheeconomicactivitiesrelatedtoPartyA.PartyAshallnotrecommendthird-partyunittoPartyBandrelevantunitsforanyreasons;（八）不準參與影響相關(guān)工作正常和公正開展的其他活動；(VIII)PartyAshallnotparticipateinotheractivitiesaffectingthenormalandimpartialdevelopmentofrelevantwork;（九）不準違反《中共中央紀委關(guān)于嚴格禁止利用職務(wù)上的便利謀取不正當利益的若干規(guī)定》的內(nèi)容。(IX)PartyAshallnotgoagainstthecontentsinSeveralRegulationsoftheCentralCommitteeoftheCommunistPartyofChinaonStrictlyProhibitingTakingAdvantageofConvenienceofPositiontoSeekIllegitimateRightsandInterests.第三條乙方的責任：ArticleIIIResponsibilitiesofPartyB在與甲方業(yè)務(wù)交往過程中，按照有關(guān)法律法規(guī)和程序開展工作，嚴格執(zhí)行國家的有關(guān)方針、政策，并遵守以下規(guī)定：IntheprocessofbusinesscontactwithPartyA,PartyBshalldevelopworkinaccordancewithrelevantlaws®ulationsandprocedures.PartyBshallstrictlyimplementrelevantpoliciesandguidingprinciplesofthecountry,andabidebytheregulationsasfollows.（一）不準以任何理由為甲方和相關(guān)單位報銷應(yīng)由對方或個人支付的費用；(I)PartyBshallnotreimbursetheexpenseswhichshallbepaidbyPartyAandindividuals;（二）不準以任何理由向甲方負責人及其工作人員贈送回扣、紅包、禮金、購物卡、有價證券、貴重物品和好處費、感謝費等；(II)PartyBshallnotgivethepersonsinchargeandworkingpersonnelofPartyAforanyreasonswithkickback,redpacket,cashgift,shoppingcard,negotiablesecurities,valuables,andfavorfee;（三）不準以任何理由為甲方、與甲方相關(guān)的單位或個人提供高消費宴請及娛樂活動；(III)PartyBshallnotprovidePartyA,unitsorindividualsrelatedtoPartyAwithhigh-consumptionbanquetsandentertainmentactivitiesforanyreasons;（四）不準以任何理由為甲方、與甲方相關(guān)的單位或個人購置或提供通訊工具、交通工具和高檔辦公用品；(IV)PartyBshallnotpurchaseorprovidePartyA,unitsorindividualsrelatedtoPartyAwithcommunicationtools,vehicles,andhigh-gradeofficesupplies;（五）不準接受或暗示為甲方、與甲方相關(guān)的單位或個人裝修住房、婚喪嫁取、配偶子女的工作安排以及境內(nèi)外旅游等提供方便；(V)PartyBshallnotacceptorhinttoprovidePartyA,unitsandindividualsrelatedtoPartyAtheconvenienceforhousedecoration,preparationforweddingsandfunerals,employmentarrangementforchildren,andoutboundandinboundtourism;（六）不準以謀取非正當利益為目的，擅自與甲方工作人員就業(yè)務(wù)問題進行私下商談或者達成利益默契；(VI)PartyBshallnot,withthepurposeofobtainingillegitimateinterests,arbitrarilymakeprivateconversationsorreachinterestagreementwiththeworkingpersonnelofPartyAontheissuesofemployment;（七）發(fā)現(xiàn)甲方工作人員有違反本廉潔協(xié)議書規(guī)定的，應(yīng)向甲方單位舉報。有限責任公司受理部門：監(jiān)察局；舉報電話：；舉報郵箱：。（根據(jù)甲方單位的不同修改具體受理部門和電話）(VII)PartyBshallreporttoPartyAincasedetectingthattheworkingpersonnelofPartyAgoagainstthestipulationsoftheAgreement.ReportacceptancedepartmentofCorporation:SupervisionDivision:informanthotline:,reportE-mail:.(TheacceptancedepartmentandtelephonenumbervarieswiththeunitsofPartyA.)第四條相關(guān)責任ArticleIVRelatedResponsibilities（一）甲方有違反本廉潔協(xié)議書第一、二條規(guī)定的，嚴格按照管理權(quán)限，依據(jù)有關(guān)法律法規(guī)和規(guī)章制度給予紀律處分或組織處理；涉嫌犯罪的，移送司法機關(guān)依法追究刑事責任；給乙方單位造成經(jīng)濟損失的，應(yīng)依法予以賠償。(I)IncasePartyAgoesagainstthestipulationsinArticleIandIIoftheAgreement,disciplinarysanctionororganizationaltreatmentwillbeimposedtoPartyAinstrictaccordancewiththemanagementauthorityandrelevantlawsandregulationsaswellasrules.Incaseacrimeisinvolved,PartyAshallbetransferredtojudicialofficesforaffixingcriminalliabilities.IncaseeconomiclossesarecausedtotheunitsofPartyB,PartyAshallmakecompensationforPartyB’slosses.（二）乙方違反本廉潔協(xié)議書第一、三條規(guī)定的，根據(jù)國家和南方電網(wǎng)公司招投標等有關(guān)規(guī)定，對乙方進行處理。涉嫌犯罪的，移送司法機關(guān)依法追究刑事責任；給甲方單位造成經(jīng)濟損失的，應(yīng)依法予以賠償。(II)IncasePartyBviolatesthestipulationsinArticleIandIIIoftheAgreement,treatmentaccordingtorelevantstipulationsofthecountryandChinaSouthernPowerGridontenderingandbidingshallbemadetoPartyB.Incaseacrimeisinvolved,PartyBshallbetransferredtojudicialofficesforaffixingcriminalliabilities.IncaseeconomiclossesarecausedtotheunitsofPartyA,PartyBshallmakecompensationforPartyA’slosses.（三）乙方違反本廉潔協(xié)議書第一、三條規(guī)定，發(fā)生行賄行為，經(jīng)政府有關(guān)執(zhí)紀執(zhí)法部門或甲方紀檢監(jiān)察機構(gòu)查證屬實，甲方根據(jù)南方電網(wǎng)公司有關(guān)規(guī)定，視情節(jié)輕重對乙方實施一定期限的市場禁入。(III)IncasePartyBviolatesthestipulationsinArticleIandIIIoftheAgreementandincaseofbriberybehaviorswhichareverifiedbyrelevantdisciplineexecutionandlawenforcementdepartmentofthegovernmentordisciplineinspectionandsupervisioninstitutionofPartyA,PartyAcanrestrictthemarketaccessofPartyBwithacertaintimelimitaccordingtorelevantstipulationsofChinaSouthernPowerGridandactualsituations.第五條協(xié)議書生效及法律效力ArticleVEffectandLegalForceoftheAgreement（一）本廉潔協(xié)議書作為合同的附件，與合同具有同等法律效力，經(jīng)雙方簽字蓋章后立即生效。(I)TheAgreementisanattachmentoft
