CONFIDENTIALITYAGREEMENT

ThisConfidentialityAgreementismadeon[date],byandbetween:

[],acompanyestablishedandexistingunderthelawsof[],whoseprincipalplaceofbusinessisat[](hereinafterreferredtoasthe“CompanyB”).

CompanyAandCompanyBhereinafterarecollectivelyreferredtoasthe“Parties”,andindividuallyreferredtoasa“Party”.

Recital

WHEREAS,theRecipientdesirestoacquirecertaininformationrelatingtotheDiscloseranditsRelatedPartiesforthepurposeof (hereinafterreferredtoasthe“Project”);and

WHEREAS,fortheaboveProject,theDiscloserhasagreedto,directlyorindirectlythroughotherparties,makeavailabletotheRecipientcertainconfidentialinformation（asdefinedinArticle1）concerningtheDiscloseranditsRelatedParties.

NOWTHEREFORE,thePartiesagreetoenterintothisConfidentialityAgreement(hereinafterreferredtoasthe“Agreement”)underthefollowingtermsandconditions:

Article1

DefinitionsandInterpretations

ConfidentialInformationmeans:

allnon-publicinformationanddata(inwhateverformandhowevercommunicatedormaintained,whetherorally,inwriting,electronicallyorviaanyothermedium)relating,directlyorindirectly,totheaParty(hereinafterreferredtoasthe“Discloser”),itsRepresentativeortheProject,thatisdeliveredordisclosedbytheDiscloserorbyanyotherpersonsonbehalfoftheDisclosertotheotherParty(hereinafterreferredtoasthe“Recipient”)oritsRepresentative.

allinformation,data,analysis,compilations,notes,studies,memorandaorotherdocumentsormaterialsderivedfrom,containingorreflectingtheinformationlistedinsection(1).

ConfidentialInformationdoesnotincludeanyinformationthat:

isorbecomesinthepublicdomainpriortothedisclosurethereofbytheDisclosertotheRecipientorentersintothepublicdomainotherwisethanthroughaviolationofthisAgreementorofotherobligationofconfidentialityowedtotheDiscloserbytheRecipientoritsRepresentativesafterdisclosurethereofbytheDisclosertotheRecipient;or

becomesavailabletotheRecipientonanon-confidentialbasisfromasourceotherthantheDiscloserwhoisnotunderanyobligationofconfidentialityorrestrictionofusetotheDiscloserinrespectofsuchinformationordata;or

waslawfullyinthepossessionoftheRecipientbeforetheinformationwasdisclosedtoitbytheDiscloserasevidencedbywrittenrecords.

RelatedPartymeans，withtoaParty,anyperson,which,directlyorindirectly,iscontrolledby,undercommoncontrolwith,orincontrolof,suchParty;thetermcontrolmeanshavinghalformoreshareholdinginterests,ortherighttodelegate,appointornominatemostdirectorsintheboard,ortherighttodelegate,appointornominatethemanagement.

RepresentativemeansinrelationaPartytothisAgreement,anyofitsdirector,officer,affiliate,partner,employee,representative,agent,attorney,consultantandaccountant,togetherwiththemanagementandemployeesofthepersonsmentionedherein.

ThetermpersonasusedinthisAgreementshallincludeanycompany,organizationorindividual.

Article2

ProvisionofConfidentialInformation

SubjecttothetermsofthisAgreement,theDiscloseragreestomakeavailableConfidentialInformationtotheRecipientandwishestoensurethattheRecipientmaintainstheconfidentialityoftheDiscloser’sConfidentialInformation.

ThisAgreementappliestoallConfidentialInformation,whetherornottheConfidentialInformationwasdisclosedtooraccessedbytheRecipientonorbeforethedateofthisAgreement.

Article3

Use,DisclosureandReturnofConfidentialInformation

TheRecipientmayusetheConfidentialInformationsolelyfortheProjectandonlywhensuchuseisnecessaryfortheProject.

TheRecipientmayonlydiscloseConfidentialInformation:

toitsRelatedPartyorRepresentativesolelyonaneed-to-knowbasisfortheimplementationoftheProjectandwheresuchdisclosureisnecessaryfortheProject;

inaccordancewithArticle3.4;or

withthepriorwrittenconsentoftheDiscloser.

AnyPartyshallnot,withoutpriorwrittenconsentoftheotherParty,disclosetoanyperson(1)thefactthatdiscussionsornegotiationsaretakingplaceconcerningtheProject;(2)anyoftheterms,conditions;or(3)otherfactswithrespecttoanysuchpossibletransaction.

NotwithstandingotherprovisionsofthisAgreement,theRecipientmaydisclosetheConfidentialInformationifmandatorilyrequiredbyanyapplicablelawsorbyanylegallybindingorderedmadebyanygovernmentalauthority,judiciary,arbitraltribunal,stockexchangeorothersupervisoryauthorityofcompetentjurisdictionprovidedthat:

Beforemakingsuchdisclosure,theRecipientmust,totheextentlawfulandpracticable,givetheDiscloserreasonablewrittennoticeofthefullcircumstancesoftherequireddisclosureandtheConfidentialInformationthatit,oritsRepresentative,proposestodisclose.

Inmakingsuchdisclosure,thecontentofthedisclosureshallbestrictlylimitedtowhatislegallyrequiredtobedisclosedandtheRecipientshallmakeitsbestendeavorsto,andprocureitsRepresentativestopreservetheconfidentialitythereof.

UponterminationoftheProject,terminationofthisAgreement,ortherequestofDiscloser,theRecipientshallimmediately:

returntotheDiscloseroritsnominee,ordestroyastheDiscloserdirects,alldocumentscontaininganyConfidentialInformation(includingalloriginaldocuments,copiesorreproductionsorothermediacontainingsuchConfidentialInformationcapableofbeingdestroyedbytakingreasonablemeasures)whichhavebeendeliveredordisclosedtotheRecipientoritsRepresentatives.Fortheavoidanceofdoubt,theaboveshallnotapplytoanyConfidentialInformationwhichhasbeenembodiedorincorporatedinanyboardminutesorothercorporateorinternalpapersoftheRecipientorwrittenadvice,memorandumorpaperpreparedbyanyRepresentativeoftheRecipientinconnectionwiththeProject,norapplytocopiesofdocumentskeptbytheRecipientforrecordsretentioninaccordancewithmandatoryrequirementsoflaworregulation,providedthattheConfidentialInformationsoretainedshallbesubjecttotheRecipientoritsRepresentativescontinuousobligationsandundertakingsinrespectoftheConfidentialInformationcontainedinthisAgreement.;and

eraseanyConfidentialInformationthathasbeenenteredintoacomputerdatabaseorotherelectronicmeansofdataorinformationstoredbytheRecipientoranyofitsRelatedPartiesorRepresentatives;and

certifyinwritingtotheDiscloserthatithascompliedwiththerequirementsofthisclause.

Article4

WarrantiesoftheRecipient

TheRecipientwarrantsapplyingatleastthesamesecuritymeasuresanddegreeofcaretotheConfidentialInformationastheRecipientappliestoitsownconfidentialinformation,whichtheRecipientfurtherwarrantsasprovidingadequateprotectionfromunauthorizeddisclosure,copyingoruse.

TheRecipientwarrantsensuringthatitsRepresentativesareawareoftheundertakingssetoutinthisAgreementandadequatelycomplywithsuchundertakingsasiftheywerepartiestohereto.

TheRecipientshallberesponsibleincasethatitsRepresentativesuseordiscloseConfidentialInformationinviolationofanyofsuchundertaking.

TheRecipientshallimmediatelynotifytheDiscloserinwritingifitbecomesawareorsuspectsthattherehasbeenabreachofthetermsofthisAgreement;andtakeallnecessarysteps,atitsownexpense,topreventorstopanysuspectedoractualbreachofthisAgreement.

Article5

AcknowledgementoftheRecipient

TheRecipientacknowledgesandagreesthat:

theDiscloseranditsRelatedPartieswillnotbearanyresponsibility(norshalltheDiscloseroranyofitsRelatedPartiesbeliable)totheDiscloseroranyofitsRepresentativesfortheaccuracyorcompleteness(orlackthereof)oftheConfidentialInformation;

theDiscloseranditsRelatedPartiesdonotgiveanyrepresentationorwarrantyregardingtheConfidentialInformation;

neithertheDisclosernoranyofitsRelatedPartieshavemadeanyindependentverificationastotheaccuracyorcompletenessoftheConfidentialInformation;

neithertheDisclosernoranyofitsRelatedPartiesand/oritsRepresentativesorotherwiseprovideadditionalinformationregardingtheProposedTransaction;

theConfidentialInformationmayincludeforward-lookingstatementsandprojections,whicharebasedoncertainestimatesandassumptionsconcerninganticipatedresults.NeithertheDisclosernoranyofitsRepresentativesgiveanyrepresentationorwarrantyastothereasonablenessofsuchestimatesorassumptionsortheaccuracyofanysuchstatementsorprojections;and

theConfidentialInformationremainsatalltimesproprietarypropertyoftheDiscloser,andnothinghereinshallbeconstruedasgrantingtotheRecipientoranyofitsRepresentativesofanyrightsotherthanarighttousetheConfidentialInformationunderArticle3.

Article6

IndemnitiesandRemedies

TheRecipientshallindemnifytheDiscloseranditsRelatedPartiesagainstallliabilities,costs(includinglegalcostsonanindemnitybasis),expenses,damagesandlossessufferedorincurredbytheDiscloseranditsRelatedPartiesarisingdirectlyfromorbeingdirectlyinconnectionwithanybreachofthisAgreementbytheRecipientand/orfromtheactionsoromissionsofanyRepresentativeoftheRecipient,butexcludinganyindirectorconsequentiallosses,lossofprofitorlossofreputation.

TheRecipientacknowledgesthatdamagesalonewouldnotbeadequatecompensationforthebreachofanyoftheprovisionsofthisAgreement.Accordingly,withoutprejudicetoanyotherrightsandremediesitmayhave,theDisclosershallbeentitledtoanyotherremediesavailableconcerninganythreatenedoractualbreachofanyoftheprovisionsofthisAgreement,including,butnotlimitedto,anyinjunctiverelieforspecificperformance.

Article7

TermandTermination

TheobligationsoftheRecipienthereinshallcontinueforaperiodof[]ConfidentialTermcanberequiredaccordingtotherealsituationoftheProject.FromtheperspectiveoftheDiscloser,iftheinformationhasstrongconfidentialnature,theDisclosercanrequiretheRecipienttocomplywiththeobligationofconfidentialityinlongertermorindefinitely.

TerminationofthisAgreementshallnotaffectanypoweroraccruedrightsorremediesthattheDiscloserisentitledto,orrestrictorotherwiselimitanycauseoractionorclaimarisingfromanypriorbreachoforfailuretoperformanydutyorobligationunderthisAgreementbytheRecipient.

SubjecttothepermitteddisclosureprovidedinArticle3.4,theobligationofconfidentialityshallnotbeaffectedbybankruptcy,receivership,assignment,attachmentorseizureprocedures,whetherinitiatedbyoragainsttheRecipient,norbytherejectionofanyagreementbetweentheDiscloserandRecipient,byanadministratoroftheRecipientinbankruptcyorbytheequivalentoftheforegoing.

Article8

Notices

Anotice,consentapprovalorothercommunication(hereinafterreferredtoasthe“Notice”)underthisAgreementshallbemadeinwritingandinEnglishlanguage,signedbyoronbehalfoftheauthorizedpersongivingit,addressedtotheauthorizedpersontowhomitistobegivenandbedelivered,sentbyfacsimile,registeredairmailorbydeliverinpersontothatperson’saddress.

AnyNoticegivenbyfacsimileshallbedeemedtohavebeenreceiveduponthetimeanddateasstatedinthetransmissionconfirmationreport,anyNoticegivenbyregisteredairmailshallbedeemedtohavebeenreceivedontheseventh(7th)calendardaysfollowingthedaysent,andNoticebypersonaldeliveryshallbedeemedtohavebeenreceivedatthetimethesameisphysicallyreceivedbytherecipient(s).

Article9

EntireAgreementandVariation

9.1 ThisAgreementconstitutestheentireunderstandingbetweenthePartiesandsupersededallnegotiations,priordiscussions,orallpreviousagreementsandunderstandingsbetweenthePartiesrelatingtothesubjectmatterofthisAgreement.

9.2 NeitherthesigningofthisAgreementnortheParties’performancehereundershallbedeemedtocreateanyrelationshipofpartnership,agency,subcontractor,jointventureoranyotherrelationshipbetweenthePartieswhichcausesthePartiestobearjointresponsibilities,norshallbedeemedthatanyPartyisentitledtoimposeanyobligationsontheotherPartyexceptforthoseexpresslyprovidedinthisAgreement.

9.3 NovariationofthisAgreementshallbeeffectiveunlessitisinwritingandsignedbyeachoftheParties(ortheirauthorizedrepresentatives).

Article10

Assignment

AnyPartymaynotassign,sub-contractordealinanywaywith,anyofitsrightsorobligationsunderthisAgreementwithoutpriorwrittenconsentoftheotherParty.

Article11

Severability

IfanyoneormoreoftheprovisionscontainedinthisAgreementisinvalid,illegalorunenforceableunderanyapplicablelaw,thevalidity,legalityorenforceabilityoftheremainingprovisionsofthisAgreementshallnotbeaffectedorimpaired.ThePartiesshallusetheirbesteffortstoreplacetherelevantprovisionswithvalid,legalandenforceableprovisionstheeffectofwhichisascloseaspossibletotheintendedeffectoftheoriginalprovisions.

Article12

Waiver

12.1 Failuretoexercise,oranydelayinexercising,anyrightorremedyprovidedunderthisAgreementorbylawshallnotconstituteawaiverofthatoranyotherrightorremedy,norshallitprecludeorrestrictanyfurtherexerciseofthatoranyotherrightorremedy.

12.2 NosingleorpartialexerciseofanyrightorremedyprovidedunderthisAgreementorbylawshallprecludeorrestrictthefurtherexerciseofthatoranyotherrightorremedy.

Article13

ThirdPartyRights

13.1 ThisAgreementismadeforthebenefitofthepartiestoitandtheirsuccessorsandpermittedassignsandisnotintendedtobenefit,orbeenforceableby,anyoneelse.

13.2 ThisAgreementismadeforthebenefitoftheDiscloseranditsRelatedPartiesfromtimetotime,andanyAffiliateoftheDisclosermayenf
