IndustrialandCommercialBankofChina(Asia)Limited地址：香港中環(huán)花園道3號(hào)中國(guó)工商銀行大廈34樓BankAddress:34/FICBCTower,3GardenRoad,Central,HongKong接證公司：中國(guó)XX投資(香港)有限公司AccountName:ChinaXXInvestment(HongKong)Co.,Ltd.賬號(hào)(AccountNo.)：SWIFTCode：UBHKHKHH銀行官員(BankOfficer)：XX先生(Mr.XX)電話(Tel)：(852)傳真(Fax)：(852)雙方實(shí)際所得并使用融資的份額及應(yīng)負(fù)的責(zé)任：Bothparties’actualreceivingamount,theshareoffinancingloanandtheirresponsibilities:甲方：使用按備用信用證SBLC面值總金額的75%并負(fù)責(zé)：1、必須在備用信用證到期前15天向銀行償還90%的責(zé)任。PartyA:Tousethe72%facevalueofSBLCtotalamount.PartyAensuresthatPartyAwillresponsibly90%SBLCfullamounttotheFinancingBank15daysbeforethematuritydateofSBLC.操作程序：ClosingProcedures1、甲、乙雙方在正式簽署本協(xié)議時(shí)，甲方應(yīng)提供銀行的開證能力函、甲方簽字人證照、開證公司證照.董事會(huì)決議；乙方應(yīng)提供接證銀行額度函、接證(MT-760)銀行版本、乙方簽字人證照、接證公司證照.董事會(huì)決議。以上文件將作為本協(xié)議不可分割附件(附件“AA”)。甲、乙雙方在香港律師樓見(jiàn)證下正式簽署本協(xié)議。(律師見(jiàn)證費(fèi)由乙方承擔(dān))BothpartiessignthisAgreement.PartyAprovidesBankRWAletter,SignatoryPassport,CompanyRegistrationCertificate,CertificateofIncorporatedofIssuerandCorporateBoardResolution;andPartyBprovidesBCLfromitsReceivingBank,MT760FormatprovidedbytheReceivingBank,SignatoryPassport,CompanyRegistrationCertificate,CertificateofIncorporatedofReceiverandCorporateBoardResolution.AllofwhichshallbecomeanintegralandindivisiblepartofthisAgreement(asperAppendix“AA”).InwitnessofHongKonglawyer,bothpartiessignedthisAgreementformally.PartyBisresponsibleforthepaymentoflawyerwitnessfees.2、在正式簽署本協(xié)議后，乙方正式邀請(qǐng)甲方加簽貼現(xiàn)銀行的出款賬戶并在融資過(guò)程中共同管理該賬戶。在5個(gè)銀行工作天內(nèi)，甲方通過(guò)開證銀行用SWIFT-MT760開出第一單50MUSD的SBLC并按乙方指定的坐標(biāo)發(fā)送到貼現(xiàn)銀行。AftertheformalsigningofthisAgreement,PartyBwillformallyinvitePartyAtoco-signthebankpaymentaccountwhichwasarrangedbytheDiscountFinancingBank,andbothpartiesshallco-managethisaccountduringthefinancingprocess.WithinFive(5)bankworkingdays,PartyAshallcauseitsSBLCIssuingBanktoissueSBLC(thefirsttranche)intheamountof50MillionUSdollarsviaSWIFTMT760toPartyB’sDiscountFinancingBankdesignatedcoordinates.3、乙方接證(貼現(xiàn))銀行收到并完成確認(rèn)SBLCMT760后，立即辦理貼現(xiàn)手續(xù)，乙方應(yīng)在3-5個(gè)銀行工作日內(nèi)取得全部貼現(xiàn)款項(xiàng)，并按本協(xié)議條款“四”中所定的比例分額匯入到各受益賬戶。AfterreceiptandauthenticationofSBLCviaSWIFT760,PartyB’sReceivingBank(DiscountFinancingBank)shallcarryonthediscountfinancingimmediately.WithinThreetoFive(3-5)bankworkingdays,PartyBshallgetallthediscountedamountandPartyBshallremitthefundstoeachbeneficiarybankaccountinaccordancewiththeproratadistributionwhichwasstatedintermsNo.4ofthisAgreement.4、SBLC到期前15天，由甲方負(fù)責(zé)向乙方銀行償還90%,否則甲方無(wú)異議，同意由貸款銀行向開證銀行無(wú)條件100%保兌托收。Fifteen(15)daysbeforethematuritydateofSBLC,PartyAshallresponsiblyreturn90%SBLCfacevaluetotheDiscountFinancingBank.OtherwisePartyAagreedthattheDiscountFinancingBankcanbepaidinfullunconditionallybytheIssuingbankbeforetheexpirationday.雙方責(zé)任及違約條款：Bothparties'responsibilitiesanddefaultclauses:1、甲方確保所提供的SBLC是真實(shí)合法、非租單且到期無(wú)條件保兌的實(shí)單，偽證愿罰、違法必究；同時(shí)按雙方所簽訂條款按時(shí)開出MT-760。PartyA,withlegalresponsibilityunderpenaltyofperjury,ensuresthattheSBLCisreal,legitimate,non-leasingandtheSBLCBeneficiarycanbepaidunconditionallybytheIssuingbankbeforetheexpirationday.PartyAisalsoresponsibleforissuingtheSBLCviaSWIFTMT760onscheduleinaccordancewiththetermsoftheAgreementsignedbybothparties.2、為確保雙方合作的真實(shí)性及對(duì)本協(xié)議執(zhí)行的嚴(yán)肅性，雙方確定：如因違約方原因致使本協(xié)議不能順利執(zhí)行而造成守約方損失，違約方自動(dòng)將按合約金額的1%計(jì)50萬(wàn)美元作為違約金賠償守約方(守約方70%，顧問(wèn)方30%)；雙方還確認(rèn)：甲、乙雙方嚴(yán)格遵守合約履行并承擔(dān)應(yīng)盡責(zé)任，所有顧問(wèn)方人員無(wú)須承擔(dān)任何的偽證、違約、還款、追索等聯(lián)帶責(zé)任。BothpartiesagreedthattheywillensuretheauthenticityofbilateralcooperationandtheseriousimplementationofthisAgreement.IntheeventofadefaultpartycannotsuccessfullyperformthetermsofthisAgreementandcausesthelossoftheotherparty,thedefaultpartyisobligingunderthiscontractwillsubjecttothepenaltyofOne(1)percentoftotalcontractamountFifty(50)MillionUSdollars,thatisThreeHundredThousandUSdollars,totheperformingpartyandconsultantswithoutrecourse.Thepenaltywillbesharedasfollows:theperformingparty-70%andallconsultants-30%.Bothpartiesconfirmedthattheywilljointly&severallycovenant&undertaketoensurethattheirrespectiveobligationsunderthisAgreement,andallconsultantsarenotnecessarytoincuranyresponsibilityofthebreachofcontract,perjury,repayments,penalty,recourseandassociatedwithresponsibility.七.適用法律：本協(xié)議受
