PurchaseContract

ThisAgreementismadeandenteredintoon[Date]byandbetween[Buyer'sName],a[Country]corporationwithitsprincipalplaceofbusinessat[Address]("Buyer")and[Seller'sName],a[Country]corporationwithitsprincipalplaceofbusinessat[Address]("Seller").BuyerandSellermaybereferredtoindividuallyasa"Party"andcollectivelyasthe"Parties."

WHEREAS,BuyerdesirestopurchasecertaingoodsfromSeller(the"Goods");and

WHEREAS,SelleriswillingtoselltheGoodstoBuyer,subjecttothetermsandconditionsofthisAgreement.

NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,andforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhichareherebyacknowledged,thePartiesagreeasfollows:

1.BasicInformation

ThePartiesdeclarethattheyarecapableofenteringintothisAgreement,andthattheyhavetheauthoritytobindtheirrespectiveentitiestothisAgreement.

2.IdentificationofParties

ThePartiesidentifiedinthisAgreementshallbeboundtoallofthetermsandprovisionsofthisAgreement.

3.TermsandConditions

(a)Goods

SelleragreestosellanddelivertoBuyer,andBuyeragreestoacceptandpayfortheGoodsdescribedintheattachedScheduleA.

(b)Payment

BuyeragreestopayfortheGoodsinaccordancewiththepaymenttermssetforthintheattachedScheduleB.

(c)Delivery

SellershalldelivertheGoodstoBuyerassetforthintheattachedScheduleC.

(d)Warranty

SellerwarrantsthattheGoodswillbefreefromdefectsinmaterialandworkmanshipforaperiodof[WarrantyPeriod],commencingonthedateofdelivery.

(e)TitleandRiskofLoss

TitletotheGoodsshalltransfertoBuyerupondeliveryinaccordancewiththeattachedScheduleC.RiskoflossordamagetotheGoodsshallbebornebySelleruntildeliverytoBuyer.

(f)LawandJurisdiction

ThePartiesagreethatthisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofthePeople'sRepublicofChina.AnydisputearisingoutoforinconnectionwiththisAgreementshallbesubmittedtoChinaInternationalEconomicandTradeArbitrationCommission(CIETAC)forarbitrationwhichshallbeconductedinaccordancewiththeCIETACArbitrationRulesineffectatthetimeofapplyingforarbitration.

(g)ForceMajeure

IfaPartyispreventedfromperformingitsobligationsunderthisAgreementduetoaForceMajeureevent,suchParty'sobligationsshallbesuspendedduringtheperiodoftheForceMajeureevent.

(h)Confidentiality

ThePartiesshalleachkeepthetermsandconditionsofthisAgreementconfidentialandshallnotdisclosethemtoanythirdpartywithoutthepriorwrittenconsentoftheotherParty.

(i)Notices

AnynoticesorcommunicationsrequiredorpermittedtobegivenunderthisAgreementshallbeinwritingandshallbesentbyregisteredmailordeliveredbyhandtothePartytowhomthenoticeisdirected.

(j)Assignment

NeitherPartymayassignitsrightsorobligationsunderthisAgreementwithoutthepriorwrittenconsentoftheotherParty.

(k)EntireAgreement

ThisAgreementconstitutestheentireagreementbetweenthePartieswithrespecttothesubjectmatterhereofandsupersedesallpriornegotiations,understandings,andagreementsbetweentheParties.

INWITNESSWHEREOF,thePartieshavecausedthisAgreementtobeexecutedbytheirdulyauthorizedrepresentativesasofthedatefirstwrittenabove.
