ConfidentialityAgreementforInternationalCompany

Parties

PartyA(the“Company”):[Insertfullnameofcompany][Insertaddressandcontactinformation]

PartyB(the“Recipient”):[Insertfullnameofrecipient][Insertaddressandcontactinformation]

Purpose

PartyBwillhaveaccesstoconfidentialinformationofPartyAinconnectionwith[Insertpurposeofdisclosure].ThepurposeofthisAgreementistoprotecttheconfidentialityofsuchinformationandtopreventunauthorizeddisclosureoruse.

Definition

“ConfidentialInformation”meansanyandallinformationdisclosedbyPartyAoritsaffiliates,whetherorallyorinwriting,thatisdesignatedasconfidentialorthat,underthecircumstances,wouldbeunderstoodtobeconfidential,including,butnotlimitedto,technical,financial,marketing,businessortradesecretinformation.

RightsandObligations

1.PartyArepresentsandwarrantsthatithastherighttodisclosetheConfidentialInformationtoPartyB,andthatsuchdisclosuredoesnotviolateanyconfidentialityornon-disclosureagreementbetweenPartyAandanythirdparty.

2.PartyBagreestoholdConfidentialInformationinstrictconfidenceandtousesuchinformationonlyforthepurposeforwhichitisdisclosed.

3.PartyBagreesnottodiscloseorrevealConfidentialInformationtoanythirdpartywithoutthepriorwrittenconsentofPartyA.

4.PartyBagreestotakeallreasonablemeasurestoprotecttheconfidentialityoftheConfidentialInformation,including,withoutlimitation,protectingtheinformationfromunauthorizedaccess,reproduction,useordisclosure.

5.PartyBshallpromptlynotifyPartyAofanyactualorsuspectedunauthorizeddisclosureoruseoftheConfidentialInformation.

6.ThisAgreementdoesnotrestrictPartyA'suseordisclosureofitsownConfidentialInformation,oranyinformationthatispubliclyavailableorproperlyacquiredfromathirdparty.

TermandTermination

1.ThisAgreementshallremainineffectforaperiodof[Insertduration]fromthedateofsigning,unlessterminatedearlierassetforthbelow.

2.EitherPartymayterminatethisAgreementatanytimebywrittennoticetotheotherpartyintheeventofabreachofthisAgreement.

3.UponterminationofthisAgreement,PartyBshallpromptlyreturnordestroyallConfidentialInformationreceivedfromPartyA,andshallprovidePartyAwithwrittencertificationofthedestructionofsuchinformation.

GoverningLawandJurisdiction

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofthePeople’sRepublicofChina.AnydisputearisingfromorrelatingtothisAgreementshallberesolvedbytherelevantcourtinthejurisdictionwherePartyAislocated,andPartyBagreestosubmittothepersonaljurisdictionofsuchcourt.

Miscellaneous

1.ThisAgreementcontainstheentireagreementbetweenthepartiesandsupersedesallpriororcontemporaneousagreementsorunderstandings,whetheroralorwritten.

2.ThisAgreementmaynotbeamendedormodifiedexceptinwritingsignedbybothparties.

3.ThisAgreementshallbebindinguponandinuretothebenefitofthepartieshereto,andtheirrespectivesuccessorsandassigns.

4.ThisAgreementisexecutedinduplicatecounterparts,eachofwhichshallbedeemedanoriginalforallpurposes.

5.TheheadingsinthisAgreementareforconvenienceonlyanddonotaffectinterpretation.
