誰(shuí)先規(guī)范誰(shuí)吃虧”。不過(guò),相信違規(guī)行為的后果誰(shuí)都明白,不僅會(huì)嚴(yán)重影響市場(chǎng)的正常秩序,出現(xiàn)“劣幣驅(qū)逐良幣”的現(xiàn)象,而且會(huì)給機(jī)構(gòu)和個(gè)人帶來(lái)監(jiān)管風(fēng)險(xiǎn),造成“跑冒滴漏”嚴(yán)重,導(dǎo)致企業(yè)經(jīng)營(yíng)效益嚴(yán)重“縮水”,最終影響整個(gè)行業(yè)的健康發(fā)展和社會(huì)形象。有關(guān)專(zhuān)家認(rèn)為,由于我國(guó)保險(xiǎn)業(yè)仍處于發(fā)展的初級(jí)階段,因此,惡性競(jìng)爭(zhēng)和違規(guī)經(jīng)營(yíng)等非理性行為仍將繼續(xù),在總體供給加大的背景下,不排除在局部地區(qū)和領(lǐng)域甚至有愈演愈烈的可能。但從總體趨勢(shì)看,隨著一些剛性約束因素的不斷增多,價(jià)值經(jīng)營(yíng)將逐步成為市場(chǎng)的主流意識(shí),規(guī)范經(jīng)營(yíng)將成為經(jīng)營(yíng)管理者的自覺(jué)行動(dòng),市場(chǎng)主體也將在彷徨與徘徊中逐步回歸理性。而在這些約束因素中間,除了資本市場(chǎng)對(duì)上市保險(xiǎn)企業(yè)所帶來(lái)的直接壓力以外,在制度層面,以財(cái)險(xiǎn)業(yè)為例,2006年保監(jiān)會(huì)下發(fā)了《關(guān)于加強(qiáng)財(cái)產(chǎn)保險(xiǎn)公司內(nèi)控建設(shè),提高內(nèi)控執(zhí)行力有關(guān)問(wèn)題的通知》等30多個(gè)市場(chǎng)規(guī)范性文件,對(duì)規(guī)范財(cái)險(xiǎn)公司的經(jīng)營(yíng)行為提出了明確和具體的要求,并形成了一定程度的剛性約束,這將有力地促進(jìn)保險(xiǎn)公司的理性經(jīng)營(yíng)。同時(shí),2007年新的《企業(yè)會(huì)計(jì)準(zhǔn)則》和《保險(xiǎn)公司非壽險(xiǎn)業(yè)務(wù)準(zhǔn)備金管理辦法(試行)》以及《實(shí)施細(xì)則》的實(shí)施,將促使財(cái)險(xiǎn)公司的經(jīng)營(yíng)更加規(guī)范。特別是“從2007年1月1日起,各公司只按《試行辦法》和《實(shí)施細(xì)則》規(guī)定的標(biāo)準(zhǔn)計(jì)提責(zé)任準(zhǔn)備金”的規(guī)定,將結(jié)束準(zhǔn)備金提取的“雙軌制”模式,強(qiáng)化對(duì)經(jīng)營(yíng)管理者的監(jiān)督和制約,有效發(fā)揮退出機(jī)制的作用。更為關(guān)鍵的是,從去年以來(lái),監(jiān)管部門(mén)進(jìn)一步加大了整頓規(guī)范市場(chǎng)秩序和處罰違法違規(guī)行為的力度,對(duì)整個(gè)市場(chǎng)環(huán)境的改善奠定了良好的基礎(chǔ)。在今年的全保會(huì)上,保監(jiān)會(huì)主席吳定富再次強(qiáng)調(diào),必須把防范化解風(fēng)險(xiǎn)作為保險(xiǎn)工作的重中之重,并提出了2007年以“五管”為重點(diǎn)的監(jiān)管工作方針,而“五管”之一就是要加強(qiáng)對(duì)市場(chǎng)行為的監(jiān)管。據(jù)了解,今年保監(jiān)會(huì)將繼續(xù)加大檢查力度,組織各地保監(jiān)局對(duì)重點(diǎn)公司和重點(diǎn)地區(qū)進(jìn)行檢查,交強(qiáng)險(xiǎn)重點(diǎn)查處費(fèi)率、手續(xù)費(fèi)和理賠三個(gè)環(huán)節(jié);商業(yè)車(chē)險(xiǎn)重點(diǎn)查處手續(xù)費(fèi)、退費(fèi)、理賠和應(yīng)收保費(fèi)四個(gè)環(huán)節(jié);非車(chē)險(xiǎn)重點(diǎn)查處純風(fēng)險(xiǎn)損失率表執(zhí)行、危險(xiǎn)單位劃分、再保安排的落實(shí)情況和違規(guī)共保行為操作四個(gè)環(huán)節(jié)。并在此基礎(chǔ)上將加強(qiáng)費(fèi)用管理和查處展業(yè)“貼費(fèi)”作為規(guī)范經(jīng)營(yíng)和市場(chǎng)檢查的重點(diǎn)。同時(shí),還將嚴(yán)肅處理違規(guī)行為,對(duì)于違規(guī)行為和責(zé)任人依法采取各種行政處罰措施,對(duì)于責(zé)任人的處罰將納入高管人員系統(tǒng)管理,形成“一處違規(guī),處處制約”的局面。業(yè)內(nèi)人士指出,在強(qiáng)化外部監(jiān)管的同時(shí),進(jìn)一步強(qiáng)化企業(yè)的自主管理能力同樣是關(guān)鍵所在。這就要求在監(jiān)管部門(mén)的檢查督促下,保險(xiǎn)機(jī)構(gòu)繼續(xù)完善治理結(jié)構(gòu),加強(qiáng)內(nèi)控制度,提高內(nèi)部執(zhí)行力,從IT系統(tǒng)管控、內(nèi)部考核激勵(lì)機(jī)制和內(nèi)部稽核三個(gè)環(huán)節(jié)著手,促進(jìn)自身內(nèi)控機(jī)制的有效發(fā)揮。只有保險(xiǎn)企業(yè)內(nèi)控執(zhí)行力的內(nèi)因和監(jiān)管的外因共同作用,規(guī)范市場(chǎng)秩序才能標(biāo)本兼治。中國(guó)保險(xiǎn)報(bào)2007/02/28HYPERLINK\l"書(shū)"返回目錄【入世后保險(xiǎn)公司資本結(jié)構(gòu)的選擇】保險(xiǎn)業(yè)是關(guān)系國(guó)家金融安全的重要行業(yè),我們?cè)谖胀赓Y加強(qiáng)資金實(shí)力、優(yōu)化資本結(jié)構(gòu)的同時(shí)還要警惕對(duì)外資不能過(guò)分依賴(lài),應(yīng)嚴(yán)格按照中國(guó)保監(jiān)會(huì)等監(jiān)管部門(mén)的有關(guān)規(guī)定實(shí)施融資行為。在中國(guó)保險(xiǎn)業(yè)對(duì)外開(kāi)放過(guò)程中,堅(jiān)持“走出去”和“引進(jìn)來(lái)”相結(jié)合,中國(guó)人壽、中國(guó)人保、平安等中資保險(xiǎn)公司開(kāi)始走向國(guó)際資本市場(chǎng),并且在境外籌集資本,優(yōu)化資本機(jī)構(gòu)。隨著保險(xiǎn)市場(chǎng)擴(kuò)大對(duì)外開(kāi)放,中資保險(xiǎn)公司的海外融資和投資取得了重大發(fā)展。但是,應(yīng)該如何鑒別我國(guó)保險(xiǎn)公司利用外資的最佳程度,并進(jìn)行基本的判斷呢?筆者認(rèn)為,可以從保險(xiǎn)公司的資本結(jié)構(gòu)入手進(jìn)行分析。簡(jiǎn)單地講,資本結(jié)構(gòu)是指權(quán)益和負(fù)債的配比關(guān)系。按照中國(guó)保監(jiān)會(huì)統(tǒng)計(jì)信息部副主任裴光博士的劃分:保險(xiǎn)公司權(quán)益性資本是指保險(xiǎn)公司發(fā)行的普通股、優(yōu)先股和保險(xiǎn)公司積累的資本公積金、未分配利潤(rùn)和資本準(zhǔn)備金;長(zhǎng)期債務(wù)資本主要是指保險(xiǎn)公司發(fā)行的次級(jí)債和票據(jù)等。當(dāng)前,我國(guó)保險(xiǎn)公司資本結(jié)構(gòu)中探討較多的主要是股票和次級(jí)債。對(duì)比這兩種融資方式可以發(fā)現(xiàn),股票融資優(yōu)點(diǎn)在于不用還本和股息支付靈活;缺點(diǎn)在于當(dāng)保險(xiǎn)公司在成熟資本市場(chǎng)上運(yùn)用股票融資時(shí),各種信用評(píng)級(jí)機(jī)構(gòu)會(huì)根據(jù)其股票表現(xiàn)和股息支付情況對(duì)其進(jìn)行信用等級(jí)的調(diào)整,進(jìn)而影響其后續(xù)融資行為。而發(fā)行債券的融資方式則剛好相反
