c)"TechnicalSpecifications":Thedetailedrequirements,specifications,andstandardsfortheproductionoftheGoods,providedbytheBuyer.

d)"Delivery":ThetransferofpossessionoftheGoodsfromtheManufacturertotheBuyer.

3.0ScopeofWork

TheManufactureragreestomanufactureandsupplytheGoodsaspertheTechnicalSpecificationsprovidedbytheBuyer.Thescopeofworkincludesbutisnotlimitedto:

a)Thedesign,development,andproductionoftheGoods.

b)QualitycontrolandinspectionoftheGoodsduringtheproductionprocess.

c)PackagingandlabelingoftheGoodsinaccordancewiththeBuyer'srequirements.

d)DeliveryoftheGoodstotheBuyer'sdesignatedlocation.

4.0QualityandInspection

TheManufacturerwarrantsthattheGoodsshallcomplywiththeTechnicalSpecificationsandshallbefreefromdefects.TheBuyershallhavetherighttoinspecttheGoodsupondelivery.Intheeventofanydefectsornon-compliance,theBuyershallnotifytheManufacturerwithin[NumberofDays]daysfromthedateofdelivery.

5.0QuantityandDelivery

TheManufactureragreestodelivertheGoodsinaccordancewiththeagreedquantityanddeliveryschedule.TheBuyershallhavetherighttorequestadditionaldeliveriesormodifythedeliveryschedule,providedthatsuchrequestsaremadeinwritingandagreeduponbybothParties.

6.0PriceandPayment

ThepricefortheGoodsshallbedeterminedbasedontheagreedpricelist.TheBuyershallmakepaymenttotheManufacturerwithin[NumberofDays]daysfromthedateofinvoice.Paymentshallbemadethrough[PaymentMethod].

7.0IntellectualPropertyRights

TheManufactureracknowledgesthatallintellectualpropertyrightsrelatedtotheGoods,includingbutnotlimitedtodesigns,patents,trademarks,andtradesecrets,shallbelongtotheBuyer.TheManufacturershallnotuseordiscloseanysuchintellectualpropertyrightswithoutthepriorwrittenconsentoftheBuyer.

8.0Confidentiality

BothPartiesagreetokeepconfidentialanyandallinformation,technicaldata,orotherproprietaryinformationobtainedfromtheotherPartyduringthecourseofthisContract.SuchconfidentialinformationshallnotbedisclosedtoanythirdpartywithoutthepriorwrittenconsentoftheotherParty.

9.0ForceMajeure

NeitherPartyshallbeliableforanydelayorfailuretoperformitsobligationsunderthisContractduetocircumstancesbeyonditsreasonablecontrol,includingbutnotlimitedtonaturaldisasters,war,labordisputes,andgovernmentregulations.

10.0GoverningLawandDisputeResolution

ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].AnydisputesarisingfromorinconnectionwiththisContractshallberesolvedthroughamicablenegotiations.Intheeventofafailuretoreachanamicableresolution,thedisputesshallbesubmittedto[Arbitration/mediation/trial]forresolution.
