?ThisConsultingAgreement(the"Agreement")ismadeandenteredintoasof[date]byandbetween[ConsultingFirmName],a[state/country]corporationwithitsprincipalplaceofbusinessat[address](hereinafterreferredtoas"Consultant"),and[ClientName],a[state/country]corporationwithitsprincipalplaceofbusinessat[address](hereinafterreferredtoas"Client").

1.Engagement

1.1ScopeofServices

-ConsultantshallprovidethefollowingconsultingservicestoClient(the"Services"):

1.2Deliverables

-ConsultantshalldeliverthefollowingdeliverablestoClientinaccordancewiththeagreed-uponschedule:

2.TermandTermination

2.1Term

-ThisAgreementmaybeextendedbymutualwrittenagreementoftheparties.

2.2Termination

-EitherpartymayterminatethisAgreementupon[numberofdays/months]writtennoticetotheotherpartyintheeventofamaterialbreachofthisAgreementbytheotherparty.

-Intheeventofterminationforanyreason,ConsultantshallbeentitledtoreceivepaymentforallServicesrenderedandacceptedbyClientuptothedateoftermination,andClientshallberesponsibleforanyoutstandingpaymentsduetoConsultant.

3.Compensation

3.1FeeStructure

-ClientshallpayConsultantatotalfeeof[amount]fortheServicesprovidedunderthisAgreement.

-Thefeeshallbepaidinthefollowinginstallments:

3.2Expenses

-ConsultantshallsubmitdetailedexpensereportstoClientwithin[numberofdays]aftertheincurrenceofsuchexpenses,alongwithsupportingdocumentation.

4.Confidentiality

4.1ConfidentialInformationDefined

-"ConfidentialInformation"shallmeananyinformationdisclosedbyeitherpartytotheotherpartyinconnectionwiththisAgreement,includingbutnotlimitedtobusinessplans,financialinformation,customerlists,andtechnicaldata.

-ConfidentialInformationshallnotincludeinformationthatis:

-Alreadyknowntothereceivingpartypriortothedisclosure;

-Madepubliclyavailablethroughnofaultofthereceivingparty;

-Rightfullyreceivedbythereceivingpartyfromathirdpartywithoutanobligationofconfidentiality;or

-DevelopedbythereceivingpartyindependentlyoftheConfidentialInformation.

4.2ObligationtoProtect

-EachpartyshallmaintaintheconfidentialityoftheConfidentialInformationandshallnotdiscloseittoanythirdpartywithoutthepriorwrittenconsentoftheotherparty,exceptasrequiredbylaw.

-EachpartyshalltakereasonablemeasurestoprotecttheconfidentialityoftheConfidentialInformation,includingbutnotlimitedtousingthesamedegreeofcaretoprotectitsownconfidentialinformation.

4.3Exceptions

-Theobligationsofconfidentialityshallnotapplytoinformationthatisrequiredtobedisclosedbylaw,providedthatthedisclosingpartygivestheotherpartypriorwrittennoticeofsuchrequireddisclosureandcooperateswiththeotherpartytoobtainanappropriateprotectiveorderorotherconfidentialityassurance.

5.IntellectualProperty

5.1OwnershipofWorkProduct

-AllworkproductcreatedbyConsultantintheperformanceoftheServices,includingbutnotlimitedtoreports,presentations,andsoftware,shallbethesoleandexclusivepropertyofClient.

-Consultantshallassignallright,title,andinterestinandtosuchworkproducttoClient,andshallexecuteanddeliveralldocumentsandinstrumentsnecessarytoeffectsuchassignment.

5.2UseofIntellectualProperty

-ConsultantshallnotuseanyintellectualpropertyofClient,includingbutnotlimitedtotrademarks,copyrights,andpatents,withoutthepriorwrittenconsentofClient.

-ConsultantshallindemnifyandholdClientharmlessfromanyclaims,damages,losses,orliabilitiesarisingoutoforinconnectionwithConsultant'suseofClient'sintellectualproperty.

6.RepresentationsandWarranties

6.1Consultant'sRepresentationsandWarranties

-Consultantrepresentsandwarrantsthat:

-IthasthelegalrightandauthoritytoenterintothisAgreementandtoperformtheServices;

-TheServiceswillbeperformedinaccordancewithallapplicablelawsandregulations;

-ItwilluseitsbesteffortstoperformtheServicesinaprofessionalanddiligentmanner;

-ItwillnotdiscloseoruseanyConfidentialInformationofClientforanypurposeotherthantheperformanceoftheServices;and

-TheworkproductcreatedbyConsultantintheperformanceoftheServiceswillbefreefromanyclaimsofinfringementofintellectualpropertyrights.

6.2Client'sRepresentationsandWarranties

-Clientrepresentsandwarrantsthat:

-IthasthelegalrightandauthoritytoenterintothisAgreement;

-ItwillprovideConsultantwithallnecessaryinformationandcooperationtoenableConsultanttoperformtheServices;

-ItwillpayConsultantthefeesandreimburseConsultantfortheexpensesinaccordancewiththetermsofthisAgreement;and

-ItwillnotusetheServicesortheworkproductcreatedbyConsultantinanymannerthatviolatesanythird-partyrights.

7.Indemnification

7.1Consultant'sIndemnification

-ConsultantshallindemnifyandholdClientharmlessfromandagainstanyandallclaims,damages,losses,liabilities,andexpenses(includingreasonableattorneys'fees)arisingoutoforinconnectionwith:

-AnybreachbyConsultantofitsrepresentations,warranties,orobligationsunderthisAgreement;

-TheperformanceoftheServicesbyConsultant;or

-AnyactoromissionofConsultantinconnectionwiththeServices.

7.2Client'sIndemnification

-ClientshallindemnifyandholdConsultantharmlessfromandagainstanyandallclaims,damages,losses,liabilities,andexpenses(includingreasonableattorneys'fees)arisingoutoforinconnectionwith:

-AnybreachbyClientofitsrepresentations,warranties,orobligationsunderthisAgreement;

-TheusebyClientoftheServicesortheworkproductcreatedbyConsultant;or

-AnyactoromissionofClientinconnectionwiththeServices.

8.LimitationofLiability

8.1DisclaimerofWarranties

-THESERVICESANDTHEWORKPRODUCTAREPROVIDED"ASIS"ANDWITHOUTWARRANTYOFANYKIND,EXPRESSORIMPLIED,INCLUDINGBUTNOTLIMITEDTOTHEWARRANTIESOFMERCHANTABILITY,FITNESSFORAPARTICULARPURPOSE,ANDNONINFRINGEMENT.

-CONSULTANTSHALLNOTBELIABLEFORANYINDIRECT,INCIDENTAL,SPECIAL,CONSEQUENTIAL,OREXEMPLARYDAMAGES(INCLUDINGBUTNOTLIMITEDTODAMAGESFORLOSSOFPROFITS,BUSINESSINTERRUPTION,ORLOSSOFDATA),EVENIFCONSULTANTHASBEENADVISEDOFTHEPOSSIBILITYOFSUCHDAMAGES.

8.2LimitofLiability

-INNOEVENTSHALLEITHERPARTYBELIABLETOTHEOTHERPARTYFORANYDAMAGESARISINGOUTOFORINCONNECTIONWITHTHISAGREEMENT,WHETHERINCONTRACT,TORT,OROTHERWISE,INANAMOUNTEXCEEDINGTHETOTALFEESPAIDORPAYABLEBYCLIENTTOCONSULTANTUNDERTHISAGREEMENT.

9.GoverningLawandJurisdiction

9.1GoverningLaw

-ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[state/country].

9.2Jurisdiction

-AnydisputesarisingoutoforinconnectionwiththisAgreementshallbesubjecttotheexclusivejurisdictionofthecourtslocatedin[city,state/country].
