?ThisLoanContract(the"Contract")ismadeandenteredintoasof[date]byandbetween:

##2.LoanAmount

TheLenderagreestolendtotheBorroweraprincipalamountof[loanamountinwordsandfigures](the"Loan").

##3.PurposeoftheLoan

TheBorrowershallusetheLoanfor[specificpurpose,e.g.,financingthepurchaseofequipment,workingcapitalforbusinessoperations,etc.].TheBorrowershallnotusetheLoanforanyotherpurposewithoutthepriorwrittenconsentoftheLender.

##4.InterestRate

4.1InterestRateType

TheinterestrateapplicabletotheLoanshallbe[fixed/floating]atarateof[interestratepercentage]perannum.

4.2FloatingRateAdjustment

Inthecaseofafloatinginterestrate,theinterestrateshallbeadjusted[frequencyofadjustment,e.g.,quarterly]basedonthe[referencerate,e.g.,LIBOR+spread].Thespreadshallbe[spreadpercentage].

##5.RepaymentTerms

5.1RepaymentSchedule

TheBorrowershallrepaytheLoanin[numberofinstallments]equalinstallmentsmencingon[firstrepaymentdate]andcontinuingonthe[samedayofeachmonth/quarter/year]thereafter.Eachinstallmentshallbeintheamountof[installmentamount].

5.2EarlyRepayment

TheBorrowermay,atitsoption,repaytheLoaninwholeorinpartatanytimewithoutpenalty,providedthattheBorrowershallgivetheLenderatleast[numberofdays]'writtennoticeofsuchearlyrepayment.

##6.Security

6.1Collateral

AssecurityfortherepaymentoftheLoanandtheperformanceofallobligationshereunder,theBorrowerherebypledgesandgrantstotheLenderasecurityinterestinandtothefollowingproperty(the"Collateral"):

6.2PerfectionofSecurityInterest

TheBorrowershall,atitsownexpense,takeallactionsnecessarytoperfectandmaintaintheLender'ssecurityinterestintheCollateral,includingbutnotlimitedtofilinganynecessaryfinancingstatements,registeringthesecurityinterestwithrelevantauthorities,andensuringthattheCollateralremainsingoodconditionandisadequatelyinsured.

##7.RepresentationsandWarrantiesoftheBorrower

7.1LegalExistenceandAuthority

TheBorrowerrepresentsandwarrantsthatitisadulyorganizedandvalidlyexistinglegalentityunderthelawsof[country/state],withthelegalrightandauthoritytoenterintoandperformthisContract.

7.2FinancialCondition

TheBorrowerrepresentsandwarrantsthattheinformationprovidedtotheLenderregardingitsfinancialcondition,businessoperations,andotherrelevantmattersistrue,accurate,andpleteasofthedateofsuchdisclosure.

7.3NoDefault

TheBorrowerrepresentsandwarrantsthatitisnotindefaultunderanyotheragreementsorobligations,andthattheexecution,delivery,andperformanceofthisContractwillnotresultinadefaultunderanysuchagreementsorobligations.

7.4UseofProceeds

TheBorrowerrepresentsandwarrantsthatitwillusetheLoanproceedsforthepurposespecifiedinthisContractandwillnotusetheproceedsforanyillegalorimproperpurpose.

##8.CovenantsoftheBorrower

8.1AffirmativeCovenants

-TheBorrowershallmaintainitslegalexistenceandgoodstandingunderthelawsof[country/state].

-TheBorrowershallkeepaccuratebooksandrecordsofitsfinancialtransactionsandbusinessoperations.

-TheBorrowershallpayalltaxes,fees,andotherobligationswhendue.

-TheBorrowershallmaintaintheCollateralingoodconditionandinsureitagainstlossordamage.

8.2NegativeCovenants

-TheBorrowershallnot,withoutthepriorwrittenconsentoftheLender,incuranyadditionalindebtednessorliensonitsassets.

-TheBorrowershallnotmakeanymaterialchangestoitsbusinessoperations,organizationalstructure,ormanagementwithoutthepriorwrittenconsentoftheLender.

-TheBorrowershallnottransfer,assign,orotherwisedisposeofalloranypartoftheCollateralwithoutthepriorwrittenconsentoftheLender.

##9.EventsofDefault

9.1DefinitionofDefault

An"EventofDefault"shalloccurifanyofthefollowingeventsshalloccur:

-TheBorrowerfailstopayanyinstallmentoftheLoanoranyotheramountduehereunderwhendue.

-TheBorrowerbreachesanyofitsrepresentations,warranties,covenants,orotherobligationsunderthisContract.

-TheBorrowerbesinsolvent,filesforbankruptcyorreorganization,ortakesanyactiontoliquidateordissolveitsbusiness.

-ThesecurityinterestgrantedtotheLenderintheCollateralisimpaired,terminated,orotherwisebesineffective.

9.2ConsequencesofDefault

UpontheoccurrenceofanEventofDefault,theLendershallhavetheright,atitsoption,todoanyorallofthefollowing:

-DeclaretheentireunpaidprincipalamountoftheLoan,togetherwithallaccruedandunpaidinterest,immediatelydueandpayable.

-ExerciseanyandallrightsandremediesavailabletotheLenderunderapplicablelawandthisContractwithrespecttotheCollateral,includingbutnotlimitedtoselling,foreclosingon,orotherwisedisposingoftheCollateraltorecovertheamountdue.

-SuetheBorrowerforbreachofthisContractandseekdamages,injunctiverelief,orotherappropriateremedies.

##10.AmendmentsandWaivers

Noamendment,modification,orwaiverofanyprovisionofthisContractshallbeeffectiveunlessinwritingandsignedbyboththeLenderandtheBorrower.Anywaiverbyeitherpartyofanydefault,breach,ornon-pliancewithanyprovisionofthisContractshallnotbedeemedawaiverofanysubsequentdefault,breach,ornon-pliance.

##11.GoverningLaw

ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[country/state].

##12.EntireAgreement

ThisContractconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreementsandunderstandings,oralorwritten,relatingtothesame.

##13.Severability

IfanyprovisionofthisContractisheldtobeinvalid,illegal,orunenforceable,thevalidity,legality,andenforceabilityoftheremainingprovisionsshallinnowayinanywaybeaffectedorimpaired.

##14.Notices

Allnotices,requests,demands,andothermunicationsrequiredorpermittedtobegivenunderthisContractshallbeinwritingandshallbedeemedtohavebeendulygivenifdeliveredpersonally,sentbyregisteredorcertifiedmail,returnreceiptrequested,orbyovernightcourier,tothepartiesatthefollowingaddresses:
