2025【英文合同】國(guó)際貿(mào)易合同范本英文InternationalTradeContractTemplate2025ContractNo.:DateofExecution:ThisInternationalTradeContract("Contract")ismadeandenteredintoonthisdayof,2025,byandbetween:Seller:Name:Address:ContactInformation:Buyer:Name:Address:ContactInformation:1.DescriptionofGoods1.1TheSelleragreestosellandtheBuyeragreestopurchasethefollowinggoods(hereinafterreferredtoasthe"Goods")inaccordancewiththespecificationsandquantitiessetforthbelow:|DescriptionofGoods|Specifications|Quantity|UnitPrice(USD)|TotalPrice(USD)|||||||||||||1.2TheGoodsshallbepackedsuitablyforshipmentinaccordancewithinternationalstandardsandshallbeincompliancewiththespecificationssetforthabove.TheSellershallensurethattheGoodsareofgoodquality,freefromdefects,andmeettheagreed-uponspecifications.2.Delivery2.1TheSellershalldelivertheGoodstotheBuyerattheportof(hereinafterreferredtoasthe"PortofDelivery")onorbefore(DeliveryDate).2.2TheSellershallprovidetheBuyerwiththefollowingdocumentsupondelivery:OriginalBillofLadingPackingListCommercialInvoiceCertificateofOriginAnyotherdocumentsrequiredbytheBuyerorapplicablelaws.2.3RiskoflossordamagetotheGoodsshallpasstotheBuyerupontheGoodsbeingloadedontothevesselatthePortofDelivery.3.PaymentTerms3.1ThetotalpurchasepricefortheGoodsisUSD(TotalPrice).3.2TheBuyershallpaytheSellerasfollows:Adepositof%oftheTotalPrice(USD)shallbepaidwithin5(five)businessdaysaftertheexecutionofthisContract.Theremainingbalance(USD)shallbepaidwithin30(thirty)daysaftertheBuyerreceivestheGoodsandconfirmstheircompliancewiththespecifications.3.3AllpaymentsshallbemadebybankwiretransferinUSDtotheSeller'sbankaccountasspecifiedbelow:Seller'sBankDetails:BankName:AccountHolder:AccountNumber:SwiftCode:4.Insurance4.1TheSellershallobtainandmaintaininsurancefortheGoodsduringtransit,coveringrisksofloss,damage,ordelay,andshallprovidetheBuyerwithacopyoftheinsurancepolicyuponrequest.4.2ThecostofinsuranceshallbebornebytheSeller.5.QualityWarranty5.1TheSellerwarrantsthattheGoodsshallbefreefromdefectsinmaterialandworkmanshipforaperiodof(WarrantyPeriod)fromthedateofdelivery.5.2IftheGoodsarefoundtobedefectivewithintheWarrantyPeriod,theBuyershallnotifytheSellerinwritingwithin(NotificationPeriod)daysofdiscoveringthedefect.TheSellershall,atitsownexpense,repairorreplacethedefectiveGoodsorrefundthepurchaseprice,asdeterminedbytheSeller.6.ForceMajeure6.1NeithertheSellernortheBuyershallbeliableforanyfailureordelayinperformingtheirobligationsunderthisContractifsuchfailureordelayisduetoforcemajeure,includingbutnotlimitedtonaturaldisasters,wars,governmentalactions,strikes,orotherunforeseencircumstancesbeyondthecontroloftheaffectedparty.6.2Theaffectedpartyshallnotifytheotherpartyinwritingoftheforcemajeureeventwithin(NoticePeriod)daysofitsoccurrenceandprovidereasonableevidenceofitsimpactontheperformanceoftheContract.7.Termination7.1ThisContractmaybeterminatedifeitherpartyfailstoperformitsobligationsundertheContractandsuchfailurecontinuesforaperiodof(GracePeriod)daysafterreceivingawrittennoticefromtheotherpartyrequestingcorrectiveaction.7.2UponterminationofthisContract,neitherpartyshallbeliabletotheotherforanydamagesarisingfromsuchtermination,exceptforanyobligationsalreadyaccruedpriortotermination.8.DisputeResolution8.1Anydisputes,controversies,orclaimsarisingoutoforinconnectionwiththisContractshallberesolved友好地通過(guò)雙方友好協(xié)商。Ifthedisputescannotberesolvedwithin(NegotiationPeriod)daysafter一方書(shū)面通知另一方，雙方同意將爭(zhēng)議提交至(ArbitrationLocation)的arbitratorforresolutioninaccordancewiththerulesofthe(ArbitrationInstitution).8.2Thedecisionofthearbitratorshallbefinalandbindingonbothparties.8.3Thecostsofarbitration,includingthefeesofthearbitratorandlegalexpenses,shallbebornebythelosingparty.9.Notices9.1Allnotices,requests,demands,orothercommunicationsrequiredorpermittedunderthisContractshallbeinwritingandshallbedeemedtohavebeendulygivenwhendeliveredpersonally,sentbyregisteredorcertifiedmail,returnreceiptrequested,orsentbyemailwithconfirmationofreceipt.9.2NoticesshallbeaddressedtothepartiesattheirrespectiveaddressessetforthinthisContractorsuchotheraddressesastheymaysubsequently指定通過(guò)書(shū)面通知。10.Miscellaneous10.1ThisContractconstitutestheentireagreementbetweentheSellerandtheBuyerwithrespecttothesubjectmatterhereofandsupersedesallpriororcontemporaneousunderstandings,agreements,orrepresentations,whetheroralorwritten,regardingsuchsubjectmatter.10.2NoamendmentormodificationofthisContractshallbevalidunlessmadeinwritingandsignedbybothparties.10.3ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsoftheUnitedStatesofAmerica.10.4IntheeventanyprovisionofthisContractisfoundtobeinvalidorunenforceable,suchinvalidityorunenforceabilityshallnotaffect
