糧食銷售合同協(xié)議英文版?ThisGrainSalesContractAgreement(the"Agreement")ismadeandenteredintoasof[date]byandbetweenthefollowingparties:Seller:Name:[Seller'sfulllegalname]Address:[Seller'sbusinessaddress]ContactPerson:[Name]ContactInformation:[Phonenumber,emailaddress]Buyer:Name:[Buyer'sfulllegalname]Address:[Buyer'sbusinessaddress]ContactPerson:[Name]ContactInformation:[Phonenumber,emailaddress]I.SubjectMatteroftheContract1.TheSelleragreestosell,andtheBuyeragreestobuy,thefollowinggrains(the"Grains"):TypeofGrains:[Specifythetypeofgrains,e.g.,wheat,corn,rice,etc.]Quantity:[Statethequantityofgrainsinmetrictonsorotheragreeduponunitofmeasurement].Thequantitymaybesubjecttoatoleranceof[x]%moreorlessattheSeller'soption,providedthatthetotalquantitydelivereddoesnotexceedthemaximumallowablelimitassetforthinthisAgreement.Quality:TheGrainsshallmeetthefollowingqualitystandards:[Describeindetailthequalityrequirements,suchasmoisturecontentnotexceeding[x]%,proteincontentofatleast[x]%,etc.Youmayrefertorelevantnationalorindustrystandards].2.TheGrainsshallbestoredat[Seller'sstoragelocationaddress]untilthedateofdelivery.TheSellershallberesponsibleformaintainingthequalityoftheGrainsduringstorage,ensuringproperventilation,pestcontrol,andprotectionfromadverseweatherconditions.II.PriceandPaymentTerms1.Price:ThepurchasepricefortheGrainsshallbe[Priceperunitofmeasurement,e.g.,$[x]permetricton].ThetotalpurchasepricefortheentirequantityofGrainsshallbe$[Totalamount].ThepriceisfixedandshallnotbeadjustedduringthetermofthisAgreement,exceptasotherwiseprovidedbylaworincaseofforcemajeureeventsasdefinedherein.2.PaymentTerms:TheBuyershallpaythetotalpurchasepricetotheSellerwithin[Numberofdays]daysafterthesigningofthisAgreement.Paymentshallbemadeby[Paymentmethod,e.g.,wiretransfertotheSeller'sdesignatedbankaccount:BankName:[Bankname];AccountNumber:[Accountnumber];SwiftCode:[Swiftcode]].IftheBuyerfailstomakethepaymentwithinthespecifiedtimeperiod,theBuyershallbeliableforpaymentofinterestontheoverdueamountattherateof[x]%perannum,calculatedfromtheduedateuntiltheactualdateofpayment.III.DeliveryTerms1.DeliveryDate:TheSellershalldelivertheGrainstotheBuyerat[Deliverylocationaddress]onorbefore[Deliverydate].IncaseofunforeseencircumstancesthatpreventtheSellerfromdeliveringtheGrainsontime,theSellershallnotifytheBuyerimmediatelyandprovideanewestimateddeliverydate.TheSellershalluseitsbesteffortstodelivertheGrainsassoonaspossible.2.DeliveryMethod:TheGrainsshallbedeliveredby[Deliverymethod,e.g.,truck,rail,ship].TheSellershallberesponsibleforarrangingthetransportationandensuringthattheGrainsareproperlyloaded,transported,andunloadedwithoutanydamage.Ifthedeliveryismadebytruck,theSellershallensurethatthetrucksareingoodcondition,plywithalltransportationregulations,andareequippedwithappropriatecoverstoprotecttheGrainsfromrain,dust,etc.3.TransferofTitleandRiskofLoss:TitletotheGrainsshallpasstotheBuyerupondeliveryatthedeliverylocation.TheriskoflossordamagetotheGrainsshallpasstotheBuyerupondeliveryatthedeliverylocation.However,iftheSellerisresponsibleforanydelayindeliveryduetoitsownfault,theriskoflossordamageduringtheperiodofdelayshallremainwiththeSeller.IV.RightsandObligationsofthePartiesA.Seller'sRightsandObligations1.Rights:TheSellerhastherighttoreceivethepurchasepricefromtheBuyerinaccordancewiththepaymenttermsofthisAgreement.TheSellerhastherighttorequesttheBuyertoprovideanynecessarydocumentationorinformationrelatedtothepurchaseanddeliveryoftheGrains.2.Obligations:TheSellershalldelivertheGrainsinaccordancewiththequantity,quality,anddeliverytermsspecifiedinthisAgreement.TheSellershallprovidetheBuyerwithallrelevantdocumentsregardingtheGrains,suchasqualityinspectioncertificates,origincertificates,etc.,within[Numberofdays]daysafterthedelivery.TheSellershallensurethattheGrainsarefreefromanyliens,encumbrances,orlegaldisputesatthetimeofdelivery.B.Buyer'sRightsandObligations1.Rights:TheBuyerhastherighttoinspecttheGrainsupondeliverytoensurethattheymeetthequalitystandardsspecifiedinthisAgreement.TheBuyerhastherighttorequesttheSellertocorrectanynonconformitiesintheGrainswithinareasonabletimeperiod.2.Obligations:TheBuyershallpaythepurchasepricetotheSellerinaccordancewiththepaymenttermsofthisAgreement.TheBuyershallcooperatewiththeSellerinthedeliveryprocess,providinganynecessaryinformationorassistancerequiredbytheSellerfortransportationanddelivery.TheBuyershalltakedeliveryoftheGrainsinatimelymanneruponnoticefromtheSeller.IftheBuyerfailstotakedeliverywithoutjustifiablereasons,theBuyershallbeliableforanyadditionalstoragecostsandotherlossesincurredbytheSeller.V.QualityAssurance1.TheSellerwarrantsthattheGrainsdeliveredshallconformtothequalitystandardsspecifiedinthisAgreement.IncasetheGrainsdonotmeettheagreeduponqualitystandards,theBuyerhasthefollowingoptions:TheBuyermayrejecttheentirequantityofGrainsandrequesttheSellertorefundthepurchasepricealreadypaid,togetherwithanyinterestandotherlossessufferedbytheBuyerasaresultofthenonconformingdelivery.TheBuyermayaccepttheGrainsatadiscountedprice.Thediscountrateshallbedeterminedbasedonthedegreeofnonconformityandshallbemutuallyagreeduponbytheparties.TheSellershallthenberesponsibleforpensatingtheBuyerforthedifferencebetweentheoriginalpriceandthediscountedprice.2.TheBuyershallconductaqualityinspectionoftheGrainswithin[Numberofdays]daysafterdelivery.IftheBuyerdiscoversanynonconformitiesduringthisinspectionperiod,theBuyershallnotifytheSellerimmediately.TheSellershallhavetherighttoinspecttheGrainsjointlywiththeBuyerorappointanindependentinspectionagencytoverifythenonconformities.VI.Confidentiality1.EachpartyacknowledgesthatinthecourseofperformingthisAgreement,itmayhaveaccesstocertainconfidentialinformationoftheotherparty,includingbutnotlimitedtobusinesssecrets,customerlists,pricinginformation,etc.2.Thepartiesshallkeepconfidentialallsuchconfidentialinformationandshallnotdiscloseittoanythirdpartywithoutthepriorwrittenconsentoftheotherparty,exceptasrequiredbylaw.3.ThisconfidentialityobligationshallsurvivetheterminationorexpirationofthisAgreementforaperiodof[Numberofyears].VII.ForceMajeure1.Definition:"ForceMajeure"shallmeananyeventorcircumstancethatisbeyondthereasonablecontrolofaparty,includingbutnotlimitedtoactsofGod(suchasfloods,earthquakes,hurricanes),wars,riots,strikes,lockouts,governmentactions,andanyothersimilareventsthatpreventapartyfromperformingitsobligationsunderthisAgreement.2.Notification:Incaseofaforcemajeureevent,thepartyaffectedshallnotifytheotherpartyimmediatelyinwriting,specifyingthenatureanddurationoftheforcemajeureeventanditsimpactontheperformanceofthisAgreement.3.Consequences:Ifaforcemajeureeventoccursandaffectsaparty'sabilitytoperformitsobligationsunderthisAgreement,theaffectedpartyshallbeexcusedfromperformancetotheextentandforthedurationoftheforcemajeureevent.However,theaffectedpartyshalluseitsbesteffortstominimizetheimpactoftheforcemajeureeventandresumeperformanceassoonaspossible.VIII.違約責(zé)任1.Seller'sBreach:IftheSellerfailstodelivertheGrainsinaccordancewiththedeliverytermsofthisAgreement,theSellershallbeliablefordamagestotheBuyer.Thedamagesshallinclude,butnotbelimitedto,thedifferencebetweenthemarketpriceoftheGrainsatthetimeofdeliveryandthecontractprice,anyadditionalcostsincurredbytheBuyerinobtainingsubstituteGrains,andanyotherdirectlossessufferedbytheBuyerasaresultoftheSeller'sbreach.IftheSellerdeliversGrainsthatdonotmeetthequalitystandardsspecifiedinthisAgreement,theSellershallbeliablefortheremediesasprovidedinthe"QualityAssurance"sectionabove.2.Buyer'sBreach:IftheBuyerfailstopaythepurchasepricewithinthespecifiedtimeperiod,theBuyershallbeliableforpaymentofinterestontheoverdueamountasspecifiedinthe"PaymentTerms"section.Inaddition,theSellerhastherighttoterminatethisAgreementandclaimdamagesfromtheBuyerforanylossessufferedasaresultoftheBuyer'sbreach.IftheBuyerfailstotakedeliveryoftheGrainswithoutjustifiablereasons,theBuyershallbeliableforanyadditionalstoragecostsandotherlossesincurredbytheSeller.Ix.DisputeResolution1.AnydisputearisingoutoforinconnectionwiththisAgreementshallberesolvedthroughfriendlyconsultationsbetweentheparties.Ifthepartiesfailtoresolvethedisputethroughconsultationswithin[Numberofdays]days,thedisputeshallbesubmittedto[Arbitrationinstitutionname]forarbitrationinaccordancewithitsarbitrationrules.2.Thearbitrationshallbeconductedin[Arbitrationlocation].Thelanguageofthearbitrationshallbe[Langua
