I.Recitals

1.PartyAandPartyBenteredintoa[ContractName](the"OriginalContract")on[OriginalContractDate]regarding[descriptionofthesubjectmatterorservice].

2.Dueto[reasonsfortermination],thepartieshavemutuallyagreedtoterminatetheOriginalContractandwishtosetforththetermsandconditionsofsuchterminationinthisAgreement.

II.SubjectMatterorServiceDescription

ThesubjectmatteroftheOriginalContractwas[detaileddescriptionofthegoods,services,orrightsandobligationsundertheOriginalContract].PartyAprovided[specificservicesordeliveredgoods]toPartyBinaccordancewiththeOriginalContract,andPartyBwasobligatedtopay[amount]forsuchservicesorgoodswithinthespecifiedtimeframe.

III.TerminationoftheOriginalContract

1.ThepartiesherebymutuallyagreetoterminatetheOriginalContractasof[terminationdate].AllrightsandobligationsundertheOriginalContractshallceasetoexistasofthisterminationdate,exceptforthoserightsandobligationsthathavealreadyaccruedandareexpresslyprovidedforinthisAgreementorarerequiredtobeperformedaftertheterminationdateinaccordancewithapplicablelaws.

2.PartyAshalldelivertoPartyBawrittennoticeofterminationinaccordancewiththeprovisionsofthisAgreementwithin[numberofdays]daysaftertheexecutionofthisAgreement.PartyBshallconfirmthereceiptofsuchnoticewithin[numberofdays]daysafteritsreceipt.

IV.RightsandObligationsoftheParties

A.PartyA'sRightsandObligations

1.Rights

PartyAhastherighttoreceivepaymentforanyservicesorgoodsprovidedandacceptedbyPartyBpriortotheterminationdateinaccordancewiththeOriginalContract.

PartyAhastherighttorequestPartyBtoreturnanypropertyordocumentsthatareinPartyA'spossessionandarerelatedtotheOriginalContract.

2.Obligations

PartyAshalluseitsbesteffortstocooperatewithPartyBtoensureasmoothtransitionandterminationoftheOriginalContract.Thisshallincludeprovidinganynecessaryinformation,assistance,orsupportrequiredbyPartyBtopleteanyoutstandingtasksorobligationsrelatedtotheOriginalContract.

PartyAshallindemnifyandholdPartyBharmlessfromandagainstanyandalllosses,damages,liabilities,claims,suits,actions,orproceedingsarisingoutoforinconnectionwithPartyA'sperformanceornonperformanceofitsobligationsundertheOriginalContractpriortotheterminationdate,excepttotheextentcausedbyPartyB'sownnegligenceorwillfulmisconduct.

B.PartyB'sRightsandObligations

1.Rights

PartyBhastherighttorequestPartyAtoprovideanynecessaryinformationorassistancerelatedtothetransitionandterminationoftheOriginalContract.

PartyBhastherighttoinspectandverifyanyrecordsordocumentsrelatedtotheOriginalContractheldbyPartyAtotheextentpermittedbylaw.

2.Obligations

PartyBshallpaytoPartyAallamountsdueandpayableforservicesorgoodsprovidedbyPartyApriortotheterminationdateinaccordancewiththeOriginalContractwithin[numberofdays]daysafterthereceiptofPartyA'sinvoice.

PartyBshallreturntoPartyAanypropertyordocumentsinitspossessionthatarerelatedtotheOriginalContractwithin[numberofdays]daysaftertheterminationdate.PartyBshallensurethatsuchpropertyordocumentsareinthesameconditionaswhenreceived,reasonablewearandtearexcepted.

PartyBshallindemnifyandholdPartyAharmlessfromandagainstanyandalllosses,damages,liabilities,claims,suits,actions,orproceedingsarisingoutoforinconnectionwithPartyB'sperformanceornonperformanceofitsobligationsundertheOriginalContractpriortotheterminationdate,excepttotheextentcausedbyPartyA'sownnegligenceorwillfulmisconduct.

V.Payment

1.PartyBshallpaytoPartyAthefollowingamountswithin[numberofdays]daysafterthereceiptofPartyA'sinvoice:

2.Paymentshallbemadeby[paymentmethod,e.g.,banktransfertothefollowingaccount:AccountName:[AccountNameofPartyA];BankName:[BankNameofPartyA];AccountNumber:[AccountNumberofPartyA]].

VI.Confidentiality

1.EachpartyacknowledgesthatduringthecourseoftheirbusinessrelationshipundertheOriginalContract,ithashadaccesstocertainconfidentialinformationoftheotherparty.

2.ThepartiesshallcontinuetobeboundbytheconfidentialityprovisionsoftheOriginalContractevenaftertheterminationoftheOriginalContract.Withoutthepriorwrittenconsentoftheotherparty,neitherpartyshalldisclose,use,orpermittheuseofanyconfidentialinformationoftheotherpartyforanypurposeotherthaninconnectionwiththeperformanceofitsobligationsunderthisAgreement.

3.ThisconfidentialityobligationshallsurvivetheterminationofthisAgreementforaperiodof[numberofyears]years.

VII.IntellectualPropertyRights

1.AllintellectualpropertyrightscreatedorusedinconnectionwiththeperformanceoftheOriginalContractshallremainthepropertyofthepartythatcreatedorownssuchintellectualpropertyrights.

2.Eachpartyshallnotclaimanyownershiprightsintheintellectualpropertyrightsoftheotherparty,exceptasexpresslyprovidedintheOriginalContract.

3.PartyBshallnotuseanyintellectualpropertyrightsofPartyAinamannerthatviolatesthetermsoftheOriginalContractorapplicablelawsaftertheterminationoftheOriginalContract.

VIII.NonCompeteandNonSolicitation

1.Foraperiodof[numberofyears]yearsaftertheterminationdate,PartyAcovenantsnottoengageinanybusinessactivitiesthatareindirectpetitionwithPartyB'sbusinessin[scopeofbusiness],providedthatPartyBcontinuestooperateinsuchbusinessarea.

2.Foraperiodof[numberofyears]yearsaftertheterminationdate,PartyBcovenantsnottoengageinanybusinessactivitiesthatareindirectpetitionwithPartyA'sbusinessin[scopeofbusiness],providedthatPartyAcontinuestooperateinsuchbusinessarea.

3.Duringthenonpeteperiod,neitherpartyshallsolicittheemployees,customers,orbusinesspartnersoftheotherparty.

Ix.GoverningLawandJurisdiction

1.ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[jurisdiction].

2.AnydisputesarisingoutoforinconnectionwiththisAgreementshallbesubjecttotheexclusivejurisdictionofthecourtslocatedin[jurisdiction].

x.EntireAgreement

1.ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreementsandunderstandings,oralorwritten,relatingtothesame.

2.Noamendment,modification,orwaiverofanyprovisionofthisAgreementshallbeeffectiveunlessinwritingandsignedbybothparties.

xI.Severability

IfanyprovisionofthisAgreementisheldtobeinvalid,illegal,orunenforceable,thevalidity,legality,andenforceabilityoftheremainingprovisionsshallinnowayinanywaybeaffectedorimpaired.

xII.Waiver

Nofailureordelaybyeitherpartyinexercisinganyright,power,orprivilegehereundershalloperateasawaiverthereof;norshallanysingleorpartialexerciseofanyright,power,orprivilegehereunderprecludeanyotherorfurtherexercisethereofortheexerciseofanyotherright,power,orprivilege.

xIII.Counterparts

ThisAgreementmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.

INWITNESSWHEREOF,thepartieshaveexecutedthisAgreementforTerminationofContractasofthedatefirstabovewritten.
