I.Recitals

V.IntellectualPropertyRights

1.RightsofPartyA

Allintellectualpropertyrightsrelatedtotheservices/goodsprovidedbyPartyA,includingbutnotlimitedtopatents,trademarks,copyrights,shallremaintheexclusivepropertyofPartyA,unlessotherwiseagreedinwriting.

2.RightsofPartyB

Allintellectualpropertyrightsrelatedtotheservices/goodsprovidedbyPartyB,includingbutnotlimitedtopatents,trademarks,copyrights,shallremaintheexclusivepropertyofPartyB,unlessotherwiseagreedinwriting.

VI.Confidentiality

1.ConfidentialInformationDefined

EachPartyacknowledgesthatinthecourseoftheirbusinessrelationship,theymayhaveaccesstoconfidentialinformationoftheotherParty.Confidentialinformationshallincludebutnotbelimitedtobusinessplans,customerlists,financialinformation,andanyotherinformationmarkedasconfidential.

2.ObligationsoftheParties

EachPartyshallkeeptheconfidentialinformationoftheotherPartystrictlyconfidentialandshallnotdiscloseittoanythirdpartywithoutthepriorwrittenconsentoftheotherParty.ThisobligationshallsurvivetheterminationofthisAgreement.

VII.TermandTermination

1.TermoftheAgreement

ThisAgreementshallcommenceon[Startdate]andshallremaininforceforaperiodof[Numberofmonths/years],unlessterminatedearlierinaccordancewiththeprovisionsherein.

2.TerminationbyAgreement

VIII.LiabilityandIndemnification

1.LiabilityoftheParties

EachPartyshallbeliableforanyloss,damage,orinjurycausedbyitsownnegligence,willfulmisconduct,orbreachofthisAgreement.

2.Indemnification

EachPartyshallindemnifyandholdtheotherPartyharmlessfromandagainstanyandallclaims,losses,damages,liabilities,andexpenses(includingreasonableattorneys'fees)arisingoutoforinconnectionwithitsperformanceofthisAgreement,itsnegligence,willfulmisconduct,orbreachofthisAgreement.

IX.GoverningLawandJurisdiction

1.GoverningLaw
