1.Agreement

ThisContractAgreement(the“Agreement”)ismadeandenteredintoasof[Date]byandbetweenPartyAandPartyB(eacha“Party”andcollectivelythe“Parties”).

2.ScopeofWork

PartyAherebyengagesPartyBtoperformthefollowingservices:[Describeindetailtheservicestobeprovided].PartyBshallcarryouttheservicesinaccordancewithallapplicablelaws,regulations,andindustrystandards,andwithduecareandprofessionalism.

3.Payment

4.IntellectualProperty

AllintellectualpropertyrightsarisingoutoforinconnectionwiththeservicesprovidedbyPartyBunderthisAgreementshallbeownedbyPartyA.PartyBshallassign,andherebyassigns,allsuchrightstoPartyAwithoutanyfurtherconsideration.PartyBshallnotuse,disclose,orlicenseanyoftheintellectualpropertyrightstoanythirdpartywithoutthepriorwrittenconsentofPartyA.

5.Confidentiality

EachPartyacknowledgesthatinthecourseofperformingunderthisAgreement,itmayhaveaccesstoconfidentialinformationoftheotherParty.EachPartyshallkeeptheconfidentialinformationoftheotherPartyconfidentialandshallnotdiscloseittoanythirdpartywithoutthepriorwrittenconsentoftheotherParty,exceptasrequiredbylaw.Confidentialinformationincludes,butisnotlimitedto,businessplans,customerlists,financialinformation,andanyotherinformationthatthedisclosingPartydesignatesasconfidential.

6.TermandTermination

ThisAgreementshallcommenceon[CommencementDate]andshallremaininforceuntil[ExpirationDate].EitherPartymayterminatethisAgreementupon[Numberofdays]days’writtennoticetotheotherParty.Intheeventoftermination,PartyBshallbeentitledtoreceivepaymentforallservicesrendereduptothedateofterminationinaccordancewiththepaymenttermsofthisAgreement.

7.Liability

EachPartyshallindemnifyandholdtheotherPartyharmlessfromandagainstanyandalllosses,damages,liabilities,andexpenses(includingreasonableattorneys’fees)arisingoutoforinconnectionwithitsbreachofthisAgreementoritsnegligentorwillfulactsoromissionsintheperformanceofitsobligationshereunder.

8.GoverningLaw

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthrougharbitrationin[ArbitrationLocation]inaccordancewiththerulesof[ArbitrationInstitution].

9.EntireAgreement

ThisAgreementconstitutestheentireagreementbetweenthePartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreementsandunderstandings,oralorwritten,relatingtothesame.

10.Amendments

Noamendment,modification,orwaiverofanyprovisionofthisAgreementshallbeeffectiveunlessinwritingandsignedbybothParties.

11.Severability

IfanyprovisionofthisAgreementisheldtobeinvalid,illegal,orunenforceable,thevalidity,legality,andenforceabilityoftheremainingprovisionsshallnotinanywaybeaffectedorimpaired.

12.Counterparts

ThisAgreementmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.
