CONTRACTAGREEMENT

ThisContractAgreement(the"Agreement")ismadeandenteredintoasof[date]byandbetween[PartyAname],a[PartyAentitytype]organizedandexistingunderthelawsof[PartyAjurisdiction](hereinafterreferredtoas"PartyA"),and[PartyBname],a[PartyBentitytype]organizedandexistingunderthelawsof[PartyBjurisdiction](hereinafterreferredtoas"PartyB").

I.RECITALS

WHEREAS,PartyAisengagedin[PartyAbusinessbriefdescription];

WHEREAS,PartyBisengagedin[PartyBbusinessbriefdescription];

WHEREAS,thepartiesdesiretoenterintoacontractforthefollowingpurposesassetforthherein.

II.SCOPEOFSERVICES

1.PartyA'sObligations

PartyAshall[describePartyA'smainobligations,suchasprovidingcertainresources,information,etc.].

2.PartyB'sObligations

PartyBshall[detailPartyB'smainresponsibilities,likeperformingspecificservices,deliveringproducts,etc.].

III.TERMOFTHEAGREEMENT

1.CommencementDate

ThisAgreementshallcommenceon[startdate].

2.ExpirationDate

ThisAgreementshallexpireon[enddate],unlessterminatedearlierinaccordancewiththeprovisionsherein.

IV.PAYMENTTERMS

1.PaymentAmount

PartyAshallpayPartyBthesumof[currencyandamount]fortheservices/productsprovidedhereunder.

2.PaymentSchedule

PartyAshallmakethepaymentinthefollowingmanner:

V.CONFIDENTIALITY

1.ConfidentialInformationDefined

EachpartyacknowledgesthatinthecourseofperformingthisAgreement,itmayhaveaccesstoconfidentialinformationoftheotherparty.Confidentialinformationincludes,butisnotlimitedto,businessplans,customerlists,technicalknow-how,andanyotherinformationmarkedasconfidential.

2.ObligationsoftheReceivingParty

Thereceivingpartyshallkeeptheconfidentialinformationsecretandshallnotdiscloseittoanythirdpartywithoutthepriorwrittenconsentofthedisclosingparty,exceptasrequiredbylaw.

VI.INTELLECTUALPROPERTYRIGHTS

1.OwnershipofIntellectualProperty

Allintellectualpropertyrightsarisingfromtheservices/productsprovidedunderthisAgreementshallbeownedby[specifytheowner,e.g.,PartyBifPartyBcreatesnewintellectualproperty].

2.LicenseRights

Ifnecessary,thepartyowningtheintellectualpropertyshallgranttheotherpartyanon-exclusivelicensetousetherelevantintellectualpropertyforthepurposesofthisAgreement.

VII.WARRANTYANDREPRESENTATIONS

1.PartyA'sWarrantiesandRepresentations

PartyArepresentsandwarrantsthatithasthelegalrightandauthoritytoenterintothisAgreementandperformitsobligationshereunder.PartyAfurtherwarrantsthattheinformationprovidedtoPartyBisaccurateandcomplete.

2.PartyB'sWarrantiesandRepresentations

PartyBrepresentsandwarrantsthatithasthenecessaryskills,experience,andresourcestoperformtheservices/productsinaccordancewiththestandardsofthisAgreement.PartyBfurtherwarrantsthattheservices/productsprovidedshallbefreefromanydefects.

VIII.TERMINATION

1.TerminationbyAgreement

ThepartiesmayterminatethisAgreementbymutualwrittenagreement.

2.TerminationforBreach

IfeitherpartymateriallybreachesanyoftheprovisionsofthisAgreementandfailstocuresuchbreachwithin[numberofdays]daysafterreceivingwrittennoticeofthebreachfromthenon-breachingparty,thenon-breachingpartymayterminatethisAgreement.

IX.LIABILITY

1.LimitofLiability

Innoeventshalleitherpartybeliabletotheotherpartyforindirect,consequential,special,orpunitivedamages,exceptincasesofwillfulmisconductorgrossnegligence.

2.Indemnification

Eachpartyshallindemnifyandholdtheotherpartyharmlessfromandagainstanyandallclaims,losses,damages,liabilities,andexpensesarisingoutoforinconnectionwithitsbreachofthisAgreementoritsnegligentorwrongfulactsoromissions.

X.GOVERNINGLAW

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[governinglawjurisdiction].

XI.DISPUTERESOLUTION

1.Negotiation

IntheeventofanydisputearisingoutoforinconnectionwiththisAgreement,thepartiesshallfirstattempttoresolvethedisputethroughfriendlynegotiations.

2.Arbitration

Ifthenegotiationsfail,thedisputeshallbesubmittedtoarbitrationin[arbitrationlocation]inaccordancewiththerulesof[arbitrationinstitution].Thearbitrationawardshallbefinalandbindingonbothparties.

XII.ENTIREAGREEMENT

ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallpriororalorwrittenagreementsandunder
