CONTRACTAGREEMENT

I.Recitals

WHEREAS,PartyAisengagedin[describePartyA'sbusiness],andPartyBisengagedin[describePartyB'sbusiness];

WHEREAS,thePartiesdesiretoenterintothisAgreementtodefinetheirrightsandobligationswithrespecttothefollowingsubjectmatter.

II.ScopeofWork

1.PartyAshallberesponsiblefor[listPartyA'sresponsibilitiesindetail,suchasprovidingcertainproducts,services,etc.].

2.PartyBshallberesponsiblefor[listPartyB'sresponsibilitiesindetail,suchasmakingpayments,providingnecessaryinformation,etc.].

III.PaymentTerms

1.PartyBshallpayPartyAthetotalamountof[currencyandamount]fortheservices/productsprovidedunderthisAgreement.

2.Thepaymentshallbemadeinthefollowingmanner:

IV.Delivery/PerformanceSchedule

1.PartyAshallcompletethedeliveryofproducts/servicesonorbefore[date].

2.Incaseofanydelayinperformance,thePartyresponsibleforthedelayshallnotifytheotherPartyinwritingwithin[numberofdays]daysofbecomingawareofthedelay,andshalluseitsbesteffortstominimizetheimpactofthedelay.

V.IntellectualPropertyRights

1.Allintellectualpropertyrightsarisingoutoftheproducts/servicesprovidedunderthisAgreementshallbeownedby[specifytheowner,e.g.,PartyAorjointlybybothParties].

2.EachPartyshallindemnifyandholdtheotherPartyharmlessfromanyclaims,losses,damages,liabilities,andexpensesarisingoutofanyallegedinfringementofintellectualpropertyrightsbytheindemnifyingPartyinconnectionwiththeperformanceofthisAgreement.

VI.Confidentiality

1.EachPartyacknowledgesthatinthecourseofperformingthisAgreement,itmayhaveaccesstoconfidentialinformationoftheotherParty.

2.ThereceivingPartyshallkeepsuchconfidentialinformationconfidentialandshallnotdiscloseittoanythirdpartywithoutthepriorwrittenconsentofthedisclosingParty,exceptasrequiredbylaw.

3.TheconfidentialityobligationshallsurvivetheterminationofthisAgreementforaperiodof[numberofyears].

VII.TermandTermination

1.ThisAgreementshallcommenceonthedateofsigningandshallremaininforceforaperiodof[numberofmonths/years].

2.EitherPartymayterminatethisAgreementupon[numberofdays]days'writtennoticetotheotherPartyincaseofamaterialbreachofthisAgreementbytheotherParty,whichremainsuncuredafter[numberofdays]days'writtennoticeofthebreach.

3.UponterminationofthisAgreement,bothPartiesshallreturnanyconfidentialinformationintheirpossessionbelongingtotheotherPartyandshallceaseallactivitiesrelatedtotheperformanceofthisAgreement.

VIII.LiabilityandIndemnification

1.EachPartyshallbeliableforitsownactsandomissionsintheperformanceofthisAgreement.

2.EachPartyshallindemnifyandholdtheotherPartyharmlessfromandagainstanyandallclaims,losses,damages,liabilities,andexpenses(includingreasonableattorneys'fees)arisingoutoforinconnectionwiththeindemnifyingParty'sbreachofthisAgreement,negligence,orwillfulmisconduct.

IX.GoverningLawandJurisdiction

1.ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[country/state].

2.AnydisputesarisingoutoforinconnectionwiththisAgreementshallbesubjecttotheexclusivejurisdictionofthecourtsof[city/country].

X.EntireAgreement

ThisAgreementconstitutestheentireagreementbetweenthePartieswithrespecttothesubjectmatterhereofandsupersedesallpriororalorwrittenagreementsandunderstandingsrelatingtothesame.
