AgreementforCancellationofPurchaseContractThisAgreementforCancellationofPurchaseContract(the"Agreement")ismadeandenteredintoasof[date]byandbetween:Seller:Name:[Seller'sfullname]Address:[Seller'saddress]ContactPerson:[Nameofcontactperson]ContactNumber:[Phonenumber]Email:[Emailaddress]Buyer:Name:[Buyer'sfullname]Address:[Buyer'saddress]ContactPerson:[Nameofcontactperson]ContactNumber:[Phonenumber]Email:[Emailaddress]WHEREAS,theSellerandtheBuyerenteredintoaPurchaseContract(the"OriginalContract")dated[dateoforiginalcontract]forthepurchaseandsaleof[descriptionofgoodsorservices];WHEREAS,bothpartiesnowdesiretocanceltheOriginalContractandterminateallrightsandobligationsthereunder;NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,andforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhichareherebyacknowledged,thepartiesheretoagreeasfollows:1.CancellationoftheOriginalContractThepartiesherebymutuallyagreetocancelandterminatetheOriginalContractwithimmediateeffect.AllrightsandobligationsoftheSellerandtheBuyerundertheOriginalContractshallceaseandterminate,exceptasotherwiseprovidedherein.2.ReturnofGoodsandRefunds-IftheBuyerhasalreadyreceivedanygoodsundertheOriginalContract,theBuyershallreturnthegoodstotheSellerwithin[numberofdays]daysfromthedateofthisAgreement.Thegoodsshallbereturnedintheiroriginalcondition,packaging,andquantityasreceived.-TheSellershallrefundtotheBuyerallpaymentsreceivedfromtheBuyerinrespectofthegoodsorservicesundertheOriginalContractwithin[numberofdays]daysaftertheSellerhasreceivedthereturnedgoodsinsatisfactorycondition.3.ConfidentialityEachpartyshallcontinuetobeboundbyanyconfidentialityobligationsimposedbytheOriginalContractorotherwiseapplicablelawwithrespecttoanyconfidentialinformationexchangedbetweenthepartiesinconnectionwiththeOriginalContract.ThisconfidentialityobligationshallsurvivethecancellationoftheOriginalContract.4.Non-LiabilityExceptasotherwiseprovidedinthisAgreement,eachpartyherebyreleasesandforeverdischargestheotherpartyfromanyandallclaims,liabilities,damages,losses,andexpensesofanykindarisingoutoforinconnectionwiththeOriginalContract,whetherknownorunknown,includingbutnotlimitedtoclaimsforbreachofcontract,negligence,oranyotherlegaltheory.5.EntireAgreementThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreementsandunderstandings,oralorwritten,relatingtothesame.Nomodification,amendment,orwaiverofanyprovisionofthisAgreementshallbeeffectiveunlessinwritingandsignedbybothparties.6.GoverningLawThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[governingjurisdiction].7.DisputeResolutionAnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthroughfriendlynegotiationbetweentheparties.Ifthenegotiationfails,thepartiesagreetosubmitthedisputetotheexclusivejurisdictionofthecourtsof[governingjurisdiction].8.CounterpartsThisAgreementmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.INWITNESSWHEREOF,thepartieshaveexecutedthisAgreementforCancella
